WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Memorandum of Understanding for Contract Management Solution Support Services between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Information Technology, and Northwoods Consulting Partners, Inc., with further terms and conditions being as stated in said memorandum of understanding, and WHEREAS, after review, the Board deems it advisable to approve said memorandum of understanding, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Memorandum of Understanding for Contract Management Solution Support Services between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Information Technology, and Northwoods Consulting Partners, Inc., be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said memorandum of understanding. Weld County previously engaged Databank IMX to develop and support our Contract Management application, built on the Hyland Onbase platform. This agreement is to move the support of the Contract Management application to Northvvoods Consulting Partners, LLC as they are the vendor of record for the Hyland Onbase software. The attached agreement is a Memorandum of Understanding between the Board of Weld County Commissioners and Northwoods Consulting Partners, Inc, for the transition of this support. There is no cost impact to Well County and this agreement has been reviewed by Legal. What options exist for the Board? (Include consequences, Impacts, costs, etc. of options): This provider specializes in selling and supporting Hyland Onbase software and is our vendor of record for this software. Buck Mike Freeman Scott K, James, Pro-Tem Steve Moreno, Chair Lori Seine Schedule Work Session Other/Commentai MEMORANDUM OF UNDERSTANDING December 19, 2020 This Memorandum of Understanding (fv10U) sets forth the mutual understanding of Northwoods Consultim Partners, Inc ("Northwoods"I and Weld County Board of County Commissioners on behalf of the Weld County Department of Human Services ("Weld County") regarding the support of Weld County's Or)Base software. This MOU supersedes the M0U entered into on .April 30, 2015 among Northwoods, Data Bank IMX ("DataBank') di -id Weld County. Background Northwoods executed a contract with Weld County to provide Compass and OnBase software on the 14f° day of November 2012 ,which is still in effect. Upon Northwoods' recommendation, Weld County subsequently engaged DataBank to provide a "Contract Management Solution" which utilizes the OnBase software previously deployed by Northwoods. On December 3, 2020, Northwoods and Databank entered into a MOU, in which it was agreed that "any and all support of the "Contract Management solution" originally sold by DataBank shall be provided by Northwoods." Northwoods Responsibilities As the OnBase partner of record, Northwoods is responsible for the provision of OnBase software support services, including upgrades, to Weld. Northwoods, at no additional cost to Weld County, shall be responsible for the provision of support services for the Contract Management solution to Weld County. Northwoods will maintain a central point of contact, the Northwoods Support Team, to provide support to Weld County's central point of contact for OnBase. Northwoods will be responsible for any new orders of OnBase software by Weld County. Orders will be placed by Northwoods with Hyland 5oftware upon receipt of a Weld County purchase order. Weld County Responsibilities Weld County will maintain a central point of contact for the provision of first level support to its end users. This contact will receive OnBase and Compass related support requests from Weld County end users and either resolve the issue internally or escalate it to the Northwoods Support Center for assistance resolving.
