WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Amendment to Agreement Proposal and Customer Acceptance Form between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Human Services, and Alert Media, Inc., commencing upon full execution of signatures, with further terms and conditions being as stated in said amendment, and WHEREAS, after review, the Board deems it advisable to approve said amendment, a copy of which is attached hereto and incorporated herein by reference. Please review and indicate if you would like a work session prior to placing this item on the Board's agenda. Request Board Approval of the Department's Agreement Amendment with Alert Media Inc. The Department entered into a Customer Acceptance Agreement on July 29, 2020, identified as Tyler ID 2020-2556 for the SafeSignal program through AlertMedia. SafeSignal provides caseworkers a safety solution that establishes a direct connection to law enforcement and an immediate response plan during an emergency. Caseworkers can use a timed session or a panic button to activate an alarm, which sends a distress signal to the SafeSignal monitoring team, from their smartphone. DHS was notified that the current agreement has automatically renewed for the year 2021-2022 and are now requesting approval to amend the agreement to add the OneApp service. OneApp will provide expanded services such as weather alerts and dangerous situation alerts which can push out notifications to Child Welfare staff. The cost for the 2021-2022 year will be $720.00/month or $7,800.00/year if paid annually. I do not recommend a Work Session. 1 recommend approval of this Amendment and authorize the Chair to sign. Amendment to Agreement This Amendment amends the Quote Summary and Customer Acceptance Form, including any amendments thereto (the "Master Agreement") entered into on or about July 29, 2020 by and between Alert Media, Inc. ("AlertMedia") and Weld County ("Customer"). In consideration of the mutual covenants contained herein and for other good, valuable, and binding consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: Section 1. Amendments. A. The parties agree that Customer elects to migrate to the AlertMedia OneApp. By doing so, the current SafeSignal application, and usage of the associated tethers, will be replaced in full by OneApp. OneApp is available on the most recent iOS and Android smartphones with updated versions of their operating systems. B. In migrating to OneApp, Customer will be provided access to Alert Media's Notification Center, at no additional cost, to interact with their licensed audience (100 people) using SMS/text, voice (mobile or landline), email, mobile application, and social media. C. Customer will also receive Included Usage of 3,000 SMS/text and 3,000 voice minutes per year for Notification Center. (i) All included SMS/texts and voice minutes are based on USA Domestic messages and calls. Additional texts billed at $0.015 per text. Additional minutes billed at $0.03 per minute. Any messages or calls outside of the USA will be billed per the rate card. (ii) One SMS/text consists of 160 characters (or 70 characters if using Non -GSM characters). Your usage will be measured per SMS/text. (iii) Usage amounts given in Included Usage are for annual payments. If Customer pays monthly, Included Usage will be converted to a monthly amount by dividing the Usage numbers by 12. (iv) Planned Use: Customer may send emergency notifications when critical events, such as severe weather or workplace violence, threaten the safety of message recipients. Section 2. Effect on Existing Agreement. This Amendment shall be deemed incorporated into the Master Agreement. The Master Agreement (including any exhibits and attachments thereto) has been and remains in full force and effect. Each party affirms that it remains a party to the Master Agreement (as amended herein) after the execution of this Amendment. This Amendment may be executed in a number of identical counterparts which taken together, shall constitute collectively one and the same agreement.
