COMPANY, Denver, Colorado, has submitted a COMPLETE MAINTENANCE AGREEMENT, covering one (1) passenger elevator No. CP-SPM-32791 located at the new Weld County Public Health Building, and WHEREAS, the Board of County Commissioners,Weld County, Colorado, has said proposed Maintenance Agreement before it and has given it careful review and consideration; and WHEREAS, it is considered that the best interest of said County of Weld, State of Colorado, will be subserved by the acceptance of said Agreement; NOW, THEREFORE, BE IT RESOLVED, by the Board of County Commissioners, Weld County, Colorado, that the terms of the Mainten- ance Agreement submitted by MONTGOMERY ELEVATOR COMPANY as aforesaid be, and the same hereby is accepted on behalf of Weld County, Colorado. BE IT FURTHER RESOLVED, that the Chairman of the Board of County Commissioners of said County hereby is authorized, empowered and directed to execute said agreement on behalf of said County, and that the County Clerk hereby is authorized and directed to attest said Mainten- ance Agreement and to attach to each duplicate original of said Maintenance Agreement a certified copy of this Resolution. This contract covers all work performed during the regular working hours of regular work- ing days of the elevator trade, unless otherwise specified. SCHEDULE PART TO BE PRO-RATED None PART NAME DATE OF ORIGINAL INSTALLATION September 17, 1974 Montgomery Elevator Company shall not be obligated to make other safety tests, or to install new attachments whether or not recommended or directed by insurance com- panies,or by federal,state,municipal,or other governmental or non-governmental author- ities. Montgomery Elevator Company shall not be required to snake renewals or repairs • necessitated by the negligence, misuse or obsolescence of the equipment or any other cause beyond its control except ordinary wear and tear. Nothing in this Agreement shall be construed to mean that Montgomery(herein1evcollectively trCoom- • pony, or its subsidiaries, officers, directors, agents or employees, referred to as "affiliates") assume any liability for damages or otherwise on account of accidents to persons or property (including but not limited to accidents arising or result- ing from the overloading and/or misloading of any elevator or other device covered by this contract, beyond its rated capacity) except those directly due to the negligence of• Montgomery Elevator Company. You shall be solely responsible for supervising the use of the equipment and you shall provide whatever attendent personnel,warning signs and other controls and cautions that may be required or desirable to insure safe operation. You shall at all times be solely liable for the operation of the equipment and you shall indemnify, protect and save harmless Montgomery Elevator Company and its affiliates from and against liabilities, losses and claims of any kind or nature imposed on,incurred by, or asserted against Montgomery Elevator Company or its affiliates arising out of the operation of the equipment. You hereby waive any and all rights of subrogation, arising as a matter of law or otherwise which you might hereafter have against Montgomery Elevator Company or its affiliates. Neither Montgomery Elevator Company nor its affiliates shall be liable for any loss, damage, detention or delay caused by accidents, strikes, lockouts, material shortages or by any other cause which is beyond its reasonable control, or in any event, for inci- dental or consequential damages. At the termination of each one-year period from the date of submission of this Agreement, the price will be automatically adjusted upward or downward by Montgomery Elevator Company in an amount equal to the percentage increase or decrease in Montgomery Elevator Company's cost of labor for the services to be rendered. This elevator has been completed by us and turned over for use on September 17, 1974, a copy of our Uniform Final Acceptance Form is attached hereto. .Our enclosed Complete Maintenance Agreement is based on regular semi-monthly examinations and includes major and minor repairs, parts and labor, and reg- ular time emergency call back service whenever needed. Our contract also includes all necessary annual work, such as cleaning of hoistways and periodic load and safety tests, as required by the American Standard Safety Code for Elevators. A careful preventive maintenance program, performed by thoroughly trained and experienced personnel , will maintain your elevator equipment in a first class state of repair, in accordance with factory specifications, and will assure you of dependable and correct operation. It also gives you our unconditional guarantee that this equipment will be kept in a first class condition for an infinite period of time. Our Denver office is a factory branch office and is considered as one of the largest elevator companies in the entire Rocky Mountain area.
