Re: Consent to Assign Oil and Gas Leases described on Exhibit A attached hereto (the
"Leases")
To whom it may concern:
Pursuant to the Leases, OIL India (USA) Inc. ("OIL India"), a current Lessee under the
Leases, does hereby request your written consent to assign all of its interest in the Leases to Verdad
Resources LLC ("Assignee"), whose address is 5950 Sherry Lane, Suite 700, Dallas, Texas 75225.
The assignment contemplated hereby is being made in connection with the sale by OIL India of
certain assets to Assignee. Please note that Assignee currently owns a majority interest in each of
the Leases. Enclosed herewith is a check in the amount of $200 made out to Weld County
Colorado Board of County Commissioners per the requirements of the Leases, in connection with
this request.
To evidence your approval and written consent to the aforementioned assignment, we ask
that you sign and date this letter and the following page, and return it to me at your earliest
convenience.

Colorado statute and the Weld County Home Rule Charter, is vested with the authority of

in Weld County, Colorado, and
WHEREAS, the Department of Purchasing was authorized to solicit bids for lease of a
portion of said mineral acres not currently leased, and
