RESOLUTION RE: APPROVE AGREEMENT FOR INSTALLATION OF STREET LIGHTS FOR COUNTY ROADS 35 (NORTH 35TH AVENUE) AND 64 (0 STREET) INTERSECTION ROUNDABOUT PROJECT, AND AUTHORIZE CHAIR TO SIGN - PUBLIC SERVICE COMPANY OF COLORADO, DBA XCEL ENERGY WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Agreement for Installation of Street Lights for the County Roads 35 (North 35th Avenue) and 64 (O Street) Intersection Roundabout Project, between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Public Service Company of Colorado, dba Xcel Energy, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Agreement for Installation of Street Lights for the County Roads 35 (North 35th Avenue) and 64 (O Street) Intersection Roundabout Project, between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Public Service Company of Colorado, dba Xcel Energy, be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said agreement. Xcel Energy will be the supplier of these lights as the project lies within their service boundary. All of these new electrical facilities will: be within Weld County right-of-way. Xcel has sent over their standard street lighting agreement along with a cost estimate for the initial setup and the ongoing electrical costs associated with the new lights. The cost estimate for this installation of 20 new cobra head streetlamps and poles is $220,150.05. The monthly cost of t e electricity for the new lights will be $11.89/lamp/month. This would equate to a cost of $237.80 per month to al. These street lights will be taken over for ongoing service costs and maintenance by the City of Greeley w en they annex the project upon completion per the IGA between them and Weld County. The costs for the inst Ilation of street lights has already been accounted for in the project budget. This agreement has been reviewed by the County Attorney's office. The work will take place near the end of the roundabout construction project (likely in September). What options exist for the Board? (include consequences, impacts, costs, etc. of options): • Approve the agreement and allow it to be placed on the next available agenda for signature • Request changes be made to the attached agreement • Request a work session to discuss Recommendation: Staff recommends approval of the agreement as written and placing it on the next available BOCC agenda for signature. AND 'O' ST. ROUNDABOUT PROJECT THIS AGREEMENT, made and entered into this 15k -day of flu 12022, by and between PUBLIC SERVICE COMPANY OF COLORADO, d/b/a XC�L ENERGY, with Colorado offices at 5245 Ronald Regan Blvd., Suite 104, Johnstown, CO. 80534, (hereinafter called "Xcel") and THE COUNTY OF WELD, a political subdivision of the State of Colorado, by and through the Board of County Commissioners of the County of Weld, at P.O. Box 758, 1150 O Street, Greeley, CO 80632 (hereinafter called "County"). WITNESSETH: WHEREAS, to promote the safety of the citizens of Weld County and other members of the travelling public, County has undertaken the construction of a public improvement project, known as the 35" Ave and 'O' St. Roundabout Project, (hereinafter the "Project"), and WHEREAS, the project limits lie within the public right-of-way owned and maintained by both Weld County (N. 35' Ave.) and the City of Greeley (`O' St.), and WHEREAS, Weld County and the City of Greeley have executed an Intergovernmental Agreement which states that Weld County will oversee the construction of the project to completion and upon completion the City of Greeley will annex the entire intersection taking over ownership and maintenance of all roadways, structures, and appurtenances within the project limits, and WHEREAS, Xcel owns electrical facilities currently located in 35th Ave. and 'O' St. right- of-way, and WHEREAS, Xcel is willing to construct new electrical facilities to facilitate the construction of the Project, and WHEREAS, County is willing to reimburse Xcel for the applicable expenses it will incur as a result of the installation of street lights. NOW, THEREFORE, for and in consideration of the mutual covenants and agreements hereinafter contained, the parties hereby agree as follows: I. XCEL RIGHTS and RESPONSIBILITIES 1. XCEL Street Light Installation: XCEL shall construct new electrical facilities and install new street lights as depicted on the Project Drawings, (Exhibit A). All work necessary to accomplish the street light installation shall be performed in accordance with XCEL specifications, in accordance with accepted engineering practices, and in compliance with all applicable Weld County, State of Colorado and Federal laws, rules and regulations. 2. Street Lights Not to Conflict with Improvements: XCEL agrees that the new locations of the street lights shall not conflict with the proposed roadway improvements or other utility relocations as depicted on Exhibit A. 3. Timing of Street Light Installations: XCEL shall complete the installation of street lights prior to October 7, 2022 unless otherwise approved by the County Project Engineer. XCEL shall not be liable for any costs or damages if the installation is prevented by an Act of God, governmental authority, action of the elements, accident, strikes, labor trouble, inability to secure materials or equipment, or any other cause beyond the reasonable control of XCEL. Parties shall coordinate work so that the County Contractor's project schedule is not delayed. 4. XCEL Responsible for Traffic Control: Throughout the street light installation process, XCEL agrees that it shall be responsible for coordination of traffic control as established by the latest version of the "Manual on Uniform Traffic Control Devices" (MUTCD). 5. XCEL Shall Obtain Right -of -Way Permit: XCEL shall obtain all necessary permits, including permits specific to the Project, from County required for its facilities relocation work. Weld County agrees to waive the Right -of -Way Permit Fees for facilities relocation work on the Project for the duration of the Project. XCEL shall be responsible for following all conditions and requirements of the Right -of -Way Permit. 6. Reliance on XCEL Expertise: County and XCEL recognize that County is relying solely on XCEL to perform the installation of street lights in a manner which will ensure the future integrity of the road improvements to be constructed by the County. Therefore, as part of its assurances under this Agreement, XCEL affirms that it has enough liability insurance, to satisfy any claim of negligence, intentional wrongful acts or other acts or omissions which may arise because of any failure of the road caused by an improper street light installation. 7. Transfer of Ownership: The County and the City of Greeley have an existing Intergovernmental Agreement which states that the City of Greeley will annex the entire intersection upon completion of construction. XCEL shall transfer all ongoing costs associated with electric service and maintenance of these new street lights for this intersection to the City of Greeley upon annexation. IL COUNTY RIGHTS and RESPONSIBILITIES 1. Estimates of XCEL Applicable Expenses: County has agreed to reimburse XCEL for the applicable expenses incurred in fulfillment of its obligations under this Agreement as set forth in the Exhibit B, estimated to be $220.150.05 2. Increases/Decreases in Estimated Expenses: XCEL has estimated the total cost of the work described herein and outlined in the Exhibits A and B. If the final actual costs are less than the estimated amount, XCEL shall reimburse the County for the actual costs accrued. If the final costs exceed the attached Exhibit B, County shall pay those reasonable additional expenses. County shall pay the amount set forth in Exhibit B within thirty (30) days of the complete execution of this Agreement. 2 3. County to Stake Right -of -Way and Easements: County shall establish and stake the County right-of-way within the work area prior to the installation of street lights. County shall verify the location of each street light to confirm that said installation is sufficiently clear of Project construction work. 4. County's Right to Terminate: The County may terminate this Agreement at any time prior to XCEL commencement of construction. In such an event, the County shall pay XCEL for all expenses which were incurred by XCEL for engineering and for materials and equipment purchased or ordered and paid for by XCEL, which cannot be returned for a refund, prior to the date of termination. III. MISCELLANEOUS 1. Board of County Commissioners of Weld County Approval: This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County or its designee. XCEL shall have no duty or obligation to plan or prepare for the installation of street lights required by the Project until this Agreement has been approved by the Board of Commissioners of Weld County, Colorado or its designee. 2. Agreement Binding: This writing, together with the exhibits, constitutes the entire Agreement between the parties hereto with respect to the subject matter herein, and shall be binding upon said parties their officers, employees, agents, and assigns and shall inure to the benefit of the respective survivors, heirs, personal representatives, successors and assigns of said parties. 3. No Third Party Beneficiary: It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties, and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the expressed intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. 4. Time of the Essence: Time is of the essence in each and all the provisions of this Agreement. 5. Fund Availability: This Agreement assumes that the relocation of the electrical facilities will be completed on or before the end of the County's fiscal year. Financial obligations of the Board of County Commissioners of Weld County payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted and otherwise made available. By execution of this Agreement, County does not warrant that funds will be available to fund this Agreement beyond the current fiscal year. If funds are not available to reimburse XCEL as required herein, XCEL shall have no obligation or duty to proceed with any or all of the relocation of its facilities required by the Project. 6. Severability: If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such 3 provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 7. Attorney Fees/Legal Costs: In the event of a dispute between County and XCEL, concerning this Agreement, the parties agree that neither parties shall be liable to or responsible for the payment of attorney fees and/or legal costs incurred by or on behalf of the other party. 8. Subrogation Waiver: All insurance policies required to be maintained under the terms of this Agreement or which are in any way related to this Agreement which are secured and maintained by XCEL shall include clauses stating that each carrier shall waive all rights of recovery, under subrogation or otherwise, against County, its officers, employees, agents, or volunteers. 9. Governmental Immunity: No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as applicable now or hereafter amended. 4 SIGNATURE PAGE IN WITNESS WHEREOF, the parties hereto have executed, or caused to be executed by their duly authorized officials, two duplicate originals of this Agreement, each of which shall be deemed an original, on the date first written above. Only Agreement. This contract shall constitute the only agreement between Customer and Company for the furnishing of street lighting service by Company to Customer for STREET LIGHTING in GREELEY located in WELD County, state of Colorado and the payments therefore by Customer to Company. 2. Scope of Agreement. Subject to Company's Street Lighting Extension Policy, Company shall install, own, operate and maintain under the conditions herein stated, 20 ( 250 ) WATTS LED lights mounted on brackets attached to 20 poles served from Company's electric distribution system, for the purpose of lighting as indicated on the map attached hereto as Exhibit A, and shall furnish the necessary electric energy therefore. 3. Operations and Maintenance. Street lights will be operated and maintained in accordance with Company's Rules and Regulations now in effect and on file or as hereafter amended and filed with the Public Utilities Commission of the State of Colorado. In the event of a total or partial failure or interruption of service, Company shall be allowed a reasonable time, after notification of said failure or interruption by Customer, in which to restore service. 4. Installation of Additional Facilities. Additional streetlights shall be installed or existing streetlights will be replaced or disconnected in accordance with Company's Rules and Regulations referred to in Section 3 by means of supplemental agreement hereto. 5. Rates - Regulation - Minimum. Customer shall pay Company for Schedule Street Lighting (SL, SLU, SSL) service under the rate rules and regulations as set forth in the Company's electric tariff on file and in effect from time to time with the Public Utilities Commission of the State of Colorado. The presently effective rate applicable to service hereunder is as follows: RATE: Street Lighting (SL) High Pressure Sodium Lamps, Burning Dusk to Dawn: Company -owned, 30FT Pole, UG Feed 14000 lamps, per lamp, per month $11.89 Light Emitting Diode (LED) Company -owned, 30FT Pole, UG Feed, 14000 lamps, per lamp per month $11.89 . The above rate is subject to the Electric Cost Adjustment as set forth in the Company's Electric tariff, and any other applicable adjustments on file and in effect from time to time with the Public Utilities Commission of the State of Colorado. Customer may be awarded Construction Allowance based on the number of lights 6. Billing and Payment. Company shall render bills to customer on or about the first day of each month. The term "Burning Dusk to Dawn" means the operation of the lamp by automatic control equipment from approximately eighteen minutes after sunset to approximately eleven minutes before sunrise, with a total burning tune of approximately 4,140 hours per year. 8. Damage To Street Lighting Facilities. Company shall be responsible for maintenance and replacement of lamps and light sensitive devices. All other maintenance and replacement for street lighting facilities will be separately billed to Customer in accordance with the provisions of Maintenance Charges for Street Lighting Service in Company's Rules and Regulations for Street Lighting Service. Customer shall notify Company of my Company -owned street lighting unit damage as a result of a violation of my traffic or other ordinances or laws or in any other unlawful manner, and shall assist the Company in identifying the responsible Party - 9. Term - Effective Date. This agreement shall be effective from the date hereof and for a period of ten years from and after the 24 day of JUNE , 20.1?____, and thereafter shall continue in force and effect unless terminated upon the giving of thirty days' written notice by either party to the other. 10. Successor - Assignment. The benefits of this agreement shall inure to and its obligations shall be binding upon the successors and assigns of the respective parties hereto, provided, however, that this agreement shall be assigned by Customer only upon written consent of Company. The Company has completed the engineering design and cost estimate to provide the Street lighting based upon the information Applicant has provided and the service requirements that you have requested.
