On February 1, 2022, Aka Energy Group, LLC sold its land holdings to Cureton Gilcrest, LLC. Cureton
Midstream, LLC—a Denver -based midstream company started in 2016 —is the parent company of Cureton
Front Range, LLC. Cureton Gilcrest, LLC was started in 2022 and is an operating entity of Cureton Front
Range, LLC that acquired the holdings. A copy of the Assignment, Conveyance, and Bill of Sale recorded
on February 3, 2022, in the records of Weld County Clerk and Recorder's Office at Reception Number
4799460 are enclosed, as well as the Certificate of Formation for Cureton Gilcrest, LLC.

ROAD MAINTENANCE AGREEMENTS
Aka Energy Group, LLC has assigned the following Road Maintenance Agreements (RMAs) to Cureton
Gilcrest, LLC, and Cureton Gilcrest, LLC has assumed these agreements. This letter is to provide notice of
such assignment and assumption. If Weld County prefers, however, Cureton Gilcrest, LLC will consider
replacing these agreements with replacement agreements with Weld County.

Execution Version
THIS ASSIGNMENT, CONVEYANCE AND BILL OF SALE (this "Assignment"), dated
as of February 1, 2022, but effective as of 12:01 a.m., Mountain Time, October 1, 2021 ("Effective
Time"), is from AKA ENERGY GROUP, LLC, a Colorado limited liability company (the
"Assignor"), whose address is 125 Mercado Street, Suite 201, Durango, Colorado 81301 to
CURETON GILCREST, LLC, a Delaware limited liability company ("Assignee"), whose
address is 518 17th Street, Suite 1405, Denver, Colorado 80202. Assignor and Assignee are
sometimes referred to herein individually as a "Party" and collectively as the "Parties".
RECITALS
WHEREAS, Assignor and Assignee are parties to that certain Asset Purchase Agreement,
dated as of December 22, 2021 (the "Purchase Agreement"), with all capitalized terms used but
not defined in this Assignment having the meanings given to such terms in the Purchase
Agreement) pursuant to which Assignor has agreed to assign, sell and convey to Assignee the
Assets (as defined below); and
WHEREAS, pursuant to the Purchase Agreement, Assignor and Assignee have agreed to
execute and deliver this Assignment.
NOW, THEREFORE, for Ten Dollars ($10.00) and other good and valuable consideration,
the receipt and sufficiency of which are hereby acknowledged, and with the intent to be legally
bound, the Parties hereby agree as follows:
ARTICLE I
ASSIGNMENT OF ASSETS
1.1 Assignment. Upon the terms and subject to the conditions of this Assignment,
Assignor does hereby GRANT, BARGAIN, SELL, CONVEY, ASSIGN, TRANSFER, SET
OVER AND DELIVER to Assignee, and Assignee does hereby acquire, all of Assignor's right and
title to, and interest in, the following assets and properties (less and except for the Excluded Assets,
such assets and properties described in this Section 1.1, collectively, the "Assets"):
(a) the natural gas gathering system and related processing facilities located in the State
of Colorado as generally described on Exhibit A (the "System");
(b) all rights of Assignor in and to the real property that is the subject of any easements,
rights -of -way, surface use agreements, surface lease agreements, line rights and real property
licenses of Assignor as of the Effective Time, to the extent used or held for use in connection with
the ownership or operation of the System, upon which the System is located, which provide access
to the System, or are held for use in connection with the ownership or operation of the System, as

described on Exhibit B, but specificallyeMding3he Denver Sublease (collectively, the "Real
Property");
(c) all structures, fixtures and facilities located on the Real Property owned by
Assignor, and all equipment attached to such Real Property, including all buildings, gathering
lines, pipelines, valves, fittings, storage tanks and pumping facilities (collectively, the
"Improvements");
(d) to the extent the same does not constitute Improvements, all of Assignor's
equipment, machinery, fixtures, fittings, tubing, pumps, pipes, pipelines, valves, meters, motors,
compressors, compression equipment, line fill, scrubbers, spare parts, pipeline markers, vents,
regulators, gathering lines, fittings, dehydration units, tanks, traps, cathodic protection units,
processing and separation facilities, tools, inventory, spare parts, racks, rectifiers, engines,
connections, gates, pig launchers and receivers, measurement telemetry, SCADA systems, radio
and communication towers, lines, wires, and other tangible personal property, that, in each case,
is located on the Real Property of Assignor or used or held for use in connection with the ownership
or operation of the System;
(e) hydrocarbons purchased or otherwise owned by Assignor to the extent held within
the System, including the associated plants, compressor stations, pipelines, and storage tanks, as
of the Effective Time;
(f) all Accounts Receivable of Assignor;
(g) all Contracts of Assignor directly related to or necessary for the ownership or
operation of the Business, including those listed on Schedule 4.08(a) of the Purchase Agreement,
and all outstanding offers or solicitations made by or to Assignor to enter into any Contract;
(h) all Permits and all pending applications or renewals of such Permits, in each case
to the extent transferable to Assignee, including those listed on Schedule 4.11(b) of the Purchase
Agreement;
(i) all data and Records related to the operation of the Business by Assignor, or the
ownership, use or operation of the System, including client and customer lists and Records, referral
sources, research and development reports and Records, production reports and Records, service
and warranty Records, equipment logs, operating guides and manuals, financial and accounting
Records, creative materials, advertising materials, promotional materials, studies, reports,
correspondence and other similar documents and Records, but excluding organization or formation
documents of the Assignor, minutes or consents of the members or managers or other minute book
Records, any Records of Assignor related to employees hired by Assignee, and any Records which
apply exclusively to the Excluded Assets;
(j) all insurance benefits under existing insurance policies of Assignor, but not the
actual policies which are Excluded Assets as provided in Section 1.2(e), including rights and
proceeds, arising from or relating to the Assets or the Assumed Liabilities after the Effective Time,
unless expended in accordance with the Purchase Agreement, in each case to the extent assignable,
and if not assignable, Assignor shall take commercially reasonable steps, to secure such proceeds
or other benefits on Assignee's behalf and at Assignee's sole cost and expense;

the Excluded Assets, all claims, rights, demands, causes of action, suits, actions, judgments,
damages, awards, recoveries, settlements, indemnities, warranties, rights to proceeds, refunds,
reimbursements, audit rights and other intangible rights in favor of Assignor against third parties
relating to the Assets, whether choate or inchoate, known or unknown, contingent or
noncontingent, but excluding any such matters arising prior to the Effective Time and not included
on the calculation of the Adjustment Amount as set forth in Section 2.06 of the Purchase
Agreement;
(1) all rights of Assignor relating to deposits and prepaid expenses, claims for refunds
and rights to offset in respect of such deposits and prepaid expenses that are not listed in Schedule
2.02(d) of the Purchase Agreement and that are not excluded under Section 1.2(h), but excluding
any such matters arising prior to the Effective Time and not included on the calculation of the
Adjustment Amount as set forth in Section 2.06 of the Purchase Agreement; and
(m) all vehicles described in Schedule 2.01(m) of the Purchase Agreement.
TO HAVE AND TO HOLD the Assets unto Assignee and its successors and assigns, forever.
1.2 Excluded Assets. Notwithstanding anything to the contrary set forth herein,
Assignor reserves and retains all, and Assignee shall have no interest or rights in, to or under, any
asset or property which is not specifically described in Section 1.1, or in any of the following assets
or properties (such assets or properties, the "Excluded Assets"):
(a) all cash, cash equivalents and short-term investments;
(b) the name "Aka Energy Group" and all associated tradenames, trademarks, designs,
and logos;
(c) all minute books, membership interest transfer ledgers, and related Records;
(d) those rights relating to deposits and prepaid expenses (but excluding prepaid
insurance on policies not assigned to Assignee) and claims for refunds and rights to offset in
respect to such deposits and prepaid expenses listed in Schedule 2.02(d) of the Purchase
Agreement;
(e) all insurance policies and rights under such insurance policies (except to the extent
specified in Section 1.1(j));
(0 all of the Assignor's rights in and to the contracts and agreements listed in Schedule
2.02(f) of the Purchase Agreement, if any, or any hedging or other derivative contracts;
(g) all personnel Records and other Records that Assignor is required by law to retain
in its possession;
(h) all claims for refund of Taxes and other governmental charges of whatever nature
in respect of Seller Taxes;

(i) all rights in connection wittind assets of the Employee Benefit Plans;
(j) all rights of Assignor under the Purchase Agreement or any of the Ancillary
Agreements, including without limitation, this Assignment;
(k) the gathering system of the Assignor located in Lincoln County, Wyoming, which
is currently inactive, and all associated real property, easements and rights of way, improvements,
equipment and personal property, permits, and all other assets used or for use solely in connection
with such gathering system;
(1) all Liabilities with respect to any Indebtedness; and
(m) the property and assets expressly designated in Exhibit C.
Additionally, the Assets covered by this Assignment shall not include the real property
conveyed by Assignor to Assignee pursuant to that certain Special Warranty Deed or Deeds
between Assignor and Assignee executed contemporaneously herewith and dated effective as of
the Effective Time (whether one or more, the "Deed"). Assignor and Assignee acknowledge and
agree that this Assignment and the Deed (including all recorded counterparts thereof) are intended
to COLLECTIVELY convey to Assignee all of the "Assets" as defined and described in the
Purchase Agreement. Assignor and Assignee acknowledge and agree that this Assignment and the
Deed are not intended to effect multiple conveyances of the same properties or interests in such
properties covered hereby or thereby or multiple assumptions by Assignee of the same Assumed
Obligations as described in the Purchase Agreement.
TO HAVE AND TO HOLD the Assets unto Assignee, its successors and assigns, forever,
subject, however, to all the terms and conditions of this Assignment, including, without limitation,
Section 3.1 and Section 4.1.
ARTICLE H
SPECIAL WARRANTY; DISCLAIMERS
2.1 Special Warranty. Assignor hereby binds itself, its successors and assigns
subject, however, to such Assignor's Permitted Encumbrances, to warrant and forever defend all
and singular defensible title to the Assets for claims arising by, through or under such Assignor or
its Affiliates, but not otherwise.
2.2 Subrogation. Assignor hereby assigns to Assignee all rights, claims and causes
of action under title warranties given or made by such Assignor's predecessors in interest with
respect to the Assets, and Assignee is specifically subrogated to all rights which such Assignor
may have against such predecessors in interest (other than any Affiliates of such Assignor) with
respect to the Assets under such title warranties, to the extent such Assignor may legally transfer
such rights and grant such subrogation.
2.3 Disclaimers. ASSIGNEE ACKNOWLEDGES AND AGREES THAT, EXCEPT
AND SOLELY TO THE EXTENT OF THE EXPRESS REPRESENTATIONS AND
WARRANTIES OF ASSIGNOR CONTAINED IN ARTICLE IV OF THE PURCHASE
AGREEMENT AS THEY MAY BE LIMITED PURSUANT TO THE TERMS OF THE

IN THE PURCHASE AGREEMENT:
(a) ASSIGNOR HAS NOT MADE, DOES NOT MAKE AND SPECIFICALLY
NEGATES AND DISCLAIMS ANY REPRESENTATIONS, WARRANTIES, PROMISES,
COVENANTS, AGREEMENTS OR GUARANTIES OF ANY KIND OR CHARACTER
WHATSOEVER, WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, PAST,
PRESENT OR FUTURE, OF, AS TO, CONCERNING OR WITH RESPECT TO (I) THE
VALUE, NATURE, QUALITY OR CONDITION OF THE ASSETS OWNED BY ASSIGNOR,
INCLUDING THE WATER, SOIL AND GEOLOGY, (II) THE INCOME TO BE DERIVED
FROM THE ASSETS AND EXPENSES ASSOCIATED WITH OPERATING THE ASSETS,
(III) THE SUITABILITY OF THE ASSETS FOR ANY PURPOSE, (IV) THE COMPLIANCE
OF OR BY ASSIGNOR WITH ANY LAWS OF ANY APPLICABLE GOVERNMENTAL
AUTHORITY, (V) THE HABITABILITY, MERCHANTABILITY, MARKETABILITY,
PROFITABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF ANY ASSET, (VI) THE
MANNER OR QUALITY OF THE CONSTRUCTION OR MATERIALS, IF ANY,
INCORPORATED INTO ANY ASSET, (VII) THE MANNER, QUALITY, STATE OF REPAIR
OR LACK OF REPAIR OF THE ASSETS, (VIII) COMPLIANCE WITH ANY
ENVIRONMENTAL PROTECTION, POLLUTION OR LAND USE LAWS, RULES,
REGULATIONS, ORDERS OR REQUIREMENTS, INCLUDING THE EXISTENCE IN OR
ON THE REAL PROPERTY OF HAZARDOUS MATERIALS, OR (IX) ANY OTHER
MATTER WITH RESPECT TO THE ASSETS OR BUSINESS.
(b) NO PERSON ACTING ON BEHALF OF ASSIGNOR, INCLUDING ANY
BROKER, CONTRACTOR, AGENT, ATTORNEY, EMPLOYEE, OR OTHER PERSON, IS
AUTHORIZED TO MAKE, AND NO PERSON HAS MADE, ANY REPRESENTATION,
AGREEMENT, STATEMENT, WARRANTY, GUARANTY OR PROMISE REGARDING
ASSIGNOR, THE ASSETS, THE BUSINESS OR THE TRANSACTIONS CONTEMPLATED
BY THE PURCHASE AGREEMENT AND NO SUCH REPRESENTATION, WARRANTY,
AGREEMENT, GUARANTY, STATEMENT OR PROMISE, IF ANY, MADE BY ANY
PERSON ACTING OR PURPORTING TO ACT ON BEHALF OF ASSIGNOR SHALL BE
VALID OR BINDING UPON ASSIGNOR.
(c) HAVING BEEN GIVEN THE OPPORTUNITY TO INSPECT THE ASSETS
AND THE BOOKS AND RECORDS OF ASSIGNOR, ASSIGNEE IS RELYING SOLELY ON
ITS OWN INVESTIGATION OF ASSIGNOR AND THE ASSETS, AND NOT ON ANY
INFORMATION PROVIDED OR TO BE PROVIDED BY OR ON BEHALF OF ASSIGNOR
AND AGREES TO ACCEPT THE ASSETS AT THE CLOSING AND WAIVE ALL
OBJECTIONS OR CLAIMS AGAINST ASSIGNOR, AND ITS AFFILIATES (INCLUDING
ANY RIGHT OR CLAIM OF CONTRIBUTION) ARISING FROM OR RELATED TO THE
ASSETS, OR THE ASSETS.
(d) INFORMATION PROVIDED OR TO BE PROVIDED WITH RESPECT TO THE
ASSETS WAS OBTAINED FROM A VARIETY OF SOURCES AND ASSIGNOR HAS NOT
MADE ANY INDEPENDENT INVESTIGATION OR VERIFICATION OF SUCH

THE ACCURACY, TRUTHFULNESS OR COMPLETENESS OF SUCH INFORMATION.
(e) SUBJECT TO SECTION 2.1, TO THE MAXIMUM EXTENT PERMITTED BY
LAW, THE SALE OF THE ASSETS AS PROVIDED FOR IN THIS ASSIGNMENT, AND THE
CONVEYANCE OF THE ASSETS AS A RESULT OF SUCH SALE, IS MADE ON AN "AS
IS," "WHERE IS" CONDITION AND BASIS WITH ALL FAULTS.
(f) ANYTHING ELSE IN THIS ASSIGNMENT OR OTHERWISE TO THE
CONTRARY NOTWITHSTANDING, THE PROVISIONS OF THIS SECTION 2.3 SHALL
SURVIVE THE CLOSING OR ANY TERMINATION OF THIS ASSIGNMENT.
(g) Assignor and Assignee agree that, to the extent required by applicable Law to be
effective, the disclaimers of certain representations and warranties contained in this Section 2.3
are conspicuous disclaimers for the purpose of any applicable Law.
ARTICLE III
ASSUMED OBLIGATIONS
3.1 Assumed Obligations. Without limiting Assignee's (a) rights to indemnity under
Article X of the Purchase Agreement, and (b) rights under the special warranty of title contained
in Section 2.1 above, and subject to the other limitations set forth in the Purchase Agreement,
Assignee hereby assumes and agrees to fulfill, perform, pay and discharge (or cause to be fulfilled,
performed, paid or discharged) all of Assignee's Assumed Obligations and expressly excludes the
Retained Liabilities which are retained by Assignor.
ARTICLE IV
MISCELLANEOUS
4.1 Assignment Subject to Purchase Agreement. This Assignment is expressly
subject to the terms and conditions of the Purchase Agreement. If there is a conflict between the
terms of this Assignment and the Purchase Agreement, the terms of the Purchase Agreement
shall control.
4.2 Further Cooperation. At the request of either Party but without further
consideration, Assignor and Assignee shall execute and deliver, or shall cause to be executed
and delivered from time to time, such further instruments of conveyance and transfer, and shall
take such other actions as any Party may reasonably request to consummate the transactions
contemplated by the Purchase Agreement. If any of the Assets or Excluded Assets are

4.3 Governing Law. This Assignment is entered into and shall be governed by, and
construed in accordance with, the Laws of the State of Colorado. All Actions arising out of or
relating to this Assignment shall be heard and determined exclusively in the federal district court
for the District of Colorado located in Denver, Colorado, and the Parties (a) submit to the
exclusive jurisdiction of such court for the purpose of any Action arising out of or relating to this
Assignment brought by any Party and (b) irrevocably waive, and agree not to assert by way of
motion, defense, or otherwise, in any such Action, any claim that it is not subject personally to

the jurisdiction of the above -named court, hat if t�sproperty is exempt or immune from attachment
or execution, that the Action is brought in an inconvenient forum, that the venue of the Action
is improper, or that this Assignment or the transactions contemplated by this Assignment may

4.4 Waiver of Jury Trial. TO THE FULLEST EXTENT PERMITTED BY LAW,
EACH PARTY HEREBY WAIVES ALL RIGHTS TO A TRIAL BY JURY IN ANY LEGAL
ACTION TO ENFORCE OR INTERPRET THE PROVISIONS OF THIS ASSIGNMENT OR
THAT OTHERWISE RELATE TO THIS ASSIGNMENT (INCLUDING ANY LEGAL
PROCEEDING AGAINST OR INVOLVING ANY DEBT FINANCING RELATED PARTY
ARISING OUT OF THIS ASSIGNMENT OR THE DEBT COMMITMENT LETTER).
4.5 Successors and Permitted Assigns. This Assignment shall be binding upon and
inure to the benefit of the Parties and their successors and permitted assigns.
4.6 Counterparts. This Assignment may be executed and delivered (including by
facsimile transmission) in one or more counterparts, and by the Parties in separate counterparts,
each of which when executed shall be deemed to be an original, but all of which taken together
shall constitute one and the same agreement.
4.7 Severability. If any term or other provision of this Assignment is invalid, illegal
or incapable of being enforced by any Law or public policy, all other terms and provisions of
this Assignment shall nevertheless remain in full force and effect for so long as the economic or
legal substance of the transactions contemplated by this Assignment is not affected in any
manner materially adverse to any Party. Upon such determination that any term or other
provision is invalid, illegal or incapable of being enforced, the Parties shall negotiate in good
faith to modify this Assignment so as to effect the original intent of the Parties as closely as
possible in an acceptable manner in order that the transactions contemplated by this Assignment
are consummated as originally contemplated to the greatest extent possible.
4.8 Exhibits. All exhibits attached hereto are hereby made a part hereof and
incorporated herein by this reference. References in such exhibits to instruments on file in the
public records are notice of such instruments for all purposes. Unless provided otherwise, all
recording references in such exhibits are to the appropriate records of the counties or parishes in
which the Assets are located.
