RE: APPROVE AMENDMENT #2 TO LEAVE MANAGEMENT SERVICES AGREEMENT
AND AUTHORIZE CHAIR TO SIGN - UPMC BENEFIT MANAGEMENT SERVICES,
INC., DBA WORKPARTNERS
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with Amendment #2 to the Leave
Management Services Agreement between the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Department of
Human Resources, and UPMC Benefit Management Services, Inc., dba Workpartners,
commencing January 1, 2022, and ending December 31, 2022, with further terms and conditions
being as stated in said amendment, and
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that Amendment #2 to the Leave Management Services Agreement
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Resources, and UPMC
Benefit Management Services, Inc., dba Workpartners, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 17th day of August, A.D., 2022, nunc pro tunc January 1, 2022.

Approval needed on the continuation of services provided by Work Partners for our leave
management (FMLA) program. Contract amendment is dated as good through 12/31/22.

Approve and services continue. A non -approval would require RFP process for new vendor.

SECOND AMENDMENT TO LEAVE MANAGEMENT SERVICES AGREEMENT
THIS SECOND AMENDMENT TO LEAVE MANAGEMENT SERVICES AGREEMENT (the
"First Amendment"), is entered into by and between UPMC Benefit Management Services, Inc., d/b/a
Workpartners ("Workpartners") and County of Weld ("County"). Workpartners and County may be
individually referred to as a "Party," and shall be collectively referred to as the "Parties."
WHEREAS, Workpartners and County are Parties to a Leave Management Services Agreement
effective August 30, 2019 (the "Agreement"), whereby Workpartners agreed to provide certain leave
management administration and information services, as further set forth in the Agreement; and
WHEREAS, the original agreement was amended to extend the Agreement to expire on December
31, 2021, however, both parties have been operating as the agreement was still in effect; and
WHEREAS the Parties have agreed to amend the Agreement in certain respects.
NOW, THEREFORE, in consideration of the mutual obligations set forth below and in the
Agreement, and intending to be legally bound hereby, the Parties agree to amend the Agreement as
follows:
1. The Term of the Agreement set forth in Section 4.1 is extended and the Agreement shall
remain in effect through December 31, 2022 unless earlier terminated in accordance with Sections 4.2,
4.3 and 4.4 of the Agreement.
2. Exhibit B of the Agreement is hereby deleted in its entirety and replaced with Exhibit B
attached to this Second Amendment.
3. The remainder of the Agreement shall remain in full force and effect, and the only
provisions being amended are those specifically set forth in this Second Amendment.
IN WITNESS WHEREOF, the Parties have executed this Second Amendment effective as of
December 31, 2021 nunc pro tunc.
