FOR COUNTY ROADS 66 AND 41 INTERSECTION IMPROVEMENTS PROJECT AND
AUTHORIZE CHAIR TO SIGN - PUBLIC SERVICE COMPANY OF COLORADO
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement for the Relocation of an
Electrical Distribution Line for the County Roads 66 and 41 Intersection Improvements Project
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Public Works, and Public Service
Company of Colorado, with further terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Agreement for the Relocation of an Electrical Distribution Line
for the County Roads 66 and 41 Intersection Improvements Project between the County of Weld,
State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf
of the Department of Public Works, and Public Service Company of Colorado, be, and hereby is,
approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said application.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 12th day of September, A.D., 2022.

SUBJECT: Xcel Distribution Relocation Agreement on the CR
66 & CR 41 Intersection Project
Please place the attached relocation agreement on the BOCC agenda. The agreement outlines the
responsibilities for relocation of Xcel's distribution line and/or removals within the project limits of the CR
66 and CR 41 project. The OnBase Contract ID is 6291.
The agreement was reviewed by the BOCC in a pass around that was returned on December 15, 2021.
All five commissioners approved the recommendation to pay Xcel Distribution an amount not to exceed
$15,773.93 for the required relocations and/or removals.
Public Works has included the relocation costs in its 2022 budget.
Please note that the Chair will need to sign page 5 of the agreement as well as page 2 of Exhibit C.
I will attend the BOCC meeting to answer any questions the BOCC may have.

PASS -AROUND TITLE: Relocation Agreement for Xcel Distribution Line on the CR 66 & CR 41 Project

Brief description of the problem/issue:
Throughout the design phase of the CR 66 & CR 41 project, Public Works has been coordinating with Xcel Distribution
regarding their facilities within the project boundaries. In order to accommodate the construction of the project, Xcel has
to relocate their distribution lines that are located along CR 66 and CR 41. The distribution lines are located partially in
the County's ROW and partially within a private easement.
The distribution lines within the County's existing ROW has to be relocated at Xcel's cost. The lines that have to relocated
at Xcel's cost are along the east side of CR 41, north and south of CR 66 and along the north side of CR 66, east of CR
41. The line that have to be relocated at the County's cost are located along the south side of CR 66, west of CR 41.
The new distribution lines will be located entirely within the new ROW acquired for the project. The landowners along the
south side of CR 66, west of CR 41 were unwilling to sell a new easement for the Xcel lines. However, the landowners
were willing to sell additional ROW to the County that could be used for the Xcel line. Since the Xcel line along the south
side of CR 66, west of CR 41 is now going to be in the ROW, any future locations of the line that are due to a roadway
project will be paid for at the County's expense.
Xcel Distribution has reviewed the construction drawings and are in concurrence with the new line locations. They have
provided a cost estimate of $15,773.93 for the portion of the relocation that the County has to pay for. The cost includes
the cost of materials, labor to install the new line, and labor to remove the existing line. The cost is so low because Xcel
Distribution will share the power poles with the Xcel transmission line that has been relocated along the south side of CR
66.
Xcel agrees to have their relocations competed by November 1, 2022 which is when the construction phase of the project
is anticipated to begin. The County Attorney's office has reviewed the agreement and approved its form..
What options exist for the Board? (include consequences, impacts, costs, etc. of options):
1. The BOCC can sign the relocation agreement.
2. The BOCC can ask for a work session to discuss the agreement.
Recommendation:
Public Works recommends Option 1 above which is to sign the relocation agreement. Signing the agreement allows Xcel
to start the process of relocating their lines.

AGREEMENT FOR RELOCATION OF ELECTRICAL DISTRIBUTION LINE
BETWEEN PUBLIC SERVICE COMPANY OF COLORADO AND WELD COUNTY
FOR THE WELD COUNTY ROAD 66/41 INTERSECTION PROJECT
THIS AGREEMENT, made and entered into this day of Sept bey 2022, by and
between PUBLIC SERVICE COMPANY OF COLORADO, a Colorado corporation with Colorado
offices at 1123 W. 3rd Avenue, Denver, CO 80223, (hereinafter called "PSCo") and THE COUNTY
OF WELD, a political subdivision of the State of Colorado, by and through the Board of County
Commissioners of the County of Weld, at P.O. Box 758, 1150 O Street, Greeley, CO 80632
(hereinafter called "County").
WITNESSETH:
WHEREAS, to promote the safety of the citizens of County and other members of the
travelling public, County has undertaken the construction of a public improvement project, known
as the WCR (Weld County Road) 66/41 Intersection Project, (hereinafter the "Project"), and
WHEREAS, to construct the Project, County has acquired property rights from private
property owners to utilize as WCR 66 and WCR 41 Right -of -Way (ROW), and
WHEREAS, PSCo owns an electrical distribution line co -located with a PSCo electrical
transmission line along the south side of WCR 66 west of WCR 41 in a privately -owned easement
(Reception Numbers 1501176 and 1501177 (the "PSCo Easements")), and
WHEREAS, PSCo owns an electrical distribution lines co -located with a PSCo electrical
transmission line along the east side of the existing WCR 41 ROW south of WCR 66, and
WHEREAS, PSCo owns electrical distribution lines located on the east side of the existing
WCR 41 ROW north of WCR 66 and along the north side of the existing WCR 66 ROW east of
WCR 41, and
WHEREAS, the properties burdened by the PSCo Easements are within the WCR 66
ROW being acquired to complete the Project, and
WHEREAS, PSCo is willing to remove the existing electrical distribution lines located in
WCR 66 and WCR 41 ROW, abandon/vacate that portion of the PSCo Easements which are
within the WCR 66 ROW being acquired to complete the Project, and construct new electrical
distribution lines in a different location to facilitate the construction of the Project (the "Work"), and
WHEREAS, in recognition of the costs which will be incurred by PSCo to relocate the
electrical distribution lines and related facilities from the PSCo Easements, County agrees to
reimburse PSCo for those reasonable expenses, and,
WHEREAS, PSCo has the experience and expertise needed to relocate said electrical
distribution lines and related facilities and is willing to do so subject to full reimbursement by the
County for the cost incurred for said relocation.
NOW, THEREFORE, for and in consideration of the mutual covenants and agreements
hereinafter contained, the parties hereby agree as follows:

PSCo RIGHTS and RESPONSIBILITIES
1. Electrical Distribution Line Relocation: PSCo shall relocate the existing
electrical distribution lines as depicted in Table 1 and on the Project Engineering Drawings,
(copies of which are attached hereto as Exhibits A and B and by this reference made a part
hereof). Exhibit A depicts the Project area as it currently exists, including County existing and
proposed ROW, PSCo facilities, and easements. Exhibit B depicts the Project area after
acquisition by the County of all necessary property rights and the relocation of PSCo's easements
and facilities.
The existing electrical distribution lines shall be removed, and PSCo shall vacate those portions
of the PSCo Easements which are located within the proposed ROW as depicted in Exhibit B.
The relocated electrical distribution lines will be boated within WCR 66 and WCR 41 ROW. All
work necessary to accomplish the PSCo electrical distribution line relocation shall be performed
in accordance with PSCo specifications, in accordance with the professional standards governing
such Work and the provisions of this Agreement and shall conform to the performance standards
and requirements set forth herein and in all Exhibits.

NOTE: Exhibits A & B are labeled with the above distribution line numbers in red.
For any portion of PSCo's electrical distribution lines which are relocated from the PSCo
Easements to WCR 66 right-of-way, pursuant to this Agreement, if such portions of the electrical
distribution lines must again be relocated in the future due to a roadway improvement project,
such relocation and new easement or ROW shall be at the sole cost and expense of the County
and shall be performed by or under the direction of PSCo at no cost or expense to PSCo. The
locations at which new County right-of-way will be acquired, and will overlap the PSCo
Easements, are illustrated in Exhibit A. For the purposes of this Agreement, these areas can be
described as: approximately WCR 66 stations 101+50 to 119+75 as shown in Exhibits A & B.
2. Electrical Distribution Line Relocation Not to Conflict with Improvements:
PSCo shall relocate its electrical distribution lines and related facilities as described and shown

on the attached Exhibit B, so that they can accommodate the common use of the property with
the proposed roadway improvements or other utility locations and/or relocations.
3. Timing of Electrical Distribution Line Relocation: PSCo shall commence the
Work upon receipt from the County of a fully executed copy of this Agreement, and receipt of the
Deposit as defined below. PSCo shall use commercially reasonable efforts to complete the
relocation work by October 31, 2022. The completion deadline assumes the County will have
acquired all the necessary right-of-way and easements no later than January 1, 2022 and the
completion deadline will be extended accordingly if this date is not met by the County.
4. Responsible for Traffic Control: Throughout the relocation process, PSCo
agrees that it shall be responsible for coordination of traffic control as established by the most
recent version of the "Manual on Uniform Traffic Control Devices" (MUTCD).
5. Right -of -Way Permits: PSCo shall obtain all necessary right-of-way permits from
County required for its relocation work.
6. Reliance on PSCo's Expertise: County and PSCo recognize that County is
relying solely on PSCo to perform the relocation of the electrical distribution lines in a manner
which will ensure the future integrity of the lines and the road improvements to be constructed by
the County. Therefore, as part of its assurances under this Agreement, PSCo affirms that it has
enough liability insurance, to satisfy any claim of negligence, intentional wrongful acts or other
acts or omissions which may arise because of any failure of the road caused by an improper
relocation of the pipelines.
7. Warranty: PSCo warrants that all work performed under this Agreement will be
performed in a manner consistent with the professional standards governing such work and the
provisions of this Agreement and shall conform to the performance standards and requirements
set forth herein and in Exhibits A, B and C.
8. Responsibility to Indemnify and Additional Agreements: PSCo shall defend
and indemnify County from and against loss or liability arising from its acts, errors or omissions in
seeking to perform its obligations under this Agreement. PSCo shall provide necessary workers
compensation insurance at PSCo's own cost and expense. Following the execution of this
Agreement and for a period of twelve (12) months following the completion of the project, PSCo
shall include the County as additional named insureds on a property, casualty, and liability
insurance policy, at a minimum of $1,000,000 coverage limit per occurrence, $300,000 per
person. PSCo is liable for any damage to any third parties caused by their relocation work,
including but not limited to, damage to agricultural or other infrastructure.
9. Test Results and Drawings: Upon completion of the Work and if applicable,
PSCo shall submit to County originals of any test results, drawings, etc., generated during
completion of this Work. Acceptance by County of these documents and incidental material
furnished under this Agreement shall not in any way relieve PSCo of responsibility for the quality
and accuracy of the Work. Acceptance by the County of, or payment for, any of the Work
performed under this Agreement shall not be construed as a waiver of any of the County's rights
under this Agreement or under the law generally.
II. COUNTY RIGHTS and RESPONSIBILITIES
1. Estimates of Relocation Expenses: County has agreed to reimburse PSCo for
the expenses incurred for the relocation of the electrical distribution lines from the PSCo

Easement to the new ROW (identified as Distribution Line Number 1 in Table 1, Exhibit A, and
Exhibit B) in fulfillment of its obligations under this Agreement as set forth in the Exhibit C.
2. Increases/Decreases in Estimated Expenses: PSCo has estimated the total
cost of said relocation to be $15,773.93, which includes specific work outlined in the Exhibits A,
B, and C. Prior to PSCo commencing the Work, the County shall provide payment to PSCo for
the sum of $15,773.93.
3. Stake Right -of -Way and Easements: County shall establish and stake the
County right-of-way within the work area prior to relocation of the PSCo electrical distribution
lines. County shall verify the relocation to confirm that said relocation is sufficiently clear of Project
construction work.
4. Right to Terminate: The County may terminate this Agreement at any time prior
to PSCo's commencement of Work. In such an event, the County shall pay PSCo for all expenses
which were incurred by PSCo for engineering and for materials and equipment purchased or
ordered and paid for by PSCo, which cannot be returned for a refund, prior to the date of
termination.
Ill. MISCELLANEOUS
1. Board of County Commissioners of Weld County Approval: This Agreement
shall not be valid until it has been approved by the Board of County Commissioners of Weld
County or its designee.
2. Agreement Binding: This writing, together with the exhibits, constitutes the entire
Agreement between the parties hereto with respect to the subject matter herein, and shall be
binding upon said parties their officers, employees, agents, and assigns and shall inure to the
benefit of the respective survivors, heirs, personal representatives, successors and assigns of
said parties.
3. No Third Party Beneficiary: It is expressly understood and agreed that the
enforcement of the terms and conditions of this Agreement, and all rights of action relating to such
enforcement, shall be strictly reserved to the undersigned parties, and nothing in this Agreement
shall give or allow any claim or right of action whatsoever by any other person not included in this
Agreement. It is the express intention of the undersigned parties that any entity other than the
undersigned parties receiving services or benefits under this Agreement shall be an incidental
beneficiary only.
4. Time of the Essence: Time is of the essence in each and all of the provisions of
this Agreement.
5. Fund Availability: This Agreement assumes that the relocation of the electrical
distribution line will be completed on or before the end of the County's fiscal year. Financial
obligations of the Board of County Commissioners of Weld County payable after the current fiscal
year are contingent upon funds for that purpose being appropriated, budgeted and otherwise
made available. By execution of this Agreement, County does not warrant that funds will be
available to fund this Agreement beyond the current fiscal year (December 31, 2022).
6. Severability: If any term or condition of this Agreement shall be held to be invalid,
illegal, or unenforceable, this Agreement shall be construed and enforced without such provision,

to the extent that this Agreement is then capable of execution within the original intent of the
parties.
7. Attorney Fees/Legal Costs: In the event of a dispute between County and PSCo,
concerning this Agreement, the parties agree that neither party shall be liable to or responsible
for the payment of attorney fees and/or legal costs incurred by or on behalf of the other.
8. Governmental Immunity: No term or condition of this contract shall be construed
or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections
or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as
applicable now or hereafter amended.
9. Interpretation with Tariff - This Agreement shall be construed in all instances to
comply with applicable CPUC orders and rules. In no event shall this Agreement be applied in
any manner inconsistent with any CPUC order or rule.
IN WITNESS WHEREOF, the parties hereto have executed, or caused to be executed by their
duly authorized officials, two duplicate originals of this Agreement, each of which shall be deemed
an original, on the date first written above.

Subject: Request For Electric relocation at 31696 COUNTY ROAD 41, GREELEY, Weld,
Colorado
Dear Customer,
I have completed the engineering design and cost estimate to provide Electric relocation based
upon information you have provided. This design is based upon Electric relocation, as shown
on the enclosed drawing. The cost to provide the requested Electric relocation is $15,773.93,
which is non-refundable. If the Applicant elects to have the Company advance the Construction
Payment for the duration of the construction period, Applicant will be billed by the Company in
accordance with the Company's tariffs, within 30 days after the construction of the Extension is
complete. The Applicant shall pay the Company within ninety (90) days after the Construction
Completion date.
This proposal is contingent upon the following:
• All work performed during our normal work hours.
• Obtaining "Right -of -Way" at no cost to us.
• Obtaining permits as needed.
• No frost, in the ground, during construction or agreeing to pay for additional costs during
frost conditions.
• There is an additional charge to open the transformer.
• Providing final grade elevations, at our equipment locations.
• Grade at trench location to be within 6 inches of the final grade.
If necessary our right-of-way agent will mail the right-of-way or easement documents to the
appropriate landowners for their signature. This proposal is contingent upon receiving
easements at no cost to us. Our right-of-way agent will need a copy of the Warranty Deed, the
legal description, and the site drawing in order to prepare the easement for the landowner's
signature.
NOTE: You must personally contact the local telephone company, the local cable TV company
and/or any other utility company to arrange for the installation and payment of any costs of their
facilities if they need to be relocated or disconnected along with the relocation.
If you accept the above costs and system design, please sign and date the second page of this
letter and return this document to Public Service Company of Colorado, at the address shown
below. After the signed and dated documents are received, a work order will be issued and
released so your project can be placed on the construction schedule. When payment is due if a

check is sent via the new payment process we are unable to accept checks with any sort of Lien
Waiver because our Tariffs do not make an allowance for PSCo to accept checks printed or
stamped with a lien waiver. Our current lead-time to begin work after receiving the signed
documents is approximately 8 weeks. You will be notified of the week that our construction is
scheduled to begin as soon as it is available.
This proposal will be valid until 09/01/22. If you have any questions regarding this project,

I have reviewed and approve of the enclosed design. I accept the cost of $15,773.93 and this
amount will be paid to Xcel Energy within 90 days of the construction completion date. The
Construction Cost stated above does not include special items such as but not limited to frost or
rock conditions. In the event the Company encounters any special items during construction, the
Company shall bill Applicant for such special items as a non-refundable contribution in aid of
construction.
