RE: APPROVE MEMORANDUM OF UNDERSTANDING FOR INNOVATION, DIVERSITY,
AND EQUITY IN APPRENTICESHIP (IDEA) GRANT FUNDS AND AUTHORIZE CHAIR
TO SIGN - ARAPAHOE COUNTY
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Memorandum of Understanding for
Innovation, Diversity, and Equity in Apprenticeship (IDEA) Grant Funds between the County of
Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on
behalf of the Department of Human Services, and Arapahoe County, commencing July 1, 2021,
and ending March 31, 2025, with further terms and conditions being as stated in said
memorandum of understanding, and
WHEREAS, after review, the Board deems it advisable to approve said memorandum of
understanding, a copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Memorandum of Understanding for Innovation, Diversity, and
Equity in Apprenticeship (IDEA) Grant Funds between the County of Weld, State of Colorado, by
and through the Board of County Commissioners of Weld County, on behalf of the Department of
Human Services, and Arapahoe County, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said memorandum of understanding.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 23rd day of March, A.D., 2022, nunc pro tunc July 1, 2021.

Please review and indicate if you would like a work session prior to placing this item on the
Board's agenda.
Request Board Approval of the Department's Memorandum of Understanding with
Arapahoe County for the Innovation, Diversity, and Equity in Apprenticeship (IDEA)
Grant. The Department is requesting to enter into a Memorandum of Understanding (MOU)
with Arapahoe County, on behalf of Arapahoe/Douglas Works! Workforce Center. By entering
into this MOU, the Department agrees to participate, along with other local areas, to collectively
achieve the goal of placing 800 new apprentices, designate a .5 Full Time Employee (FTE) as an
apprenticeship Navigator, and to ensure all IDEA grant funds are expended by the end of the
period of performance. The period of performance is July 1, 2021 through March 31, 2025.
This MOU has been reviewed and approved by legal (K. McDougal).
I do not recommend a Work Session. I recommend approval of this MOU and authorize the
Chair to sign.

MEMORANDUM OF UNDERSTANDING
THIS MEMORANDUM OF UNDERSTANDING (MOU) is entered into as of the following date,
M0.VC,j,23 , 2022, with a period of performance starting July 1, 2021, by and between the
Arapahoe/Douglas Workforce Development Board, Arapahoe County on behalf of the
Arapahoe/Douglas Works! Workforce Center (a Division of the Community Resources Department
of Arapahoe County Government), and Employment Services of Weld County within the Department
of Human Services for the County of Weld, together the "Parties."
WHEREAS, the Parties, along with the other participating local areas, agree to enter into this
memorandum of understanding to collectively achieve the goal of placing 800 new apprentices, who
are tracked and documented, designate a .5 FTE as an Apprenticeship Navigator, and to ensure all
Innovation, Diversity, and Equity in Apprenticeship (IDEA) grant funds (NFA 21-008) are expended
by the period of performance; and,
WHEREAS, the Arapahoe County Community Resources Administrative Services Division will serve
as the IDEA Hub for the grant; and,
WHEREAS, the Parties collectively agree to ensure the goals outlined in the Scope of Services below
are satisfied.
NOW, THEREFORE, it is hereby agreed that:
1. SCOPE OF SERVICES
The Parties shall:
• Build upon existing sector partnerships to expand Registered Apprenticeship (RA)
opportunities for adults by emphasizing work -based training that meets the needs of existing
and emerging Colorado industries.
• Conduct outreach to under -represented populations and develop strategies, in coordination
with CDLE, to serve youth, women, people of color, justice involved, individuals with
disabilities, and individuals impacted by the COVID-19 pandemic.
• Recruit businesses and industry intermediaries to participate in building both the local sector
partnerships and the statewide network of Registered Apprenticeships.
At a minimum, participating local areas must:
• Ensure that the collective goal of placing 800 new apprentices is met or exceeded.
• The Weld local area agrees to track and document all new apprentices on a shared
spreadsheet by March 31, 2025.
• Participants enrolled in the IDEA Project will be documented in Connecting Colorado as
required in the corresponding Policy Guidance Letter (PGL).
• Provide job seekers with information on RA opportunities, including entry-level
requirements and prerequisites, career pathways associated with the RA program, and
overall benefits of pursuing RA.

• In addition to the use of sector strategies, local areas are encouraged to develop strategies
that directly engage local employers and/or RA program sponsors.
• Identify at least one person as an Apprenticeship Navigator (.5 FTE) for this initiative. This
Apprenticeship Navigator will be responsible for the following activities, which may include,
but may not be limited to, coordinating Career Services staff in all participating areas,
referring participants to registered apprenticeship programs (RAP)s, youth registered
apprenticeship programs (YRAP)s, and quality pre -apprenticeships; promoting co -
enrollment strategies; leading outreach strategies to under -represented populations; and
evaluating progress towards diversity goals from November 1, 2021— March 31, 2025. This
individual, or individuals, will be expected to participate in a monthly strategy and progress
meeting between the Parties. The individual(s) should be prepared to report out regarding
the local area's progress toward stated enrollment and expenditure goals as outlined on a
periodic basis. Representative points of contact may be changed by notice to the Parties
described herein.
• Co -enrollment with other appropriate funding is highly encouraged but not required.
Innovation, Diversity, and Equity in Apprenticeship (IDEA) funds for participant training costs for
the statewide project are capped at $2,575,000.00. Of these, $1,993,044.90 shall be utilized for
related instruction and on-the-job learning and $581,955.11 shall be utilized for supportive
services for participants. Participant training costs, out of this funding, on average are $3,200 per
participant. Funds for the .5 FTE Apprenticeship Navigator position are capped at $30,000.00
annually. Local areas will track all local expenditures on a monthly basis on a shared spreadsheet
and discussed with the CUWA Director at monthly project meetings. Collectively, the local areas
will work together to ensure expenditures statewide do not exceed the expenditure caps for
related instruction, on the job learning and supportive services for all participants enrolled and the
local area Apprenticeship Navigator.
The local area identified in this Agreement must use the IDEA funds toward direct client costs,
which include direct costs of related instruction, on-the-job learning, and supportive services
associated with a registered apprenticeship and quality pre -apprenticeship. The local area cannot
deny services using IDEA funds to apprentices based on a residency requirement. The local area
will also identify a .5 FTE as a local Apprenticeship Navigator for this initiative.
Refer and adhere to all of the provisions outlined in the IDEA PGL for allowable activities and data
reporting requirements.
Local areas must expend all IDEA funds by March 31, 2025.
Non -Allowable Use of Funds:
1. Program staff time not agreed to in the work plan.
2. Operational costs such as rent, phones, supplies, etc.
2. TERM: This MOU shall be effective on July 1, 2021 through March 31, 2025.

3. PAYMENT: This is a cost reimbursement MOU. The specified services in this MOU are federally
funded and must comply with Office Management and Budget guidelines and principals related to
allocable and allowable costs.
Arapahoe County Administrative Services (ACAS) shall process reimbursements submitted by the
local areas for all amounts due and payable within forty-five (45) days of correct billing being
submitted.
ACAS reserves the right to disapprove all or part of any costs not allowable, as outlined in the
corresponding SAE policies and via this MOU.
If additional source documentation is required to clarify expenditures, the requested
documentation shall be provided.
4. COMPENSATION: ACAS shall pay for services as agreed upon per the outlined deliverables and
timelines.
Monthly invoices shall be submitted by the 16th of the month for reimbursements for actual costs
incurred during the prior month.
This MOU is contingent upon sufficient funds being available for purposes hereof.
5. VENDORS: Local areas are responsible for managing their own vendors and vendor payment.
6. TERMINATION: Either Party, with or without cause, may terminate this Memorandum of
Understanding by providing a minimum of thirty (30) days' written notice.
7. COORDINATION: For the purpose of this Memorandum of Understanding, the Party named below
is the designated representative for project oversight and coordination.

8. GOVERNING LAW/FORUM/INTERPRETATION: This MOU has been executed by the Parties hereto
on the day and year first above written and shall be governed by the laws of the State of Colorado.
Venue for any civil action relating to this Agreement shall be in Arapahoe County. Both Parties agree
that the rule that ambiguities in a contract are to be construed against the drafting Party shall not
apply to the interpretation of this Agreement. If there is any conflict between the language of this
MOU and any exhibit or attachment, the language of this MOU shall govern.
9. THIRD -PARTY BENEFICIARIES: It is expressly understood and agreed that the enforcement of this
MOU and all rights of action relating thereto shall be strictly reserved to the Parties. Nothing

contained in this MOU shall give or allow any claim or right of action whatsoever by any other third
person.
10. COMPLETE INTEGRATION: This Memorandum of Understanding is the complete integration of
all understandings between the Parties. Any amendments, additions, or deletions from this
Memorandum of Understanding must be in writing, signed by all Parties. This Memorandum of
Understanding may be modified by mutual consent of the Parties if such modification(s) are in
writing and signed by both Parties.
11. COUNTERPART: This Memorandum of Understanding may be executed in multiple identical
original counterparts, with original signatures by each Party, all of which shall constitute one
agreement.
12. LEGAL EFFECT OF MOU: This MOU is not intended, nor should it be interpreted, to affect or
extend the legal responsibilities of either of the Parties, create or change pre-existing legal
obligations, nor to create or extend any legal rights to any person or entity not a party to this MOU.
This MOU sets forth the intent of the signatories hereto. It is not a legally binding document, and is
not intended to confer remedies on any party in the event of its breach.

executed as of the date set forth herein by their duly authorized representatives.
