RE: APPROVE AMENDMENT TO SMALL TRACT OIL AND GAS LEASE COVERING
CERTAIN PROPERTY OWNED BY WELD COUNTY, COLORADO, AND AUTHORIZE
CHAIR TO SIGN - PDC ENERGY, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, Weld County, Colorado, is the owner of vast acres of mineral lands located
in Weld County, Colorado, and
WHEREAS, the Board approved a Small Tract Oil and Gas Lease for PDC Energy, Inc.,
1775 Sherman Street, Suite 3000, Denver, Colorado 80203, recorded at Reception No. 4777968,
dated October 18, 2021, and
WHEREAS, the Board has been presented with an Amendment to the Small Tract Oil and
Gas Lease, between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, and PDC Energy, Inc., 1775 Sherman Street, Suite 3000,
Denver, Colorado 80203, commencing upon full execution of signatures, with further terms and
conditions being as stated in said amendment concerning 0.3334 net mineral acres, more or less,
described to -wit:
Part of Section 6, Township 4 North, Range 65 West
of the 6th P.M., Weld County, Colorado, as further
described in Exhibit "A" of said lease amendment
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Amendment to the Small Tract Oil and Gas Lease, between the County
of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County,
and PDC Energy, Inc., be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said lease amendment.

AMENDMENT TO WELD COUNTY SMALL -TRACT OIL AND GAS LEASE
THIS AMENDMENT TO WELD COUNTY SMALL -TRACT OIL AND GAS LEASE, hereinafter called Amendment,
is made and entered into as August 17,2022, but effective as of October 18, 2021, hereinafter called Effective
Date, by and between WELD COUNTY, COLORADO, A POLITICAL SUBDIVISION OF THE STATE OF COLORADO, ACTING
BY AND THROUGH THE BOARD OF COUNTY COMMISSIONERS OF THE COUNTY OF WELD, FOR ITS RESPECTIVE
INTERESTS, c/o BOARD OF COUNTY COMMISSIONERS, 1150 O STREET, PO BOC 758, GREELEY CO 80632, hereinafter
called Lessor, and PDC ENERGY, INC., whose address is 1775 Sherman St., Ste. 3000, Denver, C) 80203, hereinafter
called Lessee.
RECITALS
WHEREAS, Lessor entered into a Lease Agreement in favor of Lessee dated October 18, 2021, recorded on
November 19, 2021 in the Real Property Records of Weld County, Colorado, at Reception No. 4777968, hereinafter
called Lease, covering the lands situated in the County of Weld, State of Colorado, and being more particularly
described in said Lease.
WHEREAS, Lessor and Lessee desire to amend said Lease with respect to the inaccurate or incomplete legal
description in said Lease.
AGREEMENT
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are acknowledged,
Lessor and Lessee agree as follows:
1. Except as expressly provided herein, the terms and conditions of the Lease remain in full force and
effect and are not intended to be amended or abrogated.
2. The Lease is hereby amended by the deleting the Legal Description and replacing the Legal Description
with the Legal Description in the herein attached Exhibit "A".
3. Lessor does hereby give, grant, bargain, sell and convey to Lessee a leasehold estate in the described
land situated in the County of Weld, State of Colorado, and more particularly described in the herein
attached Exhibit "A" on the same terms as contained in the Lease and any amendments thereto, and
Lessor does hereby ratify, adopt and confirm the Lease as amended.
IN WITNESS WHEREOF, Lessor has hereunto signed and caused its name to be signed by the CHAIR, BOARD
OF COUNTY COMMISSIONERS OF THE COUNTY OF WELD, with the seal of the office affixed, and Lessee has signed
this Amendment, the day and year first above written, but shall be effective as of the Effective Date herein.
