The original MOU was amended on March 16, 2022 to extend the term through May 31, 2022. This MOU is once again being amended to extend the term through March 31, 2023. Workforce Center (a Division of the Community Resources Department of Arapahoe County Government), and Employment Services of Weld County (ESWC), together the "Parties." NOW, THEREFORE, it is hereby agreed that: SCOPE OF SERVICES The Parties shall: • Build upon existing sector partnerships to expand Registered Apprenticeship (RA) opportunities for adults by emphasizing work -based training that meets the needs of existing and emerging Colorado industries. • Conduct outreach to under -represented populations including, without limitation, out -of - school and opportunity youth, low-income adults, individuals with disabilities, minorities, and women. • Recruit businesses and industry intermediaries to participate in building both the local sector partnerships and the statewide network of Registered Apprenticeships. At a minimum, participating local areas must: • Ensure that the collective goal of placing 800 new apprentices is met or exceeded. • The Employment Services of Weld County local area agrees to track and document all new apprentices on a shared spreadsheet by March 31, 2022. • Participants enrolled in the ASE Project will be documented in Connecting Colorado as required in the corresponding Performance Guidance Letter (PGL) GRT-2020-04. • Provide job seekers with information on RA opportunities, including entry-level requirements and prerequisites, career pathways associated with the RA program, and overall benefits of pursuing RA. • In addition to the use of sector strategies, local areas are encouraged to develop strategies that directly engage local employers and/or RA program sponsors. • Identify at least one person as a point of contact for this initiative. This individual, or individuals, will be expected to participate in a monthly strategy and progress meeting between the Parties. The individual(s) should be prepared to report out regarding the local area's progress toward stated enrollment and expenditure goals, as outlined in the AR19-131 ASE workplan (attachment 1), on a periodic basis. Representative points of contact may be changed by notice to the Parties described herein. Co -enrollment with other appropriate funding is highly encouraged but not required. Note 1: If the apprentice is enrolled in the CO -HELPS H1 B grant, ASE and COHELPS funds may not be used to pay for the same activity. Note 2: If the apprentice is enrolled in State Apprenticeship Expansion (SAE) grant program, ASE and SAE cannot pay for the same activity and the participant can only be counted towards one of the state -level grant outcomes. ASE funds for participant training costs for the statewide project are capped at $391,105.00. Of these, $308,760.00 shall be utilized for related instruction and on-the-job learning and $ 82,345.00 shall be utilized for supportive services for participants. Participant training costs, out of this funding, on average are $488.00 per participant. However, local areas will track all local expenditures on a monthly basis on a shared spreadsheet and discussed with the Colorado Urban Workforce Alliance (CUWA) Director at monthly project meetings. Collectively, the local areas will work together to ensure expenditures statewide do not exceed the expenditure caps for related instruction, on-the- job learning and supportive services for all participants enrolled. The local area identified in this Agreement must use the ASE funds toward direct client costs, which include direct costs of related instruction, on-the-job learning, and supportive services associated with a registered apprenticeship and quality pre -apprenticeship. The local area cannot deny services using ASE funds to apprentices based on a residency requirement. Refer and adhere to all of the provisions outlined in the ASE PGL GRT-2020-04 for allowable activities and data reporting requirements. Local areas must expend all ASE funds by March 31, 2022. Non -Allowable Use of Funds: 1. Business Services or Career Services program staff time 2. Operational costs such as rent, phones, supplies, etc. PERIOD OF PERFORMANCE: This MOU shall be effective on the date of execution through March 31, 2022. PAYMENT: This is a cost reimbursement MOU. The specified services in this MOU are federally funded and must comply with Office Management and Budget guidelines and principals related to allocable and allowable costs. Arapahoe County Administrative Services (ACAS) shall process reimbursements submitted by the local areas for all amounts due and payable within forty-five (45) days of correct billing being submitted. ACAS reserves the right to disapprove all or part of any costs not allowable, as outlined in the corresponding SAE policies and via this MOU. If additional source documentation is required to clarify expenditures, the requested documentation shall be provided. COMPENSATION: ACAS shall pay for services as agreed upon per the outlined deliverables and timelines. Monthly invoices shall be submitted by the 16th of the month for reimbursements for actual costs incurred during the prior month. This MOU is contingent upon sufficient funds being available for purposes hereof. VENDORS: Local areas are responsible for managing their own vendors and vendor payment. 2 TERMINATION: Either Party, with or without cause, may terminate this Memorandum of Understanding by providing a minimum of thirty (30) days' written notice. Venue for any civil action relating to this Agreement shall be in Arapahoe County. Both Parties agree that the rule that ambiguities in a contract are to be construed against the drafting Party shall not apply to the interpretation of this Agreement. If there is any conflict between the language of this MOU and any exhibit or attachment, the language of this MOU shall govern. THIRD -PARTY BENEFICIARIES: It is expressly understood and agreed that the enforcement of this MOU and all rights of action relating thereto shall be strictly reserved to the Parties. Nothing contained in this MOU shall give or allow any claim or right of action whatsoever by any other third person. COMPLETE INTEGRATION: This Memorandum of Understanding is the complete integration of all understandings between the Parties. Any amendments, additions, or deletions from this Memorandum of Understanding must be in writing, signed by all Parties. This Memorandum of Understanding may be modified by mutual consent of the Parties if such modification(s) are in writing and signed by both Parties. COUNTERPART: This Memorandum of Understanding may be executed in multiple identical original counterparts, with original signatures by each Party, all of which shall constitute one agreement. LEGAL EFFECT OF MOU: This MOU is not intended, nor should it be interpreted, to affect or extend the legal responsibilities of either of the Parties, create or change pre-existing legal obligations, nor to create or extend any legal rights to any person or entity not a party to this MOU. This MOU sets forth the intent of the signatories hereto. It is not a legally binding document and is not intended to confer remedies on any party in the event of its breach. All contracts or other written instruments requiring the assent of the County of Weld must be subscribed by the Weld County Board of County Commissioners and attested by the Weld County Clerk to the board.
