RE: APPROVE AGREEMENT FOR RELOCATION OF COMMUNICATION LINES FOR
COUNTY ROADS 33 AND 74 INTERSECTION ROUNDABOUT PROJECT AND
AUTHORIZE CHAIR TO SIGN - QWEST CORPORATION, DBA CENTURYLINK, QC
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement for the Relocation of
Communication Lines for the County Roads 33 and 74 Intersection Roundabout Project between
the County of Weld, State of Colorado, by and through the Board of County Commissioners of
Weld County, on behalf of the Department of Public Works, and Qwest Corporation, dba
CenturyLink, QC, with further terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Agreement for the Relocation of Communication Lines for the
County Roads 33 and 74 Intersection Roundabout Project between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Department of Public Works, and Qwest Corporation, dba CenturyLink, QC, be, and hereby is,
approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 29th day of August, A.D., 2022.

PASS -AROUND TITLE: Century Link Relocation Agreement for WCR33/74 Roundabout Project

Brief description of the problem/issue:
The WCR33/74 Roundabout Project requires relocation of communications facilities owned by Century Link.
Portions of these facilities are located within private easements. These facilities need to be relocated to provide
adequate area for the upcoming roadway improvements. Public Works and Century Link have developed a
proposed Relocation Agreement by which the County will compensate Century Link for this portion of their
facilities relocation. The entire relocation effort also includes much work located within existing right-of-way
for which the County will not be providing any compensation to Century Link.
The attached Relocation Agreement has been signed by Century Link and has been reviewed by the County
Attorney's Office. The proposed construction cost of the County portion of the relocation work is $92,440.65.
The proposed completion date for the work is December 31, 2022. This completion date assumes the associated
new easement being acquired by the County on behalf of Century Link will have been acquired prior to
September 15, 2022.
What options exist for the Board? (Include consequences, impacts, costs, etc. of options):
• Allow the attached Agreement to be placed on the next available BOCC agenda for signature.
• Request a work session to discuss.

Please present this pass around to the BOCC for approval to place on the next available agenda. PW is
buying ROW over the top of private easements owned by Century Link and these utilities need to be
relocated to provide room to build the WCR 74/33 Roundabout. The cost to relocate the Century Link

AGREEMENT FOR RELOCATION OF COMMUNICATIONS LINES
BETWEEN QWEST CORPORATION DB/A CENTURYLINK QC
AND WELD COUNTY FOR THE WCR33/74 INTERSECTION PROJECT
THIS AGREEMENT, made and entered into this eday of kAItIS+-, 2022, by and
between QWEST CORPORATION DBA CENTURYLINK QC, with offices at 1025 Eldorado
Blvd., Broomfield, CO 80021, (hereinafter called "CenturyLink") and THE COUNTY OF WELD,
a political subdivision of the State of Colorado, by and through the Board of County
Commissioners of the County of Weld, with offices at 1150 O Street, Greeley, CO 80632
(hereinafter called "County").
WITNESSETH:
WHEREAS, to promote the safety of the citizens of Weld County and other members of
the travelling public, County has undertaken the construction of a public improvement project,
known as the WCR33/74 Intersection Project, (hereinafter the "Project"), and
WHEREAS, to construct the Project, County has acquired property rights from private
property owners to utilize as (a) new WCR33 and WCR74 right-of-way and (b) a new easement
in which CenturyLink may install, maintain, access, and operate its facilities as necessary and
beneficial for its business operations (the "CenturyLink easement", as more particularly described
in Section II.2, below), and
WHEREAS, CenturyLink owns communications lines currently located in both (a)
existing WCR33 and WCR74 right-of-way and (b) an easement owned by CenturyLink, and
WHEREAS, the properties burdened by CenturyLink's existing easement are within the
new WCR33 and WCR74 right-of-way being acquired to complete the Project, and
WHEREAS, CenturyLink is willing to relocate its communications facilities located in the
new WCR33 and WCR74 right-of-way and CenturyLink's privately -owned easement to facilitate
the construction of the Project, and
WHEREAS, County will reimburse CenturyLink for the expenses it will incur as a result
of the relocation of its facilities from within CenturyLink's existing easement to the new
CenturyLink easement and the new right-of-way.
NOW, THEREFORE, for and in consideration of the mutual covenants and agreements
hereinafter contained, the parties hereby agree as follows:

1. CenturyLink Communications Lines Relocation: CenturyLink shall relocate the
existing communications lines as depicted on the Project Drawings (Exhibit A). Portions of the
new communications lines will be located within a newly acquired, CenturyLink owned easement
in accordance with Section II (2) hereinbelow, and other portions will be located within County
right-of-way. All work necessary to accomplish the CenturyLink communications line relocations
shall be performed in accordance with CenturyLink specifications, in accordance with accepted
engineering practices, and in compliance with all applicable Weld County, State of Colorado and
Federal laws, rules and regulations.
2. Communications Lines Relocations Not to Conflict with Improvements:
CenturyLink, to the best of its actual knowledge, agrees that the new locations of the relocated
CenturyLink communications lines shall not conflict with the proposed roadway improvements as
currently proposed by the County as depicted on Exhibit A.
3. Timing of Communications Lines Relocations: CenturyLink shall endeavor
to complete the communications lines relocations prior to December 31, 2022. This completion
timeline assumes the County will have acquired all the necessary right-of-way and easement for
CenturyLink's facilities no later than September 15, 2022. The completion deadline will be
extended accordingly if this date is not met.
4. CenturyLink Responsible for Traffic Control: Throughout the relocations
process of CenturyLink's facilities, CenturyLink agrees that it shall be responsible for coordination
of traffic control as established by the latest version of the "Manual on Uniform Traffic Control
Devices" (MUTCD).
5. CenturyLink Shall Obtain County Permit: CenturyLink shall obtain a permit
from County if required for its relocation work, and follow all requirements established by the
permit.
6. Reliance on CenturyLink: County and CenturyLink recognize that County
is relying solely on CenturyLink to perform the relocation of the communications lines in a manner
which will help ensure the future integrity of the communications lines without negatively
impacting the road improvements to be constructed by the County. CenturyLink affirms that it
has industry -standard levels of liability insurance that cover claims of negligence, intentional
wrongful acts or other acts or omissions of CenturyLink.
7. CenturyLink Warranty: CenturyLink warrants that all work it performs under
this Agreement will be performed in a manner consistent with applicable professional standards
governing such work and the provisions of this Agreement and shall conform to the performance
standards and requirements set forth herein and in the Project Drawings (Exhibit A).

8. CenturyLink Responsibility to Indemnify and Additional Agreements:
CenturyLink shall defend and indemnify County from and against loss or liability to the extent
arising from CenturyLink's acts, errors, or omissions in performing its obligations under this
Agreement. CenturyLink shall provide necessary workers compensation insurance at its own cost
and expense. CenturyLink may be liable for any damage to any third parties to the extent caused
by CenturyLink's gross negligence or willful misconduct, including but not limited to, damage to
agricultural or other infrastructure.
9. Test Results: Upon completion of the work and if applicable and not subject to
confidentiality or proprietary agreements, restrictions, or otherwise as determined by CenturyLink,
CenturyLink shall submit to County originals of any test results, reports, as -constructed drawings,
and other relevant documents, generated during completion of this work. Acceptance by County
of reports and incidental material furnished under this Agreement shall not in any way relieve
CenturyLink of responsibility for the quality and accuracy of the work. Acceptance by the County
of, or payment for, any of the work performed under this Agreement shall not be construed as a
waiver of any of the County's rights under this Agreement or under the law generally.
IL COUNTY RIGHTS and RESPONSIBILITIES
1. Estimates of Relocation Expenses: County has agreed to reimburse
CenturyLink for the expenses incurred in fulfillment of its obligations under this Agreement as set
forth in the Exhibit B, estimated to be $92,440.65.
2. Increases/Decreases in Estimated Expenses; New CenturyLink Easement:
CenturyLink has estimated the total cost of said relocation, which includes specific work
outlined in the Exhibits A and B. If final actual costs of relocation are less than the estimated
amount, CenturyLink shall invoice the County for the actual costs only. If the final relocation costs
exceed the attached Exhibit B, County shall pay those reasonable additional expenses up to a
maximum of an additional five percent (5%). County shall acquire the CenturyLink easement
located on a parcel of land owned by Vic Leffler and Sons Inc. as shown on Exhibit A and pay for
all expenses incurred in the acquisition of the easement. CenturyLink shall have the right to review
and confirm acceptability of the proposed CenturyLink easement (which review may come in the
form of CenturyLink proposing the necessary easement paperwork) before its terms and conditions
are finalized to ensure that it contains rights sufficient to enable CenturyLink's ongoing operations.
Any other CenturyLink easements required for the relocation of its communications lines shall be
acquired by CenturyLink. County shall pay half of the amount set forth in Exhibit B within
thirty (30) days of the complete execution of this Agreement and the balance upon receipt of
a final invoice and inspected completion of the work.

Notwithstanding the foregoing, if any changes to the Project arise after the date
CenturyLink executes this Agreement that results in additional costs being incurred by
CenturyLink ("Additional Costs"), the County agrees to execute an addendum to this Agreement
("Addendum") under which the County will agree to bear the Additional Costs at the County's
expense, for those Additional Costs that are reasonable and justifiable. The Addendum will outline
the Additional Costs and will become a part of this Agreement once fully executed. Any increase
in the estimated expenses to CenturyLink according to the Addendum will be governed by this
Section II (2).
3. County to Stake Right -of -Way and Easement: County shall establish and
stake the County right-of-way and CenturyLink easement within the work area prior to relocation
of CenturyLink communications lines. County shall verify the relocation to confirm that said
relocation is sufficiently clear of Project construction work. County shall indemnify and hold
CenturyLink harmless for the negligent acts and omissions of County in performing the staking
and verification that the relocation is sufficiently clear of Project construction work.
4. County's Right to Terminate: The County may terminate this Agreement at
any time prior to CenturyLink commencement of relocation construction. In such an event, the
County shall pay CenturyLink for all expenses which were incurred by CenturyLink for
engineering and for materials and equipment purchased or ordered and paid for by CenturyLink,
which cannot be returned for a refund, prior to the date of termination.
HI. MISCELLANEOUS
1. Board of County Commissioners of Weld County Approval: This Agreement
shall not be valid until it has been approved by the Board of County Commissioners of Weld
County or its designee.
2. Agreement Binding: This writing, together with the exhibits, constitutes the
entire Agreement between the parties hereto with respect to the subject matter herein, and shall be
binding upon said parties their officers, employees, agents, and assigns and shall inure to the
benefit of the respective survivors, heirs, personal representatives, successors and assigns of said
parties.
3. No Third -Party Beneficiary: It is expressly understood and agreed that the
enforcement of the terms and conditions of this Agreement, and all rights of action relating to such
enforcement, shall be strictly reserved to the undersigned parties, and nothing in this Agreement
shall give or allow any claim or right of action whatsoever by any other person not included in this
Agreement. It is the express intention of the undersigned parties that any entity other than the
undersigned parties receiving services or benefits under this Agreement shall be an incidental
beneficiary only.

4. Time of the Essence: Time is of the essence in each and all the provisions of
this Agreement.
5. Severability: If any term or condition of this Agreement shall be held to be
invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such
provision, to the extent that this Agreement is then capable of execution within the original intent
of the parties.
6. Attorney Fees/Legal Costs: In the event of a dispute between County and
CenturyLink, concerning this Agreement, the parties agree that neither party shall be liable to or
responsible for the payment of attorney fees and/or legal costs incurred by or on behalf of the other
party.
7. Subrogation Waiver: All insurance policies required to be maintained
under the terms of this Agreement or which are in any way related to this Agreement which are
secured and maintained by CenturyLink shall include clauses stating that each carrier shall waive
all rights of recovery, under subrogation or otherwise, against County, its officers, employees,
agents, or volunteers.
8. Governmental Immunity: No term or condition of this contract shall be
construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits,
protections, or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq.,
as applicable now or hereafter amended.
