Brief description of the problem/issue:
Weld County would like to continue our ongoing work with Stericycle Inc to use their Shred -IT solution for
secured destruction of Weld County hard drives. Through the annual IT PC refresh process, server hardware
replacement and other standard device replacements we have collected over 500 hard drives that need to be
securely destroyed to ensure county data is not accessible after disposal. Our IT Security team has reviewed
the Shred -IT solution and confirmed that they are certified, apply industry best practices and will provide
confirmation of secured disposable of the devices upon completion.
IT has received an electronic DocuSign agreement that has been printed and attached for your review. We
have been advised that we wil continue to receive and be required to sign this document each time we
schedule a secured hard drive disposal. Karin McDougal has reviewed, revised, and approved the language in
this agreement. The total cost for this service is included in the 2022 IT budget for PC refresh.
What options exist for the Board? (include consequences, impacts, costs, etc. of options):
The secured destruction of hard drives is a necessity to ensure county data is not accessible after hardware has
been disposed of. Continued accumulation of these materials puts county data at risk and needs to be addressed
on a continuous basis. We are requesting authorization for the Chair to review and sign the agreement
electronically so we may safely dispose of these materials.
Recommendation:
Weld County IT recommends that the Board grant approval for the Chair to sign the agreement via DocuSign.

ADDENDUM TO STANDARD AGREEMENT
BETWEEN WELD COUNTY GOVERNMENT
AND
STERICYCLE, INC.
This Addendum to the Standard Agreement ("Addendum") is dated 01/01/2022 ("Effective Date"), between
Weld County Government ("Customer") and Stericycle, Inc. ("Stericycle").
WHEREAS, Customer and Stericycle are parties to a certain Services Agreement (the "Agreement"),
wherein Stericycle provides Regulated Medical Waste Services with an effective date of 01/01/2022 to Client as more
specifically set forth in the Agreement; and
WHEREAS, Customer and Stericycle are both desirous of amending such Agreement in the manner which is
more fully set forth below.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and for
other good and valuable consideration Customer and Stericycle hereby agree to amend the Agreement as follows:
1. Section 9: Indemnification hereby reads as follows:
Stericycle shall indemnify and hold Customer harmless from any liabilities arising from the acts and omissions,
negligent or otherwise, of Stericycle, its employees and/or agents, in the performance of its obligations under
this Agreement. Notwithstanding anything to the contrary hereunder, Stericycle agrees that it has no rights of
any kind to the project for which Customer is engaging Stericycle's services hereunder and, accordingly, in no
event shall Stericycle be entitled to injunctive relief to enjoin, restrain or interfere with the exploitation and/or
promotion in any manner of such project.
2. Section 11: Confidentiality hereby reads as follows:

3. All terms not defined in this Addendum shall have the meaning ascribed to them in the Agreement, asamended.
4. All terms and provisions of the Agreement, except as modified and amended hereby, shall remain in full force
and effect.
