RESOLUTION RE: APPROVE NON-EXCLUSIVE LICENSE AGREEMENT FOR PEDESTRIAN IMPROVEMENT PROJECT WITHIN COUNTY ROADS 59 AND 18 PUBLIC ROAD RIGHT-OF-WAY AND AUTHORIZE CHAIR TO SIGN - TOWN OF KEENESBURG WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, , is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Non -Exclusive License Agreement for a Pedestrian Improvement Project within the County Roads 59 and 18 Public Road Right -of -Way between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and the Town of Keenesburg, commencing upon full execution of signatures, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the. Board of County Commissioners of Weld County, Colorado, that the Non -Exclusive License Agreement for a Pedestrian Improvement Project within the County Roads 59 and 18 Public Road Right -of -Way between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and the Town of Keenesburg, be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said agreement. They have completed the improvements to the edge of County ROW and would like to finish constructing the improvements so they are connected along CR 59, until the Town and County can enter into an Annexation Agreement so Keenesburg can annex the area. Since Weld County does not want the liability or maintenance of these improvements in our ROW, we are asking Keenesburg to enter into a nonexclusive license agreement in order to grant them approval to construct and maintain these improvements in our ROW until they annex these portions of CR 59 and CR 18. The Town is in a rush to complete these improvements and is therefore is approving this agreement for the Mayor's signature at their Monday, January 10th Town Board meeting. If the Board supports the NLA then are goal is to get it on the Wednesday, January 12 BOCC agenda. This agreement has been developed and approved with the help of Bruce Barker. Attached to the NLA is an exhibit of the pedestrian improvements provided by Keenesburg. What options exist for the Board? (include consequences, impacts, costs, etc. of options): 1. Approve putting the attached NLA on the BOCC agenda for 1/12/22 2. Request a work session to discuss in further detail. Recommendation: In order to facilitate the Town of Keenesburg's schedule, staff recommends the BOCC put this agreement on the January 12th BOCC agenda. Schedule Work Session Other/Comments: Perry L. James, Chair Steve Moreno Lori Saine fd- ! 2022-0165 01/12 NONEXCLUSIVE LICENSE AGREEMENT FOR PEDESTRIAN IMPROVEMENTS WITHIN WELD COUNTY ROAD 59/18 RIGHT OF WAY THI5 NONEXCLUSIVE LICENSE AGREEMENT ("Agreement") is made and entered into this rn day of ldA� , 2022, by and between WELD COUNTY, COLORADO, through the Board of County Cottmissioners of Weld County, Colorado, whose address is 1150 O Street, Greeley, Colorado 80631, as First Party, and the Town of Keenesburg, a municipal corporation of the State of Colorado, by and through its Board of Trustees, whose address is 91 W. Broadway Avenue, Keenesburg, Colorado 80643, as Second Party. WITNESSETH: WHEREAS, Second Party desires to construct and maintain pedestrian improvements within Weld County Roads 59 and 18 rights -of -way (ROW), as depicted on the attached construction drawings (incorporated herein as Exhibit A), and WHEREAS, the ROW is owned and maintained by the First Party, and WHEREAS, Second Party desires to annex portions of the CR 59 & CR 18 ROW but wants to construct the improvements prior to the Parties entering into an Annexation Agreement, and WHEREAS, First Party is willing to accommodate Second Party pursuant to the terms of this Agreement. NOW, THEREFORE, in consideration of the covenants contained herein and the agreements of said Second party to be performed hereunder, and upon the conditions herein stated, First Party does grant to Second Party, its successors and assigns, a nonexclusive license to access, construct, and maintain the pedestrian improvements with the First Party's ROW. 1. The parties intend that this Agreement shall allow Second Party to access, construct, and maintain the pedestrian improvements depicted in Exhibit A within the First Party's ROW. 2. Prior to the time that the CR 59/18 ROW is annexed into the Town, the First Party retains the right to revoke this Nonexclusive License Agreement at any time for good cause as reasonably determined in First Party's sole discretion. Good cause may include, but is not limited to, First Party's determination to construct or maintain, or allow others to construct or maintain, improvements to the public road in the CR 59/18 ROW. The First Party has no present intent to construct or maintain, or allow others to construct or maintain, improvements to the public road in the CR 59/18 ROW. If First Party revokes this Agreement prior to the time that the CR 59/18 ROW is annexed into the Town, First Party may require Second Party to remove and vacate all facilities and uses that First Party deems not to be in the best interests of the public. Such removal and vacation shall be at Second Party's sole expense and shall be accomplished within a reasonable time. Such revocation shall not prohibit Second Party's continued use of the ROW for access to Second Party's property, to the extent that such continued use is consistent with the right of the public to use the ROW. First Party shall give Second Party written notice of its intent to revoke this Nonexclusive License Agreement at least six (6) months prior to the intended date of revocation. Such notice shall be sent to Second Party by Certified Mail to its address written above or served upon Second Party in accordance with the Colorado Rules of Civil Procedure. Second Party shall have the duty of informing First Party of Second Party's change in address from the above stated address. 3. Second Party shall provide documentation to First Party showing that Second Party has obtained all the necessary permits required by the Burlington Northern Santa Fe Railroad to construct the pedestrian improvements within their 100' ROW on CR 59. 4. This Nonexclusive License Agreement does not grant the right to gate or fence ROW for private use. 5. Any maintenance of any of Second Party's facilities in the ROW shall be at the sole expense of Second Party and without the aid or use of Weld County funds. 6. Except for the negligence of First Party, to the fullest extent permitted by law, Second Party shall indemnify and save harmless First Party, its successors, assigns, employees, and agents from any damage or loss sustained by them or any of them to the extent caused by Second Party's negligence with respect to the maintenance and/or use of the ROW. Except for the negligence of First Party, Second Party agrees to protect First Party and save and hold it harmless from any and all third -party claims and damages that said maintenance and/or use may directly or indirectly cause to the extent attributable to the negligence of Second Party. Second Party hereby releases First Party, its successors, assigns, employees, and agents from any and all claims and damages of whatsoever character to said ROW by Second Party resulting from any act, either on the part of the First Party or on the part of any third party. 7. The rights and obligations provided in this Agreement shall automatically be conveyed to any subsequent purchaser of the property underlying the pedestrian improvements and shall run with the land. Second Party shall give notice to First Party within sixty (60) days of any such conveyance. General Provisions 8. Notices. All notices or other communications made by one party to the other concerning the terms and conditions of this contract shall be deemed delivered under the following circumstances: (a) personal service by a reputable courier service requiring signature for receipt; or (b) certified mail, return receipt requested and received to the party at the address set forth below. TO FIRST PARTY: Chair, Board of County Commissioners, 1150 'O' Street, Greeley, CO 80631 TO SECOND PARTY: Town Administrator, Town of Keenesburg, 91 W. Broadway Avenue, Keenesburg, CO 80643 9. Entire Agreement/Modifications. This Agreement including the Exhibits attached hereto and incorporated herein, contains the entire agreement between the parties with respect to the subject matter contained in this Agreement. This instrument supersedes all prior negotiations, representations, and understandings or agreements with respect to the subject matter contained in this Agreement. This Agreement may be changed or supplemented only by a written instrument signed by both parties. 10. Survival of Termination. The obligations of the parties under this Agreement that by their nature would continue beyond expiration or termination of this Agreement (including, without limitation, the warranties, indemnification obligations, confidentiality and record keeping requirements) shall survive any such expiration or termination. 2 11. Severability. If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 12. Governmental Immunity. No term or condition of this Agreement shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as applicable now or hereafter amended. 13. No Third -Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. 14. Board of County Commissioners of Weld County Approval. This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County, Colorado or its designee. 15. Choice of Law/Jurisdiction. Colorado law, and rules and regulations established pursuant thereto, shall be applied in the interpretation, execution, and enforcement of this Agreement. Any provision included or incorporated herein by reference which conflicts with said laws, rules and/or regulations shall be null and void. In the event of a legal dispute between the parties, the parties agree that the Weld County District Court shall have exclusive jurisdiction to resolve said dispute. 16. Attorneys Fees/Legal Costs. In the event of a dispute between the parties concerning this Agreement, the parties agree that each party shall be responsible for the payment of attorney fees and/or legal costs incurred by or on its own behalf. 17. Acknowledgment. The Parties acknowledge that each has read this Agreement, understands it and agrees to be bound by its terms. Both parties further agree that this Agreement, with the attached Exhibit, is the complete and exclusive statement of agreement between the parties and supersedes all proposals or prior agreements, oral or written, and any other communications between the parties relating to the subject matter of this Agreement. It is mutually understood and agreed that this Nonexclusive License Agreement and all the terms and conditions hereof shall extend to and be binding upon the parties hereto, their successors, and assigns.
