RE: APPROVE AMENDMENT #3 TO LEAVE MANAGEMENT SERVICES AGREEMENT
AND AUTHORIZE CHAIR TO SIGN - UPMC BENEFIT MANAGEMENT SERVICES,
INC., DBA WORKPARTNERS
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with Amendment #3 to the Leave
Management Services Agreement between the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Department of
Human Resources, and UPMC Benefit Management Services, Inc., dba Workpartners,
commencing January 1, 2023, and ending December 31, 2023, with further terms and conditions
being as stated in said amendment, and
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that Amendment #3 to the Leave Management Services Agreement
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Resources, and UPMC
Benefit Management Services, Inc., dba Workpartners, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 21st day of December, A.D., 2022.

management (FMLA) program. Contract amendment is dated as good through 12/31/23.

Approve and services continue. A non -approval would require RFP process for new vendor.

THIRD AMENDMENT TO LEAVE MANAGEMENT SERVICES AGREEMENT
THIS THIRD AMENDMENT TO LEAVE MANAGEMENT SERVICES AGREEMENT
(the "Third Amendment"), effective December 31, 2022, is entered into by and between UPMC
Benefit Management Services, Inc., d/b/a Workpartners ("Workpartners") and County of Weld
("County"). Workpartners and County may be individually referred to as a "Party," and shall be
collectively referred to as the "Parties."
WHEREAS, Workpartners and County are Parties to a Leave Management Services
Agreement effective August 30, 2019 (the "Agreement"), whereby Workpartners agreed to
provide certain leave management administration and information services, as further set forth in
the Agreement; and
WHEREAS, the Parties have agreed to amend the Agreement in certain respects.
NOW, THEREFORE, in consideration of the mutual obligations set forth below and in the
Agreement, and intending to be legally bound hereby, the Parties agree to amend the Agreement
as follows:
1. Section 4.1 is hereby deleted in its entirety and replaced with the following:
4.1 This Agreement shall become effective as of the Effective Date (as set forth above)
and shall remain in effect through December 31, 2023 (the "Initial Term") unless earlier
terminated in accordance with Sections 4.2, 4.3, and 4.4 below. Following the Initial Term,
this Agreement shall automatically renew for successive one (1) year periods (each, a
"Renewal Term"), on the same terms and conditions that applied during the previous term
and shall continue in full force and effect until terminated in accordance with the provisions
herein unless either Party gives written notice of non -renewal to the other Party at least 90
days prior to the end of the Initial Term or any Renewal Term; provided, however, that
Workpartners may increase fees by giving written notice to Company of the proposed
increase at least 120 days prior to the end of any Renewal Term.
2. Exhibit B of the Agreement is hereby deleted in its entirety and replaced with
Exhibit B attached to this Third Amendment.
3. The remainder of the Agreement shall remain in full force and effect, and the only
provisions being amended are those specifically set forth in this Third Amendment.
