Lofgren and Grant L. Phillips for retail 3. 2 fermented malt beverage license came on for hearing October 21, 1970, at 2:00 P. M. , and the Board of County Commissioners of the County of Weld, having heard the testimony and evidence adduced upon said hearing and having considered the testimony, evidence, petitions and remonstrances filed with said Board, and having carefully weighed the same, now makes the following findings: 1. The evidence discloses that the applicants are the lessees of said premises sought to be licensed within the meaning of the statutes. 2. That no question was raised nor objection offered as to the applicants concerning the standing, character or motives of said applicants. 3. The applicants have proven a prima facie case as to the reasonable requirements of the neighborhood. 4. The desires and needs of the inhabitants of the immediate neighborhood, as well as the needs of the traveling public and college students are not fulfilled, inasmuch as there presently is only one other retail 3. 2 fermented malt beverage license, for consumption on premises only and with live entertainment, in the area designated as the neighborhood. RESOLUTION WHEREAS, the Board of County Commissioners of the County of Weld, has heard the application of David K. Lofgren and Grant L. Phillips, d/b/a The Circus, for a retail 3. 2 fermented malt beverage license, for consumption on premises only, at a location described as THE CIRCUS, 2360 6th Avenue, Greeley, Colorado, and more particularly described as being located in the South 215 feet of Lot 10, Arlington Gardens, Weld County, Colorado, and WHEREAS, the said Board has made its findings on the evidence, testimony, petitions and remonstrances submitted to it, which findings precede this Resolution and by reference are incorporated herein and made a part hereof, and WHEREAS, the said Board has carefully considered the application, evidence, testimony, petitions and remonstrances and given the same such weight as it, in its discretion deemed proper, and is now fully advised in the premises; NOW, THEREFORE, BE IT RESOLVED, that the application of David K. I ,,, 3 . • • � r IHIE • ,. # f • v v Y Y ARTICLES OF PARTNERSHIP OF THE CIRCUS IN CONSIDERATION of their mutual promises, David K. Lofgren and Grant L. Phillips, both of the City of Greeley, County of Weld and State of Colorado, agree on this 1st day of September, 1970, that they will become and be partners in business for the purpose and upon the terms hereinafter stated. 1 . The business to be carried on by the partnership shall be the leasing, furnishing and maintaining of premises to estab- lish therein a tavern to sell 3.2 beer and small items of food; and to provide therein entertainment incident to said tavern, including dancing facilities . 2. The firm name of the partnership shall be The Circus. 3. The place of business of the partnership shall be 2630 6th Avenue, City of Greeley, County of Weld, Colorado, or at such other place or places as the partners may hereafter de- termine. 4. The partnership shall begin on the 1st day of September, 1970, and shall continue until dissolved as provided by law in accordance with the principles hereinafter set forth as they may be deemed applicable. 5. Each of the parties to this agreement shall contribute an equal amount to the purchase of the necessary goods and chat- tels to be used in the development, maintenance, and in the fur- therance of the partnership of business. The parties are to share equally in the profits and losses from the business and they shall contribute in equal shares any additional capital necessary for carrying on the business. In the event the amount of capital or moneys contributed is not equal, then the party contributing less than his full share of the partnership shall pay interest to the other party at the rate of ten (10) per cent per annum. 6. Each of the partners is to give so much of his time and attention to the business as is possible, and is to use his utmost endeavors ,to promote the interests of the partner- ship. In recognition of such work performed and time spent in the interest of the partnership, each partner shall be paid the wage of $4.00 an hour for every hour so spent, or such other wage or salary or sum as the parties may hereafter agree upon. 7. Books of account of the transaction of the partner- ship shall be kept at the place of business, and shall be at all times open to the inspection of either partner. Each part- ner shall cause to be entered upon said books a just and true account of all of his dealings, receipts and expenditures for or on account of said firm. 8. The accounting period shall be quarterly throughout the calendar year and at the end of each such three month period, a complete statement of the conditions of the partner- ship shall be made, and an accounting between the partners shall be had and the profits or losses of the preceeding three month period shall be divided and paid or distributed. The fiscal year shall begin on the first day of January of each year. 9 . A suitable bank in Greeley, Colorado, as may from time to time be agreed upon by the partners shall be the depositary for the funds of the partnership. All moneys and credits of the partnership, whatever form, except moneys that may be re- quired for the current operations , shall be paid into and de- posited in said bank in the same form in which they are received. All checks drawn thereon shall be signed with the firm name and by either one of the partners. -2- 10 . Neither partner shall obligate the partnership for any indebtedness or purchase in the excess of $1 ,000.00 with- out the consent to the other partner, nor shall the firm's name, credit, property or moneys be used in any manner except in the due course of the partnership business . 11. Upon dissolution of the partnership by reason of death, withdrawal or other act of either partner, the remain- ing partner may continue the business and he shall have the exclusive and first right to purchase the interest of the other partner in the business assets and good will by paying to such partner, or his legal representatives, the value of such interests as determined as follows : The partner desiring to continue the business and the retiring partner or his rep- resentatives shall each select one individual as an appraiser. Said appraisers shall determine the net value of all partner- ship assets, including good will, less current partnership obligations, and the partner desiring to continue in the busi- ness shall pay to the other partner, or his representatives, the one-half share of the business so determined, and the re- tiring partner, or his legal representatives, shall execute such documents as may be necessary to convey the interest in the business to the other partner. Said appraisers shall be appointed within thirty days after notice of the withdrawing partner of his intention to leave or within thirty days of the appointment of the executor or administrator of the estate of the deceased partner. In the event the said appraisers are unable to agree on the above described net value of the assets within thirty days after their appointment, they shall select, designate an ad- ditional appraiser for this purpose, whose appraisement shall be binding on all parties . If for some reason any appraiser is -3- unable or unwilling to serve, a substitute shall be appointed by the person originally selecting him. In the event that the two appraisers first appointed shall be unable to agree upon a third appraiser, such appraiser shall be appointed by the Judge of the County Court of Weld County, State of Colorado. The final decision of the surviving, or continuing partner to purchase the other partner's interest as herein defined shall be made within thirty days after the final determination of the appraised value in the manner provided for in these Ar- ticles of Partnership, and if not, such continuing or surviving partner shall lose his exclusive and first right to purchase. Upon decision of the continuing partner to purchase the withdrawing or deceased partner's interest, he shall pay to such partner, or his legal representatives, the sum of $500.00 as earnest money to be applied on such purchase price unless said purchase price is paid in full. Other than such $500.00 earnest money payment, the parties, or their legal representa- tives, are to be free to determine the method of financing of the purchase. The continuing partner shall assume all of the existing firm obligations and hold the retiring partner, or his legal representatives, harmless from all liability thereon. The continuing partner may use the former firm name. 12. In the event both parties should mutually agree to dissolve the firm or if the firm is dissolved by operation of law, said partnership shall be wound up, debts paid and sur- plus divided between the partners in accordance with their re- spective interests and the laws of the State of Colorado. -4- IN WITNESS WHEREOF, we hereunto set our hands and seals the day and year first above written. avid . TO HAVE AND TO HOLD the same with all the appurtenances un- to the said Lessees from twelve o'clock noon of the first day of September, 1970, until twelve o'clock noon of the first day of December, 1970, at and for a rental, for the full term aforesaid of Nine Hundred Dollars ($900.00) , payable in monthly install- ments of Three Hundred Dollars ($300.00) per month. The first month's rent shall be paid on execution of this lease, the re- ceipt of which is hereby acknowledged, and each month's rent hereafter shall be paid in advance, on or before twelve o'clock noon, on the fifth day of each calendar month during said term at the office of 3319 Irving Avenue South, Minneapolis, Minnesota 55408 without notice. Lessor agrees to maintain in a good state of repair the roof of the building, the air conditioning and heating units. And the said Lessees in consideration of the leasing of said premises as aforesaid, covenant and agree as follows to-wit: To pay the rent for said premises as hereinabove provided; to keep the improvements upon said premises, except as noted above, including all sewer connections, plumbing, wiring, and glass, in good repair at the expense of said Lessees, and at the expiration of this lease to surrender and deliver up said premises in as good order and condition as when the same were entered upon, loss by fire, inevitable accident or ordinary wear excepted; to sublet no part of said premises, nor assign this lease or any interest herein, without the written consent of the Lessor first being obtained; to use said premises for no purpose prohibited by the laws of the United States, or the State of Colorado, or the or- dinances of the County of Weld, Colorado, and for no improper or questionable purpose whatsoever; to keep the sidewalks in front of and around said premises free from ice and snow, and said side- walks and premises free from all litter, dirt, debris and obstruc- tions; to keep said premises clean, and in the sanitary condition required by the ordinances and the health and police regulations of the said County of Weld; to neither permit nor suffer any dis- orderly conduct, noise or nuisance whatever about said premises having a tendency to annoy or disturb any persons occupying ad- jacent premises; to neither hold nor attempt to hold the Lessor liable for any injury or damage, either proximate or remote, oc- curing through or caused by any repairs, alterations, injury or accident to adjacent premises or other parts of the above pre- mises not herein demised, or by reason of the negligence or do- fault of the owners of occupants thereof or any other person, Inor • liable for any injury or damage occasioned by defective electric wiring, or the breaking or stoppage of plumbing or sewerage upon said premises or upon adjacent premises, whether said breaking or stoppage resulted from freezing or otherwise; to neither per- mit nor suffer said premises , or the walls or floors thereof , to be endangered by overloading, nor said premises to be used for any purpose which would render the insurance thereon void; to permit the Lessor to place a "For Rent" card upon said pre- mises at any time after thirty days before the end of this lease; to allow said Lessor any reasonable hour of the day to enter in- to or upon and go through and view said premises; to occupy the same as a Youth Center for dancing, terpsichorean arts, soft re- freshments and foods, and retail outlet for 3.2 per cent beer. It is acknowledged and mutually agreed by all of the parties to this lease that all property of whatever nature or kind which the Lessees shall bring upon these premises or install therein at their own expense shall forever remain the property of the Les- sees herein. It is thereby the express intention of the parties to this lease that all such property installed or brought into the above described premises by the Lessees shall in no way ac- cede to the ownership of the Lessor herein, whether such pro- perty installed by the Lessees shall be affixed in any way to the building or not, and such property brought upon the premises and installed or left therein by the Lessees shall never be held or termed to be part of the real estate. The Lessees shall al- ways have the right to remove such property at any time before the termination of this lease or within a reasonable time there- after. The Lessor promises that he shall in no way attempt to sell , assign, mortgage or otherwise transfer such property brought upon these premises by the Lessees to some third party. Lessees shall pay the increase in personal or real property tax, if any, caused by their bringing in said property above described, if any. The Lessor shall otherwise pay all taxes assessed on the land and the building, the interior improvements and personal property now located in said building, as evidenced by the at- tached Exhibit "A". It is agreed that all assessments for water rents that may be levied against said premises during the continuance of this lease shall be paid by the said Lessees and that all charges for heating and lighting the said premises shall be paid by the said Lessees as the same become due and payable and that in case said premises shall become untenantable on account of damage by fire, flood or act of God, this lease may be thereupon terminated by the said Lessees; It is further agreed that no assent, expressed or implied, to any breach of any one or more of the covenants or agreements hereof shall be deemed or taken to be a waiver of any succeeding or other breach. It is mutually agreed that if after the expiration of this lease, the Lessees shall remain in possession of said premises, and continue to pay rent without written agreement as to such possession, then such Lessees shall be regarded as tenants from month to month at a monthly rental , payable in advance, equiva- lent to the last monthly installment hereunder, and subject to all the terms and provisions of this lease. It is further mutually agreed that in case said premises are left vacant and any part of the rent therein reserved be unpaid, then the Lessor may, without in anywise being obligated so to do, and without terminating this lease, retake possession of said premises, and rent the same for such rent and upon such conditions • as the Lessor may think best, making such changes and repairs as may be required, giving credit for the amount of rent so . received less all expenses of such changes and repairs, and said Lessees shall be liable for the balance of the rent herein reserved until the expiration of the term of this lease. IT IS EXPRESSLY UNDERSTOOD AND AGREED By and between the parties aforesaid, that if the rent above reserved, or any part thereof, shall be in arrears, or if default shall be made in any of the covenants or agreements herein contained,' to be kept by the said Lessees, it shall and may be lawful for the said Lessor to declare said term ended, and enter into the said premises, or any part thereof, either with or without process of law, to re- enter, and the said Lessees or any person or persons occupying the same, to expel, remove, and put out, using such force as may be necessary in so doing, without being liable to prosecu- tion or in damages therefor, and the said premises again to re= possess and enjoy, as in the first and former estate of the said Lessor. And if at any time said term shall be ended as afore- said or in any other way, the said Lessees hereby covenant and agree to surrender and deliver up said premises peaceably to said Lessor, immediately upon the termination of said term, and if the Lessees shall remain in possession of the same after the termination thereof, said Lessees shall be deemed guilty of a forcible detainer of said premises under the statute, hereby waiving all notice, and shall be subject to eviction and removal, forcibly or otherwise, with or without process of law, as above ' stated. And it is further expressly understood and agreed that all the covenants and agreements in this lease contained shall ex- tend to and be binding upon, the heirs, executors, legal repre- sentatives and assigns of the respective parties hereto. This lease is made by and between the parties hereto with the express understanding and agreement that, in the event the Lessees become insolvent, or are declared bankrupt, then, in either event, the Lessor may declare this lease ended, and all rights of Lessees hereunder shall thereupon terminate and cease. Lessees are granted a first option to renew for an additional one year from and after December 1, 1970 until November 31, 1971 upon the same terms and conditions provided herein, except that the monthly rental payments shall be Three Hundred Twenty-Five Dollars ($325.00) rather than Three Hundred Dollars ($300.00) . Notice of intention to exercise this option shall be sufficiently given, and the option exercised, by mailing to Lessor at the above address the first monthly rental of Three Hundred Twenty- Five Dollars ($325.00) on or before December 5, 1970 . Lessees are also granted a second option to renew and ex- tend to the lease for an additional five years from and after December 1, 1971 until November 31, 1976 upon the same terms and conditions provided herein, with the monthly rental set at Three Hundred Twenty-Five Dollars ($325.00) .
