RESOLUTION RE: APPROVE AGREEMENT FOR PURCHASE OF TEMPORARY CONSTRUCTION EASEMENT FOR PUBLIC ROAD IMPROVEMENT PROJECT (COUNTY ROADS 74 AND 33 INTERSECTION ROUNDABOUT PROJECT) AND AUTHORIZE CHAIR TO SIGN - EDWARD AND MONIKA MIKA WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Agreement for the Purchase of a Temporary Construction Easement for a Public Road Improvement Project (County Roads 74 and 33 Intersection Roundabout Project) between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Edward and Monika Mika, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Agreement for the Purchase of a Temporary Construction Easement for a Public Road Improvement Project (County Roads 74 and 33 Intersection Roundabout Project) between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Edward and Monika Mika, be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said agreement. Total Compensation to be paid to Owner is $500.00 as outlined below: • County agrees to pay $500.00 for a 871 square foot Temporary Construction Easement 2022-2716 bpi/ 219 OOsO Page 1 of 10 AGREEMENT FOR THE PURCHASE OF TEMPORARY CONSTRUCTION EASEMENT FOR PUBLIC ROAD IMPROVEMENT PROJECT •THIS AGREEMENT is made this V& day of S 3 , 2022, by Edward and Monika Mika whose address is 15681 CR 74, Eaton CO 80615 hereinafter referred to as "Owner" (whether one or more), and the COUNTY OF WELD, a body corporate and politic of the State of Colorado, by and through its Board of County Commissioners, whose address is 1150 'O' Street, Greeley, Colorado 80631 hereinafter referred to as "County." WITNESSETH: WHEREAS, Owner owns a parcel of real property (the "Property") described as Lot B of Recorded Exemption #0707-34-4 RE -4928, a portion of the S1/2 of Section 34, Township 7N, Range 66 W of the 6th P.M. WHEREAS, County finds it necessary to rebuild and improve the intersection of Weld County Road 33 (hereinafter "WCR 33"), and Weld County Road 74 (hereinafter "WCR 74"), which will involve the realignment and construction of said roads, (hereinafter referred to as the "Project"), and WHEREAS, County requires a temporary construction easement from the Property for the benefit of County in order to complete a portion of the Project, and WHEREAS, Owner wishes to cooperate with County in the Project, NOW, THEREFORE, the parties herein agree as follows: I. EXHIBITS Exhibit A— Temporary Easement form, legal descriptions, and depictions II. COMPENSATION; PROPERTY CONVEYANCE I. Owner agrees to sell and County agrees to purchase the property interests described in the attached Exhibits for the total sum of Five Hundred dollars and no cents, ($500.00). The parties acknowledge and agree that said purchase price represents full, fair and valuable consideration. a. Owner agrees at closing to sell and County agrees to purchase at closing the Temporary Construction Easement described on Exhibit A for the sum of Five Hundred dollars no cents, ($500.00). Owner shall convey the property interests described above free and clear of all encumbrances of record or of which Owner has actual knowledge, and County shall cause payment to be made, at closing, which shall occur no later than thirty (30) days following mutual execution of this Agreement. 3. Owner shall pay any encumbrance associated with the property interests which is required to be paid, including, but not limited to, a prorated amount of the property taxes (if applicable), and any past due property taxes (including special assessments and interest and penalties thereon), on or before the date of closing. Owner is solely responsible for the payment of any amounts owed to a third party holding a security or other ownership interest in the property interests. All of the foregoing costs are collectively referred to as "Owner's Costs". Owner warrants that they are the Owner of the property interests and will defend title thereto against all claims. Owner agrees to indemnify County for any of Owner's Costs that County is required to pay as County determines necessary to effectuate conveyance of the property interests described above. 4. County shall be entitled to take possession of the property interests described immediately upon mutual execution of this Agreement. III. MISCELLANEOUS 1. This Agreement and the conveyance of the Property made pursuant to the terms herein, shall be binding upon, all and inure to the benefit of and be enforceable by the parties and their heirs, executors, administrators, successors, and assigns. 2. This Agreement shall be binding upon the Owner upon the date of signature by Owner. County shall have a minimum of thirty (30) days to present this Agreement for approval and execution by the Board of County Commissioners. Owner agrees they may not withdraw from this Agreement during that time unless the Board of County Commissioners has considered and rejected this Agreement. This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County, Colorado or its designee. 3. This Agreement including the Exhibits attached hereto and incorporated herein, contains the entire agreement between the parties with respect to the subject matter contained in this Agreement. This instrument supersedes all prior negotiations, representations, and understandings or agreements with respect to the subject matter contained in this Agreement. This Agreement may be changed or supplemented only by a written instrument signed by all parties. 4. No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Page 3 ot'4 Colorado Governmental Immunity Act §24-10-101 et seq., as applicable now or hereafter amended. 5. If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 6. It is expressly understood and agreed that the enforcement of the terms and conditions ofthis Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. 7. Colorado law, rules and regulations established pursuant thereto, shall be applied in the interpretation, execution, and enforcement of this Agreement. Any provision included or incorporated herein by reference which conflicts with said laws, rules, and/or regulations shall be null and void. In the event of a legal dispute between parties, the parties agree that the Weld County District Court shall have exclusive jurisdiction to resolve said dispute. 8. In the event of a dispute between the parties concerning this Agreement, the parties agree that each party shall be responsible for the payment of attorney fees and/or legal costs incurred by or on its own behalf. Subject to the following conditions: I . The TCE is conveyed from Owner to County immediately and shall expire and be of no further force or effect eighteen (18) months, or upon the County's determination that the Project is complete, whichever is earlier. 2. The right to use the TCE shall belong to the County and its agents, employees, designees, contractors, guests, invitees, successors and assigns, and all those acting by or on behalf of the County for the purpose of surveying, appraising, establishing, laying, constructing, reconstructing, installing, realigning, modifying, replacing, improving, adding, altering, substituting, operating, maintaining, accessing, inspecting, patrolling, protecting, or repairing the roadway improvements, including the storage of materials related to said roadway improvements. 3. County shall have the right of ingress, egress, entry and access in, to, through, on, over, under, and across the TCE from any adjacent property to which County has legal access, for any and all purposes necessary and/or incident to the exercise by the County of the rights granted to it hereunder. At the expiration of the term of this TCE, County shall promptly repair any damage to Owner's property caused by County, its agents, employees, contractors, guests, invitees, and all those acting by or on behalf ofCounty so as to maintain the Owner's property in substantially as good or better condition as existed prior to use by County. 4. Owner agrees to limit farming (plowing, planting, irrigating, harvesting, etc.) to Temporary Construction Easement. The TCE will be utilized for construction staging, materials storage, stockpiling and utilities relocation. The County has the right to install temporary fencing or temporary earthen berms on the TCE lines to provide a visible separation from the landowner's activities and the construction contractors activities. The County will pay the cost for installing and maintaining such items and will be responsible for removal after the construction work has been completed. After all the work is completed, these areas will be returned to their original condition with a layer of topsoil. STATE OF COLORADO ) ss.
