The parties agree as follows: 1. Scope of Work. ESWC shall perform the work described in Schedule 1, which is incorporated into this contract by this reference. Reports. ESWC shall furnish such reports and information as CPR may reasonably request from time to time. 4. Liability and Indemnification. Each party is solely responsible for and is liable to the other party for its ownacts or omissions and the acts or omissions of anyone performing work on its behalf. Further, each party (the Indemnifying Party) shall indemnify and hold harmless the other party and the other party's its members, directors, officers, employees, volunteers, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs of investigation or defense) directly, indirectly, wholly, or partially arising from or in connection with: a) any breach of this contract by the Indemnifying Party; or b) any act or omission of the Indemnifying Party or anyone performing work on Indemnifying Party's behalf arising from or related in any way to the work performed by the Indemnifying Party under this contract. 5. CONFIDENTIAL INFORMATION. a. Confidential Information is non-public information or data about an individual or CPR's proprietary, non-public and confidential information. ESWC shall adhere to all federal or state statutes, rules, and regulations, and shall establish administrative, physical, and technical safeguards to prevent the unauthorized disclosure and/or use of all Confidential Information provided or developed under this contract. ESWC agrees not to disclose or release in any manner information that may reveal the identity of an individual or organization, including information that can lead to re -identification, except as may be required by law or as authorized inwriting by CPR. c. The obligations of confidentiality specified in this Section 5 shall not apply to any information that: (a) isalready in the possession of ESWC without obligation of confidentiality; (b) is or becomes publicly available without breach of this contract by ESWC or (c) is rightfully received, free of restrictions, by ESWC from a third party. d. This Section 5 shall survive termination or completion of this contract for a period of five years. The obligations set forth in this Section 5 regarding personally identifying information of an individual shallremain in perpetuity unless otherwise indicated by law. e. In the event that ESWC becomes compelled by law to disclose any Confidential Information, ESWC shall provide CPR with prompt written notice so that CPR may seek a protective order or other appropriate remedy and/or waive compliance with the provisions of this contract. ESWC shall cooperate with CPR to obtain a protective order or other appropriate remedy. In the event that a protective order or other remedy is not obtained, or CPR waives compliance with the provisions of this contract, ESWC shall: (i) disclose only the portion of Confidential Information that is legally required to disclose; and (ii) exercise all reasonable efforts to obtain reliable assurances that confidential treatment will be afforded to Confidential Information. 6. TERM AND TERMINATION. a. Term. This contract will have a term beginning on the effective date of this contract and ending at midnight on February 28, 2023, unless terminated as provided below. This contract may be renewed annually upon the agreement of both parties. b. Termination for Cause. Either party may terminate this contract effective immediately for cause. Dispute Resolution. In connection with any dispute between the parties arising under or related in any wayto this contract, the parties agree to first attempt to negotiate in good faith to resolve the dispute. If the dispute is not resolved by negotiation within 14 days, then the dispute must be submitted to mediation before a qualified mediator mutually acceptable to the parties, either in person at a mutually acceptable location, or remotely through a mutually acceptable method. The parties shall bear their own respective costs and attorney's fees in any mediation. If mediation is not successful, the parties consent and submit tovenue and exclusive jurisdiction in the federal and state courts located in Colorado. 9. GENERAL PROVISIONS. a. Relationship of Parties. Nothing in this contract will be construed to imply a principal -agent relationshipbetween the parties, and no party will have the right, power, or authority to obligate or bind the other party in any manner whatsoever, except as otherwise agreed to in writing. Rather, the parties will be considered independent contractors as to each other. The employees of one party will not be considered employees of the other party, and vice versa, within the meaning of any applicable federal, state, or local laws or regulations. b. Governing Law. This contract is to be governed in all respects by the laws of Colorado without givingeffect to its conflicts of law principles. c. Non -assignment. Neither party may assign any rights or obligations under this contract without the other party's prior written approval. Each person executing this contract on behalf of a party represents and warrants on behalf of such party that: 1) such party has full power and authority to enter into and perform this contract; 2) such party has taken all requisite actions to approve the execution and performance of this contract; 3) such person has been duly authorized to execute this contract in the name of and on behalfof such party; 4) the performance of this contract is not in conflict with such party's governing documents (if applicable) or any contract or other requirements by which such party is bound; and 5) this contract is binding upon such party. e. Entire Agreement. This contract, including any schedules or exhibits hereto, constitutes the entire agreement between the parties relating to the subject matter hereof, and supersedes any prior understanding between them. No representations, arrangements, understandings, or agreements existexcept as expressed in this contract. f. Amendments, Waivers. Except as otherwise provided in this contract, this contract may be amended only by a written instrument signed by both parties. If for any reason one party does not insist upon strict adherence to any provision of this contract or waives a breach of this contract by the other party, that party will not be prevented from pursuing remedies or insisting upon strict performance for a future breach of the same or another provision. g. Severability. If a court having jurisdiction determines any provision of this contract to be unenforceable,the remaining provisions will nevertheless remain enforceable to the fullest extent allowed by law, and the court may replace the provision in question with a lawful provision that most nearly embodies the original intention of the parties. h. Counterparts. The parties may execute this agreement in counterparts, which taken together will constitute one instrument. (Mathematica) for the U.S. Department of Health & Human Services, Administration for Children & Families, Office of Planning, Research, & Evaluation (HHS, ACF, OPRE), Contract Number HHSP233201500035l/ 75P00119F37041). Background information Starting in 2013, the Administration for Children, Youth and Families/Children's Bureau funded a series of grants called Youth At -Risk of Homelessness (YARH): Planning Phase (YARH-1), FormativeEvaluation Phase (YARH-2), and the Summative Evaluation Phase (YARH-3). Colorado's YARH grant is known as 'Pathways to Success'. Its purpose is to prevent and address homelessness among Colorado's eligible youth (ages 14-23) who are homeless or at -risk of becoming homeless by implementing with fidelity the Pathways Model Intervention Engaging Youth in a Coach Like Way. In July 2019, ACF launched YARH-3, which will continue to provide important information to the field bysupporting YARH Sites' evidence -building activities. YARH Sites may engage in a range of evidence - building activities, with related deliverables, requirements, or milestones. YARH-3 will incorporate evaluation TA; assessments of YARH Sites' readiness for summative evaluation; federally led evaluationof at least one comprehensive service model, including an implementation study and an impact study; and ongoing dissemination of knowledge gained through YARH-3 Site activities. Mathematica is the prime YARH-3 contractor to OPRE, Building Capacity to Evaluate Interventions for Youth/Young Adults with Child Welfare Involvement at Risk of Homelessness described in Contract Number HHSP233201500035l/ 75P00119F37041, including any modifications or extensions thereof (YARH-3). CPR will serve as a YARH Site for Colorado under the Building Capacity to Evaluate Interventions for Youth/Young Adults at Risk of Homelessness. Overview of the Project The objective of the YARH-3 project is to assist OPRE in building evidence for the comprehensive service models developed and initially implemented in YARH-2 by supporting YARH Sites and Center for Policy Research 1570 N Emerson Street, Denver, CO 80218 T(303)837-1555 www.centerforpolicyresearch.org conducting a federally led summative evaluation. (YARH is now known as SYSIL-Supporting Youth Succeed in Life.) CPR expects ESWC to work with CPR liaisons throughout the course of the term of the Agreement. ESWC will continue their YARH-3 workin March 2022. ESWC will work with CPR to complete the activities outlined in the Scope of Work below in a timely manner where the parties agree to the following. As a comparison site for the YARH-3 summative evaluation, ESWC commits that staff assigned to YARH-3 will perform the following activities: Training and Technical Assistance (TA) Activities • Attend YARH 3 events. • Attend evaluation trainings for comparison sites. Implementation Activities • Operate ESWC Chafee program as it is currently designed and implemented (i.e., 'business as usual') ESWC agrees that it will not substantially change, alter or adjust its' Chafee program during the course of ESWC participation in the YARH-3 summative evaluation. Notify and discuss with CPR any contemplated changes and refrain from any changes that would disrupt the YARH-3 summative evaluation per CPR's recommendations. • Strive to enroll a minimum of 9 Pathways eligible youth/semi-annually in YARH-3 based on the Pathways screening tool for an annual minimum total of 18. Evaluation • Participate on monthly CPR YARH-3 evaluation calls. • Gain informed consent/assent for each youth to be enrolled in YARH-3. • Enter quality data on a timely basis in Trails, SYSIL, and the Pathways Management Information System (PMIS) to collect information not available through Trails and administrative sources. • Participate in other YARH-3 evaluation activities as requested. Project Management • Attend YARH-3 meetings and events as needed. All attempts will be made to streamline Pathways' meetings and the number of them. Fees, Reimbursement and Invoicing CPR will compensate ESWC in an amount that will not exceed a $10,000 site payment. ESWC will invoice CPR on a semi-annual basis in accordance with Attachment A.
