The site is known as the Monarch DENM Gravel Mine("The Site") and will be operated by Monarch Mountain Minerals and Aggregates, LLC(MMMA). The proposed us of the site is a construction aggregate mine and water storage. 2. Explain the need for the proposed use. The sand and gravel reserves at the Site will be used as construction aggregates for Quikrete's line of commercial products. The site will be reclaimed as agricultural land and developed water storage which will provide much needed water to agriculture in the area as well as other uses. 3. Describe the current and previous use of the land. The property is historically agricultural, pivot irrigated crops and dry land crops. 4. Describe the proximity of the proposed use to residences. There are twelve residences located more than 200' and less than 500' from the proposed mine limit that surround the property. There is one residence more than 150' and less than 200' away from the proposed mine limit, the Poncelow Family Living Trust house located south west of Cell 3. There is one residence more than 100' and less than 200' away from the mine limit, the Karbowski/Brave house located north of the Siltation Pond. 5. Describe the surrounding land uses of the site and how the proposed use is compatible with them. The surrounding land uses are sand and gravel mining and agricultural. After mining is complete the reclaimed land will allow for continued farming and provide water storage for the area. 6. Describe hours of operation. The mining operations typically operate six days per week, Monday through Saturday, 6:00 a.m. to 6:00 p.m. These normal hours of operation are occasionally supplemented by after-hours maintenance of equipment. Office staff may include a single scale operator, and an additional 2 to 4 persons housed in the shop and office facility depending on circumstances at the time. 8. Describe the maximum number of users, patrons, members, buyers or other visitors that the site will accommodate at any one time. In addition to persons working at the site, as described in response to the question above, the primary source of additional visits will be truck drivers receiving loads for delivery off -site. The aggregate operation is estimated to generate up to 250 trips per day (i.e., 125 outbound loaded trucks), up to 6 days per week. Incidental trips — on the order of 20 to 40 trips per day— are expected from vendors, mechanics, inspectors and others with occasional business at the site. The facility is not open to the general public. 9. List the types and maximum number of animals to be on the site at any one time. Not applicable. 10. List the types and number of operating and processing equipment. Off -road, "yellow -iron" vehicles are an integral part of aggregate operations. Up to 4 loaders and 1 or 2 excavators and a bulldozer would be typical at this site. Off -road haul trucks may also be used at various times throughout the life of the mine. A number of scrapers, up to 6, may be used to open the mine (i.e., to strip overburden). The only road -tagged vehicles that would be stored at the site would be 2 to 4 pickup trucks to aid in operations. Aggregate haulers using both tandem dump trucks and, more typically, open -dump semi tractor -trailers are expected throughout the life of the mine. 11. List the types, number and uses of the existing and proposed structures. Proposed permanent improvements include four slurry walls for dry mining and post -mining water storage, and associated infrastructure to distribute water to and from water storage facilities. A permanent drying and screening building and silos will be located at the site south of the entrance. Other improvements include an office/shop, an aggregate plant, a scale and scale house, all with associated parking. The primary driveway to the aggregate will temporarily include signage, lighting, fencing/screening and landscaping. Parking will be located next to office and plant facilities. 12. Describe the size of any stockpile, storage or waste areas. The site will include a surge stockpile and two overburden stockpiles (see the Site Map for stockpile locations), both of which will be approximately 10 acres in size. Topsoil will be stored in berms around the mining cells to be used in reclamation. Equipment will be stored in the mine area. A 20 ft x 20 ft trash collection area will be adjacent to the parking area in the northeast side of the site. 13. Describe the method and time schedule of removal or disposal of debris, junk and other wastes associate with the proposed use. All debris and waste has been removed from the site. Trash will be picked up weekly. 14. Include a timetable showing the periods of time required for the construction of the operation. Phase 1(Freshwater and silt ponds): The Operator will wet mine the freshwater and silt ponds. Mining will begin in the siltation pond and progress to the freshwater pond. The average rate of mining is expected to be approximately 750,000 tons per year. Given these rates it is expected that mining in Stage 1 will take approximately 1 1/2 to 2 years. The freshwater and siltation ponds will remain open during the life of the mine and will be reclaimed following the cessation of mining at the site. A 100 ft by 200 ft parking area is proposed in the plant area and by the offices on the west of Cell 4. Dirt access roads will be utilized throughout the site. 16. How many parking spaces are proposed? How many handicap -accessible parking spaces are proposed? Approximately 20 parking spaces are proposed for employees and any visitors to the site. 1-2 of these spaces will be handicap - accessible parking spaces. 17. Describe the existing and proposed fencing and screening for the site including all parking and outdoor storage areas. There is existing barb wire fencing along the southern boundary of Cell 3 along Weld County Road 42. Fencing will be installed along Weld County Road 42 west of Weld County Road 25.5 on the north and south side of the road and along Highway 60. 18. Describe the existing and proposed landscaping for the site. The remaining above grade portions will be reclaimed to dryland and agricultural with no additional landscaping. 19. Describe reclamation procedures to be employed as stages of the operation are phased out or upon cessation of the Use by Special Review activity. The proposed use of the reclaimed land will be developed water storage, and agricultural. The Cells will be mined and reclaimed at a 3:1 slope. Disturbed areas not used as water storage will have a minimum of 6" of top soil and will be revegetated with the approved seed mix. Reclamation will begin in each phase when mining in that phase is complete except for phase 1 which will be reclaimed last. 20. Describe the proposed fire protection measures. Fire protection will be provided by the Mountain View Fire District. The site facilities and equipment will be provided with fire extinguishers. 21. Explain how this proposal is consistent with the Weld County Comprehensive Plan per Chapter 22 of the Weld County Code. The proposed use is consistent with Chapter 23, Article 3, Division 1. A, which allows for open pit mining in Agricultural Zone Districts. 23. Monarch Mountain Minerals and Aggregates, LLC July 2022 CIVII krs-LRCrS USE BY SPECIAL REVIEW MINING QUESTIONNAIRE 1. Describe any active mining permits that the applicant holds within Weld County. The applicant does not hold any active mining permits other than this site in Weld County. 2. Describe the types, numbers and purpose of structures that will be built on -site and any operation and processing equipment and vehicles to be utilized, including overhead and below -surface conveyors and whether temporary or permanent. Proposed permanent improvements include four slurry walls for dry mining and post -mining water storage, and associated infrastructure to distribute water to and from water storage facilities. Most improvements will be present for the life or mining (including reclamation); improvements include an office, an aggregate plant, a drying and screening building and a dried sand warehouse. Dirt access roads will be constructed at the site as well as a ditch crossing. Overhead conveyors will be utilized to move aggregate from each cell to the plant site. Overhead conveyor crossings will be build either over or under Weld County Road 42 and the Western Mutual Ditch. The primary driveway to the aggregate plant will temporarily include signage, lighting, fencing/screening and landscaping as determined over the course of review. Parking will be located next to office and plant facilities. Equipment to be used: Scrapers, Dozers, Motor Graders, Excavators, Loaders and pick up trucks. 3. Describe the number of shifts and/or rotations to be worked and the average and maximum number of employees. A crew of 6 to 8 members will perform mining and aggregate processing work. Mining work is a daytime operation. Office staff may include a single scale operator, and an additional 2 to 4 persons housed in the shop and office facility depending on circumstances at the time. 4. Describe any groups of persons who may access the site on a typical, expected basis including visitors, deliveries, etc. In addition to persons working at the site, as described in response to the question above, the primary source of additional visits will be truck drivers receiving loads for delivery off -site. The aggregate operation is estimated to generate up to 250 trips (i.e., 125 outbound loaded trucks), up to 6 days per week. Incidental trips — on the order of 20 to 40 trips per day — are expected from vendors, mechanics, inspectors and others with occasional business at the site. The facility is not open to the general public. 5. Explain if the operation will involve a wet or dry pit and/or a slurry wall. Phases 2 through 5 will be slurry wall lined and dry mined. Stage 1 will be wet mined to establish the freshwater ponds and siltation pond. 6. Describe the size of the area (by acreage and depth) to be worked at any one time. The site will be mined in 4 stages. After each stage is completed the stage will be reclaimed and mining will begin on the next stage. The estimated depth to bedrock is 50-60 feet. Stage 1: Freshwater and Siltation Ponds (48 acres) Stage 2: Cell 1 (36 acres) Stage 3: Cell 2 (57 acres) Stage 4: Cell 3 (98 acres) Stage 5: Cell 4 (83 acres) 7. Describe the estimated timeframe that will be required for the various stages of the operation including site preparation, site construction, pit and stockpile development, mining and reclamation. Phase 1(Freshwater and silt ponds): The Operator will wet mine the freshwater and silt ponds. Mining will begin in the siltation pond and progress to the freshwater pond. The average rate of mining is expected to be approximately 750,000 tons per year. Given these rates it is expected that mining in Stage 1 will take Monarch Mountain Minerals and Aggregates, LLC July 2022 CIVII krs-LRCrs approximately 1 1/2 to 2 years. The freshwater and siltation ponds will remain open during the life of the mine and will be reclaimed following the cessation of mining at the site. Phase 2(Ce111): Assuming the same mining rates as Phase 1, Phase 2 is expected to take 4 to 5 years. Phase 3(Ce112): Assuming the same mining rates, Phase 3 is expected to take approximately 6 to 7 years. Phase 4(Ce113): Assuming the same mining rates, Phase 4 is expected to take approximately 13 to 14 years. Phase 5(Ce114): Assuming the same mining rates, Phase 5 is expected to take approximately 10 to 11 years. Reclamation will begin after completion in each stage and will be performed concurrently with mining in the next stage. 8. Describe the type of material and the depth and thickness of the mineral deposit to be mined and the thickness of growth medium and or overburden to be removed and stockpiled. The deposit consists mainly of sand and gravel with some lenticular clay deposits. The depth to bedrock ranges from 13 feet deep near the river to 58 feet deep to the east side of the site. Overburden is mainly sandy silt grading in to silty sand averaging approximately four feet in depth. 9. Describe the proposed use of reclaimed lands and an explanation of the reclamation process, including if any water storage is proposed post -reclamation. The proposed use of the reclaimed land will be developed water storage, agricultural, and wildlife habitat. The finished slopes of the reservoir will be no steeper than 3:1 for slopes mined at a 3:1. Disturbed areas not used as water storage will have a minimum of 6" of top soil and will be revegetated with the approved seed mix. 10. Explain and justify any request to operate beyond the standard Mining Operations Policies per Section 23-4-290.A and /or B of the Weld County Code. Such waivers may be considered and approved by the Board of County Commissioners. Not Applicable 11. Monarch Mountain Minerals and Aggregates, LLC July 2022 CIVII krS-1,LRCrS LEASE AGREEMENT This LEASE AGREEMENT (this "Lease") is made as of August 1O, 2021 (the "Effective Date"), by and between HS LAND AND CATTLE, LLC, a Colorado limited liability company ("Landlord"), and MONARCH MOUNTAIN MINERALS & AGGREGATES, LLC, a Georgia limited liability company ("Tenant"). RECITALS WHEREAS, Landlord owns the surface and mineral estates in and to an approximately 712 acres of real property located in Weld County, CO, which is more particularly shown and described on Exhibit "A" attached hereto, together with all mineral rights on and beneath the real property, all rights to all other substances on and beneath the real property, all roads, all rights and easements appurtenant to or benefiting the real property and all other appurtenances thereto (the "Property"), but excluding any water rights, buildings and other improvements thereof; and WHEREAS, Tenant desires to lease from Landlord the Property, for the purposes and on the terms and conditions set forth herein, but primarily for mining, exploration, development and production of sand, gravel, rock and other quarry products from and under the Property (the "Materials"), but excluding natural gas, petroleum, gold and precious minerals. Gold and precious minerals will be addressed under a separate agreement, if at all. NOW, THEREFORE, in consideration of the foregoing, the parties do hereby agree as follows: 1. Lease. Subject to the terms, provisions and conditions hereof, Landlord does hereby lease and rent exclusively unto Tenant, and Tenant does hereby lease and rent from Landlord, the Property. 2. Permitting; Due Diligence. In addition to any other conditions contained in this Lease, Tenant's obligations under this Lease are subject to and conditioned upon the satisfaction (or waiver by Tenant) of the following conditions precedent: (a) For a period of from and after the Effective Date (the "Permitting Period"), Tenant intends, at Tenant's sole cost and expense, to take such action as may be necessary to obtain all licenses, permits and other approvals necessary for Tenant to conduct its operations as contemplated in this Lease. Tenant may extend the Permitting Period by provided Tenant provides written notice to Landlord not later than 30 days prior to the expiration of the Permitting Period (or any extension thereof). Landlord agrees, at no cost to Landlord, to reasonably cooperate with Tenant in order for Tenant to obtain such license, permits and approvals. (b) During the Permitting Period, Tenant may, at Tenant's sole cost and expense, obtain a title commitment issued by a national title insurance company reasonably 1 acceptable to Tenant, showing that, as of the Effective Date, Landlord holds fee simple title to the Property and the Materials, together with legible and complete copies of all recorded documents referenced therein (collectively, the "Title Commitment"). In the event Tenant desires to obtain a leasehold title insurance policy based on the Title Commitment, Tenant shall be responsible for the payment of the title insurance premium therefor and Landlord agrees to execute such affidavits and other documents as may be required by such title company as a condition to its issuance of the leasehold title insurance policy. Tenant shall furnish Landlord with copies of any Title Commitment or title policy obtained by Tenant. (c) During the Permitting Period, Tenant shall, at Tenant's sole cost and expense, obtain a boundary survey prepared by a licensed land surveyor reasonably acceptable to Tenant (the "Survey") showing the boundary lines of the Property. The Survey shall otherwise be prepared in accordance with all applicable laws, rules and regulations. Tenant shall furnish Landlord with a co • of the Surve obt ' am ed b Tenant. (d) Tenant shall have the privilege during the existence of the Permitting Period of entering the Property with Tenant's agents, representatives or designees to inspect, examine, survey and undertake all engineering, environmental, or other tests which it may deem necessary or advisable. Landlord shall in no way be liable or responsible for any activities of Tenant within the Property, and Tenant shall do nothing which might create any lien or encumbrance upon the Property. Should anyone attempt to file a lien against the Property by reason of Tenant's activities, Tenant shall have the same canceled and discharged of record within ten (10) days after Tenant is first notified of the filing thereof Tenant hereby indemnifies and agrees to hold Landlord harmless from and against any and all liens which may arise as a result of Tenant's activities within the Property and against any and all claims for death or injury to persons or damage to properties arising out of or as a result of Tenant's going into the Property pursuant to the provisions of this Section 2(d) or otherwise. This indemnity shall survive any termination of this Lease. Tenant agrees to furnish to Landlord with the results of any testing conducted on the Property by Tenant pursuant to this Section 2(d), 3. Term. Provided Tenant has not provided a Termination Notice, the Lease term shall commence on the next calendar day after the last day of the Permitting Period (or such earlier 2 date as Tenant notify Landlord in writing) (the "Commencement Date") and shall terminate ten (10) years from the Commencement Date (the "Initial Term"). Notwithstanding the foregoing, if during the Term, Tenant determines, in the exercise of its reasonable business judgment, that Materials can no longer be economically extracted and removed from the Property, then Tenant may, upon thirty (30) days written notice to Landlord, terminate this Lease. Provided that no Event of Default has occurred and is then continuing, Tenant shall have four (4) option(s) (each, a "Renewal Option") to renew this Lease for additional terms of ten (10) year terms each (each, a "Renewal Term") by giving written notice to Landlord no later than sixty (60) days prior to the expiration of the Initial Term or the Renewal Term, as applicable. Upon Tenant's exercise of any Renewal Option in accordance with the terms hereof, the Tenn of the Lease shall be extended on the same terms and conditions as set forth herein, except that upon the exercise of a Renewal Option, the number of Renewal Options remaining shall be reduced accordingly. As used herein, the "Term" of this Lease shall mean the Initial Term and any Renewal Term(s) exercised in accordance with this Section 3, 4, Rent; Other Payments. Tenant covenants and agrees to pay Landlord the following payments for use of the Property: 3 (g) The Monthly Rent or Delayed Royalty, as applicable, shall be payable in arrears on the fifteenth (151x') business day of each calendar month. All rent payable hereunder shall be prorated on a daily basis for any partial month during the Term. Tenant shall keep written records of the amounts of Materials extracted and removed from the Property and such records shall be made available to Landlord upon its reasonable request for the purpose of verifying such amounts. Tenant shall have title to the Materials once they are extracted from the Property. 4 (h) Any amount due to Landlord hereunder which is not paid on the due date thereof shall bear interest at a per annum rate equal to ten percent (10%) for the period commencing from the due date to, but not including, the date on which such amount is paid. 5. Taxes. Landlord hereby agrees to pay all ad valorem or other real estate taxes imposed, levied or assessed against the Property arising during the period before the Term hereof, and Landlord represents and warrants that any and all such taxes due and owing on or prior to the Effective Date have been paid in full. Tenant hereby agrees to pay all ad valorem or other real estate taxes imposed, levied or assessed against the Property (excluding any improvements (other than Tenant Improvements)) arising during the Term hereof. Tenant hereby also agrees to pay, as additional rent, all taxes, assessments and governmental impositions which are imposed, levied or assessed against any personal property, machinery or equipment situated in, on or about the Property which belongs to Tenant or to any subtenant or other party lawfully claiming by through or under Tenant. In addition, Tenant shall pay any taxes or assessments due on the Materials extracted by Tenant. All such taxes, assessments and governmental impositions shall be paid prior to delinquency or the date penalties accrue thereon. If either party fails to pay such amounts timely, the other party may (but shall not be obligated to) pay any such amounts on the defaulting parties behalf, in which event the entire amount so paid shall be due and payable on demand from the defaulting party to the party which paid such amounts, together with interest at a per annum rate equal to twelve percent (12%) until repaid. 7. Utilities. Tenant hereby agrees to pay, directly to the utilities company furnishing same, all charges for or attributable to electric, gas and water utilized by Tenant on the Property during the Term. Landlord hereby represents and warrants that all utilities required for the mining of Materials from the Property in the manner currently or most recently mined enter the Property from adjoining public streets or by way of valid and transferrable private easements, and all utility lines and facilities are installed and operating, and all installation and connection charges have been paid in full. 8. Indemnity. Tenant hereby agrees to defend, indemnify and hold harmless Landlord from any and all claims, suits, actions, losses, liabilities, expenses and damages (including but not limited to reasonable attorneys' fees) ("Claims") for injury to or death of any person, or for damage to any property, to the extent resulting from or arising out of any negligent act or omission of Tenant or Tenant's contractors, employees or invitees occurring during the Term on or about the Property; provided Tenant shall have no obligations under this Section 8 with respect to (a) Claims to the extent arising from the negligence or more culpable conduct of 5 Landlord or any person or entity acting by, through or under Landlord, (b) Claims to the extent arising from events or circumstances existing or occurring prior to the Commencement Date, or (c) Claims settled by Landlord without the prior written consent of Tenant. The indemnification provisions in this Section 8 shall survive the expiration of this Lease. 9. Hazardous Materials. (a) Tenant shall abide by all Federal, state and local statutes, ordinances, codes and regulations, now existing or hereinafter enacted (collectively, "Hazardous Materials Laws") governing the use, handling, depositing or disposal of hazardous or toxic substances (collectively, "Hazardous Materials") during the Term. Landlord (i) represents and warrants that the Property is in compliance with all Hazardous Materials Laws as of the Effective Date, and (ii) shall be solely responsible for remediating any Hazardous Materials as may exist on the Property as of the Effective Date hereof. (b) Tenant shall indemnify, defend and hold harmless Landlord from and against any and all Claims to the extent arising out of the use, handling, depositing or disposal of Hazardous Materials on the Property during the Term, such indemnity to include all costs, expenses and liabilities associated with the remediation thereof or incurred in connection with each Claim with respect thereto, including, without limitation, reasonable attorney's fees and expenses. The indemnity of Tenant contained in this Section 9(b) shall survive the termination of this Lease. 10. Maintenance. During the Term, Tenant hereby agrees to maintain the Property and the Tenant Improvements (as hereinafter defined) in accordance with applicable laws and to make all repairs and replacements necessitated from the use and occupancy by Tenant of the Property for purposes of maintaining the Property in compliance with such applicable laws. During the Term, Tenant shall at all times keep and maintain the Property in a clean, orderly and sanitary condition and shall ensure its use of the Property is in compliance with applicable environmental rules and regulations. Safe and proper storage of all mined materials must be provided by Tenant. 11. Net Lease. It is intended that the Monthly Rent and other amounts payable hereunder by Tenant will be paid by Tenant and will be received by Landlord without any deduction, abatement, setoff, claim or counterclaim whatsoever by Tenant except as otherwise expressly permitted under this Lease. Tenant shall be responsible for all severance or other taxes related to its mining, production, and sales operations. 12. Use. (a) During the Term, Tenant and any permitted subtenant shall have all rights and privileges incident to ownership of the Property, including without limitation, the right to explore, develop, and mine the Property; to remove, crush, screen, and process Materials from the Property; to store the Materials on the Property; to manufacture, sell and distribute products made from the Materials; to sell or otherwise dispose of Materials from the Property; to place dirt, over- burden and other materials upon the Property; and the unrestricted right of ingress and egress at all times to the Property, pursuant to all of the terms of this Lease. In furtherance thereof, Tenant shall have the right to erect or have others erect, operate and maintain on the Property plants, buildings, fixtures and/or attachments necessary or convenient to the operations carried on by 6 Tenant on the Property; the right to install, operate and maintain on the Property power lines, poles, guy wires, water lines and other similar installations necessary or convenient to the operations carried on by Tenant on the Property and/or on other adjoining property leased or owned by Tenant; and the right to go in and out freely from the Property and/or other adjoining property leased or owned by Tenant, including the right to widen and improve existing roads and construct new roads, through and over the Property, in the manner that is most convenient for the operations of Tenant on the Property and/or on other adjoining property leased or owned by Tenant (collectively, the "Tenant Improvements"). The Tenant Improvements shall be constructed in compliance, in all material respects, with all applicable laws, permits and ordinances. The Tenant Improvements (excluding, for clarification purposes, any mobile and movable plants, buildings and equipment) shall become fixtures on the Property and shall remain with the Property at the termination of this Lease, unless Landlord advises Tenant to remove all or part of such Tenant Improvements, in which case, Tenant shall then do so at its expense on or before the expiration of earlier termination of this Lease. (b) Tenant may install, maintain, replace, and remove during the Term of this Lease any and all machinery, equipment, tools, and facilities which it may desire to use in connection with its activities on the Pro pert and/or on ad'oinin ■ro •ert owned or leased b Tenant. (c) Tenant shall acquire all federal, state and county permits required for its operations on the Property, as well as any required performance, reclamation or other bonds necessary to perform its operations. Landlord agrees, at no cost to Landlord, to reasonably cooperate with Tenant in order for Tenant to obtain such permits. Unless the same are transferred to Tenant, Landlord agrees to take any and all actions as may be necessary to maintain any water and water well rights and permits in full force and effect for the entire Term of this Lease. 13. Activities of Tenant. Tenant shall comply, in all material respects, with all applicable laws, rules and regulations of the United States and the State of Colorado relating to its use, occupancy and operations on the Property. Tenant shall not use, occupy or permit to be used 7 or occupied any portion of the Property for any purpose that is illegal. All development and activities of Tenant shall be conducted in such a manner as to prevent the pollution of potable or fresh water and the damage to the portion of the Property where there are no mining operations. Tenant agrees to conduct all operations in such a manner as is consistent with good mining practices. 14. Reclamation. Upon the expiration or earlier termination of this Lease, Tenant shall reclaim the portion of the Property disturbed by Tenant pursuant to this Lease in material compliance with all applicable laws and in material compliance with any reclamation plan entered into by Tenant. The mined areas will be reclaimed for future use as water storage vessels, either by use of slurry wall, clay liner, or other acceptable method, as feasible based on site conditions and the Tenants operational requirements. 15. Assignment and Sublease. Except as otherwise expressly set forth below, Tenant shall not assign or sublease the Property without the consent of Landlord, which consent shall not be unreasonably withheld, conditioned or delayed. Notwithstanding any other provision contained in this Lease to the contrary, Tenant may transfer its interest in this Lease or sublet all or a part of the Property to the following types of entities without the written consent of Landlord; provided, that Tenant shall have provided at least 90 days' prior written notice to Landlord, Tenant shall have obtained any required consents of applicable governmental authorities and any such assignment or sublease must be in compliance with Colorado law, including regulatory approval and the requirements of C.R.S. 34-32.5-119: (a) any affiliate of Tenant; provided, Tenant shall remain jointly liable with any such entity under this Lease; (b) any corporation, limited partnership, limited liability partnership, limited liability company or other business entity in which or with which Tenant, or its corporate successors or assigns, is merged or consolidated, in accordance with applicable statutory provisions governing merger and consolidation of business entities; or (c) any corporation, limited partnership, limited liability partnership, limited liability company or other business entity acquiring all or substantially all of Tenant's assets. 16. Tenant's Default. 8 17. Landlord's Remedies. 18. Landlord's Default. Landlord agrees that Tenant shall have the right in the event of default by Landlord to make payments on an encumbrance on the Property or obligations to pay taxes that directly threaten Tenant's possession of the Property. In the event Tenant makes such payments, Tenant may elect to offset such payments against sums due Landlord under this Lease. Notice of any Landlord default and opportunity to cure of not less than 90 days must be provided by Tenant to Landlord before Tenant may exercise any other rights and remedies as to any such claimed default. 19. Dispute Resolution. Landlord and Tenant agree that if a dispute arises between Landlord and Tenant in respect of this Lease (excluding failure to make payments when due): (a) Landlord and Tenant shall first attempt to resolve said dispute through discussions among responsible representatives of Landlord and Tenant, each acting reasonably and in good faith; (b) failing resolution of such dispute pursuant to Section 19(a) within 30 days of the commencement of such discussions, the Parties shall submit such dispute to an experienced mediator reasonably acceptable to Landlord and Tenant. The costs of any such mediation shall be shared equally by Landlord and Tenant; and (c) failing resolution of such dispute pursuant to Section 19(b) within 120 days of the commencement of such discussions contemplated by Section 19(a), either Landlord or Tenant may proceed with a civil lawsuit in the courts described in Section 24. 9 20. Condition of the Property. This Lease shall be binding upon and shall inure to the benefit of the parties hereto and their successors and permitted assigns. 23. Miscellaneous. This Lease constitutes the entire agreement between Landlord and Tenant with respect to the subject matters of this Agreement and supersedes all prior or contemporaneous oral or written agreements concerning such subject matter. This Agreement may be amended only by a written document duly executed by both parties. Fax and electronically transmitted signatures shall have the same force and effect as original signatures. Each party 10 represents and warrants to the other party that the individual signing this Lease on behalf of such party has the full authority to execute this Lease on behalf of the party on whose behalf he or she so signs, that he or she is acting within the scope of such authority, and that this Lease is binding upon such party. 24. Governing Law; Venue, Waiver of Jury Trial; and Severability. This Lease shall be governed by and construed in accordance with the laws of the State of Colorado. Each party hereby expressly consents to personal jurisdiction in the state courts located in Weld County, Colorado and the federal courts located in Denver County, Colorado for any lawsuit arising from or relating to this Agreement. EACH PARTY KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVES (TO THE EXTENT PERMITTED BY APPLICABLE LAW) ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY OF ANY DISPUTE ARISING UNDER OR RELATING IN ANY WAY TO THIS AGREEMENT AND AGREES THAT ANY SUCH DISPUTE SHALL BE TRIED BEFORE A JUDGE SITTING WITHOUT A JURY. If any provision of this Lease is invalid or unenforceable, the remainder of this Lease shall not be affected thereby but rather shall remain in full force and effect. 25. Quiet Enjoyment. Landlord hereby covenants with Tenant (a) that, provided no Event of Default has occurred and is continuing, neither Landlord nor any person or entity acting by, through or under Landlord shall interfere with the Tenant's peaceful and quiet enjoyment, use and occupancy of the Property, and (b) to warrant and forever defend title to the Property and Materials against any and all claims of any and all persons and entities whomsoever claiming all or any part thereof by, through or under Landlord. Landlord represents and warrants to Tenant that, as of the Effective Date of this Lease, Landlord is the sole owner of marketable fee simple title to the Materials and Property. In particular, but not in limitation thereof, Landlord warrants and represents to Tenant that there are no mortgages, deeds to secure debt, deeds of trust, financing statements or other such financing instruments encumbering all or any portion of the Property or the Materials. In the event it is determined, during the Term, Landlord owns an interest in the Materials less than all of the undivided fee simple estate therein, then the Monthly Rent shall be paid to Landlord only in the proportion which Landlord's interest bears to the whole undivided fee. Should a bona fide adverse claim arise to Landlord's title or right to rent, royalty or other sums due hereunder, Tenant may at its option pay such royalty or other sums to Landlord and such adverse claimant jointly, or deposit the same in the registry of a court of proper jurisdiction, and all liability of Tenant for payment thereof shall have been met and extinguished. 26. Counterparts. This Lease may be executed in one or more counterparts and by different parties on separate counterparts, all of which shall be considered one and the same agreement and each of which shall be deemed an original. 27. Memorandum of Lease. Landlord and Tenant shall execute in recordable form and Tenant shall have the right to record a memorandum of this Lease in a form reasonably satisfactory to Tenant and Landlord. Upon the termination of the Lease, at the request of Landlord, Tenant agrees to provide a recordable acknowledgement of such termination to Landlord. 28, Landlord's Lien/Security Interest. Tenant shall have the right at any time to encumber all or any portion of its interest in and to any furniture, removable fixtures or equipment located in the Property with a lien securing financing. Tenant shall allow no mechanic's liens or 11 other liens that may impair Landlord's real or personal property, excluding liens related to amounts not yet due or liens which Tenant is contesting in good faith through appropriate procedures (and for which a bond or other adequate security has been posted by Tenant). Landlord hereby waives any right of distraint or statutory lien for rent against Tenant's property on the Property that would permit Landlord to possess or sell Tenant's property before obtaining a judgment. Landlord does not waive any right to obtain and enforce any judgment lien or any pre -judgment rights and remedies other than those described above. 29. Non -Disturbance Agreement. If, as of the Effective Date, the Property is subject to any security deed, mortgage or deed of trust, then concurrently with the execution of this Lease, Landlord shall obtain from the holder of such security deed, mortgage or deed of trust and deliver to Tenant, the written agreement of such holder ("Subordination Agreement") in recordable form subordinating such security deed, mortgage or deed of trust to this Lease. Any such Subordination Agreement shall be in form and substance reasonably acceptable to Tenant. 30. Force Ma eure. 31. Additional Representations and Warranties of Landlord. In addition to the other representations and warranties contained in this Lease, Landlord further represents and warrants to Tenant as follows: (a) Generally. Landlord is a limited liability company duly organized and validly existing under the laws of the State of Colorado, and is duly qualified to do business and in good standing in each state in which Landlord conducts its business, including the state in which the Property is located, and Landlord has all requisite power and authority to enter into this Lease and to perform its obligations hereunder. This Lease constitutes legal, valid, and binding obligations of each Landlord, enforceable against each Landlord in accordance with its terms, except as such enforceability may be limited by bankruptcy, insolvency, moratorium, or other laws of general applicability affecting the rights of creditors and by general equitable principles. (b) No Violation. Neither the execution or delivery of this Lease nor the performance of Landlord's obligations under this Lease violates, or will violate, any material contract, agreement or instrument to which Landlord is a party or by which Landlord is bound or result in or constitute a violation or breach of any judgment, writ, order, injunction or decree issued against Landlord. (c) Litigation. There are no actions, suits, claims or other proceedings pending, or, to Landlord's knowledge, contemplated or threatened against Landlord or the Property 12 or the Materials that could materially affect Tenant's rights and obligations under this Lease. There are no actions, suits, claims or other proceedings (including, but not limited to condemnation proceedings) pending or, to Landlord's knowledge, contemplated or threatened against the Materials or the Property. (d) Consent. No consent of any third party or governmental agency or authority is required for the execution of this Lease by Landlord. (e) Brokerage. There are no brokers', finders' or referral fees or any real estate commissions payable by Landlord to any broker, agent or other party in connection with the negotiation or execution of this Lease or Landlord's leasing of the Property. Landlord shall defend, indemnify and hold harmless Tenant from and against any and all liability, loss, cost, damage and expense (including but not limited to attorneys' fees and costs of litigation reasonably and actually incurred) Tenant shall suffer or incur because of any claim by any broker or agent claiming by, through or under Landlord for any fee, commission or other compensation with respect to the transaction described herein. This Section 32(e) shall survive termination of this Lease. (f) Unrecorded Agreements. Landlord is not a party to and neither the Property nor the Materials is subject to any mineral leases, mineral right reservations or conveyances, or to any oral or written unrecorded agreements, excepting those related to oil and gas rights. Civil Resources, LLC 8308 Colorado Boulevard, Suite 200 Firestone, CO 80504 Re: Monarch-DENM Gravel Mine Traffic Study Weld County, Colorado Dear Mr. Regan: The purpose of this letter report is to document the results of a traffic analysis prepared for Monarch- DENM Gravel Mine, to be located along the west side of SH-60 between WCR-42 and WCR-46 in Weld County, Colorado. The project location is shown in the attached aerial exhibit and vicinity map of Figure 1. The attached Mine Plan illustrates the operational phases of the mine. The operation will start by establishing the siltation and freshwater ponds along the highway, then will begin mining in the southern areas of the site at Cell 1 and will progress northward. Access to the gravel mine will occur at one access to align as the west leg of the WCR-44 and SH-60 intersection. The gravel mine is anticipated to begin excavation use this year. The gravel mine is expected to be exhausted of material within the next 25 years. Therefore, analysis was conducted for the 2022 opening year horizon as well as a 2045 closing year horizon. Based on the proposed access condition for this project, the intersection of SCR -44 / SH-60 intersection was incorporated into this traffic study in accordance with Weld County and State of Colorado Department of Transportation (CDOT) standards and requirement. Regional access to Monarch-DENM Gravel Mine will be provided by US -85 and SH-60 while primary access to the site will be provided by WCR-44 and WCR-42. Direct access will be provided from a driveway proposed to align as the west leg of the WCR-44 intersection. EXISTING ROADWAY NETWORK The project site is currently vacant or agricultural land. The Town of Gilcrest is located approximately two and a half miles east of the site. SH-60 is a paved undivided roadway providing one through lane of travel in each direction, northbound and southbound. The northbound speed limit is 55 miles per hour while the southbound speed limit is 65 miles per hour through the study area. SH-60 intersects with WCR-44 in a T -intersection with stop control on the westbound approach of WCR- 44. WCR-44 west leg is currently a private access with a gate and does not provide stop control on the exiting approach. The existing intersection lanes and control for the study area intersection is shown in Figure 2. EXISTING AND FUTURE TRAFFIC VOLUMES Existing peak hour turning movement counts was conducted at the key intersection on Wednesday, December 1, 2021 during the morning and afternoon peak hours in 15 -minute intervals from 7:00 AM to 9:00 AM and 4:00 PM to 6:00 PM on this count date. Existing turning movement counts are shown in Figure 3. This value equates to an annual growth rate of 2.81 percent. SH-60 information from the CDOT Online Transportation Information System (OTIS) website is attached. Based on this, an annual growth rate of 2.81 percent was used to calculate future traffic volumes within the project study area to estimate the opening year 2022 volumes and closing year 2045 volumes. Traffic volumes for 2022 background traffic volumes are shown in Figure 4 while 2045 background traffic volumes are shown in Figure 5. TRIP GENERATION Site -generated traffic estimates are determined through a process known as trip generation. The number of employees as well as the number of truck trips in and out daily and per hour were identified for the gravel mine. The pit is expected to have 12 employees arriving and departing during the peak hours. These 12 employees driving their personal vehicles will enter the pit during the morning peak hour and 12 vehicles will exit the pit during the afternoon peak hour. The primary work hours for the gravel pit are between 6:00 AM and 6:00 PM Monday through Friday (five, 12 -hour days). Twelve (12) trucks per hour are believed to serve the pit. It is assumed that the 12 trucks will be entering and exiting during the morning and afternoon peak hours of the workday. These 12 trucks per hour would need 12 truck drivers. These drivers were assumed to arrive prior to the morning peak hour (before 6:00 am) and depart after the afternoon peak hour (after 6:00 pm). Therefore, these 12 employees truck driver trips in their personal vehicles are shown with no peak hour trips and 24 daily trips. Based on the estimates of 12 trucks needed for operations, it was estimated that 125 trucks daily, making 250 trips (125 round trips in and out) will access the gravel mine each 12 - hour day. Table 1 provides the trip generation estimate for the Monarch-DENM Gravel Mine. Of these, 36 trips are anticipated to occur during the morning and afternoon peak hours. TRIP DISTRIBUTION AND TRAFFIC ASSIGNMENT Distribution of project traffic on the street system for Monarch-DENM Gravel Mine was based on the area street system characteristics, existing traffic patterns, existing location compared to nearby population and service areas, and the proposed access system for the project. The directional distribution of traffic is a means to quantify the percentage of site -generated traffic that approaches the site from a given direction and departs the site back to the original source. Attached Figure 6 illustrates the expected project trip distribution for the Monarch-DENM Gravel Mine. Traffic assignment was obtained by applying the distribution of Figure 6 to the estimated traffic generation of the project shown in previous Table 1. Attached Figure 8 shows the 2022 background plus project traffic volumes for the Monarch-DENM Gravel Mine opening -year condition, while Figure 9 shows the 2045 background plus project traffic volumes for ending -year pit operations. TRAFFIC OPERATIONS ANALYSIS METHODOLOGY Kimley-Horn's analysis of traffic operations in the site vicinity was conducted to determine potential capacity deficiencies at the project key intersection for the opening 2022 year and closing 2045 year. The acknowledged source for determining overall capacity is the Highway Capacity Manual1. Capacity analysis results are listed in terms of Level of Service (LOS). LOS is a qualitative term describing operating conditions a driver will experience while traveling on a particular street or highway during a specific time interval. It ranges from A (very little delay) to F (long delays and congestion). For intersections and roadways, standard traffic engineering practice recommends LOS D as the minimum threshold for acceptable operations for intersections and LOS E for movements. Table 2 below shows the definition of level of service for unsignalized intersections. WCR-44 and SH-60 The intersection of WCR-44 and SH-60 operates with stop control on the westbound approach of WCR- 44. As shown in the table, the intersection movements currently operate acceptably with LOS B or better. With the addition of Monarch-DENM Gravel Mine project, the west leg will need to be reconstructed to provide access to the gravel pit. An R1-1 STOP sign is recommended to be installed for the exiting eastbound approach. Likewise, a northbound left turn lane is warranted along SH-60. With this condition and control, all movements at this intersection are expected to operate acceptably at LOS C or better in the 2022 opening year and LOS D or better in 2045. Based on traffic projections, the addition of project traffic on the west leg of WCR-44 along SH-60 is anticipated to increase existing traffic volumes by more than 20 percent. The traffic volumes accounted for passenger car equivalents with trucks counting as three (3) vehicles. Therefore, a CDOT Access Permit is anticipated to be needed at WCR-44 in association with this project. Auxiliary turn lane requirements were calculated based on the State of Colorado State Highway Access Code (SHAG) for the study area intersection to align with WCR-44 along SH-60. SH-60 is categorized as R -A: Regional Highway within the study limits. According to the State Highway Access Code for category R -A roadways, the following thresholds apply for implementation of auxiliary turn lanes: • A left turn deceleration lane with taper and storage length is required for any access with a projected peak hour left ingress turning volume greater than 10 vehicles per hour (vph). The taper length will be included within the required deceleration length. • A right turn deceleration lane and taper length is required for any access with a projected peak hour right ingress turning volume greater than 25 vehicles per hour (vph). The taper length will be included within the required deceleration length. • A right turn acceleration lane and taper length is required for any access with a projected peak hour right turning volume greater than 50 vehicles per hour (vph) when the posted speed on the highway is greater than 40 mph. The taper length will be included within the required acceleration length. Based on these thresholds and warrants contained in the Access Code, the R -A (Regional Highway) designation of SH-60, a 65 -mph posted speed limit on the southbound approach and a 55 -mph posted speed limit on the northbound approach, the anticipated project traffic volume in 2045 are as follows: kimley-horn.com 4852 South Ulster Street, Suite 1500, Denver, CO 80237 303 228 2300 Kimley*>Horn Monarch-DENM Gravel Mine 096548009 Page 5 WCR-44 and SH-60 • A northbound left turn deceleration is warranted based on the projected project traffic being 16 northbound left turns during the peak hour accounting for passenger car equivalents (PCEs) and the threshold being 10 vehicles per hour. Therefore, a northbound left turn lane is recommended to provide a length of 405 feet (380 feet of length + 25 feet of storage) plus a 220 -foot taper. When this northbound left turn lane is constructed, a southbound left turn lane could also be constructed since the northbound and southbound through lanes will be transitioned around the shadowed center area of the roadway to be used for the left turn lane. To meet CDOT requirements, the southbound left turn lane would require a length of 525 feet plus 300 -foot taper. Of note, the project traffic volume does contribute to the need of this left turn lane. • A southbound right turn deceleration lane is not warranted based on the projected project traffic being 16 southbound right turns during the peak hour with PCEs and the threshold being 25 vehicles per hour. Therefore, a southbound right turn lane is not warranted at the WCR-44 and SH-60 intersection. • An acceleration lane for the eastbound right to southbound through is not warranted based on the projected project traffic being 16 eastbound right turns during the peak hour and the threshold being 50 vehicles per hour. CONCLUSIONS AND RECOMMENDATIONS Based on the traffic analysis presented in this report, Kimley-Horn and Associates, Inc. believes the Monarch-DENM Gravel Mine will be successfully incorporated into the existing and future roadway network with the following recommendations from our traffic analysis (Figure 10 illustrates the recommended lane geometry and control): • It is anticipated that CDOT Access Permits will be required in association with the gravel mine for the west leg of WCR-44 along SH-60. • An R1-1 STOP sign is recommended to be installed on the eastbound approach of WCR-44 and SH-60. In addition, edge of pavement markings will need to be restriped to add the west leg to the intersection. • A northbound left turn lane is recommended to be constructed along SH-60 for the access to align with WCR-44. In addition, a southbound left turn lane is warranted based on existing traffic volumes, unrelated to this project. The northbound left turn lane is recommended to provide a length of 405 feet plus a 220 -foot taper. The southbound left turn lane could be constructed to mirror the warranted northbound left turn lane with a length of 525 feet plus 300 - foot taper. Environmental Noise Control 1. Executive Summary The following report provides a noise study of the proposed mining and processing operations at the Monarch Mountain site. The Monarch Mountain site is located in Weld County, Colorado and being permitted through the Use by Special Review (USR) permit process. Per Civil Resources, the industrial noise limit found in Colorado Revised Statutes 25-12-103 has been assigned to the site. To assess the noise levels associated with the project, a noise modeling analysis of the proposed Monarch Mountain operations was performed. Sound level data utilized in the Monarch Mountain mining and processing operations was based on file data of similar equipment collected by BAENC and used to construct multiple noise modeling scenarios using SoundPLAN 8.2 software. The predicted noise levels represent only the contribution of the project operations and do not include ambient noise or noise from other facilities. The noise modeling results listed in Table 1-1 indicate that the proposed mining and processing operations at the Monarch Mountain site are predicted to comply with the allowable CRS noise limits at all modeled receptor locations. Introduction The following report provides a noise modeling analysis of the proposed mining and processing activities at the Monarch Mountain site operated by Civil Resources. This study has been conducted in relation to the Industrial Zoned allowable noise limits found in the Colorado Revised Statutes (CRS) 25-12-103 noise regulations. The noise modeling includes the proposed phases and mechanical equipment of the mining and processing operations at the Monarch Mountain site per project documents provided by Civil Resources. The Monarch Mountain site (40.304381, -104.811172) is located west of the intersection of County Road 60 and County Road 44 as shown in Figure 2-1. To assess the operational noise levels of the proposed Monarch Mountain site, file noise level data previously measured and typical of the mining and processing equipment was utilized in the noise modeling. Noise Fundamentals Sound is most commonly experienced by people as pressure waves passing through air. These rapid fluctuations in air pressure are processed by the human auditory system to produce the sensation of sound. The rate at which sound pressure changes occur is called the frequency. Frequency is usually measured as the number of oscillations per second or Hertz (Hz). Frequencies that can be heard by a healthy human ear range from approximately 20 Hz to 20,000 Hz. Toward the lower end of this range are low-pitched sounds, including those that might be described as a "rumble" or "boom". At the higher end of the range are high-pitched sounds that might be described as a "screech" or "hiss". Environmental noise generally derives, in part, from a combination of distant noise sources. Such sources may include common experiences such as distant traffic, wind in trees, and distant industrial or farming activities. These distant sources create a low-level "background noise" in which no particular individual source is identifiable. Background noise is often relatively constant from moment to moment but varies slowly from hour to hour as natural forces change or as human activity follows its daily cycle. Superimposed on this low-level, slowly varying background noise is a succession of identifiable noisy events of relatively brief duration. These events may include the passing of single -vehicles, aircraft flyovers, screeching of brakes, and other short-term events. Environmental Noise Control 4. Noise Standards The Monarch Mountain site is located in Weld County, Colorado and being permitted through the Use by Special Review (USR) permit process. Per Civil Resources, the industrial noise limit found in Colorado Revised Statutes 25- 12-103 has been assigned to the site. 4.1 CRS 25-12-103 Noise Standards The modeling analysis was developed to predict operational noise levels at code compliance points and verify compliance of operations with the Colorado Revised Statutes (CRS) 25-12-103 noise standards. The CRS code establishes permissible sound levels by type of property and hours of the day. Based on the specifications of CRS 25-12-103, the industrial noise level limits listed in Table 4-1 are applicable to the site and will be used to assess the noise impact of the site. Monarch Mountain Operations Noise Modeling Methodology 5.1 Noise Modeling Methodology The noise modeling was completed with use of three-dimensional computer noise modeling software. All models in this report were developed with SoundPLAN 8.2 software using the ISO 9613-2 standard. Noise levels are predicted based on the locations, noise levels and frequency spectra of the noise sources, and the geometry and reflective properties of the local terrain, buildings and barriers. To ensure a conservative assessment and compliance with ISO 9613-2 standards, light to moderate winds are assumed to be blowing from the source to receptor. The predicted noise levels represent only the contribution of the Monarch Mountain mining and processing equipment operations and do not include ambient noise or noise from other facilities. Actual field sound level measurements may vary from the modeled noise levels due to other noise sources such as traffic, other facilities, other human activity, or environmental factors. Table 5-1 lists the modeled equipment and associated source sound power levels for the proposed Monarch Mountain mining and processing operations. Sound level data utilized in the Monarch Mountain mining and processing operations was based on file data of similar equipment collected by BAENC during an operational sound level survey. Monarch Mountain mining and processing equipment placement and orientation was provided by Civil Resources. The predicted modeling results are dependent on equipment and orientation as indicated. The modeling results are inclusive of the mechanical equipment listed in Table 5-1 only and assumes simultaneous operation of all noise sources. This study has been conducted in relation to the Industrial Zoned allowable noise limits found in the Colorado Revised Statutes (CRS) 25-12-103 noise regulations. The noise modeling includes the proposed phases and mechanical equipment of the mining operations at the Monarch Mountain site per project documents provided by Civil Resources. Average Sound Level See Equivalent -Continuous Sound Level A -Weighted Sound Level, dB(A) The sound level obtained by use of A -weighting. Weighting systems were developed to measure sound in a way that more closely mimics the ear's natural sensitivity relative to frequency so that the instrument is less sensitive to noise at frequencies where the human ear is less sensitive and more sensitive at frequencies where the human ear is more sensitive.
