SYMPOSIUM AND AUTHORIZE DEPARTMENT OF HUMAN SERVICES TO SIGN AND
SUBMIT ELECTRONICALLY - THE WELD TRUST
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Grant Application for the Workforce
Symposium from the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Services, to The Weld
Trust, commencing June 26, 2023, with further terms and conditions being as stated in said
application, and
WHEREAS, the Board has been presented with a Grant Agreement for the Workforce
Symposium between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Services, and The Weld
Trust, commencing July 1, 2023, and ending October 31, 2023, with further terms and conditions
being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said application and
agreement, copies of which are attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Grant Application and Agreement for the Workforce Symposium
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Services, and The Weld
Trust, be, and hereby are, approved.
BE IT FURTHER RESOLVED by the Board that Karina Amaya-Ragland, Department of
Human Services, be, and hereby is, authorized to electronically submit said application,
retroactively as of June 27, 2023.
BE IT FURTHER RESOLVED by the Board that Karina Amaya-Ragland, Department of
Human Services, be, and hereby is, authorized to electronically sign and submit said agreement,
retroactively as of July 26, 2023.

Workforce Symposium Funding
Please review and indicate if you would like a work session prior to placing this item on the
Board's agenda.
Request Board Approval of The Weld Trust Grant Agreement for the Workforce
Symposium Funding. Employment Services of Weld County (ESWC), in conjunction with
Larimer County Economic and Workforce Development, hosts an annual one -day Workforce
Symposium for workforce leaders in Northern Colorado. This year's theme, A time of Growth,
will explore the cutting -edge strategies and best practices in driving business growth through
dynamic leadership skills and building workforce.
ESWC has applied for grant funding through The Weld Trust to support the Workforce
Symposium facilitation of a keynote speaker, the venue (Aims Community College Welcome
Center), and/or breakfast and lunch refreshments.
On July 19, 2023, ESWC was notified that they were awarded $3,000.00 for the period July 1,
2023 through October 31, 2023, and is now requesting to enter into an agreement for these funds
with The Weld Trust.
I do not recommend a Work Session. I recommend approval of this Grant Agreement and authorize
the Department to sign and submit electronically by Wednesday, July 26, 2023.

Employment Services of Weld County, in conjunction with Larimer County Economic and Workforce Development, host an annual one -day event

Why is this event important to your organization?
Across the nation, September is declared Workforce Development Month. Although Weld and Larimer counties are structured differently and
have unique and diverse personalities, we strive to outweigh our unique differences by coming together regionally for Workforce Development
Month. This event is important for a multitude of reasons, the primary is that we are committed to developing and ensuring that talent remains
in the Northern Colorado region. The Symposium allows us to meet the need of industry demands, while providing actionable workforce
solutions. Additionally, business has come to expect this event as it is one of a kind. No other Workforce Center in Colorado hosts a Symposium,
which has resulted in the event being widely recognized by the Colorado Department of Labor and Employment, the Colorado Workforce
Development Council, and the Colorado Urban Workforce. Alliance.

The Workforce Symposium planning committee consists of personnel from Employment Services of Weld County, the Weld County Public
Information Office, Larimer County Economic & Workforce Development, Aims Community College, the Workforce Excellence Group, and the
Fort Collins Chamber. Each entity donates their time. This year's event will consist of five sessions repeated three times with the Keynote
Speaker during lunch. The goal is to have attendees leaving highly motivated and encouraged to continue their personal and professional
growth, as well as that of their business.

The grant of funds in the amount set forth above (the "Grant") from The Weld Trust ("TWT") to the organization named
above (the "Grantee") as described herein, is conditioned upon Grantee agreeing to each of the following terms and
conditions of this Grant Agreement (the 'Agreement").
1. Grantee Representations and Warranties; Tax -Exempt Status: Grantee represents and warrants that (a) it has full right,
power and authority and has received all authorizations necessary to accept the Grant from TWT on the terms and conditions
contained in this Agreement and to enter into and fully perform this Agreement and that this Agreement, when executed by a
representative of Grantee, will be binding on Grantee; (b) Grantee is either (i) recognized by the Internal Revenue Service as a
tax-exempt organization within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1986, as amended (the
"Code"), or (ii) a governmental unit described in Section 170)c))1) of the Code, and (c) Grantee is a publicly supported
organization described in Code sections 509(a)(1) or 509(a)(2). Grantee agrees to immediately notify TWT of any change or
proposed change in Grantee's tax-exempt status or purposes. Grantee further understands and agrees that if Grantee's tax-
exempt status changes or is terminated or if Grantee's tax-exempt purposes change, TWT reserves the right to terminate the
Grant.
2. Use of Funds: Grantee agrees that the use of the Grant is restricted solely for the specific purpose as described in TWT
grant application identified below:

The Grant Purposes referenced in the application shall be used only for charitable, educational, or scientific purposes within
the meaning of Section 170(c)(2)(B) of the Code. The funds shall be designated as Restricted Funds for accounting purposes.
The Grant funds may not be used (1) to carry on propaganda, or otherwise to attempt to influence any legislation (within the
meaning of Section 4945(d)(1) of the Code); (2) to participate or intervene in any political campaign on behalf of, or in
opposition to, any candidate for public office by publishing or distributing statements, or in any other way; or (3) to support
any activity that is prohibited to (i) a corporation exempt from federal income tax under Section 501(c)(3) of the Code; or (ii) a
corporation, contributions to which are deductible under Section 170(c) of the Code. Any income earned from the investment
of the Grant funds must be utilized for the Grant Purposes. Grantee shall not apply any of the funds advanced under this
Grant to the payment of general or unallocated overhead, whether imposed as a percentage of direct expenditures or
otherwise, unless TWT, in writing, expressly permits Grantee to do so. Grantee will notify TWT in the event any portion of the
Grant funds are unable to be used for the Grant Purposes within the Grant Period (defined below). Grantee understands and
agrees that if it is unable to expend the Grant funds for the Grant Purposes within the Grant Period, any unused portion of the
Grant funds must be returned to TWT within 60 days of the final day of the Grant Period unless TWT authorizes an alternative
use of such funds, which authorization shall be in writing and agreed upon in an addendum to this Agreement.
Grantee agrees Grantee shall not jeopardize the tax-exempt status of TWT in its use of grant funds and shall comply with the
following:
a. Grantee shall use the funds provided under the Grant consistent with the purposes of TWT; and
b. Grantee covenants and agrees that its use of the funds shall not constitute private inurement as that term is defined under
the Code; and
c. If Grantee uses the Grant funds to purchase services from others the services purchased will be at Fair Market Value in an
arm's length transaction.
3. Restricted to Use in Weld County: Grantee agrees that Grant funds shall be used exclusively for the benefit of Weld County
residents or inside Weld County.
4. Budget: Expenditures of Grant funds must adhere to specific line items in the budget submitted by Grantee. Slight
deviations of specific line items are permitted, but changes of 15 percent or greater to a line item must be approved in
advance by TWT.
5. Grant Period: The Grant Period will be identified above and Grantee agrees that all funds must be expended during the
"Grant Period".
6. TWT's Status as a Supporting Organization: Grantee understands and agrees that it is the intent of the parties that the
Grant will not adversely affect TWT's status as a supporting organization of The North Colorado Medical Center Foundation,
within the meaning of Section 509(a)(3) of the Code, and that the Grant will be used to further the purposes and mission of
TWT. The Parties agree that this Agreement shall be read and understood to further the purposes and mission of TWT.
Grantee understands that it is eligible for funding from TWT because it is part of a class of organizations which provide health
and/or education in Weld County.
7. Reports: Grantee shall provide written reports to TWT, an interim report, (6 months into the Grant Period when applicable)
which shall be provided by the Organization and a final report (at the conclusion of the Grant Period), which shall be provided
by the Organization. These reports shall be provided on report forms provided by TWT to Grantee, and Grantee will provide
conclusions, share progress toward the measurable goals defined in the application, and describe how funds were expended
to achieve the Grant Purposes.
8. Quality of Performance. If, as the result of the consideration of reports and information submitted to it by Grantee or from
other sources, TWT, in its sole discretion, determines that continuation of the Grant Purposes is not reasonably in the interest
of the general public or that the Grant Purposes are not being carried out in substantial compliance with this Agreement or
that Grantee is incapable of satisfactorily completing the work of the Grant Purposes, TWT may, in its sole discretion (i)
withhold payment of funds until in its opinion the situation has been corrected, (ii) terminate the Grant and/or (iii) Grantee
shall return all unexpended Grant funds to TWT. It is understood and agreed that all such determinations by TWT under this
paragraph are in its sole and absolute discretion and will be final, binding and conclusive upon Grantee, without recourse.
9. Publicity: To the extent practical, Grantee agrees to provide a minimum of three high resolution (300dpi or greater) images
of work in the field. These images may be sent to TWT at any time during the Grant Period but no later than the end of the
Grant Period. Grantee agrees that TWT may use, with the completed release of information form signed by photo subjects or
their parent or guardian, these images to educate the public about the activities of TWT. TWT agrees that Grantee may
publish news about the Grant to media, social channels, and via internal and external avenues as long as TWT provides its
prior approval of content and name and logo usage. If Grantee or any of its employees submits for publication, or publishes
any information concerning the Grant or the outcomes obtained from the Project funded by the Grant, Grantee shall
acknowledge TWT as having provided funds to support the Project.
10. Records and Review: Grantee will maintain its books and records in such a manner that the receipts and expenditures of
the Grant funds will be shown separately on such books and records in any easily checked form. Grantee will keep records of
receipts and expenditures made of Grant funds as well as copies of the reports submitted to TWT and supporting
documentation for at least three (3) years after completion of the use of the Grant funds, and will furnish or make available
such books, records, and supporting documentation to TWT for inspection at reasonable times from the time of Grantee's
acceptance of the Grant through such period. TWT may, at its expense and on reasonable notice to Grantee, audit or have
audited the records of Grantee insofar as they relate to the activities funded by this Grant.
11. Gifts: Grantee warrants and represents that it has not and will not give any gifts or gratuities above a nominal amount of
any kind to TWT, its board members, or staff. (This restriction includes certificates, plaques, or similar mementos.)
12. Relationship: Grantee agrees that the acceptance of this Grant does not create any relationship with TWT (including a
joint venture or employment relationship) other than Grantee's status as a recipient of a voluntary grant made by TWT.
13. Obligations: Grantee acknowledges and agrees that TWT's making of this Grant does not create any right, expectation, or
contractual obligation on the part of TWT to make any future grants.
14. Agreement; Amendment: This Agreement sets forth all terms of the Grant and replaces all prior understandings and
agreements. Any modification or amendment will be made only in writing signed by an authorized officer of Grantee and
TWT.
15. Applicable Law: This Agreement will be construed in accordance with the laws of the State of Colorado.
16. Termination; Return of Funds: Grantee agrees that if it fails to satisfy any of the terms or conditions of this Agreement, or
if sponsored event is not held, TWT may terminate the Grant. If TWT terminates the Grant, it shall so notify Grantee,
whereupon Grantee, if so requested by TWT, shall promptly refund any unexpended balance of the Grant funds in Grantee's
hands or under its control and/or pay back any funds that were spent in violation of this Agreement. Alternatively, TWT
reserves the right to discontinue, modify, or withhold funds if Grantee is not in full compliance with this Agreement.
17. Contingencies:
This Agreement must be agreed to and signed by a duly authorized officer of Grantee.
