Dear Mineral Owner,
In connection with the sale by Verdad Resources LLC (Seller) and Noble Energy, Inc., a Delaware
corporation (Buyer) whose address is 2001 16th Street, Suite 900, Denver, Colorado 80202, of certain oil and gas
related assets in Weld County, Colorado related the Weld County Lease listed on the attached Exhibit A.
Pursuant to the Agreement, Seller hereby requests your consent to the assignment by seller of its right, title and
interest in the Agreement listed on Exhibit A and the oil and gas property burdened thereby or subject thereto to
Buyer.
Please acknowledge your consent to and approval of the foregoing by signing and dating this letter agreement in the
space provided below and returning an executed copy of the letter agreement to:
