The standard authorization form is attached. I redlined the "grading, building, access, OWTS" since we are not asking for any of those on your property. I think this should just be saying that RTD is authorizing us to pursue Planning. Is this something we can get a signature on? If RTD is unwilling to sign a form like this I think an email to that effect would work as well. Second item, I am going to touch base with Erie again this week about the weeds. There is still snow on the ground and we haven't been able to mow anything. However you indicated that we need to be in contact with someone in RTD Property Mgmt about the vegetation management plan. Can you make that connection for us? Bob 2 COLORADO RAILBIKE ADVENTURES 4121 County Rd 3, Erie 80516 USR Planning Narrative 1. Proposed Use and Business Name We propose to operate a commercial outdoor recreation and event business located at 4121 County Rd 3 in Erie. Our primary use will be for events and ticket sales related to railbike excursions on our custom railbikes riding on the leased RTD tracks from County Road 5 to Highway 287. Supplemental events like birthday parties, corporate events and the possibility of private events like weddings would be in scope for the property and buildings in non-scheduled hours activity. The name of our business is Colorado Railbike Adventures, LLC. 2. Need for the Use —The property is adjacent to the leased RTD railroad right-of-way and convenient to the surrounding areas. These historic tracks are the original alignment of the Denver and Boulder Valley Railroad, Colorado's oldest branch line railroad dating to 1871. The business will provide a unique outdoor recreation opportunity, raise awareness of and preserve historical identity in Weld County, and generate economic activity in jobs and sales for railbike tours and related event activities. 3. Current and Previous Use of the Land The current use of the USR parcel 146707000022 (4121) is AG zoned rural residential outside of a homesite or subdivision with a single residence and incidental agricultural outbuildings. Proximity to Residences 4121 CR3 is bordered to the east by open oil -and -gas property, to the south by two single-family homes setback 90' and 116' from the parcel boundary, and to the north by the RTD ROW and CR 1-1/2. There are three residences to the north across CR 1% and across the RTD ROW that are more than 340' from the parcel boundary. The proximity to residences along the RTD ROW is an existing land -use feature. i.e. all neighboring property owners are aware that they are adjacent to a railroad corridor and all owners will be notified by CRBA of the new use of the tracks per the lease agreement. 5. Surrounding land -uses —The immediately surrounding parcels are all Ag zoned, rural residential or oil and gas properties. The broader RTD ROW is already zoned for railroad operations as a use by right with the tracks passing through a variety of land -uses including public open space, Old Town Erie Urban Renewal Area, and single-family residential. The Erie Regional Trail borders the RTD right -of way from Coal Creek west. 6. Hours and Days of Operation— The business is mostly seasonal with peak operations occurring between May and December and guests on -site anytime from sunrise to evening hours depending on route schedules and events. Each railbike "tour" lasts about 2 hours from orientation and loading through to deboarding. Tours schedules vary based on seasonal daylight hours and post -sunset events like lantern rides and lighted holiday rides. Generally, the last tour of the day starts before sunset and returns just after sundown. The operating season will open in early spring (late April, early May) with primarily weekend -only hours. During the summer season (June -Sept) our schedule will span Tuesday -Sunday. In the fall (Oct -Nov), schedules will drop back to select weeknights and weekends. Thanksgiving — New Year's we are planning on holiday rides on select weeknights and through the weekend both during daylight and after dark. Schedules will vary based on seasonality, weather, and demand and are subject to change. 7. Number of Employees The business requires a staff of 15-20 employees with 6-8 employees working any given shift. Some of these will be full-time employees, others part-time. When a daily schedule covers more than 8 hours there will some form of rotation or variable hours. 8. Maximum Number of Customers —Customer load is fixed by the number of available seats in the railbike fleet. Each railbike seats 4 adults and up to 2 children. We plan on a maximum capacity of 72 adult customers per departure. Actual seats sold will be something less than 100% of capacity on any given tour. Customers arrive up to 30 minutes before their tour time for check - in, orientation, and loading. Therefore, as the tours overlap, there will be up to 144 people on site, dropping back to less than 72 while the tours are out on the rails. Events would be capped at the appropriate capacity for our parking lot and approved capacity of event venue permits but not more than 150 people. 9. Animals —There are no animals involved in the business. 10. Operating Equipment —Operating equipment will primarily be 15-20 railbikes. These are 2- or 4 - seat pedal -powered vehicles that roll on railroad tracks. We may also have 1 or 2 powered rail speeders for track maintenance or guide vehicle operation with the possibility of pulling a trailer for 'hay ride' tours for ADA accessibility, kids birthdays or other special events. Rail speeders are 10-20 hp 4 -wheeled rail inspection vehicles commonly used by railroad operations. We will also have incidental maintenance equipment like mowers and utility vehicles. 11. Existing and Proposed Structures —The existing structures on the site are the single-family home and associated outbuildings. At the Station/loading area we plan on having a 14x24 "Depot" for check -in and merchandise and accessory storage buildings to shelter equipment. We are also planning to build an event facility/barn with permanent restrooms after the initial operating season. The event facility would be used for birthday parties, corporate events, and similar group gatherings associated with or outside of railbike operations. 12. Stockpile, Storage, or Waste Areas —We will have an appropriately screened waste and recycling area and contracted waste management for the facility. 13. Debris Removal Methods —The railbike operation will generate minimal waste which will be removed through a waste disposal collection service contract. 14. Timetable for Construction On planning approval we will start the build out of the site. This primarily involves spreading a parking lot, moving the Depot and turn -around buildings onto the site, and conducting vegetation management along the ROW (primarily mowing and tree trimming). We anticipate a 3 -month construction period with the business opening by June 1, 2023. 15. Lot Surface Type The parking lot surface is proposed to be recycled asphalt millings or gravel. 16. Existing and Proposed Parking Surfaces —There is no existing parking other than parking on the grass. We propose to provide a 125x130 (16,250 sf) parking lot with 60 parking spaces. The parking area will be surfaced with reclaimed asphalt millings to provide a permeable parking surface. Two ADA-compliant parking spaces will be provided at the Depot. 17. Existing and Proposed Fencing —There are a few areas along the RTD ROW that are fenced, primarily where neighboring landowners have stock. There are no existing fences at the Depot. We propose to build a post -and -rail or buck fence along the east edge of the railbike area along CR3 to define the edge of the property as well as along CR 1 %. We will also establish fencing between the railbike areas and the residential use at 4121 CR3. There are no other plans for fencing or screening outside of recycling/waste and any portable restroom facilities. 18. Existing and Proposed Landscaping —The existing landscape at the Depot is prairie pastureland and that will be maintained and enhanced with additional native trees and grasses for aesthetics and screening — especially along CR 3. We plan to incorporate some seasonal landscaping (potted plants) for color around the Depot, but the overall goal is a low-water natural historical landscape. 19. Reclamation Procedures The proposed enhancements to the property are consistent with agricultural buildings and use cases. If/when the business operations cease, the property will easily adapt to other agricultural uses whether private or other business as approved and permitted by the county. 20. Fire Protection Measures —The proposed business area is covered by the Mountain View Fire Protection District and the closest station is at 50 Bonanza Dr, Erie (1.3 miles) from the Depot. There are two different fire concerns for the railbike operation —structural fire at the Depot or storage barns and wildland fire throughout the project. Structural fire is addressed by code compliant construction (electrical, etc) and through a safety and operations plan. Fire extinguishers in the buildings will be the primary response. Wildfire prevention is covered by policies on ignition sources (no smoking on the tracks); fuel management to keep grasses down; fire control equipment (extinguishers, tools) during maintenance -of -way work. 21. Weld County Comprehensive Plan —The proposed railbike business is consistent with the Weld County Comprehensive Plan, Chapter 22. Specifically: a. Preserves/maintains the agricultural potential of the project area. There are no permanent alterations to the prairie grassland type. b. Harmonize with surrounding land uses —Commercial recreation and events use cases are found throughout the Ag zoning in southwest Weld County. Railbikes are low -noise, no emissions use of the existing railroad ROW. The proposal will preserve and enhance the historical identity of this significant feature (the Denver and Boulder Valley Railroad) c. It will foster economic development through direct and indirect jobs. Railbike guests are likely to patronize area restaurants. d. The project is environmentally sensitive and sustainable with low-water and low -energy inputs. e. Finally, this USR creates a historically unique Weld County outdoor recreational activity and event space that will have regional draw. Railbiking is a healthy outdoor activity that will contribute to a higher quality of life for Weld County residents. 22. Compatibility with Zoning —The parcel is zoned Ag with Use by Permit for Commercial Recreation and Event space. Our location and railbike operation will provide guests with an opportunity to pedal through historic Ag landscape, a form of agri-tainment/agri-tourism. 23. Compatibility with Future Development —The project area is currently unincorporated Weld County running through the heart of Erie. The Town of Erie has envisioned the railroad corridor as being a connecting trail between Old Town and subdivisions that are developing further east. The corridor connects all the way to 1-25 and the new Erie Gateway project. Town open space like the Coal Creek Disc Golf facility, Linear Park, and Reliance Park all connect through this corridor. Railbikes are compatible with this vision of the future, using the ROW for outdoor recreation and connection. At some point in the future, RTD may develop the corridor for interurban public transportation. 24. Health, Safety, and Welfare of Weld County Residents Railbikes are low -impact, no -emission economic activity that will have minimal to no negative impacts on neighboring Weld County residents. Weld County residents will benefit from having access to a unique healthy outdoor recreational activity. Direct and indirect jobs created by the business will materially benefit Weld County residents. 25. Irrigation Features —There are no irrigation features on our current site plan 26. Overlay Districts —There are no known overlay districts for the USR parcel 27. Status of State and Federal Permits —We have not applied for any state or federal permits for the commercial recreation and event facility but plan to comply with any/all permitting requirements. The overall railbike operation (check -in, maintenance, recordkeeping, inspection, equipment, etc) will be permitted by the Colorado Department of Oil and Public Safety, Amusement Ride and Devices Division. This requires annual inspection by a 3rd party engineer to verify compliance. Additionally, grade crossing operations are overseen by the Colorado Public Utilities Commission. We have had extensive discussions with PUC and conducted a crossing diagnostic visit at CR3, Briggs, and 119th. There is no permitting required but our operating procedures must comply with PUC and Federal Railroad Administration requirements. This is explicitly referenced in the lease agreement with RTD. COLORADO RAILBIKE ADVENTURES 4121 County Rd 3, Erie 80516 USR Environmental Health Questionnaire 1. Existing and Proposed Potable Water Source There is no existing potable water source along the RTD right-of-way. The parcel at 4121 County Rd 3 is served by Left Hand water and has a well for household use (#110870). However, these residential sources will not be used by the business. For the first operating season we propose to provide potable water to the business and patrons by contracted water delivery services (bottled water). Handwashing stations will be contracted with the portable toilet service. The Site Plan also shows an "event" structure. After the first season we will determine whether the event structure will be a tent with separate permanent restroom facilities or a pavilion/barn with permanent restrooms and water. At that point potable water could be served by Left Hand or by contract delivery. 2. Existing and Proposed Sewage Disposal -There are no existing sewer/waste disposal connections on the site. For the first operating season, toilets will be rental portable facilities for seasonal use. At the end of the first season we will determine whether the restroom facilities will be built into an event barn or developed as stand-alone permanent facilities. Sewage disposal could be provided by contract pumping or septic field. 3. Storage/Warehousing-We will have shed/barn(s) to provide seasonal storage for equipment. This includes storing the railbikes through the winter, storing seasonal decorations, storing merchandise inventory, and storing accessory equipment. 4. Storage/Stockpile of Wastes, Chemicals, Petroleum --Incidental amounts of gasoline and oil will be kept on site for maintenance equipment like chainsaws, lawnmowers. Miscellaneous chemicals like bug spray and cleaners may also be kept on site. 5. Fuel Storage -Fuel storage on site will be incidental to the use of maintenance equipment such as chainsaw or lawnmower. Per CFR 1926.152 we will store no more than 20 gallons of fuel in approved containers. We will have a spill kit available in the storage location. 6. Vehicle Washdown-We will not be washing down equipment on site. 7. Floor Drains None 8. Air Emissions Incidental emissions like dust during mowing, exhaust from mowers and chainsaws. 9. Design and Operations Plan N/A 10. Nuisance Management Plan —N/A 11. Dust Abatement Plan --Most of the project area will be undisturbed grassland. The primary approach to minimizing dust will be to maintain native grass cover and avoid ground -disturbing activities. Mowing will likely be the primary source of fugitive dust along the right-of-way. We will minimize mowing (2 times per year) consistent with the weed ordinance and we will avoid mowing in windy conditions. The traveled surfaces of the parking lot and access road are potential sources of dust. We will reduce dust here by: 1) using reclaimed asphalt millings for surfacing (lower dust emissions); 2) minimizing travel speed to less than 10 mph; 3) providing vegetative windbreak screening between the parking lot and CR3; 4) orienting the narrow dimension of the parking lot perpendicular to primary winds; and 5) addressing dusty conditions through application of dust abatement materials (e.g., calcium chloride) as needed. 12. Waste Handling Plan —There will be incidental amounts of personal waste such as water bottles, candy wrappers, packaging. We will provide trash cans at various points around the site to encourage proper disposal of materials, we will provide trash collection on the ride with bags on the crew vehicles, and we will contract for regular waste disposal services using rolling lidded bins. During mowing operations we will also collect any trash along the right-of-way with bags on the MOW support equipment. 13. Additional Information --Note that our lease with RTD also includes specific requirements about hazardous materials. "Hazardous Materials. Lessee shall not use, produce, treat, generate, release, discharge, store, transport, or cause to be transported, or dispose of any Hazardous Materials at, on, under, in, or about the Premises in violation of applicable law. "Hazardous Materials" shall mean any and all substances, chemicals, wastes, or other materials now or from time to time defined or characterized as hazardous substances or hazardous wastes pursuant to laws or regulations of any government authority having jurisdiction over the Premises, the State of Colorado, or the United States, or otherwise posing a present or potential risk to human health, welfare, or the environment. Hazardous Material Releases. The Lessee shall not cause, or allow others to cause, any pollution, hazardous materials, solid waste, sewage, chemicals, or wastewater of any kind to be deposited or otherwise released to the environment on any part of the Premises. In the event of a release, the Lessee must follow any and all regulatory reporting requirements including but not limited to Colorado Department of Public Health and Environment. The Lessee shall additionally notify the County in the event of any spill or release as well as RTD." COLORADO RAILBIKE ADVENTURES 4121 County Rd 3, Erie 80516 USR Public Works, Drainage Narrative The proposed railbike business will operate on 34 acres of RTD ROW and approximately 2 acres of private land (Parcel 146707000022). This drainage narrative covers the entire project area. The lease with RTD stipulates that we are responsible for maintaining the existing drainage structures along the railroad ROW. This includes culvert inspection and cleanout, ditch and swale maintenance, and vegetation clearance (brush and tree trimming and removal) to keep the existing drainage operating as designed. There will be no land -disturbing activities in the railroad ROW or alterations to the existing drainage network. On the approximately 2 acres of private land, we propose to add several small portable buildings (less than 1000 sf total), incidental gravel walkways, and a parking area. The parking area will be about 65 x 310, "20000 sf) and it will consist of 3-4" of reclaimed asphalt millings (RAP) with parking bumpers to delineate diagonal parking spaces. The remainder of the site will be undisturbed natural prairie pasture. The soil of the 2 -acre Depot area is Nunn clay loam with slopes less than 2% (very flat). All of the existing drainage is overland flow/infiltration to the N -NE boundary of the property (i.e., there are no defined ditches, drains, or waterways on the property). There is a significant berm from waterline construction that blocks any flow to the east and to the ditch along CR3. A swale along the railroad ROW at the north boundary of the property channels any excess runoff to a concrete culvert that passes under CR 1-1/2. Table 1. Walsh and Associates (1991) measured permeability through a Nunn profile at Rocky Mountain Arsenal and found the limiting permeability rates were 0.01-0.14 in/hr below 8". The proposed alteration to the site is the RAP -covered parking area. CDOT (Locander 2009) measured the properties of RAP as base course and found average permeability rates of 98"/hr. They classified RAP between clean sand and coarse gravel in terms of relative permeability. The proposed parking area will have significantly higher permeability than the surrounding undisturbed soils. In fact, the void space in the RAP will actually serve as a detention buffer for rainfall on the parking area. Based on this analysis we are requesting an exemption from stormwater detention based on Exception #8 the proposed use does not increase the imperviousness of the site. Figure 1. Traffic Narrative Colorado Railbike Adventures, LLC 4121 County Rd 3 Erie, CO Project Background: Colorado Railbike Adventures, LLC (CRBA) is proposing to operate a railbike excursion outdoor recreation activity in Weld and Boulder Counties. Railbikes are human - powered 4 -wheeled railroad vehicles that are grouped into "tours". A tour leaves the loading station, pedals out to a turn -around location where the railbikes are rotated on the tracks to travel back to the original starting point. Tours last about 2 hours and consist of 15-20 railbikes. CRBA has a lease from RTD that covers the railroad right-of-way from CR 5 to Highway 287 in Boulder County. However, the primary route for tours will be between CR3 and E County Line Road (Fig 1). The proposed loading "Depot" and customer parking will be located at 4121 CR3. 4121 CR3 is currently a private residence with an existing driveway access on to CR3. The proposed business will share the existing driveway access point. Traffic Flow: There are multiple routes for traffic to the location. Traveling to the south and west (Lafayette/ Boulder) would likely route along CR3 to Erie Parkway. Traveling to the east (I- 25) could be either CR3 to CR10 and south on CR5 or CR3 to Erie Parkway and then east. Traveling to the northeast (Ft Collins, 1-25) would be CR3 north to Hwy 52. Traveling to the northwest (Longmont) would be CR3 to CR1O-1/2 and then west to County Line Rd. To downtown Erie would be CR3 to CR 1-1/2. For the purpose of traffic analysis we assume that half the traffic heads north from the site and half heads south. The business is seasonal with principal operations between April and December. Last ride of the day is tied to sunset time and thus varies through the year. There are no operations between January 1 and March 31. Table 1. Tickets are sold with advance reservations. We assume an actual seat utilization of 80% (48 customers per tour). We further assume an average of 2.5 customers/vehicle or 20 vehicles per tour. Customers arrive in a narrow window about 30 minutes prior to their tour for check -in, orientation, and loading. They depart over a longer period depending on post -tour engagement (Fig 2). Maximum traffic occurs when a tour arrives. The highest daily roundtrips shown in Table 1 will occur on Saturdays and the lowest daily roundtrips will occur on weekdays. Lights include: a) Solar -powered parking lot lights (50W Donati or similar). These lights will be pole -mounted, about 12' high and aligned with the length of the parking lot. Photometric data shows that each pole -mounted light should illuminate a circle of about 40' diameter at a level of 7 fc on the ground. These lights will only be on during business hours. b) Track -side pole -mounted lighting using narrow flood (PAR) LED bulbs. There will be four poles along the tracks by the Depot to illuminate the loading/unloading area. The beam angle will be less than 90° so the diameter of the illuminated ground will be approximately 18'. These lights will only be on during business hours. c) Depot lighting exterior lights over the doors. These lights will be on dusk -dawn for security purposes. d) Low -voltage pathway lighting to illuminate walkways between the Depot and the parking area and between the Depot and the tracks. Some of these lights will be on from dusk -dawn for safe access to the Depot. e) Ambience lighting over seating and outdoor activity areas (like the cornhole court) similar to edison-style patio lights. These lights will only be on during business hours. The nearest neighbors are the parcels to the north across CR 1-1/2. From the parking lot these homes are 600', 900', and 1000' away. RECITALS WHEREAS, RTD owns the Boulder Industrial Lead in Adams, Weld and Boulder Counties, Colorado for future mass transit purposes; WHEREAS, CRBA desires to use and occupy the portion of the Boulder Industrial Lead between County Road 5 (MP 21.17) and US Highway 287 (MP 27) as described below to operate tours of pedal -powered cars ("railbikes") over existing railroad tracks and related activities; WHEREAS, RTD desires to lease the Premises (defined below) to CRBA for this purpose; and NOW THEREFORE, in consideration of the mutual covenants herein, the receipt and sufficiency of which are hereby acknowledged the Parties agree as follows: ARTICLE 1. PURPOSE AND DESCRIPTION OF PREMISES A. Purpose. Lease will be for the sole use, occupancy, and operation of CRBA. B. Description of Premises. The property subject to this lease is the section of the Boulder Industrial Lead from US Hwy 287 (approximately milepost 26.97) to County Road 5 (approximately milepost 21.1) (the "Premises"). The Premises include rails, ties, other track materials, sidings, switches, ballast, supporting embankments and substructures, drainage ditches and swales, culverts, railroad grade crossings, mile markers, signage, passenger loading platforms, parking facilities, and other structures necessary for, or related to, railbike excursion operations and maintenance. A more detailed description of the Premises is set forth in the annexed Exhibit A to this Lease. ARTICLE 2. CONDITION AND LIMITATIONS, RESTRICTIONS ON USE A. Use. RTD has no actual knowledge of third parties with rights to the Premises that would interfere with the uses contemplated under this Agreement. RTD covenants it will not provide any other parties with rights to the Premises that would be reasonably likely to interfere with the uses contemplated under this Agreement. B. Prior Interests. RTD shall retain all rights in and usage of the Premises. This Agreement is subject to existing interests, easements, leases, licenses, and permits (if any) previously granted, reserved, or held by RTD, its predecessors in interest, or any other person or entity affecting any of the Premises, whether of record or not. Lessee's use of the Premises shall not interfere with RTD's use and/or maintenance of RTD facilities and the RTD Property, nor with the needs and requirements of RTD's easement beneficiaries, licensees, or lien holders, nor with the use of their improvements on the Premises. 1 Colorado Railbike Adventures Lease Rev Oct 2021 Lease Agreement March 18, 2022 C. Limitation of Use for Lease. This is a Lease granted to the Lessee for the purpose of railbike operations, parking, and certain related activities. Permitted uses are inclusive of ticket and merchandise sales; food concessions; maintenance and repair of equipment; storage; parking for workers, vendors, and visitors; and other activities related to the operation of a tourist railbike excursion business. D. Premises Use Reservation. RTD shall at all times have the right to construct and/or maintain and to permit others to construct and/or maintain in, over, under and or along the Premises; i) any road, bridge, and/or supporting structures and ii) any snowmobile, bicycle and/or hiking or walking trails and/or paths and/or crossings; iii) any overhead and/or underground pipes, conduits, cables, including fiber optic cables, wires, water pipes, sewer pipes lines and/or utilities of any kind or nature, now or hereafter installed in, upon, under, or across the Premises, and to use, repair and remove the same. E. Restrictions on Facilities and Improvements. Lessee will not alter or improve any of the Premises, including by improving existing crossings, without the prior written consent of RTD, which shall not be unreasonably withheld. Lessee will submit plans to RTD Engineering prior to beginning work and RTD agrees to provide timely review and approval within sixty (60) days. RTD may require inspection of any facilities or improvements and Lessee will accommodate inspection. Notwithstanding the foregoing, the Lessee may, however, immediately address or correct hazardous conditions (such as leaning trees) with subsequent notice to RTD. F. Enter and Inspect. RTD may enter inspect the Premises and is permitted to enter the Premises during the Term to monitor the uses and activities of the Premises. RTD will not take any actions that may be reasonably likely to interfere with the activities of the Lessee on the Premises unless in response to a violation of Lessee's safety plan. ARTICLE 3. CONDITIONS PRECEDENT A. Conditions Precedent. As conditions precedent to the effectiveness of the commencement date, the following must be provided to Lessor no later than the Effective Date as that term is defined below: a) CRBA initial site plan approved by RTD b) Electric Utility approval from utility and RTD c) Town of Erie approval of CRBA site plan and appropriate building permits or certificate of occupancy ARTICLE 4. TERM AND SEMI-ANNUAL LEASE FEE B. Term. This Agreement shall become effective upon the last date of execution by both parties ("Effective Date") and shall commence immediately upon Lessor's written acceptance of all conditions precedent ("Commencement Date"). This Agreement shall remain in effect for five (5) years from the Commencement Date or until earlier termination in accordance with this Agreement, whichever occurs first ("Term"). C. Semi Annual Lease Fee. Licensee should include "LM -252", on all rent payments. Failure to include such lease number on payment may delay the timely receipt of such payment. F. Payment Suspension. Payments may be suspended in the event of the interruption of Lessee's use of the Premises for a period greater than 30 days due to events outside of Lessee control such as natural disaster or grade crossing construction. Lessee must provide written notice of the interruption of use and Lessee's intent to suspend payments pending resolution of the interruption at least 30 days prior to next payment period. The payment schedule will resume with both parties written consent on the next payment schedule date with any adjustments pro -rated for the duration of the suspension. G. Renewal Term Option. Subject to Article 7, Section B, Lessee may renew this lease for another 5 -year term by notifying RTD in writing at least 90 days prior to the end of the Term. Lessee may exercise this option provided Lessee is not then in default in the performance of any of the material terms or covenants of this Agreement at the time of exercise and that Lessee has satisfied all its conditions under this Agreement. The Lease Fee during the five-year renewal period shall be the last Semi -Annual Lease Fee with continued extension of the $2,000 per annum escalations. ARTICLE 5. OBLIGATIONS OF LESSEE A. FRA Compliance. The Lessee understands and agrees that Lessee's railbike excursions are to operate under all applicable Federal Railroad Administration ("FRA") and Colorado Public 3 Colorado Railbike Adventures Lease Rev Dec 2021 -RBR Lease Agreement March 18, 2022 Utilities Commission ("PUC") Rules and Regulations, if any such rules are applicable to the operations of the Lessee, or become applicable anytime during the Term. B. Compliance with all laws. The Lessee shall comply with all applicable local, county, state, federal laws, permits, ordinances, statutes, rules and regulations. This shall include but is not limited to: the Americans with Disabilities Act, Occupational Safety and Health Administration, the Colorado Department of Labor and Employment, Division of Oil and Public Safety and any and all environmental laws, regulations, and statutes. Lessee shall operate all food and drink concessions in accordance with all applicable state and local regulations and laws. Lessee shall maintain appropriate business licenses. C. General Maintenance of Premises. Lessee is responsible for maintaining the entire Premises in a neat and clean manner and addressing any unsafe, hazardous, nuisance or unsightly conditions, including but not limited to, graffiti, vandalism, overgrowth of vegetation, obstruction by fallen trees and branches, storage of waste or refuse, and/or presence of other potential nuisances or hazards to the adjoining properties or the general public. This shall include a minimum of mowing the entire Premises at least twice during each growing season. Lessee will remain liable for any damage to the Premises as the result of its use of the Premises. D. Rolling Stock Lessee will own and maintain any rolling stock necessary for its intended purpose in good working order consistent with relevant safety standards. E. Drainage structures. Lessee is responsible for inspecting and keeping ditches, culverts, and swales clear of woody debris, plant material, sediment, or other waste that blocks or impairs the functioning of existing drainage structures. F. Vegetation management Lessee will conduct mowing and control of vegetation within the Premises. Lessee is responsible for removal of fallen trees or large branches that block or obstruct the tracks or drainage structures. Trees growing within the Premises may be pruned or removed at the discretion of the Lessee. Trees growing within the limits of the outside of the ties will be removed by the Lessee to maintain integrity of the ballast. G. RTD Equipment Lessee shall not use RTD equipment, tools, or furnishings located in or about the Premises without prior written approval by RTD. H. Hazardous Materials. Lessee shall not use, produce, treat, generate, release, discharge, store, transport, or cause to be transported, or dispose of any Hazardous Materials at, on, under, in, or about the Premises in violation of applicable law. "Hazardous Materials" shall mean any and all substances, chemicals, wastes, or other materials now or from time to time defined or characterized as hazardous substances or hazardous wastes pursuant to laws or regulations of any government authority having jurisdiction over the Premises, the State of Colorado, or the United States, or otherwise posing a present or potential risk to human health, welfare, or the environment. I. Hazardous Material Releases. The Lessee shall not cause, or allow others to cause, any pollution, hazardous materials, solid waste, sewage, chemicals, or wastewater of any kind to be deposited or otherwise released to the environment on any part of the Premises. In the event of a release, the Lessee must follow any and all regulatory reporting requirements including but not limited to Colorado Department of Public Health and Environment. Rail infrastructure. Lessee's responsibility for maintaining track, ties, ballast, and supporting structures is limited to addressing conditions related to railbike operations. K. Safety Plans. Lessee shall be responsible for safety related to all aspects of its work under this Agreement. Lessee shall obtain all health, fire, and other relevant safety regulations, work practices, and procedures prescribed by law and by RTD and shall ensure that Lessee's agents are notified of, understand, and abide by such laws, rules, and procedures at all times. Lessee shall provide to Lessee's agents all required personal protective equipment and other equipment required for the safe performance of railbike operations or other work under this Agreement. Lessee will implement and maintain the Operations Plan and Safety and Evacuation Plan attached as Schedule B to this Agreement. L. Liens. Lessee shall not permit any lien, claim, or other charge to be placed on the Premises, and Lessee shall promptly cause any such lien, claim, or charge to be removed. If any mechanic's lien, claim, or other charge is filed against the Premises, Lessee shall discharge the same of record by a release or bond within 30 days after the filing of any notice of such lien, claim, or other charge. This provision shall survive termination, in whole or in part, of this Agreement. M. Vendors. Lessee may not sublease this Agreement without prior written consent of RTD. Notwithstanding the foregoing, Lessee may enter into contracts with third -party vendors to allow access to the Premises in support of providing concessions, activities, maintenance, and other activities. ARTICLE 6. LESSOR OBLIGATIONS A. Notice and Interruption of Operations. RTD will use its best efforts to provide 60 days written notice to CRBA for any construction and/or maintenance in, over, under and or along the Premises that would close track access on either eastbound or westbound routes from County Line Road. Any closure of track between April 1 and December 31 greater than two days (2) will allow CRBA to apply for a prorated rent recourse on the next rent payment equal to the closure timeline. B. Damage from Natural Events, At RTD's discretion, RTD may repair any significant damage to the Premises caused by natural events beyond Lessee's reasonable control such as flood, wind, or wildfire, or other federal or State -declared disasters events, unless such repairs are required by local, state, or Federal laws or regulations. C. Limitation on Repair RTD does not owe a duty to repair to the Lessee and the recourse of the Lessee will be limited to either a recalculation of Lease Fees to account for the period of non-use OR termination of this Lease. D. Grade Crossings. RTD is responsible for any grade crossing maintenance, upgrade, or modification as determined by the PUC pursuant to 4 CCR 723-7, 7200. RTD is not responsible for any grade crossing maintenance, upgrade, or modification solely related to Lessee's operations or use of the Premises. ARTICLE 7. TERMINATION 5 Colorado Railbike Adventures Lease Rev Dec 2021 -RBR Lease Agreement March 18, 2022 A. Termination for Failure to Satisfy Conditions Precedent: If, for any reason, Lessee fails to satisfy the conditions precedent described in Article 3 by July 1, 2022), this Agreement shall automatically terminate in its entirety on the day after such date. B. Termination by RTD: a) RTD may suspend or terminate this Agreement for convenience with 180 days' notice to Lessee. b) RTD may suspend or terminate this Agreement immediately if the Lessee is unable to pay it debts when due, or makes any assignment for the benefit of creditors, or files any petition under the bankruptcy or insolvency laws of any jurisdiction, or has a receiver or trustee appointed for its business or be adjudicated as bankrupt or insolvent. c) RTD may suspend or terminate this Agreement immediately if the Lessee fails to carry insurance as required by Article 8. d) In the event of Lessee's material violation of any of the material terms of this Agreement, RTD may suspend or terminate this Agreement in part or in full, effective immediately upon Lessee's receipt of RTD's written termination notice. C. Termination by Lessee. The Lessee may terminate this Agreement for convenience upon sixty (60) days written notice to RTD. D. Closeout Requirements. Upon termination by RTD, termination by Lessee, or the natural expiration of this Agreement, the Lessee shall comply with all reasonable RTD closeout procedures, including but not limited to removal of all of Lessee's property and equipment no later than 180 days following the termination or expiration of the Agreement. ARTICLE 8. LIABILITY A. Lessee shall be responsible for any damage to any property, including the Premises or other RTD property, Lessee's property, adjacent property, utilities, adjacent structures, and other third party real and personal property on or under the Premises that is related to Lessee's use of the Premises. Lessee shall either promptly repair such damage or pay damages to the reasonable satisfaction of the owner of the damaged property, in either case at no cost to RTD. RTD and Lessee shall notify one another of any such damage and any potential claims arising out of such damage. B. Lessee shall, and shall require Lessee's agents to, indemnify, defend, and hold harmless RTD and its officers, directors, employees, agents, and lessees against and from all claims (including without limitation actions, demands, expenses, costs, attorneys' fees, court costs, and judgments) arising out of or caused by Lessee's use of the Premises. In the event of any claims made or suits filed, each Party shall give the other prompt written notice, and RTD shall have the option to defend or reasonably settle the same as to claims or suits made against it, without effect as to Lessee's obligations under this Agreement. C. Nothing in this Agreement shall be deemed to waive any of RTD's privileges or immunities pursuant to the Colorado Governmental Immunity Act, C.R.S. $ 24-10-101, et seq. D. The provisions of this Article shall survive the termination, in whole or in part, of this Agreement. ARTICLE 9. Lessee shall, throughout the Term of this Agreement, procure and maintain, and shall require that Lessee's agents, with the exception of individual Lessee employees, procure and maintain, the following types of insurance, at a minimum, with an insurer or insurers and in a form satisfactory to RTD. All insurance policies shall name RTD as an additional insured, with the exception of Workers' Compensation and Employers' liability Insurance. 1. Commercial General Liability Insurance with contractual liability endorsement, which shall provide coverage for limits of not less than $1,000,000 each occurrence and an aggregate limit of at least $4,000,000, and shall also include, but not be limited to, coverage for bodily injury, property damage. The Commercial General Liability policy shall include the Limited Pollution Liability Extension, ISO form CG2415 10 01 and the endorsement for Contractual Liability — Railroads, ISO form 247 10 01. 2. Automobile Liability Insurance. Which shall provide coverage for not less than $1,000,000 each occurrence and an aggregate of $4,000,000 sufficient to cover all automotive vehicles owned by Lessee. 3. Umbrella/Excess Liability Insurance. An umbrella/excess liability policy may be procured to meet the requirements of the Commercial General Liability insurance limits. 4. Workers' Compensation and Employers' Liability Insurance covering all employees of Lessee, wherever they may be in the United States of America so long as they are engaged in the work covered by this Agreement. The policy or policies shall cover the entire liability of Lessee as determined by the workers' compensation laws of the state or states under which such liability arises, and shall contain, so far as it is lawful to obtain, a waiver of insurer's right of subrogation against RTD for payments made to or on behalf of employees of Lessee. Employers' Liability Insurance shall provide coverage for limits of not less than $500,000. 5. Prior to the effective date of this agreement, Lessee will furnish RTD with a certificate of the required insurance for each of Lessee's policy(ies). Lessee shall provide 30 days' advance notice of cancellation of such policy(ies) by registered or certified mail. Certificates of insurance shall be provided to the RTD Manager of Real Property as provided in this Agreement. 6. Each insurance certificate required above shall have the following endorsements attached: 1. An endorsement naming RTD an additional insured, except on Workers' Compensation and Employers' Liability Insurance; 2. An endorsement evidencing coverage for a liability assumed under an insured contract for liability assumed by Lessee and Lessee's Agents; 3. A Broad Form Property Damage endorsement if the policy does not provide for the equivalent coverage; and 4. Waiver of subrogation in favor of and acceptable to RTD. D. In the event of reduction or exhaustion of the applicable aggregate limit or limits of liability under the primary policy or policies referred to in the certificate of insurance solely by reason of losses paid under this Agreement on account of occurrences during the policy period, the excess policy, if any, referred to in the certificate shall (1) in the event of reduction, apply as excess of the reduced limit of liability thereunder; and (2) in the event of exhaustion, continue in force as though it were primary insurance. For claims covered by the insurance specified in this Agreement, the insurance coverage shall be primary and non- contributory insurance with respect to the insured, additional insured parties, and their 7 Colorado Railbike Adventures Lease Rev Dec 2021 -RBR Lease Agreement March 18, 2022 respective members, directors, officers, employees, and agents, and it shall specify that coverage continues notwithstanding the fact that Lessee and Lessee's Agents have left the Premises. E. The insurance shall apply separately to each insured and additional insured party against whom a claim is made or suit is brought, except with respect to the limits of the insurer's liability. F. Liability of Lessee under this Agreement shall not be limited to coverage provided under the required insurance policies. ARTICLE 10. NO WARRANTY A. RTD does not grant nor purport to grant any right to Lessee not specifically set forth in this Agreement. B. The right to use the Premises is granted subject to their "AS IS" physical condition without any warranty, express or implied. C. Lessee specifically assumes all risk of loss, damage, or destruction to any tools, equipment, or materials, if any, that Lessee stores on the Premises whether the loss, damage, or destruction results from accident, act of God, the elements, severe weather, theft, or vandalism. ARTICLE 11. NOTICES A. Assignment Lessee may not assign this Agreement, or any part or interest in this Agreement, without the prior written consent of RTD. No RTD-approved assignment shall release Lessee from any liability under this Agreement. Any assignment in violation of this Agreement shall be null and void. B. Agreement Binding. This Agreement and all of the covenants, terms, and conditions in this Agreement shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns. C. Execution in Counterparts. This Agreement (and each amendment, modification, and waiver in respect of this Agreement) may be executed and delivered in counterparts, each of which will be deemed an original, but all of which when taken together shall constitute a single contract. Delivery of an executed counterpart of a signature page to this Agreement shall be effective as delivery of a manually executed counterpart of this Agreement. D. Governing Laws; Jurisdiction and Venue. The laws of the State of Colorado and applicable federal, state, and local laws, rules, regulations, and guidelines govern this Agreement. Jurisdiction and venue for all disputes shall be in the City and County of Denver and Lessee expressly submits itself to such jurisdiction. E. Amendment This Agreement may not be amended except in writing by mutual agreement of the parties, nor may rights be waived except by an instrument in writing signed by the Party charged with such waiver. F. No Agency. It is expressly understood and agreed that RTD and Lessee do not intend to be and shall not in any respect be deemed agents of each other. G. Headings. The headings in this Agreement are inserted for reference purposes only and are not restrictive as to content. H. Waiver: Severabi/ity. The failure of either Party to exercise any right under this Agreement, or to insist upon strict compliance by the other Party, shall not constitute a waiver of either Party's right to demand strict compliance with the terms and conditions of this Agreement. If any provision of this Agreement is held to be unenforceable for any reason, its unenforceability shall not affect the remainder of this Agreement, which shall remain in full force and effect and enforceable in accordance with its terms. I. Legal Authority. Lessee warrants that it possesses the legal authority to enter into this Agreement and that it has taken all actions required by its procedures, bylaws, and/or applicable law to exercise that authority, and to lawfully authorize its undersigned signatory to execute this Agreement and to bind Lessee to its terms. The person(s) executing this Agreement on behalf of Lessee warrant(s) that such person(s) have full authorization to execute this Agreement. J. No Dedication; Third Parties. Nothing in this Agreement shall be deemed to be a gift or dedication of any portion of the Premises to the general public or for any public use or purpose whatsoever. Except as specifically provided in this Agreement, no rights, privileges, or immunities of either Party shall inure to the benefit of any third party, nor shall any third party be deemed to be a beneficiary of any of the provisions contained in this Agreement. K. Breach. L. Applicable laws; Violation. Lessee shall use the Premises in a safe and careful manner and shall comply with all applicable ordinances and regulations of the jurisdiction in which the Premises is located; federal, state, and local laws; and all other rules of governmental authorities as may be in force and effect during the term of this Agreement. If at any time the use of the Premises by Lessee violates applicable ordinances or laws, Lessee shall desist from continuing as quickly as practical after receiving written demand by RTD. M. Entire Agreement. This Agreement represents the entire agreement between the parties regarding the Premises. N. Electronic Signatures. This Agreement may be executed by electronic signature, which shall be considered as an original signature for all purposes and shall have the same force and effect as an original signature. Description of Ride Railbikes are 4 -wheeled, pedal -powered vehicles that operate on standard gauge railroad track. There are several railbike designs including 2 -seater and 4 -seater versions. Some may have e - assist motors integrated into the pedal drive train. Each railbike includes an operator -activated braking device, passenger restraints, and incidental onboard storage. 2 v October 2021 A railbike excursion venue has a fleet of (10-20) railbikes operating over a fixed route of track. The route starts at the Depot and proceeds to a Turnaround Camp. Patrons arrive at the Depot, check -in, and are assigned to a railbike. After a pre -trip briefing, patrons board their bikes with the assistance and oversight of staff. A staff -operated lead railbike heads the tour and a staff - operated railbike will trail the group. Railbikes are spaced out several hundred feet apart as they leave the loading point at the Depot. Each bike is operated and controlled by the patron(s) aboard. Speed is limited by the gearing of the railbikes and by the pace set by the lead railbike. At grade crossings staff manage traffic and ensure safe transit (see Grade Crossing Procedures). At the Turnaround point of the route, patrons disembark from their bikes, staff move each bike onto a turntable and rotate the bikes on the tracks. When all the bikes in the group have been turned, patrons re -load and the group proceeds back to the starting point at the Depot. 3. Duties of Assigned Staff Stationmaster —The Stationmaster is the overall shift supervisor on site during operation. They are located at the main depot/loading point. At the beginning of the shift the Stationmaster is responsible for completing the daily railbike inspections and pre -opening inspection (Section 10 below). For each trip, guided by the trip manifest, the Stationmaster will make sure that patrons are properly assigned to their bike(s) and that any special accommodations are provided. Prior to departure, the Stationmaster will offer the patron safety briefing and answer any questions. During the trip the Stationmaster will be in communication with the trip Conductor to address any unusual events that may occur. The Stationmaster is the primary contact with external emergency response services if warranted. The Stationmaster will also be responsible for monitoring weather and making any decisions to postpone or cancel trips due to hazardous weather conditions. Conductor —The Conductor is the head staff member on the railbike tour. Prior to departure the Conductor and crew members will check with each patron and verify that they are properly seated and secured and understand safety procedures. The Conductor will ride on the lead railbike. They are responsible for watching the tracks during the trip for any unsafe conditions such as debris on the rails. The Conductor will be in communications contact with the Stationmaster during the trip. At the turnaround point the Conductor will indicate where arriving patrons should stop and disembark. The Conductor will oversee turning the bikes. They are also responsible for timely re -loading and departure for the return trip. On return to the Depot the Conductor will disembark and then indicate where arriving patrons should stop and dismount. Crew Member Each trip will be accompanied by at least three Crew members. Prior to the trip, Crew members will assist patrons in adjusting seats, loading gear, and securing seat belts. At least one Crew member will ride on the lead railbike with the Conductor. This crew member is responsible for watching the trailing railbike group and alerting the Conductor to any issues (stopped bike or hand signal). At grade crossings a Crew member (the Flagger) from the lead railbike will dismount and execute the Stop -and -Flag procedures detailed below. After the 3 v October 2021 group of railbikes has made the grade crossing, the Flagger will get on the trailing crew bike and continue the trip. Crew members on the trailing crew bike are responsible for watching the group of railbikes for any indications of issues (stopped bikes or hand signals). The trailing crew bike will be in communications contact with the Conductor. At the Turnaround point, crew members will assist in turning the railbikes and helping patrons reload for the return trip. At the end of shift, crew members will secure the railbikes either on track or in the storage container. Flagger--A flagger is a crew member who is properly trained and certified (C.R.S. 43-5-308 and 49 CFR Part 234) to execute "Stop -and -Flag" traffic control at grade crossings (Section 5.5 below). The flagger will be equipped with a vest, shirt, or jacket of a high visibility color appropriate for daytime flagging such as orange, yellow, strong yellow green or fluorescent versions of these colors. At night, similar outside garments will be retro reflective and/or illuminated. Ticket Agent -The Ticket Agent is responsible for checking in patrons and managing the Depot including counter sales. The Ticket Agent is responsible for opening and closing procedures. Maintenance The Maintenance person is responsible for regular maintenance activities including lubrication, brake adjustments, drivetrain adjustments, and replacement of damaged parts. The Maintenance person will ensure that records as detailed below are complete and properly filed. Maintenance will also be responsible for track inspections and any maintenance - of -way (MOW) work including vegetation management, making sure flangeways are clear at crossings. 4. Specific policies/procedures from manufacturer reserved 5. General safety procedures 5.1 Preferred Approach —Engineering controls are the preferred approach to address safety in all elements of the railbike operation. To the extent possible safety will be built in through system engineering and design rather than relying on administrative controls and individual compliance. 5.2 General Employee Safety Responsibilities 5.2.1. Safety is the most important duty of every crew member. 5.2.2. When in doubt about being able to act safely, take the safest course of action. 5.2.3. Any crew member that sees an unsafe condition must notify supervision and/or other crew members. 4 v October 2021 5.2.4. Crew members must be alert and attentive to their duties and plan their work to ensure safety. 5.2.5 Crew members must follow specific task safety procedures as outlined in the Safety Plan. For tasks that are not addressed by standard safety procedures, the Stationmaster will develop a Job Hazard Analysis using the standard format outlined in the CRBA-JHA template (Appendix B). The job analysis should consider the planned tasks, potential hazards, mitigation measures, and any necessary safety equipment. The JHA will be reviewed with crew members in a pre -work safety briefing. Completed JHA's will be maintained in files. 5.2.6 All staff are responsible for reporting any injuries or near misses to the Stationmaster during the shift on which they occur. 5.3 Access and Walking Surfaces —The Depot and Turnaround areas have a range of walkways including: access to parking, track crossings, paths to activity areas, entry to the Depot, and loading/unloading areas. These are designed to be ADA-compliant with firm stable surfaces, appropriate slopes and clearances. All employees are responsible for keeping walkways clear and free of tripping hazards. Temporary electrical cords that cross walkways must be secured or covered. If temporary unsafe conditions occur (i.e., a spill), place hazard signs to warn patrons. 5.4 Loading/Unloading Areas reserved 5.5 Grade Crossings —Grade crossing safety is regulated by the Colorado PUC and FRA (49CFR Part 234 referenced). The railbikes will be operating under "Stop -and -Flag" authorities. When the lead bike reaches a grade crossing, the Flagger will dismount and enter the roadway to warn and stop approaching traffic. The Flagger will be equipped with a MUTCD (7D.05) "STOP" paddle (R1-1) and appropriate high -visibility clothing. The Flagger will indicate to the railbikes that it is safe to proceed across the crossing. The Flagger should not keep traffic stopped for an unreasonable length of time and should monitor the traffic queue. The Flagger may stop the railbikes and let traffic pass to manage a reasonable balance of traffic at the crossing. When the railbike tour has completely cleared the crossing, the Flagger will remount on the trailing crew bike. 6. Specific Procedures for Unusual Conditions or Interruptions of Operation 6.1 Patron bike malfunction during trip —Mostly likely a result of a chain drive failure. During the pre -trip safety briefing patrons will be informed that they can alert crew members to issues by raising a fist in the air. Both the leading bike and trailing bike crew members are responsible to watch for issues and will stop the group if something occurs. The Conductor will immediately notify the Stationmaster of the interruption with information about the nearest milepost and reason. Nearest Crew members will go to the malfunctioning bike to determine the cause of the issue and assist patrons in safely dismounting. The malfunctioning railbike will be lifted off the track so the group can proceed. The affected 5 v October 2021 patrons will either be accommodated on a crew bike, or a second bike will be sent out from the Depot. 6.2 Patron bike stops for reason other than malfunction This may occur if a patron drops something from the bike, they need to adjust seats or restraints, or address the needs of other passengers (children). Crew members respond as in 6.1. Crew members will provide any necessary assistance to address the issue and get the group moving again. If necessary, a crew member may be detailed to join the affected patron bike and help pedal. 6.3 Patron bike stops for medical emergency —This covers a wide range of possible conditions from heat illness or cramps, seizures, cardiovascular problems. Crew members respond to the stopped group and assess the situation. The Conductor alerts the Stationmaster to the situation and makes a determination as to whether the patron can be moved to the nearest road access point or whether aid needs to be rendered at the point of the incident. If it is safe, the preferred option is for Crew members to move the patron on their bike to the nearest road access. The Stationmaster contacts local EMS with details about the location and nature of the emergency. Depending on the response and the position of the affected bike in the group, crew members may continue the trip or return the group to the Depot. 7. Evacuation Plan 7.1 Preferred Method--Railbikes are the preferred method for patrons to return to the Depot if a trip is interrupted and evacuation is necessary. However, there may be situations when patrons are stranded at the Turnaround or along the route and the bikes cannot return to the Depot (a tree falls across the tracks). The general approach will be for patrons to walk to the nearest access point (path, road) where they can be shuttled back to the Depot in vehicles. 7.2 Route --The Conductor, in consultation with the Stationmaster, will determine the appropriate evacuation route and pickup point. The Conductor will also be informed by the emergency response map (Appendix A) that indicates access routes and points along the entire right-of-way. Crew members will guide patrons to the designated pickup point. 7.3 Trestles --There are three timber trestles along the route that present special evacuation challenges if a railbike is stranded on the span. Dismounting patrons and walking on the trestles should be the option of last resort. The preferred evacuation approach on the trestles is for Crew members to approach the stranded bike by walking between the rails and then to roll the railbikes off the trestle to a safe location for disembarking. Given the spacing between bikes there should be no more than 1 or 2 railbikes that could be stranded on a trestle. In the rare situation where stranded bikes can't be rolled off the trestle the Stationmaster will contact EMS to effect rescue with appropriate safety equipment (Ladders, aerial platform, fall protection). 6 v October 2021 Milepost Bridge Length Surface Description 24.0 Timber trestle 130' Open part ties, of span no handrail, firedeck over Coal crossing Creek and bike path 26.2 Timber trestle 30' Open ties, no handrail Sullivan Ditch 26.6 Timber trestle 10' Open ties, no handrail, 2' above Minor drainage ditch 7.4 Environmental Conditions Affecting Evacuation Plans Severe Weather The Stationmaster is responsible for monitoring weather during operations using a StrikeAlert Lightning Detector, the WeatherBug Smartphone App, or other credible options. If severe weather (hail, wind, lightning) is forecast (NWS watch) during the scheduled tour the Stationmaster may: delay departure, cancel the trip, or opt to monitor conditions. If sudden severe weather events occur during the trip (NWS warnings) the Stationmaster will inform the Conductor and patrons will be directed to the nearest safe shelter (either the Turnaround Camp or the Depot) depending on the nature of the weather threat. The Ticket Agent is responsible for patrons at the Depot and assisting them. Lightning The right-of-way passes through large open spaces that could be subject to lightning risk. The Stationmaster will monitor lightning strikes using the above methods and act upon the distance of the strike as follows: 12+ miles away: Continue to monitor the weather pattern. 6-12 miles away: Closely monitor the weather pattern. Should lightning strike within 6 miles, all activities need to be put on a 20 -minute weather delay. 0-6 miles away: All activities need to be placed on a 20 -minute weather delay and instruct all in attendance to seek shelter immediately. Wildfire/Grass fire —The right-of-way passes through large open spaces that could be subject to wildfire. The conductor is responsible for monitoring the track ahead of the group and should not lead the railbikes into an area with visible smoke. If necessary to evacuate patrons from a fire area, safe zones would include the nearest hard surface road, urban neighborhoods, or adjacent agricultural lots with minimal surface fuels. Flooding —Part of the right-of-way lies within the 100 -year floodplain of Coal Creek. If a flash flood warning is issued the Stationmaster will contact the Conductor and stop any groups passing through the area. Outbound trips would be delayed or canceled. If there is an inbound group, they would be held on the east side of Coal Creek until the warning is canceled. Snow/Winter Conditions Snow may affect the suitability of possible evacuation routes making it harder for patrons to walk along the right-of-way. The Stationmaster and Conductor need to be aware of possible impacts to evacuation routes in the case of snow. 7 v October 2021 7.5 Training on Evacuation Plan --All staff will participate in annual evacuation plan training. The training will involve hands-on scenarios and practice. Training will be coordinated with local EMS to validate emergency response procedures. See Section 11 for additional training. 8. Denying Entry/Patron Requirements The Stationmaster has the authority to deny entry to the railbikes if, in the judgment of the Stationmaster the entry may cause above normal exposure to risk of discomfort or injury to the person who desires to enter, or if in the judgment of the Stationmaster the entry may jeopardize the safety of other patrons or employees. 8.1 General Patron Requirements —Patrons must be able to be securely restrained on the railbike. They cannot exceed 250 lbs based on the manufacturer's structural rating of seats and frames. Patrons may not be under the influence of drugs or alcohol. At least one patron on each railbike must be over 16 and able to activate the brake. Patrons are notified of these requirements during ticket purchase, and they attest to complying with their signature on the waivers. 8.2 Procedure for denying access --reserved 8.3 Signage--Patron responsibilities and requirements will be posted at the Depot at the loading point. 9. Maintenance Program 9.1 Manufacturer's Required Maintenance reserved, defined by manufacturer 9.2 Checklist —Maintenance will be guided by a checklist consistent with manufacturer's recommendations and industry practice. The checklist will specify maintenance points, wear limits, lubrication or adjustment specifications, and replacement procedures. 9.3 Replacement Parts —Any parts needed to repair the railbikes will be equivalent to or exceed the manufacturer's original specification. Part specifications and warranties will be kept on file. 9.4 Maintenance Records All maintenance (preventive or repairs) performed on any railbike will be documented including: date performed, bike serial number, replacement part numbers, maintenance activity. 10. Inspection Program 10.1 Pre -opening inspection Prior to opening each day, the Stationmaster and Conductor will complete, document, and sign a daily inspection report. Inspection will include: • All railbikes visual inspection for damage, functional restraints • Brake test physical verification of function (parking and service) on each bike • Entrances, exits, platforms, ramps clear of hazards, properly marked 8 v October 2021 • Signs, barricades, fencing visual inspection for integrity and condition • Functional test of communication equipment crew radios, cellphones Daily pre -opening inspection reports will be kept on file. 10.2 Manufacturer Notification —Any defects, damage, malfunction, or structural failures which affect the safe and proper operation of the railbikes will be reported to the manufacturer. 11. Training Program 11.1 General Safety Annually at the beginning of the operating season and for any new hires, staff will be trained on the current version of the Operations and Safety Plan. Training will include: Overall organization and position responsibilities, Communications protocols, Emergency response, Evacuation, Weather Preparedness. Individual staff will also be trained on the specific responsibilities of their position and will demonstrate knowledge and proficiency for all procedures associated with their position. 11.2 First Aid —All staff will be trained and certified as Red Cross First Aid/CPR or equivalent. 11.3 Flagger Certification—Flaggers will be trained and certified as CDOT Flaggers. In addition, Flaggers will be additionally trained in PUC "stop -and -flag" procedures and will demonstrate competence under supervision before being assigned as a Flagger on a tour. 11.4 Evacuation and Emergency Response —In coordination with local EMS/First Responders there will be one annual field emergency response/evacuation plan training event. 11.5 Retraining In the event of any accidents/near misses or if procedures are modified, staff will be retrained and demonstrate knowledge and proficiency in relevant procedures. 11.6 Monthly Safety Meeting At least monthly all staff will participate in a safety briefing to review safety performance, discuss any near misses, and review hazard awareness. 11.7 Documentation —All completed training will be documented and current staff certifications kept on file. 12. Incident Reporting Procedures 12.1 Employee Incident Report --All work -related illnesses, injuries, and near misses that could have resulted in injuries (no matter how minor) will be reported, documented, and investigated on the Employee Report of Injury Form (Appendix C). The Stationmaster and/or Operations Manager will investigate and document any remediation measures or response. 12.2 Classification of Incidents —In addition to standard health and safety information on the incident form, each incident should be classified in accordance with the following categories: 9 v October 2021 12.2.1 Facility -Related Incidents Injuries or illnesses that occur on facility premises shall be additionally classified as "Facility Related." 12.2.2 Not —Facility Related Incidents —Injuries or illnesses that occur off facility premises shall be additionally classified as "Not Facility Related." 12.2.3 On -Ride Incident —Injuries or illnesses that actually occur to a person while riding during the operation of the railbike, 12.2.4 Loading and Unloading Incidents Injuries or illnesses that actually occur to a person while they are within the area designated for loading and unloading of the railbikes under the direct supervision of staff shall be additionally classified as a "Loading and Unloading Incident." 12.2.5 Queue Line Incident Injuries or illnesses that actually occur to a person while in a queue line for the railbikes or in the Depot. 12.2.6 Turnaround Camp Incident-- Injuries or illnesses that actually occur to a person while at a turnaround camp, off the railbikes. 12.2.7 Other Incidents —Injuries or illnesses that occur to a person in a location other than as described in 12.2.3-12.2.6 12.3 CDLE Reportable Injury In accordance with 7 CCR 1101-12, a reportable injury is: "injury that results in death or requires immediate medical treatment administered by a physician or by registered professional personnel under the standing orders of a physician. Medical treatment does not include first aid treatment or one-time treatment and subsequent observation of minor scratches, cuts, burns, splinters, or other minor injuries that do not ordinarily require medical care even though treatment is provided by a physician or by registered professional personnel. And further, a CDLE reportable injury is caused by a malfunction or failure of an Amusement Ride or Device, or any Injury (as defined) caused by a Ride Operator or patron error." 12.3.1 CDLE DOPS Reporting The Operations Manager will report such injuries to the Division of Oil and Public Safety within 24 hours of the time of the incident. 12.3.2 Documentation —Incident Reports for any CDLE DOPS reportable injuries will be maintained on file and made available to the Division for investigation. 12.3.3 Summary Reports —The Operations Manager is responsible for reviewing and summarizing all incident reports on a monthly basis.
