ViMEREAS, Grantor's Property has historically been irrigated by utilizing the Shares and the water rights derived therefrom. WHEREAS, the portion of the Water Rights represented by the Shares are intended to be subject to a change of use, augmentation, or exchange, or for any other use Grantor and that determines, in order to effect such uses, the portion ofthe Water Rights represented by the Shares will need to be changed in an appropriate proceeding before the District Court, Water Division No. 1 ('Water Court") or pursuant to administrative approval by the Colorado Division of Water Resources, to change the place and/or type of use of the portion of the Water Rights represented by the Shares. � p WHEREAS, as a term and condition of any change in use of the Shares, the Water Rights, including any water rights derived from the Shares, shall no longer be used for irrigation purposes on Grantor's Property. WHEREAS, Grantor desires to execute and record this Covenant affirming the cessation of all uses of the Water Rights, including the water rights deri ved from the Shams, on the Grantor's Property excepting only the proposed changed uses for storage and recharge purposes _ ses as expressly ressl ��' p . allowed pursuant to a Water Court decree, as covenants ruching with and burdening the Grantor's Property, all under the terms of this Covenant. WHEREAS, in addition to the foregoing, Grantor shall execute and record this Covenant to reserve an easement for access to the Grantor's Property in favor of the beneficiaries outlined in Section 7 below, on the terms and conditions and for the purposes set forth herein. COVENANT AND EASEMENT NT NOW, THEREFORE, Grantor, as a condition in support of its application for a change of use of the Shares and the water rights derived therefrom pending in the Water Court on the Effective Date, hereby covenants and agrees as follows: 1. Grantor shall permanently dry -up and discontinue use of the Water Rights, including any water rights derived from the Shares, for irrigation purposes on Grantor's Property. r pert . 2. Grantor shall not allow the planting of any crops on Grantor's Property which are capable of extending roots into the underlying groundwater, including, but not limited to, alfalfa. 3. Grantor shall re -vegetate Grantor's Property during or before the first growingg period after the Effective Date of this Covenant with a dry -land native grass seed that has been generally accepted for re -vegetation purposes on land subject to dry -up in the general area of Grantor's Property. Grantor shall take reasonable measures to keep Grantor's Property free of noxious weeds, including, but not limited � P . � g, to, periodic inspection, manual weeding, mowing and/or spraying with a generally accepted herbicide. Upon any subsequent transfer by Grantor of Grantor's Property, Grantor hereby reserves a limited, non-exclusive, perpetual easement solely for the purposes of providing rovidin g Grantor, its successors and assigns or any subsequent owners of the Shares and all of their respective agents gents and designees, access to Grantor's Property to take all actions reasonably necessary toaccomplish the dry -up of the Grantor's Property and to demonstrate to the satisfaction of the Colorado Division of Water Resources and the Water Court that permanent p - dz yu and cessation of use of the Water Rights, including water rights derived from the Shares, for irrigation purposes on Grantor's Property has occurred. Any party entitled to a right ofaccess under this Covenant and the easement reserved herein shall provide reasonable advance notice to and consult with the owner of Grantor' s Property before the exercise of said right of access 6. Grantor intends for this Covenant to affect and burden the entirety of Grantor's Property as a restrictive covenant running with the land for the benefit of any owner of the Shares, the owner of the Water Rights and any other beneficiary outlined in Section 7 below, 7. This Covenant shall burden, attach to and run with Grantor's Property, and shall be binding upon any persons or entities which have or subsequently acquire an owne rship y� � orleasehold interest in all or any portion of Grantor's Property and their respective heirs, successors and assigns. The terms and provisions of this Covenant shall be perpetual and shall inure to the benefit of Grantor, in its capacity as owner of the Shares, and its successors and assigns, owners of the Water Rights and all successor owners of the Shares. This Covenant may be enforced by Grantor or its successors and assigns, any party having any right, title or interest in the Water Rights, successor owners of the Shares, or by the State Engineer of the State of Colorado, at any time in any action at law or in equity. 8. This Covenant shall not prohibit the owner of Grantor's Property or their successors and assigns from irrigating said property with water rights (excluding in all instances the Water Rights and any water rights derived from the Shares) which may in the future be transferred to such lands and for such use through an appropriate Water Court proceeding which does not diminish or otherwise adversely impact the historical consumptive use of the Water Rights, including the water rights derived from the Shares. Any owner of Grantor's Property shall not use said property in any manner which adversely impacts the use of the Shares by Grantor or any subsequent owner of the Shares or diminishes the historical consumptive use of the Water Rights, including any water rights derived from the Shares. . Part of the W2 of Section 34, T6N, R65W of the 6th P.M., Weld County, Colorado South of and adjacent to County Road 64, approximately 1320 feet east of County Road 43 Size of Parcel: ± 112.81 acres Size of SEF Areas: ± 35.7 acres Parcel No. 0803-34-2-00-002 The site is accessed off of County Road 64 a paved road with lack of shoulder and several driveways in the immediate area. There is an overhead electric line just outside of right-of-way, and there is a concrete irrigation ditch parallel to County Road 64 that turns southeasterly and parallel to the existing concrete silage bunker and existing oil and gas production well site. Constructed between these two physical improvements is a field access road also utilized by the oil and gas company. The historic drainage way was visually present but did not have any water on site at time of visit After entering the site the area is relatively flat and is planted in a native grass that appears to be thriving. The proposed solar facility will be sited within five hundred (500) feet of six (6) residences, with the solar facility footprint located within five hundred (500) feet of four (4) homes located to the west and north of the solar energy facility footprint. An adjoining parcel located to the west of the proposed installation is screened from the facility with existing agricultural style farm buildings. Lands located north of County Road 62 are lower than the road and has an earth ditch cut in parallel to the County Road. This ditch is overground with non-native herbaceous material. This side of the site is also planted in native grasses. No violations were identified on the property. The Bickling Solar Projects will: • LOCAL IMPACT • Utilize a local construction team that will generate significant activity for local businesses during the construction of the systems. SCHOLARSHIPS • Provide two full -ride scholarships to students at a local institution that are interested in pursuing a career in renewable energy. TAX INCOME • Generate significant property tax revenue for the county. The property tax generated by the solar projects is estimated to be 41 million over the life of the system. • Generate additional sales tax revenue during the construction of the systems. • CHEAPER ELECTRICITY • Save local Xcel Energy customers about 5-10% on their electricity bills through Xcel's Solar*Rewards Community Program. Our goal is to subscribe as many local Xcel customers as we can. CLOUDBREAKTM PROJECT INFORMATION • Timeline: Construction will last approximately 4 months and is anticipated to begin in Q1 2023. • Construction Hours: 7:00 am — 3:00 pm with some overtime, as needed, as late as 6:00 pm. M -F and Saturdays as needed. • Workers: There will be about 25 workers on the property throughout the entire duration of the construction process. • Lighting: Temporary lighting may be used during construction when the team n eeds to continue working after sunset. No permanent lighting will be used during o peration of the project. Traffic: During construction, the traffic will include about 10-15 pickups and 1-2 heavy vehicles per day. • Land Maintenance: We will be planting a native, dry land seed mixture. All of the vegetation will be kept at a height of no more than 18-22 inches. The site will be inspected regularly for the presence of weeds. Minor presences will be managed by cutting and pulling in a manner to not disburse or promote spreading of weed seeds. If a major presence occurs, mowing and the potential application of herbicides will be deployed. Herbicide selection may vary depending on the time of year and the life cycle of the noxious weed species. PROJECT INFORMATION • • • • • Traffic: Once the system is built, our maintenance team will only stop by about 4 to 8 times per year for system maintenance. Drainage: Based on an in-depth study, the existing storm water flow characteristics are expected to remain unchanged. Emissions/Odors: The solar arrays will not produce any emissions or odors. Glare: The panels are be treated with an anti -reflective coating and reflect as little as two percent of incoming sunlight (less than water and windows). Early in the morning and late in the evening during certain periods of the year, the panels will be stowed at 5-10 degrees as a precaution to remove risk of glare to neighboring properties and roads. Noise: During the day, the projects will have a minor humming noise like that of an air conditioner that can be heard when standing near the system. The inverters, which are the noisiest piece of equipment, will produce about 65 dB at 3 ft. away (just louder than a dishwasher) and 29 dB at 500 ft. away (about as loud as leaves rustling). Property Values: Studies from Lawrence Berkley National Laboratory and UT Austin, CohnReznik, LLP, Kirkland Appraisals, LLC, and the Chair of the American Society of Farm Managers and Rural Appraisers have shown that solar projects do not adversely impact neighboring property values. CLOUDBREAKTM PROJECT INFORMATION • Lifespan: The systems will be on the property for a minimum of 20 years and a maximum of 35 years based on our contracts with Xcel and the landowner. • Decommissioninq: We will decommission the projects according to Weld County guidelines. We will have decommissioning bonds in place with the County to ensure that there will always be sufficient funding for decommissioning the project. • Recycling: Solar panels can be recycled. They are typically made of about 76% glass, 10% plastic, 8% aluminum, 5% silicon, and 1% other metals. • Future Mineral Development: We are working with the mineral owners and lessees to ensure that there is sufficient space available to allow for future mineral development.
