IMPROVEMENTS PROJECT, AND AUTHORIZE CHAIR TO SIGN ANY NECESSARY
DOCUMENTS - JORDAN AND E. MARIE GUTIERREZ
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement for the Purchase of Certain
Property for Public Road Improvements for the County Roads 6 and 13 Intersection
Improvements Project between the County of Weld, State of Colorado, by and through the Board
of County Commissioners of Weld County, on behalf of the Department of Public Works, and
Jordan and E. Marie Gutierrez, with further terms and conditions being as stated in said
agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Agreement for the Purchase of Certain Property for Public Road
Improvements for the County Roads 6 and 13 Intersection Improvements Project between the
County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld
County, on behalf of the Department of Public Works, and Jordan and E. Marie Gutierrez, be, and
hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement and any other necessary documents.

Approve the attached Agreement for Purchase of Certain Property for Public Road Improvements between E.
Marie and Jordan J. Gutierrez and Weld County, Colorado.
Total Compensation to be paid to Owner is $71,818.00 as outlined below:
• County agrees to pay $50,000.00 for 1.966 acres of Public Road Right of Way
• County agrees to pay $6,818.00 for 0.907 acres of Temporary Construction Easement
• County agrees to pay $15,000.00 as a signing incentive to maintain construction schedule

IMPROVEMENTS BETWEEN E. MARIE & JORDAN J. GUTIERREZ AND WELD
COUNTY, COLORADO
THIS AGREEMENT is made this nth day of SQ,p{ yth4 2023, by and between E. Marie &
Jordan J. Gutierrez, whose address is 6045 County Road 6 Erie, CO 80516, hereinafter collectively
referred to as "Owner," and the WELD COUNTY, a body corporate and politic of the State of
Colorado, by and through its Board of County Commissioners, whose address is 1150 'O' Street,
Greeley, Colorado 80631 hereinafter referred to as "County."
WHEREAS, Owner owns a parcel of real property containing the property described in the
attached Exhibit A (hereinafter referred to as ("Right -of -Way" or ROW), and property described
in the attached Exhibit B ("Temporary Construction Easement" or TCE), which are hereinafter
referred to collectively as the "Property", and
WHEREAS, County finds it necessary to improve the intersection of Weld County Road
6 and Weld County Road 13 (hereinafter referred to as the "Project"), and
WHEREAS, Owner wishes to cooperate with County in completing the Project.
NOW, THEREFORE, the parties herein agree as follows:
EXHIBITS INCORPORATED. The following exhibits are attached and incorporated into
this Agreement.
Exhibit A - Description, Depiction, and Form of ROW.
Exhibit B - Description, Depiction, and Form of TCE.
Exhibit C — Entrance Construction Plan
II. COMPENSATION; PROPERTY CONVEYANCE
1. Total compensation to be paid by County to Owner, as described below, is seventy-one
thousand seven hundred fifty dollars, ($71,818.00).
a. Owner agrees to sell, and County agrees to purchase at closing the Public Road
Right -of -Way described and depicted on Exhibit A for the sum of fifty thousand
dollars, ($50,000.00).
b. Owner agrees to sell, and County agrees to purchase at closing the Temporary
Construction Easements described on Exhibit B for the sum of six thousand
eight hundred eighteen dollars, ($6,818.00).
c. County agrees to relocate and construct the existing driveway as depicted on
attached Exhibit C as part of the "Project" at no cost to the Owner.

d. County agrees to compensate Owner fifteen thousand dollars, ($15,000.00) as
a cost to cure to reach a voluntary settlement provided the County receives the
signed agreement by September 8, 2023.
2. The parties acknowledge and agree that said purchase price represents full, fair and
valuable consideration.
III. PUBLIC ROAD RIGHT(S)-OF-WAY
1. Owner agrees to grant the Public Road Right -of -Way to the County by Deed of Dedication
as provided in Exhibit A.
2. Owner shall deliver the fully executed Deed of Dedication for the Public Road Right -of -
Way to County at the date of closing which shall be no later than thirty (30) days following
mutual execution of this Agreement. The dedication shall not be valid until accepted and
approved by the Board of County Commissioners and signed by the Chair or other person
delegated authority to sign on behalf of the Board.
3. Owner shall retain the mineral estate and any water rights currently attached to or
associated with the Property, if any exists.
IV. TEMPORARY CONSTRUCTION EASEMENT(S)
1. Owner hereby grants a Temporary Construction Easements (TCE) to the County covering
all property described and depicted in, and subject to the terms provided in, Exhibit B.
2. Owner shall not interfere with County's authorized use of the TCE during the term of the
TCE.
V. CLOSING
1. County shall not be liable for any encumbrance associated with the Property prior to the
date of closing. Owner shall pay any encumbrance associated with the Public Road Right -
of -Way and the Temporary Construction Easement which is required to be paid, including,
but not limited to, a prorated amount of the property taxes, and any past due property taxes,
(and interest and penalties thereon), on or before the date of closing when Owner delivers
the Deed of Dedication to County. Owner is solely responsible for the payment of any
amounts owed to a third party holding a security or other ownership interest in the Public
Road Right -of -Way and Temporary Construction Easement.
2. County shall at closing pay for the cost of obtaining title insurance if County elects to

obtain title insurance for the Property.
3. County shall at closing pay all fees associated with recording this Agreement, the
Temporary Construction Easement, and/or the Deed of Dedication.
VI. MISCELLANEOUS:
1. This Agreement and the conveyance of the Property made pursuant to the terms herein,
shall be binding upon, all and inure to the benefit of and be enforceable by the parties and
their heirs, executors, administrators, successors, and assigns.
2. This Agreement shall not be valid until it has been approved by the Board of County
Commissioners of Weld County, Colorado or its designee.
3. No term or condition of this contract shall be construed or interpreted as a waiver, express
or implied, of any of the immunities, rights, benefits, protections, or other provisions, of
the Colorado Governmental Immunity Act §24-10-101 et seq., as applicable now or
hereafter amended.
4. It is expressly understood and agreed that the enforcement of the terms and conditions of
this Agreement, and all rights of action relating to such enforcement, shall be strictly
reserved to the undersigned parties and nothing in this Agreement shall give or allow any
claim or right of action whatsoever by any other person not included in this Agreement. It
is the express intention of the undersigned parties that any entity other than the undersigned
parties receiving services or benefits under this Agreement shall be an incidental
beneficiary only.
5. This Agreement including the Exhibits attached hereto and incorporated herein, contains
the entire agreement between the parties with respect to the subject matter contained in this
Agreement. This instrument supersedes all prior negotiations, representations, and
understandings or agreements with respect to the subject matter contained in this
Agreement. No oral representation, promise, or consideration different from the terms
herein contained shall be binding on either party, or its agents or employees. This
Agreement may be changed or supplemented only by a written instrument signed by both
parties.
6. Colorado law, and rules and regulations established pursuant thereto, shall be applied in
the interpretation, execution, and enforcement of this Agreement. Any provision included
or incorporated herein by reference which conflicts with said laws, rules and/or regulations
shall be null and void. In the event of a legal dispute between the parties, Contractor agrees
that the Weld County District Court shall have exclusive jurisdiction to resolve said
dispute.

3. If any term or condition of this Agreement shall be held to be invalid, illegal, or
unenforceable by a court of competent jurisdiction, this Agreement shall be construed and
enforced without such provision, to the extent that this Agreement is then capable of
execution within the original intent of the parties.

GRANT OF TEMPORARY CONSTRUCTION EASEMENT
This Temporary Construction Easement (TCE), is made between E. Marie & Jordan J. Gutierrez,
(referred to herein as "Owner", whether one or more), and the County of Weld, a body corporate
and politic of the State of Colorado, through its Board of County Commissioners (referred to herein
as "County"):
WITNESSETH: That Owner, for and in consideration of payment made by County, the receipt
and sufficiency of which is hereby acknowledged, does hereby dedicate and convey unto Owner a
Temporary Construction Easement, covering that real property lying and being in the County of
Weld, State of Colorado, to wit:
The real property described and depicted on the attached Exhibit B.
Subject to the following conditions:
1. The TCE is conveyed from Owner to County immediately and shall expire and be
of no further force or effect December 31, 2026, or upon the County's determination that
the Project is complete, whichever is earlier.
2. The right to use the TCE shall belong to the County and its agents, employees,
designees, contractors, guests, invitees, successors and assigns, and all those acting by or
on behalf of the County for the purpose of surveying, appraising, establishing, laying,
constructing, reconstructing, installing, realigning, modifying, replacing, improving,
adding, altering, substituting, operating, maintaining, accessing, inspecting, patrolling,
protecting, or repairing the roadway improvements, including the storage of materials
related to said roadway improvements.
3. County shall have the right of ingress, egress, entry and access in, to, through, on,
over, under, and across the TCE from any adjacent property to which County has legal
access, for any and all purposes necessary and/or incident to the exercise by the County of
the rights granted to it hereunder. At the expiration of the term of this TCE, County shall
promptly repair any damage to Owner's property caused by County, its agents, employees,
contractors, guests, invitees, and all those acting by or on behalf of County so as to maintain
the Owner's property in substantially as good or better condition as existed prior to use by
County.
4. County agrees that any current access to the property from the Right -of -Way shall
remain open throughout the term of the TCE.

GRANT OF TEMPORARY CONSTRUCTION EASEMENT
This Temporary Construction Easement (TCE), is made between 6045 County Road 6 Trust,
(referred to herein as "Owner", whether one or more), and the County of Weld, a body corporate
and politic of the State of Colorado, through its Board of County Commissioners (referred to herein
as "County"):
WITNESSETH: That Owner, for and in consideration of payment made by County, the receipt
and sufficiency of which is hereby acknowledged, does hereby dedicate and convey unto Owner a
Temporary Construction Easement, covering that real property lying and being in the County of
Weld, State of Colorado, to wit:
The real property described and depicted on the attached Exhibit B.
Subject to the following conditions:
1. The TCE is conveyed from Owner to County immediately and shall expire and be
of no further force or effect December 31, 2026, or upon the County's determination that
the Project is complete, whichever is earlier.
2. The right to use the TCE shall belong to the County and its agents, employees,
designees, contractors, guests, invitees, successors and assigns, and all those acting by or
on behalf of the County for the purpose of surveying, appraising, establishing, laying,
constructing, reconstructing, installing, realigning, modifying, replacing, improving,
adding, altering, substituting, operating, maintaining, accessing, inspecting, patrolling,
protecting, or repairing the roadway improvements, including the storage of materials
related to said roadway improvements.
3. County shall have the right of ingress, egress, entry and access in, to, through, on,
over, under, and across the TCE from any adjacent property to which County has legal
access, for any and all purposes necessary and/or incident to the exercise by the County of
the rights granted to it hereunder. At the expiration of the term of this TCE, County shall
promptly repair any damage to Owner's property caused by County, its agents, employees,
contractors, guests, invitees, and all those acting by or on behalf of County so as to maintain
the Owner's property in substantially as good or better condition as existed prior to use by
County.
4. County agrees that any current access to the property from the Right -of -Way shall
remain open throughout the of the TCE.

grantor, either in law or equity, of, in and to the above bargained premises, with the hereditaments
and appurtenances.

appurtenances, unto the grantee, his heirs and assigns forever. And the grantor, for himself, his
heirs, and personal representatives, does covenant, grant, bargain, and agree to and with the

Full power and authority is hereby granted to said trustee to improve, subdivide, protect,
conserve, sell, lease, encumber and otherwise manage and dispose of said property or any part
thereof, to dedicate parks, streets, highways or alleys and to vacate any subdivision or part
thereof, and to resubdivide said property as often as desired, to contract to sell, to grant options to
purchase, to sell on nay terms, to convey either with or without consideration, to convey said
property or any part thereof to a successor or successors in trust and to grant to such successor or
successors in trust all of the title, estate, powers and authorities vested in said trustee, to donate,
to dedicate, to mortgage, pledge or otherwise encumber said property, or any part thereof, to lease
said property or any part thereof, from time to time, in possession or reversion, by leases to
commence praisenti or futuro, and upon any terms and for any period of time, not exceeding in
the case of any single demise the term of 99 years, and renew or extend leases upon any terms
and for any periods of time and to amend, change or modify leases and the terms and provisions
thereof at any time or times hereafter, to contract to make leases and to grant options to lease and
options to renew leases and options to purchase the whole or in any part of the reversion and to
contract respecting the manner of fixing the amount of present or future rentals, to partition or to
exchange said property, or any part thereof, for other real or personal property, to submit said
property to condominium, to grant easements or charges of any kind, to release, convey or assign
any right, title or interest in or about or easement appurtenant to said premises or any part thereof,
and to deal with said property and every part thereof in all other ways and for such other
considerations as it would be lawful for any person owning the same to deal with the same,
whether similar to or different from the ways above specified, at any time or times hereafter.
Any contract, obligation, indebtedness, or other incurred or entered into by the Trustee under the
terms of the aforesaid Trust in connection with said property shall be as Trustee of an express
trust and not individually and the Trustee shall have no obligation whatsoever with respect to any
such contract, obligation or indebtedness except only so far as the trust property in the actual
possession of the Trustee shall be applicable for the payment and discharge thereof; and it shall
be expressly understood that any representations, warranties, covenants, undertakings and
agreements hereinafter made on the part of the Trustee, while in form purporting to be
representations, warranties, covenants, undertakings, promises, and agreements by the Trustee,
are nevertheless made and intended not as personal representations, warranties, covenants,
undertakings, and agreements by the Trustee or for the purpose or with the intention of binding
Said Trustee personally, but are made and intended for the purpose of binding only the trust
property specifically described herein, and that no personal liability of personal responsibility is
assumed by nor shall at any time be asserted or enforceable against the trustee individually or on
account of any instrument executed by or on account of any representation, warranty, covenant,
undertaking or agreement of the said Trustee, either released and all persons, corporations and
other legal entities whomsoever and whatsoever shall be charged with notice of this condition
from the date of the filing for record for this Deed.
In no case shall any party dealing with said Trustee in relation to said property, or to whom said
property or any part thereof shall be conveyed, contracted to be sold, leased or mortgaged by said
Trustee, be obliged to see to the application of any purchase money, rent or money borrowed or

advanced on said property, or be obliged to see that the terms of this trust have been complied
with, or obliged to inquire into the necessity or expediency of any act of said Trustee, or be
obliged or privileged to inquire into any of the terms of said trust agreement; and every deed, trust
deed, mortgage, lease or other instrument executed by said Trustee in relation to said property
shall be conclusive evidence in favor of every person relying upon or claiming under any such
conveyance, lease or other instrument, (a) that at the time of the delivery thereof the trust created
by this Indenture and by said trust agreement was in full force and effect, (b) that such
conveyance or other instrument was binding upon all beneficiaries thereunder, (c) that the Trustee
was duly authorized and empowered to execute and deliver every such deed, trust deed, lease,
mortgage or other instrument, and (d) if the conveyance is made to a successor or successors in
trust, that such are fully vested with all the title estate, rights, powers, authorities, duties and
obligations of its, his or their predecessor in trust.
The interest of each beneficiary under the trust agreement hereunder and of all persons claiming
under them or any of them shall be only in possession, earnings, avails and proceeds arising from
the sale or other disposition of said property, and such interest is hereby declared to be personal
property, and no beneficiary hereunder shall have any title or interest, legal or equitable, in or to
said property as such, but only an interest in the possession, earnings, avails and proceeds thereof
as aforesaid. The situs of the domicile of the Beneficiary shall be the governing jurisdiction for
any legal action undertaken pursuant to the interests of any Beneficiary hereunder. The Power(s)
of Direction over the actions of the Trustee shall be held by those holding a majority of Beneficial
shares unless otherwise granted herein.
The initial Trustee holding title to the aforesaid property for the aforenamed trust under the terms
of the aforesaid trust agreement shall be Carter Coons, Esq. The sites of the domicile of said
trust shall be the domicile of the Trustee and of any successor Trustee who shall henceforth act in
that capacity. The said sites of the Trust shall be the governing jurisdiction for any legal action
undertaken pursuant to the assets of the aforesaid trust. In the event of the said Trustee's death,
incapacity, disappearances, bankruptcy, resignation or unwillingness to act in accordance with
directions given by the filing of a death certificate or notice of dismissal of the initial Trustee or
of any successor Trustee hereafter named in the Public Records of the county in which any trust
property is held, along with an Affidavit attesting to the appointment and acceptance by any of
the following successor Trustees, without regard to the order in which listed, shall be effective to
vest title to said successor Trustee or Trustees.

This letter dated 10/18/2023
serves as official notice of my resignation as Trustee
under the 6045 County Rd 6 Trust, dated June 30, 2023.
Pursuant to Paragraph 13 of said Trust Agreement, my resignation will be effective immediately
and Jordan J. Gutierrez as successor trustee under said trust agreement shall become the Trustee
of the 6045 County Rd 6 Trust. If Jordan J. Gutierrez is unwilling or unable to serve, you as the

authorizations, acknowledgements, and other documents that are required to be provided or made
available to you during the course of our relationship with you. To reduce the chance of you
inadvertently not receiving any notice or disclosure, we prefer to provide all of the required
notices and disclosures to you by the same method and to the same address that you have given
us. Thus, you can receive all the disclosures and notices electronically or in paper format through
the paper mail delivery system. If you do not agree with this process, please let us know as

In addition, you must notify DocuSign, Inc. to arrange for your new email address to be reflected
in your DocuSign account by following the process for changing e-mail in the DocuSign system.
To request paper copies from Anderson Law Group
To request delivery from us of paper copies of the notices and disclosures previously provided
by us to you electronically, you must send us an e-mail to info@andersonadvisors.com and in the
body of such request you must state your e-mail address, full name, US Postal address, and
telephone number. We will bill you for any fees at that time, if any.
To withdraw your consent with Anderson Law Group
To inform us that you no longer want to receive future notices and disclosures in electronic
format you may:
i. decline to sign a document from within your DocuSign session, and on the subsequent
page, select the check -box indicating you wish to withdraw your consent, or you may;
ii. send us an e-mail to info@andersonadvisors.com and in the body of such request you
must state your e-mail, full name, US Postal Address, and telephone number. We do not
need any other information from you to withdraw consent.. The consequences of your
withdrawing consent for online documents will be that transactions may take a longer
time to process..
