RE: APPROVE AMENDMENT #2 TO INTERGOVERNMENTAL AGREEMENT FOR
PURCHASE OF FOOD PREPARATION SERVICES AND AUTHORIZE CHAIR
PRO-TEM TO SIGN - UNIVERSITY OF NORTHERN COLORADO
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with Amendment #2 to the Intergovernmental
Agreement for the Purchase of Food Preparation Services between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Department of Human Services, and the University of Northern Colorado, commencing July 1,
2023, and ending June 30, 2024, with further terms and conditions being as stated in said
amendment, and
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that Amendment #2 to the Intergovernmental Agreement for the Purchase of
Food Preparation Services between the County of Weld, State of Colorado, by and through the
Board of County Commissioners of Weld County, on behalf of the Department of Human Services,
and the University of Northern Colorado, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair Pro-Tem be, and hereby is,
authorized to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 21st day of June, A.D., 2023.

Please review and indicate if you would like a work session prior to placing this item on the Board's
agenda.
Request Board Approval of the Department's Intergovernmental Agreement Amendment #2 for
the Purchase of Food Preparation Services with the University of Northern Colorado. In 2021, the
Department entered into an Intergovernmental Agreement with the University of Northern Colorado
referenced as Tyler ID 2021-1460 to provide food preparation services for the Weld County Senior
Nutrition Program. Weld County AAA is now amending the agreement as follows:
1. Extending the agreement through June 30, 2024.
2. Update holiday closure date.
3. Update payment terms:
• Increase the price per meal by 7.5% to $8.28.
• Place a pause on the salad bar for contract year. ?
• Increase the December prime rib meal allowance by 7.5%.
• Delete frozen meal reimbursement.
• Add reimbursement of $4.50 per meal if meals are not cancelled by 8:30 am.
I do not recommend a Work Session. I recommend approval of this Amendment and authorize the Chair
to sign.

AGREEMENT AMENDMENT BETWEEN
THE WELD COUNTY DEPARTMENT OF HUMAN SERVICES
AND UNIVERSITY OF NORTHERN COLORADO

This Agreement Amendment, made and entered into d day of 2023 by and
between the Board of Weld County Commissioners, on behalf of the Weld County D artment of Human
Services, hereinafter referred to as the "Department", and the University of Northern olorado, Division of Student
Affairs for the benefit of Dining Services, hereinafter referred to as the "Contractor".
WHEREAS the parties entered into an Agreement for the Purchase of Food Preparation Services, (the
"Original Agreement") identified by the Weld County Clerk to the Board of County Commissioners as document
No. 2021-1460, approved on June 2, 2021.
WHEREAS the parties hereby agree to amend the term of the Original Agreement in accordance with
the terms of the Original Agreement and any previously adopted amendment, which is incorporated by reference
herein, as well as the terms provided herein.
NOW THEREFORE, in consideration of the premises, the parties hereto covenant and agree as follows:
The Original Agreement was set to end on June 30, 2022.
The Original Agreement was amended on:
• June 27, 2022 to extend term date through June 30, 2023.
• The Amendment is identified by the Weld County Clerk to the Board of County
Commissioners as document number 2022-1826.
This Amendment, together with the Original Agreement, constitutes the entire understanding
between the parties. The following additional changes are hereby made to the current Agreement
and effective July 1, 2023:
1. Paragraph 2. Terms.
This agreement is being renewed for the third year, and shall be effective for the period July 1, 2023
through June 30, 2024.
2. Paragraph 3. Closures.
a. It is the policy of the Weld County Senior Nutrition Program to maintain a reasonably
consistent schedule of meal service. However, factors which normally preclude serving of
meals is lack of transportation, meal site closures, vendor closure, or administrative office
closures. When Contractor is requesting an unplanned closure, the AAA will not be charged
for meals that were ordered. If Contractor's emergency dining is open during inclement
weather, County will have the option to request meals be prepared for our senior housing
units.
b. In the event of a closure, the four senior housing facilities may continue to operate
(Birchwood, Broadview, Greeley Manor, Greeley Senior Housing). Menu items may differ
from scheduled menu depending on notice of closure and locations of kitchen. The menu
items are not required to meet the full nutritional standards but will be balanced including an
entree, vegetable, fruit, and dairy. If U2 pint of milk is not available, bottled water will be
sent as a replacement. The full menu will need to be sent to the Senior Nutrition Supervisor
and Registered Dietitian for tracking purposes prior to service.
i. The following dates are identified as preplanned closures for the 2023-2024 Fiscal year
1. Martin Luther King Jr. Day (January 15, 2024)
2. President's Day (February 19, 2024)
3. Memorial Day (May 27, 2024)
4. Juneteenth (June 19, 2024)
5. Independence Day (July 3, 2023 and July 4, 2023)
6. Labor Day (September 4, 2023)
7. Veterans Day (November 10, 2023)
8. Thanksgiving Day (November 23, 2023)
9. Day after Thanksgiving (November 24, 2023)
10. UNC Holiday Break (December 18, 2023 to January 2, 2024)
3. Paragraph 4. Payment Terms.
a. Contractor shall submit monthly financial and programmatic reports by the 10`h of each
month for meals provided during the previous month;
b. County shall reimburse Contractor $8.28 for a complete meal that meets current nutritional
standards, including a %2 half pint of 1% milk. Contractor shall be reimbursed on a monthly
basis;
c. County shall reimburse Contractor $0.00 per salad bar serving. No salad bar will be used
for this fiscal year;
d. County shall reimburse Contractor at negotiated rates for special program enhancements;
i. Enhancements include up to $2,687.50 each December for the Prime Rib Dinner
up to a maximum of 1,100 meals total or 550 meals each day for two (2) days.
e. Contractor shall allow all federal and state funding agencies the opportunity to review all
records maintained by Contractor for the Nutrition Program auditing purposes; and
f. Submit other reports as requested by County for monitoring and evaluation purposes.
g. County shall reimburse Contractor $4.50 per meal if meals are not cancelled by 8:30 am.
All other terms and conditions of the Original Agreement remain unchanged.
IN WITNESS WHEREOF, the parties hereto have duly executed the Agreement as of the day, month, and
year first above written.
