Re:Request for Consent to Assignment
To Whom It May Concern:
We are writing today concerning the lease described on the attached Exhibit A(hereinafter the
"Agreement"whether one or more).The purpose of this letter is to request your consent for Bonanza
Creek Energy Operating Company LLC(CIVI)("Assignor"),to assign all of its interests and rights under
the Agreement to Kerr-McGee Oil&Gas Onshore LP(and/or its affiliates)(collectively,"Assignee"),to
the extent such consent is required by the terms of the Agreement.However,nothing contained in this
letter is intended or should be construed as granting you rights to which you are not currently contractually
or otherwise entitled under the terms of the Agreement.
This request is made in connection with a potential transaction,between Assignor and/or its affiliates,as
seller,and Assignee,as buyer, pursuant to which Assignee will assume all of Assignor's rights,
obligations,and ownership under the Agreement.We acknowledge that a previous consent letter was sent
to you regarding a potential transaction with a different potential buyer,but we anticipate the transaction
instead will be consummated with the Assignee named herein.
The transaction between Assignor and Assignee is scheduled to close on or around December 15,2023,
and we would appreciate having your response prior to such date in order to ensure a timely and smooth
transfer of the rights under the Agreement.
Please provide your consent to the foregoing assignments by signing and dating this letter in the space
provided below and then returning a signed copy via email to myeast@civiresources.com.
