RESOLUTION
RE: AGREEMENT BETWEEN WELD COUNTY AND SCHULMERICH
CARILLONS INC.
WHEREAS, pursuant to law, the Board of County Commissioners,
Weld County, Colorado, is vested with the responsibility of administer-
ing the affairs of Weld County, Colorado, and
WHEREAS, it has been determined by the Board, that there is a
need to install carillon bells in the Weld County Courthouse providing
for theme music for civil observances, including seasonal and patriotic
music, and
WHEREAS, Schulmerich Carillons Inc. , has submitted a proposed
agreement to sell to the County a "Tyme-Stryke" carillon providing such
music as desired by Weld County, and
WHEREAS, the Board believes it to be in the best interest of the
County to enter into such an agreement on the basis recited therein.
NOW, THEREFORE, BE IT RESOLVED, by the Board of County
Commissioners, Weld County, Colorado, that said agreement with
Schulmerich Carillons Inc. providing for the purchase of a "Tyme-Stryke"
carillon, copy attached hereto and made a part hereof by reference, be
and it hereby is approved.
BE IT FURTHER RESOLVED, that the Board be, and it hereby is
authorized to execute the agreement as submitted and to make the same
effective forthwith.
The above and foregoing resolution was, on motion duly made and
seconded, adopted by the following vote on the 30th day of April ,

All payments shall be made to the order of Schulmerich Carillons, Inc. in U. S. Funds ot par. Purchaser shall pay to Vendor, in addition
to the purchase price specified, all sales, use, license, excise, or similar taxes or levies in effect now or in the future that may be ap-
plicable to the sale and/o��tallaatiioonof said property and assessed or levied against Vendor or against said property.

chaser does not have the premises ready for installation of the equipment at least three weeks prior to the delivery date shown above,
the time of payment of the balance due Vendor will not be deferred but will be payable by Purchaser to Vendor at the time it would have i
been payable if the installation had proceeded os originally scheduled. If the Vendor is unoble to deliver or instoll said material by
: reason of strikes, fires, accidents, or reasons beyond its control, the time for performance by Vendor shall be extended until the cause
of such delay shall cease and determine, and Vendor be able to deliver and/or install said equipment.

The additional terms and conditions on the reverse side of this page complete the entire agreement and
there are no terms, agreements or understandings other than those contained totally herein.
Temporary (extra) copy for customer's files
TERMS AND CONDITIONS
1. If bell shells without speakers are part of this contract, installation of these bell shells is entirely the responsibility of the
Purchaser.
2. Any alterations and/or construction additions required in or upon the building for the installation of any of the equipment, is to be
provided by Purchaser at its expense. Provisions for wiring entry into building is to be provided by Purchaser at its expense.
3. Access to the tower and/or roof upon which or in which the speakers will be installed including the necessary safe ladders shall be +
provided by the Purchaser at its expense. Any scaffolding, cranes, hoists, or other equipment required for the installation of equip-
ment within or on the building shall be provided by the Purchaser at its expense.
4. All conduit and the installation thereof shall be provided by Purchaser at its expense.
5. Purchaser shall provide and install separate 110-120 volt 60 cycle electric line from main distribution panel to a 3 wire grounded
type outlet at equipment location. Said line to be properly fused and is not to have other than Schulmerich equipment connected
thereto.
6. All wire and cables, except where expressly provided to the contrary herein, for the installation of this equipment shall be supplied
by the Vendor.
7. Any permits and licenses required for the performance of this contract shall be at the expense of the Purchaser whether or not such
permits and/or licenses are required to be issued to the Vendor or Purchaser.
8. Service Policy and/or Warranty: Only such block below as is initialled by Purchaser and the District Manager shall be applicable
and enforceable.
in a. WHEN INSTALLATION IS PURCHASED FROM THE VENDOR and is done by a Vendor engineer, this instrument is uncondition-
ally guaranteed for a period of one year from date of completion of installation. If during that period any portion of the instrument
foils due to anv material or workmanship defect of anv type attributable to.Vendor, complete Service Repairs or Replacement will
be made free of any material, labor or transportation charges. Vendor's liability shall not exceed the cost of correcting such de-
fects. Access to the installed equipment shall be provided by the Purchaser at its expense.
a_ b..WHEN INSTALLATION IS NOT PURCHASED FROM THE VENDOR and is not done by a Vendor engineer,the component parts of
�/R!J the instrument are covered by a one year warranty against defect of material or workmanship attributable to Vendor. Replacement
parts will be supplied free, but Purchaser shall be responsible for the cost of transportation of the replacement parts. Vendor
shall not be obliged to install the replacement parts, the entire cost of which (including transportation and similar expenses of
installation engineers) shall be the sole responsibility of Purchaser. Vendor's liability shall not exceed the cost of the replace-
ment parts required.
9. This quotation shall automatically terminate at the expiration of thirty days from the date of submission hereof unless accepted
within said period, and it may be withdrawn by Vendor at any time prior to acceptance by Purchaser and approval by an Officer of
Vendor company at its Sellersville, Pennsylvania office.
10. No agent or salesman has authority to obligate Vendor company in any manner whatsoever. This contract shall not be binding upon
Vendor until approved by an Officer of Vendor company at its Sellersville, Pennsylvania office.
11. Title to the above property shall remain in Vendor and shall not pass to the Purchaser until the full purchase price is paid. However,
upon delivery of the above property to the premises on which it is to be installed, the risk of loss or damage to the above property
shall pass to and be thereafter borne by the Purchaser, who shall take out adequate insurance coverage if Purchaser wishes such
loss or damage be covered by insurance.
*NOTE 81 - (This blank can be completed only with either of two words. Use either Vendor, for installation by Vendor engineer, or
Purchaser, which does not entail Vendor responsibility for this section of the work.) If installation is to be by Vendor and Ven-
dor's engineer is prohibited from performing any part of the installation by Purchaser or anyone for any reason,whatsoever, Purchaser
shall thereafter assume and pay for completion of said installation without credit or deduction from the amount due Vendor under this I
contract, it being understood that in such event Vendor shall only be obligated to arrange for Vendor's engineer to be available to
supervise the installation for such period of time as would have been required if Vendor had completed said installation.
"`Note #2 This contract, being on a future delivery basis, will be completed at the stated
price, except that if the Company's selling price of this product increases by more than 10%
the purchaser agrees to pay the additional amount in excess of that increase.
