RE: APPROVE CONSENT TO ASSIGNMENT AND ASSUMPTION OF CHILD
PROTECTION AGREEMENT FOR SERVICES FROM COLORADO YOUTH BOYS
RANCH FOUNDATION, DBA CBR YOUTHCONNECT TO PARAGON BEHAVIORAL
HEALTH CONNECTIONS, AND AUTHORIZE CHAIR TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, Colorado Youth Boys Ranch Foundation, dba CBR YouthConnect desires to
assign the current Child Protection Agreement for Services to the new shareholders of Paragon
Behavioral Health Connections, and
WHEREAS, the Board has been presented with a Consent to Assignment and Assumption
of Child Protection Agreement for Services among the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Department of
Human Services, and the former owner Colorado Youth Boys Ranch Foundation, dba CBR
YouthConnect, and the new shareholders of Paragon Behavioral Health Connections, with further
terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that Consent to Assignment and Assumption of Child Protection
Agreement for Services among the County of Weld, State of Colorado, by and through the Board
of County Commissioners of Weld County, on behalf of the Department of Human Services, and
the former owner Colorado Youth Boys Ranch Foundation, dba CBR YouthConnect, and new
shareholders of Paragon Behavioral Health Connections, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.

Please review and indicate if you would like a work session prior to placing this item on the

Request Board Approval of the Department's Assumption of Purchase of Service
Agreement with Paragon Behavioral Health Connections of Colorado Boys Ranch
Foundation dba CBR YouthConnect. Colorado Boys Ranch (CBR) YouthConnect is a
provider of Core and Non -Core contracted services through the Child Welfare Request for
Proposal, this Agreement is known as Tyler ID 2022-1532. Colorado Boys Ranch Foundation
dba CBR YouthConnect was assumed by Paragon Behavioral Health Connections. This
Assumption Agreement transitions all services and responsibilities of the original agreement to
the new owners of the company.
I do not recommend a Work Session. I recommend approval of this Assumption Agreement and
authorize the Chair to sign.

ASSUMPTION OF CHILD PROTECTION AGREEMENT FOR SERVICES
BETWEEN
THE WELD COUNTY DEPARTMENT OF HUMAN SERVICES AND
COLORADO BOYS RANCH FOUNDATION DBA CBR YOUTHCONNECT
Whereas, Colorado Boys Ranch Foundation dba CBR YouthConnect, (the "Contractor"),
and the Board of Weld County Commissioners, on behalf of the Weld County Department of
Human Services (the "County"), entered into an Agreement, identified by the Clerk to the Board
as Tyler ID 2022-1532, dated June 6, 2022, incorporated here by this reference (the
"Agreement"), wherein Contractor will provide Home -Based Intervention and Life Skills, and;
Whereas, Colorado Boys Ranch Foundation dba CBR YouthConnect desires to assign all
of its rights and obligations under the Agreement to Paragon Behavioral Health Connections, and
Whereas, Paragon Behavioral Health Connections intends to benefit the County by
promising to perform all terms and conditions under the Agreement.
Now, therefore, in consideration of the County's approval and other mutual covenants
and agreements expressed in the Agreement, Paragon Behavioral Health Connections does
hereby covenant and agree to assume all obligations, responsibilities, and terms of the
Agreement and hereby becomes the Contractor under the Agreement.
Further, Paragon Behavioral Health Connections submits to the County the following
notice of address pursuant to Paragraph 17 of the Agreement:

Further, Paragon Behavioral Health Connections designates to the County the following
Contractor representative pursuant to Paragraph 16 of the Agreement:

proof of insurance as required in Section Paragraph 9 of the Agreement.
