DEPARTMENT:Human Services DATE: November 20,2023 PERSON REQUESTING: Jamie Ulrich,Director,Human Services Brief description of the problem/issue:The Weld County Department of Human Services(WCDHS)purchased a commercial clothes dryer that was installed at the Greeley Family House in early 2020 for the sole purpose of treating client's belongings that are infested or potentially infested with bed bugs.An MOU between the agencies was executed to outline the responsibilities of both parties with respect to training,access to equipment,utility costs,equipment repair,and maintenance.This MOU will expire on December 31,2023. The Department is now requesting to enter into a new MOU for these service with an initial term date of January 1,2024 through December 31,2027.At the end of the initial period,the MOU may be renewed in subsequent twelve(12)month intervals unless terminated sooner. What options exist for the Board? • Approval of the MOU for the Mitigation of Bed Bugs with Greeley Family House,DBA Greeley Transitional House. • Deny approval of the MOU for the Mitigation of Bed Bugs with Greeley Family House,DBA Greeley Transitional House. Consequences:WCDHS will not have a current MOU in place with Greeley Family House,DBA Greeley Transitional House. Impacts:An agreement outlining the roles and responsibilities for the commercial clothes dryer for the sole purpose of bed bug mitigation between WCDHS and Greeley Family House,DBA Greeley Transitional House,will not be in place. Costs(Current Fiscal Year/Ongoing or Subsequent Fiscal Years): • Greeley Family House,DBA Greeley Transitional House,will maintain equipment and be responsible for payment of needed repairs. • WCDHS has no financial requirement. Purpose The purpose of this Memorandum of Understanding(MOU)is to establish the roles and responsibilities between Weld County and Greeley Family House pertaining to the commercial clothes dryer purchased by Weld County for the sole purpose of bed bug mitigation.The commercial dryer is located at 1206 10th Street,Greeley,CO 80631. Bed Bug Mitigation A commercial clothes dryer was purchased by Weld County and has been installed at the Greeley Family House.This dryer may only be used by approved employees of either Weld County or the Greeley Family House to dry clothing and other belongings of clients of either Party,such as stuffed toys,blankets,and towels,to control bed bugs.This equipment is not to be used as a substitute for a regular clothes dryer or used by staff members of either Party for personal use. Term of this Memorandum of Understanding The initial period of the Memorandum of Understanding shall be from January 1,2024 through December 31,2027.At the end of the initial period,the MOU may be renewed in subsequent twelve(12)month intervals unless terminated according to the provisions herein. Roles and Responsibilities of Greeley Family House 1. To utilize the clothing dryer for bed bug mitigation only for clients of Greeley Family House. 2. To train all staff members to utilize the equipment as directed by the manual. 3. To maintain the equipment to be operational. 4. To be responsible for payment for all needed repairs for the equipment. 5. To pay for the utility costs associated with running the equipment. 6. To allow Weld County staff members to have access to the equipment at any time required.The equipment will be made available twenty-four(24)hours a day,seven(7) days a week,including holidays. 7. To work Cooperatively with Weld County staff members if use of the equipment is needed at the same time by both Parties. 8. To inform Weld County if there is an issue with the equipment or if the equipment is down for repairs. 02002 —3 666 Roles and Responsibilities of Weld County 1. To utilize the clothing dryer for bed bug mitigation only for clients of Weld County. 2. To train all staff members to utilize the equipment as directed by the manual. 3. To work cooperatively with Greeley Family House staff members if the use of the equipment is requested at the same time by both Parties. 4. Staff will stay on the premises when the dryer is in use and will not leave items at Greeley Family House unattended.Weld County staff will not ask staff of Greeley Family House to complete the drying process or to handle any of the belongings brought in by Weld County staff members. Modifications.This Agreement may be modified in writing,in whole or in part,upon approval of the signers. Termination.This Agreement may be terminated at any time by either party giving thirty(30) days written notice to the signers.No portion of this MOU shall be deemed to create an obligation on the part of the County of Weld,State of Colorado,to expend funds not otherwise appropriated,as this MOU is subject to the availability of funding.Therefore,the Department may terminate this MOU at any time if the source of funding for the services made available to Contractor is no longer available to the Department,or for any other reason.Contractor reserves the right to suspend services to clients if funding is no longer available. Entire Agreement.This MOU contains the entire agreement and understanding between the parties with respect to the subject matter hereof and may not be changed or modified except as stated herein.This MOU shall be binding upon the parties hereto,their successors,heirs,legal representatives,and assigns.Contractor and the Department may not assign any of its rights or obligations hereunder without the prior consent of both parties. No Third-Party Beneficiary.It is expressly understood and agreed that the enforcement of the terms and conditions of this MOU,and all rights of action relating to such enforcement,shall be strictly reserved to the undersigned parties and nothing in this MOU shall give or allow any claim or right of action whatsoever by any other person not included in this MOU.It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this MOU shall be an incidental beneficiary only. Governmental Immunity.No term or condition of this contract shall be construed or interpreted as a waiver,express or implied,of any of the immunities,rights,benefits,protections or other provisions,of the Colorado Governmental Immunity Act§§24-10-101 et seq.,as applicable now or hereafter amended. Independent Contractor.Contractor agrees that it is an Independent Contractor and that the Contractor's officers,agents or employees will not become employees of the Department,nor entitled to any employee benefits from the Department as a result of the execution of this MOU. Contractor shall perform its duties hereunder as an Independent Contractor.Contractor shall be solely responsible for its acts and those of its agents and employees for all acts performed pursuant to this MOU.Contractor,its employees and agents are not entitled to unemployment insurance or workers'compensation benefits through the Department and the Department shall not pay for or otherwise provide such coverage for Contractor or any of its agents or employees.Unemployment insurance benefits will be available to Contractor and its employees and agents only if such coverage is made available by Contractor or a third party.Contractor shall pay when due all applicable employment taxes and income taxes and local head taxes(if applicable)incurred pursuant to this MOU. Severability.If any term or condition of this MOU shall be held to be invalid,illegal,or unenforceable by a court of competent jurisdiction,this MOU shall be construed and enforced without such provision,to the extent that this MOU is then capable of execution within the original intent of the parties.
