Brief description of the problem/issue:
Benefits education is a challenge with a diverse workforce that we have at Weld County. Our Ask
Alex platform is up for contract renewal. We have experienced great success since its inception in
2017. Highlights include 6404 total visits by new and existing employees with over 1,818 hours of
staff time saved answering basic questions about our benefit package. Users report that they have a
better understanding of their medical benefits and found the platform very helpful. In the last 6
months 289 users gave the platform a 84.7% helfulness score and 92.9% better understanding score.
What options exist for the Board? (include consequences, impacts, costs, etc. of options):
Approve or decline the contract renewal.
- The Ask Alex platform is paid for using our annual Aetna credits. Total cost for this 2024 open
enrollment is $45,361. This covers licensing, implementation, hosting, updates and maintenance of
platform as well as account mangement, marketing, and analytics.
Recommendation:
Staff recommendation is for approval. The number of hours saved by staff, particularly during open
enrollment and monthly new hire enrollment periods allow us to provide better service for members
that have more complex situations.

3. ALEX LAUNCH: Based on the Sign -By Date, Jellyvision will launch ALEX on the Launch Date ("ALEX Launch").
The ALEX Launch will include the features Customer selects prior to implementation kick-off. A detailed
implementation schedule with due dates for both Jellyvision and Customer deliverables will be provided as a
separate document during implementation.
4. SPECIFICATIONS: Product and technical specifications are available at
https://www.iellyvision.com/specifications. To view this page, use the password "benefits4ever". Jellyvision
may update these specifications from time to time, so long as such updates do not materially degrade ALEX.

ALEX Retirement module. Customer represents that its plans to be presented in ALEX are not materially
different from Customer's Existing Plans; recognizing that, if plans are found to not be compatible or if
additional plans are introduced at a later date, the fees, milestones, and other terms herein will change
commensurate with the additional workJellyvision must undertake.
3. ALEX LAUNCH:
• Based on a sign -by date of 9/14/2022, Jellyvision will launch remaining ALEX features on 10/13/2022
("ALEX Launch"). "Included" features can be excluded at the request of the customer. Whether a
product or module is implemented or deferred by the customer, the invoice will remain unchanged. A
detailed implementation schedule with due dates for both Jellyvision and Customer deliverables will be
provided as a separate document during implementation.

4. ADDITIONAL TERMS FOR ALEX:
ALEX URLs...
• Users will access ALEX Homepage at https://mvalex.com/weld-countv/home.
• A fee will apply if Customer requests a different URL after the start of implementation.
ALEX Implementation Releases...
• As applicable based on Customer's subscribed -to ALEX products, the following governs the applicable
number of releases:
o ALEX Benefits Counselor includes up to 4 Releases for implementation.
o Benefits Sneak Peek video includes 1 Release for implementation.
o New Hire Sneak Peek video includes 1 Release for implementation.
Jellyvision utilizes the release process for Customer review and approval of ALEX prior to launch, as
follows: a "Release" is a draft of the Software that Jellyvision presents to Customer via a testing URL,
along with documentation verifying the data that Jellyvision entered into the back -end system used to
build ALEX. Customer provides feedback on each Release, including any corrections or revisions,
typically within 3-4 business days after Jellyvision provides each Release, then final approval for the
ALEX launch, as specified in the implementation schedule. To elect Retirement Decision Support,
Customer must provide their retirement plan details to Jellyvision at least five (5) business days prior to
the Release 1 deliverable.
Customer shall pay $5,000 ("Additional Customer Release Fee") for each release delivered in excess of
those set forth above on a per feature basis, or delivered by Jellyvision as a "rush release" outside the
implementation schedule. If Customer misses the applicable sign -by date or is late on feedback or
approvals, it may lead to a delay in the applicable launch date, or may require Jellyvision to perform a
"rush release" in order to meet the applicable launch date, which will also be subject to the Additional
Customer Release Fee.

The changes above are the only changes incorporated with this Change Order; all other changes are subject to
additional Change Orders and fees.
All other terms and conditions of the Order remain in full force and effect.

HR is requesting to change the Alex/Jellyvision current contract for Plan Year 2022 in the amount of
$7,238. Once this change order has been approved, Alex will launch their advanced plan including a
more personalized support for our employees in their open enrollment decisions, retirement decision
support and access to Alex materials to help educate and interact with our employees regarding the
above decisions.
What options exist for the Board? (include consequences, impacts, costs, etc. of options):
Approve or not approve the contract change. If not approved nothing changes, if the contract is
approved our employees will be able to receive a much richer benefit based on their needs and
individual situations. Since HR cannot give them advice, Alex is able to fill this need and using our
benefit structure and what the employee shares.

ALEX ID
ALEX ID remembers your people, creating a
streamlined, personalized experience during
onboarding, open enrollment and beyond. An
ALEX ID is created when employees access
ALEX through SSO or give their email address
to ALEX. Jellyvision collects and stores their
name (optional), email, phone number
(optional) and password. If SSO is enabled or a
social login (such as Google Sign -On) is used,
then Jellyvision does not store their password.
We'll also store information generated from
their interactions with the ALEX platform in
order to provide intelligent recommendations
via email, text or in -platform notifications.

Hosting
ALEX is hosted by Jellyvision on cloud -based
platforms. Each customer receives one or more
dedicated URL(s), as determined by Jellyvision.
Customers are solely responsible for driving
end user traffic to ALEX.
Jellyvision will not perform maintenance that
substantially affects the usability of the service
between 8:00 AM and 8:00 PM Central Time,
Monday through Friday, except in case of
emergencies. Jellyvision will give written notice
to customers of such maintenance at least 72
hours in advance. Unless the situation is an
emergency, maintenance windows won't
exceed three hours in any 30 -day period.

Our existing contract with Jellyvision (Ask Alex platform) is up for renewal. We are asking for a 3
year extension of contract with payment for three years subject to discounts. Updates have occurred
with the platform to increase benefit education during hiring process and an emphasis on retirement
savings plans.

Agree to amendment on existing contract to take advantage of discounts being offered for 2021-2023
plan years.

Recommendation:

2. SUBSCRIPTION TERM:
Customer's subscription to ALEX is extended for three (3) years and expires on 10/08/2023 (the
"Subscription Term").
3. ALEX LAUNCH:
Based on a sign -by date of 07/24/2020, Jellyvision will launch ALEX on 10/09/2020 ("ALEX Launch"). The
ALEX Launch will include the features Customer selects prior to implementation kick-off. A detailed
implementation schedule with due dates for both Jellyvision and Customer deliverables will be provided
as a separate document during implementation. The launch date and implementation schedule for

future years of the Subscription Term will be determined by mutual agreement of Jellyvision and
Customer.

5. ADDITIONAL TERMS FOR ALEX:
Plan Analysis and Compatibility...
• Customer's plans presented in ALEX for the prior Subscription Term are compatible with ALEX
(the "Existing Plans"). Customer represents that its plans to be presented in ALEX are not
materially different from the Existing Plans; recognizing that, if this assumption is incorrect or if
additional plans are introduced at a later date, the fees, milestones, and other terms herein will
change commensurate with the additional work Jellyvision must undertake related to such
incorrect assumption. So what changes would be materially different? Any change to Customer's
plans outside of standard plan design elements (e.g., coverage levels, deductibles, or out of
pocket maximums).
ALEX URLs...
• Users will access ALEX via a URL determined by Jellyvision, with the following format:
https://www.myalex.com/weld-county.
• A fee will apply if Customer requests a different URL after the start of implementation.
• The URL(s) for ALEX for future years will be determined by Jellyvision and approved by
Customer.
ALEX Implementation Releases...
• ALEX Benefits Counselor (with Retirement) includes up to 3 Releases for implementation.
• ALEX Benefits Sneak Peek video includes 1 Release for implementation.
• Jellyvision utilizes the release process for Customer review and approval of ALEX prior to launch,
as follows: a "Release" is a draft of the Software that Jellyvision presents to Customer via a
testing URL, along with documentation verifying the data that Jellyvision entered into the back -
end system used to build ALEX. Customer provides feedback on each Release, including any
corrections or revisions, typically within 3-4 business days after Jellyvision provides each
Release, then final approval for the ALEX launch, as specified in the implementation schedule.
• Customer shall pay $5,000 ("Additional Customer Release Fee") for each release delivered in
excess of those set forth above on a per feature basis, or delivered by Jellyvision as a "rush
release" outside the implementation schedule. If Customer misses the sign -by date or is late on
feedback or approvals, it may lead to a delay in the applicable launch date, or may require
Jellyvision to perform a "rush release" in order to meet the applicable launch date, which will
also be subject to the Additional Customer Release Fee.

• The subscription(s) and the associated fees are:
o Only for the items listed above. If additional Software needs to be added at a later date
or modifications are requested, the fees will change as documented in a Change Order;

o Dependent on the benefits -eligible employee population specified above. Any
fluctuation of 5% or more will result in a change to the fees.
• IfJellyvision shares future product ideas during the Subscription Term, Customer agrees that
such ideas are Jellyvision's confidential information.
• Customer will be responsible for any and all taxes, however designated, that are levied or based
on this Order, except for taxes based on the net income of Jellyvision.

WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an ALEX License Agreement for Benefits
Counselor and Financial Wellness Software between the County of Weld, State of Colorado, by
and through the Board of County Commissioners of Weld County, on behalf of the Department of
Human Resources, and Jellyvision Lab, Inc., commencing upon full execution of signatures and
ending in 2020, with specific dates and further terms and conditions being as stated in said

County of Weld, a body corporate and politic of the State of Colorado, by and through its Board of County
Commissioners, whose address is 1150 "O" Street, Greeley, Colorado 80631 ("You" or "County") want to
license ALEX® software ("ALEX"). The Jellyvision Lab, Inc., a Delaware corporation whose address is 848
W. Eastman, Suite 104, Chicago IL 60642 ("Jellyvision" or "We") wants to license ALEX to you. So here is
our deal:
1. How do I order ALEX? The scope and features of Your customized ALEX will be specified in
a work order (an "Order"), along with (a) the fee for the license and any customizations and
(b) the license period (the "Term").
2. When do I get ALEX? Configuration of Your ALEX will occur on the schedule specified in the
Order. Jellyvision must provide deliverables on the specified dates, and You must provide
information, feedback, and approvals on the specified dates. Jellyvision agrees to procure the
materials, equipment and/or products necessary to provide ALEX and agrees to diligently
provide all services, labor, personnel and materials necessary to perform and complete Your
ALEX implementation.
3. What do I pay for ALEX? Within 30 days of receipt of an invoice as specified in an Order,
You'll pay Jellyvision the fees set forth in that invoice. If You don't pay the fees on time, You'll
pay interest at a rate of 1.5% per month.
4. What if I want to change ALEX or this Agreement? If You desire to modify ALEX beyond what
is specified in an Order, such modification will be mutually agreed upon in a Change Order
which will specify the scope, fees, and schedule for that modification. Any amendments or
modifications to this Agreement shall be in writing signed by both parties. No additional
services or work performed by Jellyvision shall be the basis for additional compensation
unless and until Jellyvision has obtained written authorization and acknowledgement by
County for such additional services.
5. Who owns what? Jellyvision owns ALEX and any suggestions you may have for improving
ALEX. You own your logos and plan information, and license those to us only for use within
your ALEX.
6. How long can I use ALEX? Jellyvision shall license ALEX to You for distribution over the
internet for the Term, beginning on the earlier of (a) acceptance of the final release or (b)
availability to end users of ALEX. Either You or Jellyvision may terminate this Agreement if
the other is in material breach where such material breach is not cured within 10 days of
notice. You may terminate this Agreement without cause, but all fees under any Order
remain owed to Jellyvision.

7. Will secrets be kept secret? Each of us will use non-public information obtained from the
other under this Agreement only for purposes of this Agreement and will not disclose such
information to any third parties. All non-public information regarding Your benefits plans is
Your confidential information and will not be used or disclosed by Jellyvision except as
necessary to provide the ALEX to You. Having said that, You acknowledge that Jellyvision
utilizes aggregated data compiled from licensees' benefit plan data to improve ALEX and
provide market research and insights to third parties. But neither You nor Your plan data can
be identified from such aggregated data.
8. What if there's a problem that can't be resolved by talking it out?
A. Between us. This Agreement is governed by the laws of Colorado, but not its choice
of law rules. Any dispute under this Agreement shall be resolved in a court in Weld
County, Colorado and each party consents to personal jurisdiction there. In the event
litigation is brought concerning this Agreement, the prevailing party shall be paid its
attorneys' fees, costs, and expenses by the other side.
B. Jellyvision Indemnification. Jellyvision shall defend, indemnify and hold harmless
County, its officers, agents, and employees, from and against injury, loss damage,
liability, suits, actions, or claims of any type or character arising out of Jellyvision's
work done in fulfillment of the terms of this Agreement to the extend such claim does
not arise out of incorrect benefits plan data provided by County, or on account of any
act, claim or amount arising or recovered under workers' compensation law for
Jellyvision's own employees or contractors, or arising out of the failure of Jellyvision
to conform to any statutes, ordinances, regulation, law or court decree.
C. Each party shall be responsible to the fullest extent allowed under the law for its own
negligence, and the negligence of its employees and agents acting within the scope
of their actual authority. It is expressly understood and agreed that nothing
contained in this Agreement shall be construed as an express or implied waiver by
You of your governmental and sovereign immunities, as an express or implied
acceptance by You of liabilities arising as a result of actions which lie in tort or could
lie in tort in excess of the liabilities allowable under the Colorado Governmental
Immunity Act, C.R.S. 24-10-101 et seq., as a pledge of the full faith and credit of the
State of Colorado, or as the assumption of any of the parties of a debt, contract or
liability of each other in violation of Article XI, Section 1 of the Constitution of
Colorado. You are liable for breach of contract in the same manner as any private
party would be under the same or similar circumstances.
9. What warranties does Jellyvision provide? Jellyvision makes the following warranties. First,
ALEX will substantially conform to the specification in an applicable Order. Second, ALEX will
not infringe anyone else's intellectual property. Third, services performed under this
Agreement will be performed in a manner consistent with the standards governing such
services and the provisions of this Agreement, shall be performed by qualified personnel in a
professional and workmanlike manner, consistent with industry standards. Except for these
warranties, ALEX is software, and it is provided "as is," with all faults and without additional
warranties.
10. This Agreement and any Order govern our relations — what about end users? The
relationship between Jellyvision and end users is spelled out in our customary Terms of
Service (see www.meetalex.com/tos). The Terms of Service do not modify anything in this
Agreement; rather the Terms of Service specify the rights and obligations of Jellyvision and
end users to one another.
11. Force Majeure. [By the way, that is French for "superior force" — lawyers use it to mean
something like "act of God."] Neither party shall be in default hereunder for any cessation,
interruption, or delay due to causes beyond its reasonable control.
12. Independent Contractor. Jellyvision agrees that it is an independent contractor and that
Jellyvision's officers, agents or employees will not become employees of County, nor entitled
to any employee benefits from County as a result of the execution of this Agreement.
Jellyvision shall perform its duties hereunder as an independent contractor. Jellyvision shall
be solely responsible for its acts and those of its agents and employees for all acts performed
pursuant to this Agreement. Jellyvision, its employees and agents are not entitled to
unemployment insurance or workers' compensation benefits through County and County
shall not pay for or otherwise provide such coverage for Jellyvision or any of its agents or
employees.
13. Subcontractors. Jellyvision acknowledges that County has entered into this Agreement in
reliance upon the particular reputation and expertise ofJellyvision. Jellyvision shall not enter
into any subcontractor agreements for ALEX without County's prior written consent, not to
be unreasonably withheld. Notwithstanding the foregoing, County hereby provides written
approval for Jellyvision to use subcontractors for voice talent, quality assurance testing,
hosting, and analytics, and hereby acknowledges that such approval satisfies the conditions
of Section 13 of this Agreement.
14. Acceptance of Services Not a Waiver. In no event shall any action by County hereunder
constitute or be construed to be a waiver by County of any breach of this Agreement or
default which may then exist on the part of Jellyvision. Acceptance by the County of, or
payment for, the services completed under this Agreement shall not be construed as a waiver
of any of the County's rights under this Agreement or under the law generally.
15. Assignment. Neither party may assign this Agreement without the other party's prior written
consent (not to be unreasonably withheld or delayed). Notwithstanding the foregoing, either
party may assign this Agreement in the event of a sale or transfer of all or substantially all of
its assets or stock; provided that in the event of such assignment, the other party may
terminate this Agreement within ten (10) days of notice of such assignment.
16. Compliance with Law. Jellyvision shall strictly comply with all applicable federal and State
laws, rules and regulations in effect or hereafter established, including without limitation,
laws applicable to discrimination and unfair employment practices.
17. Non -Exclusive Agreement. This Agreement is nonexclusive and County may engage or use
other contractors or persons to perform services of the same or similar nature.
18. Entire Agreement/Modifications. This Agreement and the Order contain the entire
agreement between the parties with respect to the subject matter contained in this
Agreement. This instrument supersedes all prior negotiations, representations, and
understandings or agreements with respect to the subject matter contained in this
Agreement. This Agreement may be changed or supplemented only by a written instrument
signed by both parties.
19. Fund Availability. Financial obligations of the County payable after the current fiscal year
are contingent upon funds for that purpose being appropriated, budgeted and otherwise
made available. Execution of this Agreement by County does not create an obligation on the
part of County to expend funds not otherwise appropriated in each succeeding year.
20. Severability. If any term or condition of this Agreement shall be held to be invalid, illegal,
or unenforceable by a court of competent jurisdiction, this Agreement shall be construed and
enforced without such provision, to the extent that this Agreement is then capable of
execution within the original intent of the parties.
21. No Third Party Beneficiary. It is expressly understood and agreed that the enforcement of
the terms and conditions of this Agreement, and all rights of action relating to such
enforcement, shall be strictly reserved to the undersigned parties and nothing in this
Agreement shall give or allow any claim or right of action whatsoever by any other person
not included in this Agreement. It is the express intention of the undersigned parties that
any entity other than the undersigned parties receiving services or benefits under this
Agreement shall be an incidental beneficiary only.
22. Board of County Commissioners of Weld County Approval. This Agreement shall not be
valid until it has been approved by the Board of County Commissioners of Weld County,
Colorado or its designee.
23. Acknowledgment. County and Jellyvision acknowledge that each has read this Agreement,
understands it and agrees to be bound by its terms. Both parties further agree that this
Agreement and the Order are the complete and exclusive statement of agreement between
the parties and supersedes all proposals or prior agreements, oral or written, and any other
communications between the parties relating to the subject matter of this Agreement.

About ALEX Financial Wellness...
• ALEX Financial Wellness will be hosted at the following URL: httos://www.myalex.corn/wek1-
countv/financialweilness.
• Customer will have the opportunity to update its version of ALEX: Financial Wellness if subsequent software
updates are released during Customer's license term.
• Updates during a license term will be offered free of charge. Jellyvision will provide Customer with an overview
of the software version update, and Customer will have 30 days (or an alternate period of time, if mutually
agreeable) to review the update and either accept (to receive the software update) or decline (to stay on the
current version).
• Customer's annual license renewal will always be for the latest version of the software.
• Customer cannot renew and stay on an outdated version of the software.
General...
• A fee will apply if Customer requests a different URL during production.
• The license(s) and the associated fees, as outlined in Exhibit 3 are:
• Only for the items checked above. If additional services need to be added at a later date, the fees will
change as documented in a Change Order; and
• Dependent on the employee population specified in the Fee Schedule. Any fluctuation of 5% or more will
result in a change to the license fees.
Our signatures below mean we both agree to what is in this Order. Jellyvision is truly grateful that County of Weld, a
body corporate and politic of the State of Colorado, by and through its Board of County Commissioners is joining the
ALEX family.

• ALEX will show all three dental plan options even if a user does not select medical coverage. Jellyvision,
however, will place a text note in a set location in the Dental module and in the plan details pages to remind
users that they are only able to enroll in the Alpha and Companion Dental plans if they opt out of medical
coverage. Exact wording will be suggested by Jellyvision and agreed upon by both parties.
• ALEX will not outline via audio that the vision plan is reimbursement -only or that reimbursements will only cover
50% of total costs. Instead, Jellyvision will place a text note in a set location in the Vision module to cover these
details. Exact wording will be suggested by Jellyvision and agreed upon by both parties.
• ALEX will not outline via audio that there are additional EyeMed discounts on vision expenses if a user signs up
for a dental plan. These additional discounts, not attached to any plan, will be included in a set location in the
Dental module plan details pages. Exact wording will be suggested by Jellyvision and agreed upon by both
parties.
• ALEX will only explain a vision maximum coverage amount of $300 per individual, but Jellyvision will use a text
note in a set location in the Vision module stating that the max coverage for a family is $600. Exact wording will
be suggested by Jellyvision and agreed upon by both parties.

SCHEDULE
So long as this Order is signed by 2/10/2017 and Your reviews/feedback/approvals are timely as outlined in below,
Jellyvision will make the Financial Wellness Software available on the production server by end of day on 3/09/2017
(the "2017 Financial Wellness Launch Date") and the Benefits Counselor Software available on the production
server by end of day on 11/1/2017 (the "2018 Benefits Counselor Launch Date"). Any delays in execution or reviews
are subject to schedule delays and fees. The launch date(s) for the 2018, 2019, 2020 Software (the "2018 and 2019
Financial Wellness Launch Dates" and the "2019 and 2020 Benefits Counselor Launch Dates") will be determined at
a later date and mutually agreed upon after Order execution. The Benefits Counselor and Financial Wellness
Software for future years will be subject to the same general production schedule of review, feedback and approvals
as below.
All Customer deliverables are due END OF DAY (midnight CT). Failure to provide feedback/approval in accord with
this schedule may result in additional fees and delays to the schedule (which could result in a launch after Launch
Date).
