RE: APPROVE SETTLEMENT AGREEMENT FOR BRIDGE 54/13A RECONSTRUCTION
PROJECT AND AUTHORIZE CHAIR TO SIGN - DUSTIN AND JAMIE CHRISTENSEN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Settlement Agreement for the
Bridge 54/13A Reconstruction Project between the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Department of
Public Works, and Dustin and Jamie Christensen, commencing upon full execution of signatures,
with further terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Settlement Agreement for the Bridge 54/13A Reconstruction
Project between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Public Works, and Dustin and
Jamie Christensen, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 12th day of June, A.D., 2023.

SETTLEMENT AGREEMENT BETWEEN DUSTIN C. CHRISTENSEN AND JAMIE A.
CHRISTENSEN AND WELD COUNTY, COLORADO
THIS SETTLMENT AGREEMENT is made this IV' day of J j fl , 2023, by and
between Dustin C. Christensen and Jamie A. Christensen, whose address is 6504 County Road
54, Johnstown, CO 80534, hereinafter collectively referred to as "Owner," and WELD COUNTY,
a body corporate and politic of the State of Colorado, by and through its Board of County
Commissioners, whose address is 1150 'O' Street, Greeley, Colorado 80631 hereinafter referred
to as "County." Owner and County may be collectively referred to herein as, "the Parties."
WHEREAS, Owner owns a parcel of real property containing the property described in the
attached Exhibit A (hereinafter referred to as ("Public Road Right -of -Way" or "ROW") and
property described in the attached Exhibit B ("Temporary Construction Easement" or "TCE"),
which are hereinafter referred to collectively as the "Property", and
WHEREAS, County finds it necessary to reconstruct bridge 54/13A on Weld County Road
54 (hereinafter referred to as the "Project"), and
WHEREAS, the County threatened to condemn the Property and, in lieu of condemnation,
Owner and County have reached this Settlement Agreement so that the County may complete the
Project.
NOW, THEREFORE, the parties herein agree as follows:
I. EXHIBITS INCORPORATED. The following exhibits are attached and incorporated into
this Settlement Agreement.
Exhibit A — Description, Depiction, of ROW and Form of Deed of Dedication.
Exhibit B — Description, Depiction, and Form of TCE.
Exhibit C — Description, Depiction and Form of Temporary Access and Construction
Easement.
II. COMPENSATION; PROPERTY CONVEYANCE
A. At Closing, the County shall pay Owner the total compensation amount of Seven Hundred
Twenty Thousand & 00/100 Dollars ($720,000.00), allocated as follows: $70,000 for the
ROW, $20,000 for the TCE, and $630,000 for damages.
B. The parties acknowledge and agree that said total compensation amount represents full,
fair and valuable consideration for the land and interests being acquired and damages to
the remainder.

III. PUBLIC ROAD RIGHT-OF-WAY
A. Owner agrees to grant the Public Road Right -of -Way to the County by Deed of Dedication
in the form attached as Exhibit A.
B. Owner shall deliver the fully executed Deed of Dedication for the Public Road Right -of -
Way to the County at the date of closing which shall be no later than fifteen (15) days
following mutual execution of this Settlement Agreement ("Closing"). The dedication shall
not be valid until accepted and approved by the Board of County Commissioners and
signed by the Chair or other person delegated authority to sign on behalf of the Board.
C. Owner shall retain the mineral estate and any water rights currently attached to or
associated with the Property, if any exists.
IV. TEMPORARY CONSTRUCTION EASEMENT
A. Owner agrees to grant a Temporary Construction Easement (TCE) to the County covering
all property described and depicted in, and subject to the terms provided in, Exhibit B.
V. COUNTY'S RESPONSIBILITIES
A. The County shall install bollards between the Public Service Company facilities and the
west edge of the future driveway on the west side of the property located at 6504 County
Road 54, Johnstown, CO 80534, at a location approved by Owner, prior to completion of
the Project on the Property.
B. The County will grant a temporary access and construction easement to Owner on, over
and across the Right of Way for use during reconstruction of the internal roadway, as
detailed in the Temporary Access and Construction Easement, attached as Exhibit C,
which will be delivered at Closing.
C. County shall revegetate any disturbed areas within the TCE to the original condition,
using a seed mixture prior -approved by Owner.
D. The existing driveway shown on Sheet 19 of 104 of the Bridge 54/13A Final Plans shall
not be removed or otherwise rendered unusable for access to the Owner's property until
such time as the County completes construction of the new driveway apron and drive in
the ROW as shown on Sheet 27 of 104 of the Bridge 54/13A Final Plans, so that there
shall be access to the Owner's property at all times during construction of the Project and
thereafter.
E. The provisions of this Section V shall survive Closing.

VI. CLOSING
A. County shall not be liable for any monetary encumbrance associated with the Property prior
to the Closing. Owner shall pay any encumbrance associated with the Public Road Right -
of -Way which is required to be paid, including, but not limited to, a prorated amount of the
property taxes, and any past due property taxes, (and interest and penalties thereon), on or
before the Closing when Owner delivers the Deed of Dedication to the County. Owner is
solely responsible for the payment of any amounts owed to a third party holding a security
or other lien interest in the Public Road Right -of -Way and Temporary Construction
Easement.
B. At Closing, County shall pay for the cost of obtaining title insurance if County elects to
obtain title insurance for the Property.
C. At Closing, County shall pay all fees and costs associated with Closing, including the
recording this Settlement Agreement, the Temporary Construction Easement, and/or the
Deed of Dedication.
VII. MISCELLANEOUS:
A. Final Plans Review. Owner acknowledges they have been given a complete copy of the
Final Plans for the work to be performed by County and/or its contractor within the ROW
and TCE to construct Bridge 54/13A with a print date of 5/12/23 ("Bridge 54/13A Final
Plans"). Owner further acknowledges that they have reviewed the Bridge 54/13A Final
Plans and have expressed no objections thereto. The County acknowledges that Owner is
relying on the Final Plans in entering this Settlement Agreement and any material revisions
to the Final Plans or construction of the Project that varies from the Final Plans may result
in unforeseen impacts and/or damages to Owner's remainder property.
B. Binding Nature of Settlement Agreement. This Settlement Agreement and the conveyance
of the Property made pursuant to the terms herein, shall be binding upon, all and inure to
the benefit of and be enforceable by the Parties and their heirs, executors, administrators,
successors, and assigns.
C. Validity of Settlement Agreement. This Settlement Agreement shall not be valid until it
has been approved by the Board of County Commissioners of Weld County, Colorado, or
its designee.
D. Governmental Immunity. No term or condition of this Settlement Agreement shall be
construed or interpreted as a waiver, express or implied, of any of the immunities, rights,
benefits, protections or other provisions, of the Colorado Governmental Immunity Act §§
24-10-101, et seq., as applicable now or hereafter amended.
E. No Third -Party Beneficiary. It is expressly understood and agreed that the enforcement of

the terms and conditions of this Settlement Agreement, and all rights of action relating to
such enforcement, shall be strictly reserved to the undersigned Parties and their heirs,
executors, administrators, successors, and assigns, and nothing in this Settlement
Agreement shall give or allow any claim or right of action whatsoever by any other person
not included in this Settlement Agreement. It is the express intention of the undersigned
Parties that any entity other than the undersigned Parties receiving services or benefits
under this Settlement Agreement shall be an incidental beneficiary only.
F. Entire Agreement. This Settlement Agreement, including Exhibits A, B and C attached
hereto and incorporated herein, contains the entire Settlement Agreement between the
parties with respect to the subject matter contained in this Settlement Agreement. This
instrument supersedes all prior negotiations, representations, and understandings or
agreements with respect to the subject matter contained in this Settlement Agreement. No
oral representation, promise, or consideration different from the terms herein contained
shall be binding on either party, or its agents or employees. This Settlement Agreement
may be changed or supplemented only by a written instrument signed by both Parties.
G. Governing Law. Colorado law, and rules and regulations established pursuant thereto,
shall be applied in the interpretation, execution, and enforcement of this Settlement
Agreement. Any provision included or incorporated herein by reference which conflicts
with said laws, rules and/or regulations shall be null and void. In the event of a legal dispute
between the parties, the parties agree that the Weld County District Court shall have
exclusive jurisdiction to resolve said dispute.
H. Severability. If any term or condition of this Settlement Agreement shall be held to be
invalid, illegal, or unenforceable by a court of competent jurisdiction, this Settlement
Agreement shall be construed and enforced without such provision, to the extent that this
Settlement Agreement is then capable of execution within the original intent of the Parties.
I. Complete Release of All Claims, Actual and Potential. Subject to Paragraph VII.A, this
Settlement Agreement is intended by the Parties to constitute a complete release of all
claims, actual and potential, whether or not already asserted by Owner, in connection with
the purchase of the Public Road Right -of -Way and the Temporary Construction Easement.
The obligations of the Parties set forth in this Settlement Agreement establish the basis for
this Settlement Agreement and, if fulfilled in accordance with this Settlement Agreement,
the resultant complete release.
J. Full Release of Liability and Commitments from Owner. For and in consideration of the
payment of the total compensation amount (Paragraph II.A. of this Settlement Agreement)
to Owner, and contingent upon the fulfillment of specific promises by County set forth
herein, Owner releases and forever discharges County, it officers and employees, from any
and all past, present, or future claims; demands; obligations; actions; causes of action;
claims, damages; costs; expenses; liabilities; and compensation of any nature whatsoever
that Owner now has on account of, or in any way related to the purchase of the ROW and

TCE, and the Bridge 54/l3A Final Plans, including, without limitation, any and all claims
under federal law, the common law of any state, any federal or state statute, any local law,
any federal or state constitutional provision, and any claim for attorney fees under 42
U.S.C. Sec. 1988 or any other state or federal statute or law prior to the date of signing of
this Settlement Agreement ("Released Claims"). This release and discharge of the Released
Claims will be a fully binding and shall constitute a complete settlement in connection with
the purchase of the ROW and TCE, and the Bridge 54/13A Final Plans.
K. Agreement Respecting Taxes. Owner agrees that, in the event any part of the total
compensation amount set forth in Paragraph II.A. of this Agreement is determined to be
taxable by any taxing authority, Owner is solely responsible for any tax liability arising
therefrom related to taxes, penalties, and fines owed by Owner. The Parties do understand
and intend that the total compensation amount set forth in this Settlement Agreement and
the other obligations of the County set forth herein resolve any and all claims of Owner
relating to the purchase of the ROW and TCE, and the Bridge 54/13A Final Plans, within
the meaning of section 104(a)(2) of the Internal Revenue Code of 1986, as amended, which
Owner asserted arose out of the purchase of the ROW and TCE, and the Bridge 54/13A
Final Plans.

THIS DEED, made this day of , 2023 between Dustin C. Christensen and
Jamie A. Christensen (referred to herein as "Grantor", whether one or more), and the County of Weld, a
body corporate and politic of the State of Colorado, by and through its Board of County Commissioners
(referred to herein as "Grantee"), whose legal address is 1150 "O" Street, Greeley, Colorado 80631:
WITNESSETH: That Grantor, for and in consideration of payment made by Grantee, the receipt and
sufficiency of which is hereby acknowledged, does, pursuant to Colorado Revised Statute §43-2- 201(1)(a),
hereby dedicate and convey forever unto Grantee for use as a Public Road Right -of Way, that real property
lying and being in the County of Weld, State of Colorado, to wit:
The real property described and depicted on the attached Exhibit A & B.
EXCEPTING oil, gas, hydrocarbons, and mineral leases, liens, encumbrances, rights -of -way, easements
and utilities thereto existing or of record, and
RESERVING unto Grantor the mineral estate under said property, including oil, gas, hydrocarbons and any
and all water rights including non -tributary and not non -tributary water currently attached to, upon, under,

A parcel of land, being part of that parcel of land described in that Warranty Deed recorded March
19, 2021 as Reception No. 4694877 of the records of the Weld County Clerk and Recorder, located
in the Northeast Quarter (NE1/4) of Section Thirty (30), Township Five North (T.5N.), Range
Sixty-seven West (R.67W.) of the Sixth Principal Meridian (6th P.M.), County of Weld, State of

GRANT OF TEMPORARY CONSTRUCTION EASEMENT
This Temporary Construction Easement (TCE), is made between Dustin C. Christensen and
Jamie A. Christensen, (referred to herein as "Owner", whether one or more), and the County of
Weld, a body corporate and politic of the State of Colorado, through its Board of County
Commissioners (referred to herein as "County"):
WITNESSETH: That Owner, for and in consideration of payment made by County, the receipt
and sufficiency of which is hereby acknowledged, does hereby dedicate and convey unto Owner
a Temporary Construction Easement, covering that real property lying and being in the County
of Weld, State of Colorado, to wit:
The real property described and depicted on the attached Exhibit A
Subject to the following conditions:
1. The TCE is conveyed from Owner to County immediately and shall expire and be
of no further force or effect two (2) years later, or upon the County's determination that
the Project is complete, whichever is earlier.
2. The right to use the TCE shall belong to the County and its agents, employees,
designees, contractors, guests, invitees, successors and assigns, and all those acting by or
on behalf of the County for the purpose of surveying, appraising, establishing, laying,
constructing, reconstructing, installing, realigning, modifying, replacing, improving,
adding, altering, substituting, operating, maintaining, accessing, inspecting, patrolling,
protecting, or repairing the roadway improvements, including the storage of materials
related to said roadway improvements.
3. County shall have the right of ingress, egress, entry and access in, to, through, on,
over, under, and across the TCE from any adjacent property to which County has legal
access, for any and all purposes necessary and/or incident to the exercise by the County
of the rights granted to it hereunder. At the expiration of the term of this TCE, County
shall promptly repair any damage to Owner's property caused by County, its agents,
employees, contractors, guests, invitees, and all those acting by or on behalf of County so
as to maintain the Owner's property in substantially as good or better condition as existed
prior to use by County.
4. County agrees that any current access to the property from the Right -of -Way shall
remain open throughout the term of the TCE.

WITNESSETH: That Grantor, for and in consideration of payment made by Grantee, the receipt and
sufficiency of which is hereby acknowledged, does, pursuant to Colorado Revised Statute §43-2- 201(1)(a),
hereby dedicate and convey forever unto Grantee for use as a Public Road Right -of Way, that real property
lying and being in the County of Weld, State of Colorado, to wit:

EXCEPTING oil, gas, hydrocarbons, and mineral leases, liens, encumbrances, rights -of -way, easements
and utilities thereto existing or of record, and
RESERVING unto Grantor the mineral estate under said property, including oil, gas, hydrocarbons and any
and all water rights including non -tributary and not non -tributary water currently attached to, upon, under,
or associated with said property, except as required to sustain the integrity of the Public Highway.

Jamie A. Christensen, (referred to herein as "Owner", whether one or more), and the County of
Weld, a body corporate and politic of the State of Colorado, through its Board of County
Commissioners (referred to herein as "County"):
WITNESSETH: That Owner, for and in consideration of payment made by County, the receipt
and sufficiency of which is hereby acknowledged, does hereby dedicate and convey unto Owner
a Temporary Construction Easement, covering that real property lying and being in the County
of Weld, State of Colorado, to wit:
The real property described and depicted on the attached Exhibit A
Subject to the following conditions:
1. The TCE is conveyed from Owner to County immediately and shall expire and be
of no further force or effect two (2) years later, or upon the County's determination that
the Project is complete, whichever is earlier.
2. The right to use the TCE shall belong to the County and its agents, employees,
designees, contractors, guests, invitees, successors and assigns, and all those acting by or
on behalf of the County for the purpose of surveying, appraising, establishing, laying,
constructing, reconstructing, installing, realigning, modifying, replacing, improving,
adding, altering, substituting, operating, maintaining, accessing, inspecting, patrolling,
protecting, or repairing the roadway improvements, including the storage of materials
related to said roadway improvements.
3. County shall have the right of ingress, egress, entry and access in, to, through, on,
over, under, and across the TCE from any adjacent property to which County has legal
access, for any and all purposes necessary and/or incident to the exercise by the County
of the rights granted to it hereunder. At the expiration of the term of this TCE, County
shall promptly repair any damage to Owner's property caused by County, its agents,
employees, contractors, guests, invitees, and all those acting by or on behalf of County so
as to maintain the Owner's property in substantially as good or better condition as existed
prior to use by County.
4. County agrees that any current access to the property from the Right -of -Way shall
remain open throughout the term of the TCE.

Reception No. 4694877 of the records of the Weld County Clerk and Recorder, located in the Northeast Quarter
(NE1/4) of Section Thirty (30), Township Five North (T.5N.), Range Sixty-seven West (R.67W.) of the Sixth Principal
Meridian (6th P.M.), County of Weld, State of Colorado, and being more particularly described as follows:
