LABORATORY SERVICES, AND AUTHORIZE CHAIR TO SIGN AND SUBMIT
ELECTRONICALLY - COLORADO COMMUNITY HEALTH NETWORK AND
LABORATORY CORPORATION OF AMERICA
WHEREAS,the Board of County Commissioners of Weld County,Colorado,pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County,Colorado,and
WHEREAS,the Board has been presented with a Laboratory Services Group Purchasing
Agreement and Participation Form(Exhibits E and F)for the Reduced Costs of Clinical Laboratory
Services among the County of Weld,State of Colorado,by and through the Board of County
Commissioners of Weld County,on behalf of the Department of Public Health and Environment,
Colorado Community Health Network,and Laboratory Corporation of America,commencing upon
full execution of signatures,with further terms and conditions being as stated in said agreement
and form,and
WHEREAS,after review,the Board deems it advisable to approve said agreement and
form,copies of which are attached hereto and incorporated herein by reference.
NOW,THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Laboratory Services Group Purchasing Agreement and
Participation Form(Exhibits E and F)for the Reduced Costs of Clinical Laboratory Services
among the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County,on behalf of the Department of Public Health and Environment,
Colorado Community Health Network,and Laboratory Corporation of America,be,and hereby
are,approved.
BE IT FURTHER RESOLVED by the Board that the Chair be,and hereby is,authorized
to electronically sign and submit said agreement and form.

Program Membership Agreement

Brief description of the problem/issue:
For the Board's review and approval is a no-cost agreement between the Colorado Community Health
Network(CCHN)and the Board of County Commissioners of Weld County for the use and benefit of the
Weld County Department of Public Health and Environment(WCDPHE).
The purpose of this agreement is to obtain reduced costs for clinical laboratory services from LabCorp Inc.
by way of membership within CCHN's laboratory group purchasing program.The WCDPHE Clinic has
been receiving reduced costs from LabCorp Inc.dating back to when Sunrise Community Health operated
a pre-natal clinic within the department.Our access to reduced LabCorp Inc.pricing was under Sunrise's
CCHN membership.After a recent LabCorp Inc.audit WCDPHE was notified that we must have our own
individual CCHN membership to continue receiving the group rates.
Activities will be conducted by current staff;no additional FTE is being requested.
What options exist for the Board?
With the approval of the Board, this will provide continued access to significantly reduced clinical
laboratory pricing for the diagnostic tested needed in our clinic.
Consequences:If the Board declines approving this no-cost agreement,WCDPHE will pay significantly
more for clinical laboratory services from LabCorp Inc.
Impacts: With denial of this request,we would likely seek our clinical laboratory services from the
Colorado Department of Public Health and Environment which will increase costs and processing time
from current levels.This will result in decreased cost-effectiveness and customer service in our clinical
grant programs.With approval of this request and obtaining our own membership,we can ensure
continued access to reduced clinical laboratory services pricing.
Costs(Current Fiscal Year t Ongoing or Subsequent Fiscal Years): CCHN receives fees from LabCorp
to act as the purchasing agent for participating customers. There is no cost to the County under this
agreement.Participation will save WCDPHE 50%-70%on lab fees which equates to$20,000 or more per
year based on current lab usage.
Recommendation: I recommend approval of this laboratory services group purchasing agreement with
the Colorado Community Health Network.

LABORATORY SERVICES GROUP PURCHASING AGREEMENT
THIS AGREEMENT made this 14 day of July ,2022,by and between Colorado Community
Health Network,("CCHN")and Laboratory Corporation of America("LABORATORY").
WHEREAS,LABORATORY is engaged in the business of providing reference clinical laboratory services
(the"Services");and
WHEREAS,CCHN is a Colorado not-for-profit corporation acting as a group purchasing agent for its
participating Colorado Community Health Centers,Colorado safety net providers,and Community Health
Centers in neighboring states(individually,"MEMBER")(collectively,"MEMBERS");and
WHEREAS,CCHN is entering into this contract on behalf of MEMBERS with LABORATORY to provide
the Services described herein for"MEMBERS"and LABORATORY desires to provide the Services
described herein;and
WHEREAS,CCI-IN is entering into this Agreement on behalf of itself and as the agent for the MEMBERS;
and
WHEREAS,LABORATORY understands that CCHN cannot guarantee that its MEMBERS will purchase
the Services described herein.
IT IS THEREFORE AGREED AS FOLLOWS:
1. TERM AND TERMINATION
This Agreement shall become effective on the date first set forth above("Effective Date").This
Agreement shall have an initial term of thirty-six(36)months("Initial Tem")and shall be automatically
renewed subject to price changes agreed upon by CCHN and LABORATORY for three(3)additional
one(1)year periods(each a"Renewal Tenn")at the end of the Initial Term or any renewal Term,
unless previously terminated by either party.
This Agreement may be terminated by either party,with or without cause,at any time,by giving the
other party sixty(60)days'prior written notice to the address set forth in Section 9.
This Agreement may be terminated by LABORATORY with respect to any MEMBER,with or
without cause,at any time,by giving the MEMBER and CCHN sixty(60)days'prior written notice,
without affecting any other MEMBER or the remainder of this Agreement.
If a dispute arises out of or relates to this Agreement,or the breach thereof,and the dispute cannot be
settled by negotiations between the parties,the parties agree first to try in good faith to settle the
dispute by mediation.If a dispute can not be settled by mediation,the Agreement may be terminated
by conditions and a timeline set forth by either party.
2. TESTING SERVICES
Subject to the terms of Section 22 hereto,LABORATORY agrees to perform such Services for
MEMBERS as may be requested by MEMBERS,if available during the term of this Agreement,in the
Service Area.The Services shall include those tests listed in LABORATORY's current Directory of
Services,as the same maybe modified from time to time by LABORATORY and such additional
services to which the parties may agree in writing.
The Service Area under this Agreement shall be the State of Colorado,Wyoming,Montana,North
Dakota,and South Dakota("Service Area").
3.ADDITIONAL SERVICES
A. SPECIMEN PICK UP AND REPORT DELIVERY
LABORATORY will provide a reference specimen pick up and report delivery service to
MEMBERS,at no cost to the MEMBER,on a daily basis Monday through Friday of each
week,except on holidays.Additional or fewer days may be mutually agreed to between any
MEMBER and LABORATORY.For the purposes of this Agreement,holidays shall include
New Year's Day,Memorial Day,Fourth of July,Labor Day,Thanksgiving Day and
Christmas Day.LABORATORY shall make reasonable efforts to deliver or transmit results
of a routine nature(general routine chemistries)back to the MEMBERS within 24 hours or
less of the time the specimen is received by LABORATORY's testing facility.
LABORATORY shall make reasonable efforts to deliver or transmit results of tests
performed on specimens of a special nature(special chemistries,tissues,etc.)back to the
MEMBERS within the times set forth in LABORATORY's then current turn-around-time
schedule with all reports to be delivered within 24 hours of completion of testing for such
"Multi-Day Analysis".A copy of LABORATORY's current turn-around-time schedule and
specimen delivery service providers are attached as Exhibit C and incorporated herein by
reference."Panic Value Results"shall be reported to the MEMBER within one(1)hour of
completion.LABORATORY will make every attempt to(i)notify the MEMBER if a test
will take longer than a week to complete,except for those tests,by their nature as reflected
in LABORATORY's current Directory of Services,are expected to take longer than a week
to complete,and(ii)if there are issues with submitted samples.
B. ELECTRONIC REPORTING AND INTERFACING
LABORATORY will consult with each MEMBER to determine MEMBER's electronic test
reporting needs and will set up a mutually agreeable electronic reporting structure with each
MEMBER that desires electronic reports.
LABORATORY will,at the request of the MEMBER,provide lab interfaces to electronic health
record systems,including NextGen,GE Centricity,Integrity,Athena Clinicals,E-ClinicalWorks,
and PEpicCare.
C. SUPPLIES
LABORATORY will provide,as part of its charges for Services,such items,devices or supplies,
as permited by applicable law,that are to be used solely to collect,transport,process or store
specimens to be submitted to LABORATORY for testing.LABORTORY will provide
information to MEMBERS on maintenance and repair of any devices needed to collect,
transport,process or store specimens.
D. CONSULTATION
LABORATORY will provide,at no additional cost,the ability to check on the status of results through
an online portal.In addition,LABORATORY will provide,at no additional cost,telephone
consultation services to MEMBERS during normal LABORATORY working hours to discuss
LABORATORY's procedures and to provide the status of test results.
E. STAT TESTING
LABORATORY will provide STAT testing to MEMBERS where available.STAT testing will be
reported to the ordering MEMBER'S physician within four(4)hours of receipt of the specimen
by the local third-party laboratory.STAT testing,where available,will be provided to the
MEMBERS Monday through Friday of each week,excluding holidays set forth in Section 4.A,
between the hours of 8:OOam and 5:OOpm.
When unable to perform STAT testing at a LABORATORY owned or operated facility,
LABORATORY may utilize an approved local third-party laboratory facilities listed in Exhibit D.
Up to two percent of the total test volume may be sent to other local laboratories not listed in
Exhibit D and the MEMBER will be billed for the price of the test.
F. REPORTING
Upon request of the MEMBER,LABORATORY agrees to provide the requesting MEMBER,
free of charge,reports of that specific MEMBER'S lab utilization.Such reports shall,so long as
the data is provided by the MEMBER,include laboratory identification,date specimen collected,
date received,patient's name or identification number,patient's date of birth,patient's home
telephone number,ordering physicians name,center site or account number,test name,test
number,expected normal value,actual value and highlighted results when results are out of range.
LABORATORY will only provide each MEMBER with patient information regarding that
specific MEMBER'S patient(s).These reports shall be provided quarterly,unless otherwise
requested by the MEMBER.
G. EXPECTATIONS OF QUALITY
LABORATORY agrees to report all material instances of data entry errors or other material issues
of test ordering,specimen collection,specimen testing,loss of specimen,specimen mishandling,
or mis-reporting of the test results that could lead to adverse patient outcome to the MEMBER's
patient immediately upon discovery by LABORATORY.MEMBER agrees to report likewise to
LABORATORY.
LABORATORY will maintain policies and procedures to ensure patient safety,to minimize data
entry or specimen handling errors,the reporting,and customer services processes.
4. FEES
To the extent responsible for payment,MEMBER agrees to pay for the Services provided under this
Agreement at the fees set forth in Exhibit A.The fees for Services listed on Exhibit A will not increase
during the Initial Term of this Agreement.Any services not listed in Exhibit A which are classified
discountable by LABORATORY will be reimbursed by MEMBERS at a 65%discount off of
LABORATORY's then current Professional Fee Schedule.LABORATORY's Professional Fee
Schedule shall be updated no more than one(1)time per calendar year,unless extraordinary
circumstances exist.LABORATORY shall provide CCHN sixty(60)days'advanced written notice of
any modifications to such Professional Fee Schedule.
At the end of the first year of the Agreement,and annually thereafter,LABORATORY shall calculate
the revenues collected for Services provided to MEMBERS for the prior twelve(12)months.The fees
for Services provided to MEMBERS for the following year shall be determined as follows(i)if less
than 89%of eligible Colorado Community Health Centers,as defined in Exhibit B are participating as
part of this Agreement,the fees paid by MEMBERS for all discountable tests shall be at a 65%
discount off of LABORATORY's then current Professional Fee Schedule and Exhibit A will remain in
effect;(ii)if 89%or more of Colorado Community Health Centers are participating,the fees paid by
MEMBERS for all discountable tests shall be at a 70%discount off of LABORATORY's then current
Professional Fee Schedule.
MEMBERS acknowledge that LABORATORY may develop or provide new technologies and/or new
methodologies during the term of this Agreement.LABORATORY shall notify CCHN when such
technologies and/or methodologies are available and the fee,if any associated with such technologies
and/or methodologies.It shall then be CCHN's responsibility to notify MEMBERS of the availability
and fees for such new technologies and/or methodologies.
If,during the term of this Agreement,any nationally recognized professional medical association
makes recommendations that affect a standard of care for testing,the parties will work in good faith to
agree on an appropriate rate of payment for testing affected by the new or modified standard of care on
a fee for services basis.It shall then be CCHN's responsibility to notify MEMBERS of such modified
fees.If the parties cannot reach agreement,LABORATORY or CCHN shall have the right to terminate
this Agreement by giving sixty(60)days'written notice.
5. BILLING
LABORATORY will submit to each MEMBER a monthly itemized statement of Services rendered to
MEMBER by LABORATORY for the prior month.Payment for Services is due thirty(30)after the
date of invoice.Failure to remit payment within said time may result,among other remedies available
to LABORATORY,in the loss or reduction of the offending MEMBER's discount and/or special
prices on future Services or discontinuation of Service.If,because of such non-payment,
LABORATORY reduces or removes any discount and/or special prices,the terms and prices contained
in LABORATORY's current Fee Schedule shall become the Fees payable by the applicable
MEMBER.LABORATORY may,at its option,reinstate any discount and/or special prices on
business referred to LABORATORY after the applicable MEMBER brings its balance current.
Nothing in the foregoing shall waive any rights or remedies available to LABORATORY with respect
to late payment by an applicable MEMBER.If LABORATORY is compelled to bring suit to collect
amounts due hereunder,it shall be entitled to recover interest on amounts due,reasonable attorneys'
fees and costs incurred in connection with the action.Overdue accounts may be subject to a service
charge of,the lesser of,1.5%per month on the overdue balance or the maximum amount permitted by
law.
In accordance with legal and regulatory requirements,LABORATORY agrees to bill any applicable
third parties directly for services rendered.For patients in the Colorado Indigent Care Program,sliding
fee discount program,or privately covered patients,LABORATORY agrees to work with each
MEMBER to establish appropriate billing arrangements,including establishing the appropriate
payor(s).If billing the MEMBER directly for the Services performed,invoices will be detailed for
each clinic site of the MEMBER and will include test name,test number,patient name or number,
order date,price and the total cost of testing.Each MEMBER agrees to promptly provide
LABORATORY with all necessary information to accomplish such billing and collection of amounts
due.If LABORATORY is unable to obtain payment from any third party due to a MEMBER'S failure
to provide the information required in this Agreement or as a result of a MEMBER'S failure to follow
applicable rules or regulations,the MEMBER agrees to reimburse LABORATORY for all such
payments at the applicable MEMBER rate set forth in Section 4"Fees"of this Agreement.
LABORATORY will submit to MEMBER a monthly itemized bill with denied claims and
corresponding denial codes.MEMBER is not responsible for reimbursement to LABORATORY for
claims denied as a result of LABORATORY billing error.MEMBER may contest billed charges by
contacting the LABORATORY representative identified as the point of contact from time to time and
engage in good faith negotiation to resolve identified issues in a timely manner;provided,however,
the applicable Member shall pay any undisputed amounts in full pursuant to the payment terms of this
Section 5.
6. ACCREDITATION OF TESTING SITES
The Services performed hereunder shall be performed at testing facilities to be chosen by
LABORATORY.LABORATORY's facilities are and shall remain duly licensed clinical laboratories
under applicable federal,state and local statutes,regulations and ordinances.Reasonable documentation
of such credentials shall be provided upon written request.
7. CREDENTIALING OF LABORATORY STAFF
The Services performed hereunder shall be performed by staff employed by LABORATORY.
LABORATORY staff shall maintain appropriate and applicable credentials and licenses under
applicable federal,state and local statues,regulations and ordinances.Reasonable credentials and
privileges shall be provided upon written request.
8.PREVENTION OF FRAUD,WASTE AND ABUSE
The terms of this Agreement are intended to be in compliance with all federal,state and local statutes,
regulations and ordinances applicable on the date the Agreement takes effect including but not limited
to,the Health Insurance Portability and Accountability Act of 1996,as amended,and its accompanying
regulations("HIPAA"),the Program Fraud Civil Remedies Act of 1986,the Deficit Reduction Act of
2005,the related Federal Civil False Claims Act and State False Claims Acts,and associated
whistleblower protections.LABORATORY has written policies and procedures for detecting and
preventing fraud,waste,and abuse and expects that test orders,services,supplies or materials provided
to LABORATORY are in accordance with the requirements of the applicable federal and state laws.
It is the intent of the parties to establish a business relationship which complies with the Medicare and
Medicaid anti-kickback statute,set forth at 41 USC Section 1320a-7b(b).CCHN warrants and
represents that it is a group purchasing organization as defined in 42 CFR section 1001.952(j).CCHN
shall comply with the requirements of the"safe harbor"regulations regarding payments to group
purchasing organizations set forth in 42 CFR section 1001.952(j),including but not limited to the
applicable disclosure and notification requirements.
9. CHANGE IN LAW OR REGULATION
Should either party reasonably conclude that any portion of this Agreement is or may be in violation
of such requirements or subsequent enactments by federal,state or local authorities,or if any such
change or proposed change would materially alter the amount or method of compensating
LABORATORY for Services performed for MEMBERS,or for any other party under this
Agreement,or would materially increase the cost of LABORATORY's performance hereunder,the
parties agree to negotiate written modifications to this agreement as maybe necessary to establish
compliance with such authorities of to reflect applicable changes.
10.NON-ASSINGABILITY
This Agreement may not be assigned by either party without the written consent of the other party
which consent shall not be unreasonably withheld or delayed.
11.NOTICES
Any notice required to be given pursuant to the terms and provisions hereof shall be in writing and
shall be sent by certified or registered mail as follows:

12.INDEPENDENT RELATIONSHIP
None of the provisions of this Agreement are intended to create,nor shall be deemed or construed to
create,any relationship between CCHN and LABORATORY other than that of independent entities
contracting with each other solely for the purpose of effecting the provisions of this Agreement.
Neither party hereto,nor any of its respective employees,shall be construed to be the agent,employer
or representative of the other party hereto.
13.FORCE MAJEURE
No party shall be liable for any claims or damages and each party shall be excused for such claims,
damages,failures and delays in the performance of its obligations under this Agreement due to any act
or cause beyond its reasonable control and without its fault including,but not limited to,acts of nature
such as fire,flood,tornado,earthquake;acts of government(e.g.,civil injunctions or enacted statutes
and regulations);or acts or events caused by third parties such as riot,strike,power outage,war,
terrorism,or explosion;or the inability due to any of the aforementioned causes to obtain necessary
labor or materials.The party invoking Force Majeure shall give prompt notice of its inability to
perform its obligations to the other party.Nothing in this Section shall relieve a party of its obligations
to make payments of any amounts accruing due,due or owing by the party invoking Force Majeure
before the time of the Force Majeure occurrence.
14.WARRANTY
CCHN WARRANTS TO LABORATORY THAT NEITHER CCHN NOR MEMBER(S),NOR ANY
OF THEIR EMPLOYEES OR OWNERS HAVE BEEN DEBARRED,SUSPENDED,DECLARED
INELIGIBLE OR EXCLUDED FROM MEDICARE,MEDICAID,TRICARE OR ANY OTHER
FEDERAL OR STATE GOVERNMENT PROGRAM.LABORATORY WARRANTS TO CCHN
THAT NEITHER LABORATORY NOR ANY OF ITS EMPLOYEES OR OWNERS HAVE BEEN
DEBARRED,SUSPENDED,DECLARED INELIGIBLE,OR EXCLUDED FROM MEDICARE,
MEDICAID,TRICARE OR ANY OTHER FEDERAL OR STATE GOVERNMENT PROGRAM.
LABORATORY WARRANTS TO CCHN THAT ALL SERVICES PROVIDED HEREUNDER
SHALL BE PERFORMED IN ACCORDANCE WITH ESTABLISHED AND RECOGNIZED
CLINICAL LABORATORY TESTING PROCEDURES AND WITH REASONABLE CARE IN
ACCORDANCE WITH APPLICABLE FEDERAL,STATE AND LOCAL LAWS..
NO OTHER WARRANTIES REGARDING SERVICES ARE MADE BY LABORATORY.IN NO
EVENT SHALL EITHER PARTY BE RESPONSIBLE FOR ANY PUNITIVE DAMAGES OR
ANY CONSEQUENTIAL,INCIDENTAL,INDIRECT,OR SPECIAL DAMAGES OF CLIENT
OR OF ANY THIRD PARTY.
15.BENEFIT
This Agreement is intended to inure only to the benefit of LABORATORY and CCHN.This
Agreement is not intended to create,nor shall be deemed or construed to create,my rights in any third
parties.
16.NONDISCRIMINATION
All Services provided by LABORATORY hereunder shall be in compliance with all applicable
Federal and State statutes,regulations and ordinances prohibiting discrimination on the basis of race,
color,religion,sex,national origin,disability,veteran status,sexual orientation or any other protected
classification.
17.HEADINGS
The headings in this Agreement are for convenience and reference only and are not intended to,and
shall not,define or limit the scope of the provision to which they relate.
18.ENFORCEABILITY/SEVERANCE CLAUSE
The invalidity or unenforceability of any term or provisions of this Agreement in any jurisdiction shall
not affect the validity or enforceability of any of the other terms or provisions in that jurisdiction or of
the entire Agreement in any other jurisdiction.If any provision is held invalid by a court of competent
jurisdiction,such shall be severed and the agreement shall be interpreted as thought the severed
provisions had not existed.
19.WAIVER
No course of dealing between CCHN and LABORATORY or any delay on the part of
either pary in exercising any rights they may have under this Agreement shall operate as a waiver of
any of the rights of LABORATORY or CCHN.No express waiver shall affect any condition,
covenant,rule,regulation,right or remedy other than the one specified in such waiver and only for the
time and in the manner specifically stated.
20.ACCESS TO BOOKS AND RECORDS
If the Services to be provided by LABORATORY hereunder are subject to the disclosure requirements
of the 42 U.S.C.1395x(v)(1)(I),LABORATORY shall until expiration of six(6)years make
available,upon written request of the Secretary of Health and Human Services,or upon request to the
Comptroller General,or any of their duly authorized representatives,a copy of this Agreement and the
books,documents and records of LABORATORY that are necessary to certify the nature and extent of
the costs incurred under this Agreement through a subcontractor with a value or cost of$10,000.00 or
more over a twelve(12)month period.In addition,with respect to any applicable subcontract,such
subcontract shall contain a clause to the effect that,should the subcontractor be deemed a related
organization,until the expiration of six(6)years after the furnishing of services pursuant to such
subcontract,the subcontractor shall make available upon written request of the Secretary of Health and
Human Services,or upon request to the Comptroller General,or any of their duly authorized
representatives,a copy of the subcontract,and the books,documents and records of such third party
that are necessary to verify the nature and extent of the costs incurred under this Agreement.
During the term of this Agreement,upon reasonable prior written request and during normal business
hours,LABORATORY shall allow CCHN and MEMBERS reasonable access to LABORATORY
records concerning the Services provided hereunder.CCI-IN warrants and represents that it has
obtained any required written consent from CCHN MEMBERS for the release of such records.Such
consent shall satisfy all applicable laws and regulations including but not limited to the privacy
regulations of the Health Insurance Portability and Accountability Act of 1996("HIPAA").
21.MODIFICATION
This agreement may only be modified in a writing signed by authorized representatives of each party.
22.GPO REQUIREMENTS
CCHN represents that it is a GPO within the meaning of Section 1128B(b)(3)(C)of such Act as well as
the Safe Harbor contained in 42 C.F.R.Section 1001.952(j).MEMBERS are licensed to provide health
care services in the State where their practice or business is located and each of the MEMBERS has
executed an agreement with CCHN to represent them in the purchasing of clinical laboratory services.
Attached hereto as Exhibit G is a list of MEMBERS who have executed such an agreement with
CCHN,and attached hereto as Exhibit E is the form of said agreement.CCHN may add new
MEMBERS to the list upon the written notice to LABORATORY and CCHN may delete MEMBERS
from the list upon written notice to LABORATORY.
Each MEMBER shall execute Participation Form with LABORATORY in the exact form set forth in
Exhibit F,attached hereto.
CCHN represents and warrants that its agreements with MEMBERS specify the maximum amount of
the GPO fee that CCHN will be paid by LABORATORY.Through its agreements with MEMBERS,
and before it accepts payment from LABORATORY of the GPO fee,CCHN will obtain the written
authorization from each MEMBER to act as a purchasing agent on its behalf.CCHN shall disclose in
writing to each MEMBER at least annually,and to the Secretary of the United States Department of
Health and Human Services upon request,the amount received by CCHN from LABORATORY in the
form of GPO fees.CCHN represents and warrants that there is no physician ownership of CCHN and
that none of the GPO fees paid hereunder shall be distributed to physicians or to any other party
referring testing to LABORATORY.
To the extent permitted by the above-referenced federal laws and regulations,as well as any applicable
State laws and regulations,in consideration for CCHN's services as group purchasing agent for
MEMBERS,LABORATORY agrees to make quarterly payments to CCHN of the GPO fee set forth
herein.The GPO fee shall be six percent(6%)of total amounts billed to MEMBERS as client bill(i.e.no
patient billing or third party insurance including,but not limited to Medicare and Medicaid)revenues
collected by LABORATORY for Services provided to MEMBERS.LABORATORY agrees to make
quarterly payments to CCHN in the amount of 6%of the revenues collected for Services provided to
MEMBER for the prior three(3)months.The payment must be received within 60 days of the close of
the quarter,with a quarter being determined on a calendar basis.
LABORATORY agrees to provide CCHN,free of charge,with quarterly summary reports of all
MEMBERS'lab utilization.Such quarterly reports shall include the test name,CPT codes,the quantity
of tests performed for each MEMBER and the payments received for tests.The quarterly summary
report will be provided to CCHN within 60 days of the end of each quarter.
The quarterly GPO fee shall accompany LABORATORY's quarterly summary reports to CCHN.
23.DUTIES OF CCHN
During the effective date of this Agreement,CCHN agrees not to enter into a group laboratory services
purchasing agreement with another laboratory services vendor.MEMBERS shall not be under any
obligation to purchase any Services from LABORATORY.
CCHN,in conjunction with LABORATORY will monitor performance by MEMBERS and make
reasonable efforts to ensure their compliance with the terms of this Agreement.
CCHN shall assist LABORATORY in such manner as LABORATORY may request from time to time
in administering LABORATORY's customer service functions with respect to MEMBERS.Without
limiting the foregoing:
1) CCHN's personnel shall meet or confer as needed with representatives of each MEMBER to
ascertain any MEMBER issues regarding LABORATORY's Services and shall report to
LABORATORY in detail and in writing the results of each such meeting.
2) CCHN shall make reasonable efforts to assist in resolving disputes between MEMBERS and
LABORATORY regarding LABORATORY's Services and this Agreement.Upon reasonable
request by LABORATORY,CCHN shall attend meetings with MEMBERS.
3) CCHN shall provide such other communications to MEMBERS as LABORATORY may
reasonably request from time to time.
24.ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the parties hereto concerning the subject
matter herein and is a complete statement of the terms thereof and shall supersede all previous
understandings between the parties,whether oral or written.The parties shall not be bound by any
representation made by either party or agent of either party that is not set forth in this Agreement.Any
applicable provisions required by federal,state,or local law are hereby incorporated by reference.
25.INDEMNIFICATION
CCHN will require that each MEMBER indemnify and hold LABORATORY harmless from and
against all claims,demands,costs,expense,liabilities and losses including reasonable attorney fees,
that may arise against LABORATORY as a consequence of any alleged malfeasance,negligent actions
or medical malpractice by MEMBER and its employees.
LABORATORY indemnifies and holds CCHN and each MEMBER harmless from and against all
claims,demands,costs,expenses,liabilities,and losses,including reasonable attorney fees that may
arise against CCHN and/or MEMBER as a consequence of any alleged malfeasance or negligent
actions by LABORATORY and its employees.
CCHN indemnifies and holds LABORATORY harmless from and against all claims,demands,costs,
expenses,liabilities,and losses,including reasonable attorney fees,that may arise against
LABORATORY as a consequence of any alleged malfeasance or negligent action by CCHN and its
employees.CCHN's indemnification and hold harmless obligation however shall be limited to the
aggregate amount actually paid CCHN by LABORATORY hereunder.
26.CONFIDENTIAL INFORMATION
LABORATORY,CCHN and MEMBERS will be sharing information that should be considered
Confidential Information.This information includes but may not be limited to the terms of this
Agreement,lists of customers,types of materials or processes,business plans,trade secrets,financial
information,forecasts,and interpretations of proprietary and confidential nature.Price lists and
discount schedules are for use by LABORATORY,CCHN and MEMBER employees and are not to be
shared with other laboratory service providers.The relationship between LABORATORY,CCHN and
MEMEBRS shall not be advertised or publicized without the prior written consent of all parties.
CCHN shall require that each MEMBER acknowledge and abide by the terms of this paragraph.
27.CONTROLLING LAW
This Agreement shall be governed by the laws of the State of Colorado.
IN WITNESS WHEREOF,the parties have caused this Agreement to be executed in their names as their
official acts by their respective representatives,each of who is duly authorized to execute the same.

CCHN-CHC LABORATORY SERVICES
GROUP PURCHASING AGREEMENT
THIS AGREEMENT,made this 11th day of December 2023 by and between Colorado
Community Health Network("CCHN")and Weld County Department of Public Health and Environment
("MEMBER"),is for a laboratory group purchasing program and related services.
WHEREFORE,after a formal Request for Proposal Process and subsequent negotiations,CCHN has
entered into an exclusive Laboratory Services Group Purchasing Agreement with Laboratory
Corporation of America("LabCorp"),whereby CCHN has acted as a group purchasing agent on
behalf of MEMBER;
WHEREFORE,CCHN will receive a fee from LabCorp of an amount equal to six percent(6%)of
total amounts billed to MEMBER as client bill(i.e.no patient billing or third party insurance including,
but not limited,to Medicare and Medicaid)collected by LabCorp from laboratory services it
provides to MEMBER;
WHEREFORE,MEMBER desires to participate in such group purchasing program and avail itself
of the discounted laboratory services provided by LabCorp.
CCHN and MEMBER agree as follows:
1. CCHN SERVICES.CCHN shall:
(A)act as the purchasing agent for MEMBER for this group purchasing program;
(B)make reasonable efforts to assist in resolving disputes between MEMBER and
LabCorp regarding services provided;
(C)make a representative available to MEMBER to assist in resolving MEMBER
issues and complaints regarding LabCorp services;
(D)through investigation and annual surveys,monitor and evaluate LabCorp's
performance regarding its services provided to MEMBER;
(E) assist LabCorp with organizing Continuing Medical Education programs for the
benefit of MEMBER;
(F) make appropriate information available to MEMBER for its efficient utilization of,
and participation in,this group purchasing program;
(G)notify MEMBER of the availability and fees for new technologies and/or
methodologies developed by LabCorp during the term of this Agreement;and
(H)disclose in writing to MEMBER annually,and to the Secretary of the United
States Department of Health and Human Services upon request,the amount
received by CCHN from LabCorp in the form of Group Purchasing Organization
fees.

2. MEMBER COMMITMENTS.MEMBER shall:
(A)Provide CCHN with access to all relevant MEMBER laboratory purchasing
data during the term of this Agreement;and
(B)Abide by all the terms and conditions of the agreement it enters into with LabCorp.
3. FEES AND PAYMENT TERMS.There are no fees payable by MEMBER to CCHN to
become a participating member in this group purchasing program.MEMBER shall pay
LabCorp for products or services according to contracted payment terms.If MEMBER is
unable to do so,it is the responsibility of MEMBER to notify LabCorp and seek to agree on
an acceptable arrangement for payment.If MEMBER does not provide such notification,or
cannot make acceptable arrangements for payments,MEMBER may be excluded from any
future group purchasing programs.Such determination will not affect payment obligations to
LabCorp incurred by MEMBER before the effective date of exclusion.
4. TERM AND TERMINATION.This Agreement shall become effective on the date first set
forth above("Effective Date").This Agreement shall have an initial term of thirty-six(36)
months("Initial Term")and shall be automatically renewed subject to price changes for three
(3)additional one(1)year periods(each a"Renewal Term")at the end of the Initial Term or
any Renewal Term,unless previously terminated by either party.This Agreement may be
terminated by either party,with or without cause,at any time,by giving the other party sixty
(60)days'prior written notice.
5. WARRANTY EXCLUSION. CCHN and MEMBER acknowledge and agree that this
Agreement provides a contract for group purchasing programs and support services and is
not a sale of goods.MEMBER acknowledges and agrees that CCHN makes no express or
implied warranties of any kind with respect to any products,goods,or services purchased
by MEMBER from LabCorp.CCHN shall have no liability for any loss,damage,or injury
incurred by MEMBER or its employees or any third party arising out of the purchase or
use of any such products or services.
6. MISCELLANEOUS.This Agreement shall be binding in all respects upon the
successors and assigns of the parties,shall be governed by the laws of the State of
Colorado,shall not be modified except in writing signed by the parties,and may be
executed in counterparts and by facsimile signatures.In the event that a court of
competent jurisdiction enters a final judgment holding invalid any material provision of
this Agreement,the remainder of this Agreement shall be fully enforceable.The
representatives signing below on behalf of CCHN and MEMBER warrant that they are
authorized to sign this Agreement.This Agreement constitutes the entire agreement of the
parties and is a complete merger of all prior negotiations and agreements.
7. MONITOR CONTRACT PERFORMANCE. LABORATORY agrees that MEMBER
shall have the right to monitor services performed under this contract.Monitoring shall be

conducted in accordance with standards and guidelines set forth by the Federal,State,and
Local requirements and as mutually agreed by both parties.
8. DATA REPORTING EXPECTATION.Upon completion of assigned services
LABORATORY will timely deliver reports via(electronic methods or via other methods)
as may be agreed upon between the parties,to MEMBER.MEMBER may access
additional data through mutually established process(intervals),to assist the MEMBER
with their Health Resources and Services Administration("HRSA")federal financial
requirements and HRSA programmatic reporting requirements.All data and reporting
communications shall be in accordance with applicable confidentiality laws and
regulations.
9. RECORD RETENTION,ACCESS,AND AUDIT.LABORATORY shall retain records
in accordance with local,state,or federal laws.Additionally,LABORATORY shall
provide access to data and record for auditing or other purposes upon request.
