The Board approved the Department's request to submit an application on July 19,2023,known to the Board as Tyler ID#2023-2035 and received notice of the grant award of$75,000.00 on November 30,2023. This grant will help develop and maintain a website by NoCo Works that will expand work-based learning opportunities, enhance the talent pipeline,and develop an External Barriers Resource Guide for information on programs such as affordable housing,childcare,and transportation for Weld County residents.The project will be accomplished through the External Barriers subcommittee of NoCo Works. The Grant Agreement has been reviewed and approved by Legal(Byron Howell). The Grant Period term will begin January 1,2024,and go through December 31,2024. What options exist for the Board? • Approval of the Grant Agreement between ESWC and TWT. • Deny approval of the Grant Agreement between ESWC and TWT. Consequences:There will not be a Grant Agreement between ESWC and TINT. Impacts:ESWC will not receive a grant for the creation of a website for the benefit of all Weld County residents. ESWC and regional stakeholders are convening to find solutions to the most vital workforce challenges in Northern Colorado,including the following Key Funding Initiative(KFI)logic models: 1,Resource-Centered Website—providing a One-Stop shop with Northern Colorado resources,tangible services,and information to help local schools,businesses,community development services grow and retain their workforce.By creating this streamlined system,Northern Colorado community members will have a singular resource website for workforce development and will simultaneously help highlight and direct services provided by local organizations.The target audience for this website is for both our businesses,industry leaders,and jobseekers.We are unable to further unpack the demographics and quantity of individuals that will use this site but can ground off website analytics for the existing regional work-based learning alliance website,NoCo Inspire.This past year,NoCo Inspire had 2,300 new users to the site and two of the top utilized pages were"Resources"and"Services".Through this website and the alliance partners,they were able to develop over 300 new business partnerships. 2.Talent Pipeline—creating a holistic strategy for attracting and retaining the future workforce,with the goal to increase the labor pool and positively contribute to the local economy.Partners include industry sectors,community college,and PK-12 systems,to develop localized career pathways.Outcomes from this would be to grow industry partnerships and grow local business engagement to help co-create localized ®�®o2e‘. Co7 7 career pathways through establishing thoughtful programs to reskill and upskill Northern Colorado's workforce.The quantity and demographics are unknown,though we know we would partner alongside of the regions five sector partnerships-healthcare,manufacturing,construction, hospitality and nonprofit-along with our training providers to enhance vocational and technical trainings. 3.Work-Based Learning—continuing to build upon our regional commitment to expanding internships,pre-apprenticeships,apprenticeships, and more.This funding would directly support the expansion of the regional work-based learning alliance with the outcome to increase the number of on-the-job work-based learning opportunities.To do this we will increase business engagement,enhance business education of what work-based learning is including the existing resources to support the development of providing opportunities.The key audience for this outcome is businesses and education providers.The number of placed internships and apprenticeships through the regional work-based learning alliance in the'22-'23 academic year was 458.This funding will help increase that participation number. 4.External Barriers—streamlining advocacy and region-wide stakeholder alignment for long-term solutions to address Childcare,Housing,and Transportation.The tangible next step for this effort is to establish a local resource guide to share with employers of how to support their employees within those three key areas.This will also be shared with the regional 211 resource,supported by our local United Ways,and will be shared on the resource-centered website.Another key goal of this work is to create a communication and outreach strategy for the region to better understand the business narrative of how these external barriers directly impact our workforce.The demographics that will be served are both our business partners as well as the jobseekers who are experiencing barriers to employment due to childcare,transportation,and housing.There is no established quantity of individuals in Northern Colorado whom this would serve,though we know the impact could and would be substantial. Grant Period Start Date: 1/1/2024 Grant Period End Date: 12/31/2024 Grant Amount: 75000.00 DN 4053369.1 Grant Agreement The Weld Trust Triannual Key Funding Initiatives Grant Agreement Due Date 12/18/2023 The grant of funds in the amount set forth above(the"Grant')from The Weld Trust("TWT")to the organization named above(the"Grantee")as described herein,is conditioned upon Grantee agreeing to each.of the following terms and conditions of this Grant Agreement(the"Agreement"). 1.Grantee Representations and Warranties;Tax-Exempt Status:Grantee represents and warrants that(a)it has full right,power and authority and has received all authorizations necessary to accept the Grant from TWT on the terms and conditions contained in this Agreement and to enter into and fully perform this Agreement and that this Agreement,when executed by a representative of Grantee,will be binding on Grantee;(b)Grantee is either(i) recognized by the Internal Revenue Service'as a tax-exempt organization within the meaning of Section 501(c)(3)of the Internal Revenue Code of 1986,as amended(the"Code"),or(ii)a governmental unit described in Section 170(c((1(of the Code,and(c)Grantee is a publicly supported organization described in Code sections 509(a)(1)or 509(a((2).Grantee agrees to immediately notify TWT of any change or proposed change in Grantee's tax-exempt status or purposes.Grantee further understands and agrees that if Grantee's tax-exempt status changes or is terminated or if Grantee's tan-exempt purposes change,TWT reserves the right to terminate the Grant. 2.Use of Funds: 2 Grantee agrees that the use of the Grant is restricted solely for the specific purpose as described below: Funding to support NoCo Works in their efforts to find solutions to the most vital workforce challenges in Northern Colorado.Funding will support the development of several priorities,including a resource-centered website. The above described Grant Purposes shall be used only for charitable,educational,or scientific purposes within the meaning of Section 170(c)(2)(B)of the Code.The funds shall be designated as Restricted Funds for accounting purposes.The Grant funds may not be used(1)to carry on propaganda,or otherwise to attempt to influence any legislation(within the meaning of Section 4945(d((1)of the Code);(2)to participate or intervene in any political campaign on behalf of,or in opposition to,any candidate for public office by publishing or distributing statements,or in any other way;or(3)to support any activity that is prohibited to(i)a corporation exempt from federal income tax under Section 501(c((3)of the Code;or(ii)a corporation,contributions to which are deductible under Section 170(c) of the Code.Any income earned from the investment of the Grant funds must be utilized for the Grant Purposes. Grantee shall not apply any of the funds advanced under this Grant to the payment of general or unallocated overhead,whether imposed as a percentage of direct expenditures or otherwise,unless TWT,in writing,expressly permits Grantee to do so.Grantee will notify TWT in the event any portion of the Grant funds are unable to be used for the Grant Purposes within the Grant Period(defined below).Grantee understands and agrees that if it is unable to expend the Grant funds for the Grant Purposes within the Grant Period,any unused portion of the Grant funds must be returned to TWT within 60 days of the final day of the Grant Period unless TWT authorizes an alternative use of such funds,which authorization shall be in writing and agreed upon in an addendum to this Agreement. Grantee agrees Grantee shall not jeopardize the tax-exempt status of TWT in its use of grant funds and shall comply with the following: a.Grantee shall use the funds provided under the Grant consistent with the purposes of TWT;and b.Grantee covenants and agrees that its use of the funds shall not constitute private inurement as that term is defined under the Code;and c.If Grantee uses the Grant funds to purchase services from others the services purchased will be at Fair Market Value in an arm's length transaction. 3.Restricted to Use in Weld County:Grantee agrees that grant funds shall be used exclusively for the benefit of Weld County residents or inside Weld County. 4.Outcomes:Grantee agrees that they will in good faith pursue the following outcomes: Outcomes#1 Create a website for workforce services coordination.Number of individuals impacted is hard to quantify right now because the audience is so broad.NoCo Works will be responsible for the ongoing maintenance of the website. Outcomes#2 Expansion of Work-based Learning Opportunities--The number of placed internships and apprenticeships through the regional work-based learning alliance in the'22-'23 academic year was 458.This funding will help increase that participation number by at least 5% Outcomes#3 Enhance talent pipeline(building/enhancing career pathways)that result in a 5%increase in labor participation and individuals enrolled WIOA (Workforce Innovation and Opportunity Act). Outcomes#4 Develop External Barriers Resource Guide(Affordable Housing,Childcare,Transportation);Asset map the long-term goals and actions across the region within the identified barriers.This project is set to begin in January of 2024 with the goal of completion in December 2024;however,this project,unlike other asset maps,is designed to be a systems strategy that is on-going rather than a"point in time."This project will be accomplished through the External Barriers subcommittee of NoCo Works;United Way of Weld County is heavily involved in this effort. Outcomes#5 5.Budget:Expenditures of Grant funds must adhere to specific line items in the budget submitted by Grantee.Slight deviations of specific line items are permitted,but changes of 15 percent or greater to a line item must be approved. 3 in advance by TWT. 6.Grant Period:The Grant Period will be identified above and Grantee agrees that all funds must be expended during the"Grant Period". 7.TWT's Status as a Supporting Organization:Grantee understands and agrees that it is the intent of the parties that the Grant will not adversely affect TWT's status as a supporting organization of The North Colorado Medical Center Foundation,within the meaning of Section 509(a)(3)of the Code,and that the Grant will be used to further the purposes and mission of TWT.The Parties agree that this Agreement shall be read and understood to further the purposes and mission of TWT.Grantee understands that it is eligible for funding from TWT because it is part of a class of organizations which provide health and/or education in Weld County. 8.Reports:Grantee shall provide written reports to TWT,an interim report,(6 months into the Grant Period and for multi-year grant awards every 6 months when applicable)which shall be provided by the Organization and a final report(at the conclusion of the Grant Period),which shall be provided by the Organization.These reports shall be provided on report forms provided by TWT to Grantee,and Grantee will provide conclusions,share progress toward the measurable goals defined in the application,report on outcomes listed above,and describe how funds were expended to achieve the Grant Purposes. 9,Quality of Performance.If,as the result of the consideration of reports and information submitted to it by Grantee or from other sources,TWT,in its sole discretion,determines that continuation of the Grant Purposes is not reasonably in the interest of the general public or that the Grant Purposes are not being carried out in substantial compliance with this Agreement or that Grantee is incapable of satisfactorily completing the work of the Grant Purposes,TWT may,in its sole discretion(i)withhold payment of funds until in its opinion the situation has been corrected,and/or(ii)terminate the Grant in which case Grantee shall return all unexpended Grant funds to TWT.It is understood and agreed that all such determinations by TWT under this paragraph are in its sole and absolute discretion and will be final,binding and conclusive upon Grantee,without recourse by the Grantee td TWT. 10.Publicity:Grantee agrees to provide a minimum of three high resolution(300dpi or greater)images of work in the field.These images may be sent to TWT at any time during the Grant Period but no later than the end of the Grant Period.Grantee agrees that TWT may use,with the completed release of information form signed by photo subjects or their parent or guardian,these images to educate the public about the activities of TWT.TWT agrees that Grantee may publish news about the Grant to media,social channels,and via internal and external avenues as long as TWT provides its prior approval of content and name and logo usage.If Grantee or any of its employees submits for publication,or publishes any information concerning the Grant or the outcomes obtained from the Project funded by the Grant,Grantee shall acknowledge TWT as having provided funds to support the Project. 11.Records and Review:Grantee will maintain its books and records in such a manner that the receipts and expenditures of the Grant funds will be shown separately on such books and records in any easily checked form. Grantee will keep records of receipts and expenditures made of Grant funds as well as copies of the reports submitted to TWT and supporting documentation for at least three(3)years after completion of the use of the Grant funds,and will furnish or make available such books,records,and supporting documentation to TWT for inspection at reasonable times from the time of Grantee's acceptance of the Grant through such period.TWT may,at its expense and on reasonable notice to Grantee,audit or have audited the records of Grantee insofar as they relate to the activities funded by this Grant. 12.Gifts:Grantee warrants and represents that it has not and will not give any gifts or gratuities above a nominal amount of any kind to TWT,its board members,or staff.(This restriction includes certificates,plaques,or similar mementos.) 13.Relationship:Grantee agrees that the acceptance of this Grant does not create any relationship with TWT (including a joint venture or employment relationship)other than Grantee's status as a recipient of a voluntary grant 4 made by TWT. 14.Obligations:Grantee acknowledges and agrees that TWT's making of this Grant does not create any right, expectation,or contractual obligation on the part of TWT to make any future grants. 15.Agreement;Amendment:This Agreement sets forth all terms of the Grant and replaces all prior understandings and agreements.Any modification or amendment will be made only in writing signed by an authorized officer of Grantee and TWT. 16.Applicable Law:This Agreement will be construed in accordance with the laws of the State of Colorado. 17.Termination;Return of Funds:Grantee agrees that if it fails to satisfy any of the terms or conditions of this Agreement,or if sponsored event is not held,TWT may terminate the Grant.If TWT terminates the Grant,it shall so notify Grantee,whereupon Grantee,if so requested by TWT,shall promptly refund any unexpended balance of the Grant funds in Grantee's hands or under its control and/or pay back any funds that were spent in violation of this Agreement.Alternatively,TWT reserves the right to discontinue,modify,or withhold funds if Grantee is not in full compliance with this Agreement. 18.Contingencies: Disbursements for this grant will be quarterly,beginning December 29,2023,and on or about the last day of every calendar quarter thereafter (March,June,September),paid via check,or electronically to the account and financial institution designated by Grantee.Upon termination of the grant as stipulated in this agreement,disbursements will discontinue.
