SPECIAL WARRANTY DEED
THIS SPECIAL WARRANTY DEED is dated as of the 21 day of December, 2021,
between Sorin Natural Resource Partners,LLC, a Colorado limited liability company("Grantor"),
whose street address is 1400 16th Street, Suite 320, Denver, Colorado 80202, and CBEP Land 2,
LLC, a Delaware limited liability company ("Grantee"), whose street address is 4845 Pearl East
Circle, Suite 118 #53242, Boulder, Colorado 80301.
WITNESSETH, that Grantor, for and in consideration of the sum of Ten Dollars ($10.00)
and other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, has granted, bargained, sold and conveyed, and by these presents does grant,
bargain, sell, convey and confirm unto Grantee, all of that certain real property in the County of
Weld and State of Colorado that is legally described on Exhibit A attached hereto (the
"Property");
TOGETHER WITH all and singular the hereditaments and appurtenances thereunto
belonging, or in anywise appertaining, and the reversion and reversions, remainder and
remainders, rents, issues and profits thereof; and all the estate, right, title, interest, claim and
demand whatsoever, of Grantor, either in law or equity, of, in and to the Property;
TO HAVE AND TO HOLD the Property unto Grantee forever;
SUBJECT to statutory exceptions as defined in C.R.S. § 38-30-113(5)(a).
AND Grantor hereby binds itself and its successors to warrant and defend the title, as
against all acts of Grantor herein and none other, subject to statutory exceptions as defined in
C.R.S. § 38-30-113(5)(a).
