THREE (3) BUDGETARY QUOTES AND PURCHASE ORDERS FOR SOLE SOURCE
BALLOT VOTING EQUIPMENT, AND AUTHORIZE CHAIR AND DEPARTMENT OF
FINANCE AND ADMINISTRATION TO SIGN - DOMINION VOTING SYSTEMS, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, on the 31st day of May, 2017, the Board approved the Voting System
Acquisition Agreement between the County of Weld, State of Colorado, by and through the Board
of County Commissioners of Weld County, on behalf of the Clerk and Recorder's Office, and
Dominion Voting Systems, Inc., and
WHEREAS, on the 1st day of June, 2020, the Board approved Amendment #1 to the
Voting System Acquisition Agreement between the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Clerk and
Recorder's Office, and Dominion Voting Systems, Inc., and
WHEREAS, on the 20th day of August, 2021, the Board approved Amendment #2 to the
Voting System Acquisition Agreement between the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Clerk and
Recorder's Office, and Dominion Voting Systems, Inc., and
WHEREAS, on the 10th day of July, 2023, the Board approved the Grant Award Letter
and Intergovernmental Agreement Summary of Terms and Conditions for a Democracy Suite ICX
Printer Reimbursement Grant between the County of Weld, State of Colorado, by and through
the Board of County Commissioners of Weld County, on behalf of the Clerk and Recorder's Office,
and the Colorado Department of State, to offset the purchase of the equipment, and
WHEREAS, on the 5th and 8th days of May, 2023, and on the 1st day of August, 2023,
the Clerk and Recorder's Office received three (3) budgetary quotes for Sole Source Ballot Voting
Equipment from Dominion Voting Systems, Inc., and
WHEREAS, the Board has been presented with Amendment #3 to the Voting System
Acquisition Agreement, and a Request for Purchase of Sole Source Ballot Voting Equipment
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Clerk and Recorder's Office, and Dominion
Voting Systems, Inc., and
WHEREAS, Carly Koppes, Weld County Clerk and Recorder, concurs the Sole Source
Ballot Voting Equipment will meet the needs of the department, and
WHEREAS, the Weld County Chief Financial Officer has advised the Board there are
funds in the 2023 budget to purchase the Sole Source Ballot Voting Equipment, and

WHEREAS, after review, the Board deems it advisable to approve Amendment #3 to the
Voting System Acquisition Agreement and Three (3) Budgetary Quotes and Purchase Orders for
the Purchase of Sole Source Ballot Voting Equipment, as stated above, at a total cost of
$574,002.24 from Dominion Voting Systems, Inc.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that Amendment #3 to the Voting System Acquisition Agreement and
Three (3) Budgetary Quotes and Purchase Orders for the Purchase of Sole Source Ballot Voting
Equipment between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Clerk and Recorder's Office, and Dominion
Voting Systems, Inc., be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that Cheryl Pattelli, Chief Financial Officer,
be, and hereby is, authorized to sign said purchase orders, dated June 13, 2023, July 10, 2023,
and August 1, 2023.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 9th day of October, A.D., 2023.

Brief description of the problem/issue: One June 12th, 2023 the BOCC authorized a sole -source upgrade to
the voting system purchased in 2017. Dominion Voting Systems, INC would like us to sign an agreement to
reflect the new upgraded equipment we have just purchased. Total cost of the purchase is $574,002.27. We
have received a $113,025 grant from the Secretary of State to offset the purchase of the printers.
What options exist for the Board?
Consequences: Please sign the agreement so we can be invoiced for the voting equipment.

Brief description of the issue: Informational only _x Action needed
The Elections Department is requesting an upgrade to the voting equipment for
$574,002.60. This request is only for certain components of the overall voting system,
which makes this a sole -source purchase. The request is for additional pieces along with
replacing equipment that will shortly not be supported by the vendor. When purchased in
2017 the board was informed in 5 to 7 years the equipment would need to be upgraded.
The county has applied for a grant that will cover most of the cost of the purchase of the
printers. We are estimating the grant will cover $103,271.79. We have already spoken
with Ryan, Cheryl, and Jennifer and have the support to move forward with this
purchase.
Options for the board:
Approve the request to continue to have Weld County Election equipment be the most
up-to-date and secure equipment. The Secretary of State has tested and certified the
upgraded equipment this year allowing us to purchase before the 2023 and 2024 election
cycle.
Recommendation to the board:
Approve the purchase of the upgraded equipment before the 2023 election cycle begins in
September.

BY AND BETWEEN
DOMINION VOTING SYSTEMS, INC.
AND COUNTY OF WELD, STATE OF COLORADO
This Amendment 3 to the Voting Systems Acquisition Agreement (the "Third Amendment"), is
made and entered into on this 9th day of October, 2023, between County of Weld, State of
Colorado ("Customer") and Dominion Voting Systems, Inc. ("Dominion").
RECITALS
WHEREAS, on April 27, 2017, the Customer and Dominion entered into a Voting
Systems Acquisition Agreement, which was amended by Amendment 1 in April of 2020
(collectively the "Original Agreement"); and
WHEREAS, on June 1, 2020, the Customer and Dominion entered into an Amendment 1
to the Voting System Acquisition Agreement ("First Amendment"); and
WHEREAS, on August 20, 2021, the Customer and Dominion entered into an Amendment
2 to the Voting System Acquisition Agreement ("Second Amendment") (collectively, the Original
Agreement, First Amendment, and Second Amendment are referred to herein as the "Agreement");
and
WHEREAS, the Customer and Dominion desire to amend the Agreement as described
herein to memorialize the equipment purchase described above;
TERMS
NOW, THEREFORE, the parties amend the Agreement in accordance with the terms and
conditions set forth below:
A. Incorporation of Recitals. The above recitals are true and correct and incorporated herein
by this reference as if fully set forth.
B. Addition to Exhibit A. Exhibit A-2, attached hereto and incorporated herein by this
reference, is hereby incorporated into the Agreement immediately following Exhibit A-1.
C. All Other Terms. All other terms and provisions of the Agreement shall remain in full
force and effect.
