We currently have a working relationship with SHL; however, the current process is all manual and labor intensive. SHL integrates with Workday and will make the process more seamless and a better experience for the applicant. What options exist for the Board? (include consequences, impacts, costs, etc. of options): Approve and sign the SHL service agreement - allowing the HR team to gain efficiencies and allow integration into the new ERP Workday. Continue using SHL outside of Workday that has multiple steps to administer and is less user friendly. it can cause a bottleneck in the hiring process. Recommendation: The Human Resources team recommends we transition to SHL/Workday allowing integration into Workday, improve the hiring process, and gain efficiencies. Perry L. W , DELIVERY: All dates for Product delivery or performance of the Services as set out in this Order Form, the statement of work or project plan (if applicable) are conditional upon Company's and/or Company End User's timely completion of its obligations, including but not limited to, provision of necessary information, and approval of documentation. Any delay caused by Company's and/or Company End User's failure to meet its obligations in a timely manner will beat Company's and/or Company End User's cost and expense, and subsequent delivery dates will be adjusted accordingly proportionate to the delay. Unless expressly stated in the statement of work, time shall not be of the essence in SHL's performance under this Order Form. SHL will not be liable in the event that SHL is not able to complete the Services due to Company's and/or Company End User's non-performance. After written notice (which may be via email) to Company of any Company and/or Company End User's delays that prevent SHL from performing its obligations and after a reasonable time to cure, SHL will be deemed to have delivered the Services in full satisfaction of its obligations. Solution Overview and Scope The Company has partnered with SHL in delivering: • Configuring an integration to Company End User's Workday ATS using the Workday 3.0 standard integration. The following services are included to ensure successful implementation of the different SHL capabilities within the solution: • Partnering with the Company End User to configure and deliver the solution capabilities specified in the Order Form. • 24 -Hour self-help SHL Platform technical support provided via the online SHL support site • Implement a workflow integration between the SHL Platform and the Integrator Applicant Tracking System (ATS) to provide assessments, return scores and reports to the ATS. Engage Partnering with the Company End User and agree on roles and responsibilities SHL deliverables: • Provide a deployment initiation virtual meeting with the Company End User to discuss: o Solution scope and expectations, o Solution and Company End User desired outcomes, o Discuss change request process, o Agree on timelines at high-level with the Company End User, o Agree on deployment and solution review cadence and set meetings, o Agree on roles and responsibilities. • Conduct, with the Company End User, one or more integration scoping calls to determine the desired workstream content. This includes tests, languages, reports and scores the Company End User wishes to receive in the ATS. • Prepare technical ATS integration documents. • Provide a Project Manager to manage the integration timeline, process, and serve as primary point of contact. Company End User requirements and responsibilities: • Identify stakeholders to drive accountability for use and buy -in of the solution. • Create a technical resource and compliance plan in line with SHL technical requirements. • Communicate solution project plans and status with all internal stakeholders and solution participants. • The Company End User will provide SHL with a Company End User primary contact (Project Manager ("Company End User PM")) for the solution to whom all communications concerning the administration of the services will be addressed. The Company End User PM will o Serve as the interface between SHL and the responsible Company End User resources. o Provide relevant Company End User documentation to SHL as required. o Provide Company End User resources who are knowledgeable about the Company End User's existing system operations, business goals, and who have the authority to resolve issues regarding the solution deployment and execution of services provided. o Manage the change order process on behalf of the Company End User. o Assist in coordinating all solution activities involving Company End User stakeholders, candidates, and line managers where relevant. • Select appropriate Company End User stakeholders to participate in the integration scoping call. • Provide a technical contact to partner with for the duration of the ATS integration. Build Partnering with the Company End User to configure the solution SHL deliverables: • SHL has agreed to assist the Company End User with integrating their SHL Platform with Workday 3.0. • Connection with the ATS Partner will be through a standard SHL integration connector / adapter specific to the relevant ATS. • The Deployment team will liaise with the ATS supplier and the Company End User to ensure effective compatibility, workflow, and functionality. • The Deployment team will deliver and test the integration on the SHL side, hand over to the integrator, and provide technical support to the integrator as well as the Company End User as needed during the delivery phase. • Up to 50 workstreams are included. • SHL will configure the SHL Platform and packages on both testing and production environment. If additional workstreams are requested a separate change request will be required to provide additional scope of work. • Workstreams and scores to be defined during integration scoping call. Company End User requirements and responsibilities: • The Company End User will plan and manage all internal communications and change management activities. • Provide all requested documentation to SHL in accordance with the solution plan or as otherwise reasonably required. • Assist in managing user acceptance testing for ATS integrations. o Verify candidate assessment order requests are sent correctly. o Verify candidates can complete assessments. o Confirm results/reports are available to ATS. • ATS integration timeline is dependent on the ATS supplier since it is the primary interface where any customization or development will occur. • The timeline is also partially dependent on the Company End User as testing and approvals are required and are within the Company End User's control. Additionally, Company End User approvals or sign offs may be needed to progress between environments. • Any configuration or project fees and/or costs associated with the integration charged by the ATS are outside the scope of this agreement. These fees should be negotiated/agreed directly between the Company End User and the ATS vendor. Order Form Cont. • The Company End User will follow best practice guidelines in using the solution. • Make use of available technical support before escalation to account manager and/or business development manager. • Provide supporting documentation to all stakeholders e.g., generated reports, user guides etc • Identify stakeholders, subject matter experts and candidates, communicate and internally coordinate all interaction with SHL consultants. Optimize Monitor and Review SHL deliverables: • Liaise with the Company End User PM and stakeholders to obtain feedback on deployment, the solution, and services to ensure ongoing improvements. Company End User requirements and responsibilities: • Provide honest and constructive feedback to SHL when required. Parameters The Company End User is responsible for the stated activities or tasks. Failure to complete these elements in a timely manner will delay and prevent SHL from successfully delivering the services and result in additional charges. SHL will not be liable in the event that SHL is not able to deliver the solution due to the Company End User's non-performance of its obligations. After written notice to the Company End User of any Company End User delays that prevent SHL from performing its obligations and reasonable time to cure, SHL will be deemed to have completed its delivery of the services in full satisfaction of its obligations. If not otherwise stated in this SOW, all services expire after one year from the SOW start date. In respect of any and all Products and Services supplied under, or in connection with, this Agreement and Order, the Company End User agrees that the Intellectual Property shall continue to be owned by SHL in accordance with the SHL Terms and Conditions. The Company End User shall immediately notify SHL of any actual, threatened, or suspected infringement of the Intellectual Property rights (including the Trademarks) and, at the reasonable expense of SHL, take all such steps as SHL may reasonably require, to assist in maintaining the validity and enforceability of such rights during the term. All SHL consultant interaction, focus groups, webinars or training sessions, and presentations will be delivered online. Where other locations or sessions are required, additional travel expenses and travel time fees will apply. For those solution deliverables that require Company End User review and sign -off to be considered accepted by the Company End User, SHL will request formal written acceptance from the Company End User upon submission of the deliverables to the Company End User. Unless the Company End User notifies SHL in writing with details of any specific changes or defects in the deliverables within 10 days of submission of the deliverables to the Company End User, the deliverables will be deemed accepted by the Company End User. While SHL will provide a briefing on the use of the SHL assessments, simulation exercises and associated processes, the Company End User is wholly responsible for the appropriate use of the results from the assessment processes and the SHL Platform. SHL is not providing legal advice to the Company End User on their evaluation and development process and the Company End User agrees that it has sought or will seek appropriate legal advice from legal counsel in its sole discretion. Out of Scope: Any work not expressly included in the scope of this SOW is not part of the solution and is expressly excluded, including but not limited to the following: • Any customization of assessments, outputs or deliverables not expressly described in this SOW • job analysis unless expressly stipulated in this SOW. • Languages other than English for exercise content, assessor manuals, meetings, individual and group output reports, and webinars unless expressly stated otherwise in this SOW. • Any language translation that may be required prior to creating an alternate version of a solution will require additional language translation services and fees, which will be executed in a separate SOW in not already mentioned in this SOW. • Any business outcome reviews or validation studies on the effectiveness of this solution if not stipulated in this SOW. • Assessment solution updates and the creation of Company End User specific norms {"renorms"), except if explicitly mentioned in this SOW, are not included in the services described in this SOW. If assessment solution updates are requested by the Company End User, the additional services and fees may be executed in a separate SOW. • Changes to an existing integration configuration or any other integration project. • Additional configuration changes that are not detailed within the SHL Integration configuration specification. • Incremental assessment workflow functionality that is additional to the established scope of the SHL Platform. • Any training required for administrators on the ATS System will be provided by the ATS Partner. Since the Company End User's access to the assessment results will be through the ATS functionality, the Company End User will arrange for this training directly with the ATS Partner. Should the Company End User request additional services that are outside this SOW, the parties will execute a Change Request, documenting the nature of the change and any related fees. Project Plan Following acceptances of this SOW, SHL will provide a solution Project Plan to the Company End User. The Project Plan will include solution activities, dependencies, allocate responsibilities and highlight project and solution milestones. In the event that the Project Plan exceeds the expected solution end date due to Company End User delays, the parties may require a Change Request to amend the SOW and additional fees could apply. Expenses The fees for the services under this SOW exclude all travel and related expenses ("T&E") in connection with the provision of the services. All T&E, including without limitation, the Company End User requested travel, are not included, or itemized in the above pricing and the Company End User will reimburse SHL for any T&E incurred in support of the services in this SOW. Travel plans and estimated costs for T&E will be approved by the Company End User prior to travel as part of the solution Project Plan. SHL will invoice T&E separately at actual cost and will follow SHL guidelines for travel. • Please note that consultant travel time (e.g., time spent traveling to / from the Company End User location for any consultant who is not based in the same geographic location) exceeding one (1) hour each way will be billed at 50% of our standard consulting hourly rate for the consultant who is providing the services. Authorization to Proceed This SOW, including all prices quoted, is valid for 30 days from the accompanied Order Form date.
