Edge Energy II LLC ("Edge") intends to sell and assign one hundred percent (100%) of its right,
title and interest in and to the following Weld County, Colorado, a political subdivision of the
State of Colorado, acting by and through the Board of County Commissioners of the County of
Weld, Oil and Gas Lease to Otter Holdings LLC, a Delaware limited liability company, whose
address is 44 Cook St., Suite 1000, Denver, CO 80206 ("Otter").

and Gas Leases described herein.
