Bayswater Resources LLC, Bayswater Fund III -A, LLC, Bayswater Fund III -B, LLC, Bayswater
Fund IV -A, LP, Bayswater Fund IV -B, LP and Bayswater Fund IV -Annex, LP (collectively
"Bayswater") holds an interest in, and/or is a party to the oil and gas leases, as further described
on Exhibit A, attached hereto (the "Leases"). Bayswater has entered into an agreement to assign
the Leases, or an interest in the Leases to Prairie Operating Co., LLC and Otter Holdings, LLC
(collectively "Prairie").
Under the terms of the Leases, Lessee may assign the Leases, or an interest in the Leases with
consent of the Lessor, and payment of a fee. Baywater respectfully requests consent to this
assignment of the Leases from Weld County, Colorado. In accordance with the terms of the Leases,
enclosed is check no. 007311 in the amount of $1,025.00, to cover fees associated with the
assignment to Prairie. To indicate consent to the assignment of these Leases, please have this letter
executed on behalf of Weld County, Colorado and return the same to me. A copy of this letter is
also enclosed for your records.
