Approve Consent to Assignment and Assumption of Agreement for Professional
Services for Older Americans Act (OAA) In -Home Services Voucher Program from
Thousand Peaks Healthcare, Inc., dba Elevate Home Care, to Granite Healthcare,
Inc., dba Namaste Home Care, and Authorize Chair to Sign
Whereas, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
Whereas, Thousand Peaks Healthcare, Inc., dba Elevate Home Care, desires to assign
the current Agreement for Professional Services for Older Americans Act (OAA) for
In -Home Services Voucher Program to Granite Healthcare, Inc., dba Namaste Home
Care, and
Whereas, the Board has been presented with a Consent to Assignment and Assumption
of the Agreement for Professional Services for the Older Americans Act (OAA) In -Home
Services Voucher Program among the County of Weld, State of Colorado, by and through
the Board of County Commissioners of Weld County, on behalf of the Department of
Human Services, Thousand Peaks Healthcare, Inc., dba Elevate Home Care, and Granite
Healthcare, Inc., dba Namaste Home Care, commencing upon full execution of
signatures, with further terms and conditions being as stated in said agreement, and
Whereas, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
Now, therefore, be it resolved by the Board of County Commissioners of Weld County,
Colorado, that the Consent to Assignment and Assumption of the Agreement for
Professional Services for the Older Americans Act (OAA) In -Home Services Voucher
Program among the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Department of Human Services,
Thousand Peaks Healthcare, Inc., dba Elevate Home Care, and Granite Healthcare, Inc.,
dba Namaste Home Care, be, and hereby is, approved.
Be it further resolved by the Board that the Chair be, and hereby is, authorized to sign
said agreement.

Brief description of the problem/issue: The Department is requesting approval of the Assumption
of Agreement for Professional Services with Thousand Peaks Healthcare, Inc. dba Elevate Home
Care. Elevate Home Care is a provider of In -Home Services for older adults through the Home and
Community Support - Area Agency on Aging (AAA) division, this Agreement is known as Tyler ID
2024-2616. Thousand Peaks Healthcare, Inc. dba Elevate Home Care was assumed
by Granite Home Care dba Namaste Home Care. This Assumption Agreement transitions all
services and responsibilities of the original agreement to the new owners of the company.
What options exist for the Board?
Approval of the Assumption of Agreement for Professional Services with Granite Home Care
dba Namaste Home Care.
Deny approval of the Assumption of Agreement for Professional Services with Granite Home
Care dba Namaste Home Care.
Consequences: AAA will not have a current contract in place with this vendor for In -Home
Services for our older adult population.
Impacts: AAA may not be able to provide In -Horne services for older adults that require
services.
Costs (Current Fiscal Year/ Ongoing or Subsequent Fiscal Years):
• Funded through Colorado Older Americans Act
Recommendation:
• Approval of the Assumption Agreement and authorize the Chair to sign.

ASSUMPTION OF AGREEMENT FOR PROFESSIONAL SERVICES
Whereas, Thousand Peaks Healthcare, Inc. dba Elevate Home Care, (the
"Contractor), and the Board of Weld County Commissioners, on behalf of the Weld County
Department of Human Services (the "County"), entered into an Agreement, identified by the
Clerk to the Board as 2024x616 , dated October 2, 2024, incorporated here by this reference
(the "Agreement"), wherein Contractor will provide Home Care Services, and;
Whereas, Thousand Peaks Healthcare, Inc. dba Elevate Home Care desires to assign
all of its rights and obligations under the Agreement to Granite Healthcare Inc. dba Namaste
Home Care, as of January 1, 2025 and
Whereas, Granite Healthcare Inc. dba Namaste Home Care intends to benefit the
County by promising to perform all terms and conditions under the Agreement.
Now, therefore, in consideration of the County's approval and other mutual covenants
and agreements expressed in the Agreement, Granite Healthcare Inc. dba Namaste Home
Care does hereby covenant and agree to assume al obligations, responsibilities, and terms
of the Agreement and hereby becomes the Contractor under the Agreement.
Attached is Exhibit A representing Seller's Closing Certificate and Exhibit B
representing Buyer's Closing Certificate for this Assumption agreement.
The Executive Director of Thousand Peaks Healthcare, Inc. dba Elevate Home Care
will continue as Executive Director of Granite Healthcare Inc. dba Namaste Home Care.
Further, Granite Healthcare Inc. dba Namaste Home Care submits to the Department
herewith, the proof of insurance as required in Section Paragraph 13 of the Agreement.

Reference is made to that certain Agreement for Purchase and Sale of Assets and Transfer of
Operations dated February 1, 2024 (the "PSA"), by and between Thousand Peaks Healthcare Inc, a
Nevada corporation ("Seller") and Granite Healthcare Inc., a Nevada corporation ("Buyer"). Terms not
otherwise defined herein shall have the meaning ascribed to them in the PSA.
I, Brian Wayment, do hereby certify that I am the duly elected and acting President of the Seller,
Thousand Peaks Healthcare Inc. d/b/a Elevate Home Care (the "Company'), and that I am authorized to
execute and deliver this Certificate on behalf of the Seller. In my capacity as President of the Seller, I do
hereby certify that the representations and warranties made by the Buyer in the PSA are true and correct
as of the Closing Date and as though each and such representation and warranty had been made on the
closing date.
