Brief description of the problem/issue:
Amendment #4 of the Wellpath Medical Services contract for the Weld County Jail renews medical services for
the third year of the original agreement. The Y3 renewal includes a requested increase of 4.5%, or $380,132.10.
This increase would take the 2026 calendar year services total from $$8,447,380.03 to $8,827,512.13.
The contract states the contractor can request an increase of 4.5% to 5% based on the Consumer Price Index
(CPI) per year. The is renewal request invokes the contractual minimum increase as agreed upon the service
contract.
What options exist for the Board?
The Board of County Commissioners can either accept the requested CPI increase as outlined or denied the
increase.
Consequences:
The consequences of not renewing the contract would create a substantial impact to the Detentions Division and
inmate medical care, which is statutorily required. Failure to renew would also place the WCSO in the position
to replace the current medical vendor.
Impacts:
The impact is an increase in 2026FY spending by 4.5%, or $380,132.10. The WCSO has budgeted sufficient
funds for 2026 to cover this increase.

Recommendation:
I recommend the Board of County Commissioners approve this contract renewal to ensure uninterrupted medical
services to our inmate population.

This "Fourth Amendment" is made this 25L4Pday of,2191, 2025 (this "Amendment"), to the
Professional Services Agreement for Inmate Medical Services mad and entered into on August 2, 2023 (the
"Agreement") by and between the Board of Weld County Commissioners, on behalf of the Weld County
Sheriffs Office, hereinafter referred to as (the "County"), and Wellpath LLC, hereinafter referred to as (the
"Contractor"), (each, a "Party," and Collectively, the "Parties")..
RECITALS
WHEREAS. the parties entered into a Professional Services Agreement for Inmate Medical Services,
(the "Original Agreement") identified by the Weld County Clerk to the Board of County Commissioners as
document No. 2023-2252, approved on August 2, 2023.
WHEREAS the Original Agreement was amended (1'' Amendment) on September 6, 2023:
• Modified certain sections and added new sections.
• Such Amendments are identified by the Weld County Clerk to the Board of County
Commissioners as document number 2023-2584.
WHEREAS the Agreement was further amended (2n° Amendment) on April 22, 2024:
• To increase Medication Assisted Treatment (MAT) staffing and expand program from 80
inmates to 150 inmates.
• Such Amendments are identified by the Weld County Clerk to the Board of County
Commissioners as document number 2024-0944.
WHEREAS the Agreement was further amended (3"' Amendment) on November 27, 2024.
To implement a five percent (5%) Consumer Price Index (CPI) pricing adjustment.
To implement an additional increase in cost of $196,451 annually/$16,370.92 monthly, thus, the
first paragraph of Section 6 of the Original Agreement was revised to read:
6. Compensation and Monthly invoicing/Payment. Upon Contractor's successful completion
of the Work, and County's acceptance of the same, County agrees to pay Contractor
$8,447,380.03 ("Total Annual Price"), and any amount in excess of CAPS outlined in attached
Exhibits. On a monthly basis, 1/12th of the Total Annual Price is $703,948.34.
Other terms and conditions of the Original Agreement would remain the same.
Such Amendments are identified by the Weld County Clerk to the Board of County
Commissioners as document number 2024-3118.
WHEREAS the parties now hereby agree to amend the Original Agreement via a ("Fourth
Amendment") in accordance with the terms of the Original Agreement and any previously adopted amendment,
which are incorporated by reference herein, as well as the terms provided herein.

WHEREAS Per Exhibit C of party's current Agreement, the second year of the initial three-year term is
set to expire on December 31, 2025. The third year is set to automatically renew on January 1, 2026, through
December 31, 2026, with mutually agreed upon increases.
NOW THEREFORE, in consideration of the premises, the parties hereto covenant and agree as
follows:
The following mutually agreed -to changes are hereby made, which shall be effective on January 1,
2026:
1. The 2026 contract year pricing will have a contractually allowed minimum Consumer Price Index
(CPI) increase of 4.5%. Application of this 4.5% increase would adjust the base compensation by
$380,132.10, from $8,447,380.03 to $8,827,512.13 annually.
Therefore, the first paragraph of Section 6 of the Original Agreement shall be revised to read:
6. Compensation and Monthly Invoicing/Payment. Upon Contractor's successful completion of the
Work, The County's acceptance of the same, County agrees to pay Contractor $8,827,512.13
("Total Annual Price"), and any amount in excess of CAPS outlined in attached Exhibits. On a
monthly basis,1/12th of the Total Annual Price is $735,626.01.
2. Attached Exhibit A reflects the Compensation Overview for the period January 1, 2026, through
December 31, 2026.
The Amendments, together with the Original Agreement, constitutes the entire understanding between
the parties. All other terms and conditions of the Original Agreement remain unchanged.

RE: Proposal to Renew the Agreement for Inmate Health Services — Year Three (3)
Greetings Lieutenant Knee:
I hope this letter finds you well. Wellpath is pleased to be your provider for inmate medical services, and
we are excited to move into another year of delivering quality health care at the Weld County Sheriff's
Office.
Contract Renewal
Per Exhibit C of our current Agreement, the second year of the initial three-year term is set to expire on
December 31, 2025. The third year is set to automatically renew on January 1, 2026, through December 31,
2026, with mutually agreed upon increases.
Compensation Adjustment
Pursuant to Section 6, annual increases to the base compensation shall be calculated by using the
Consumer Price Index (CPI) for All Urban Consumers, U.S City Average, Medical Care Services, no less than
four -point five percent (4.5%) and no greater than five percent (5%). The most recent CPI lndes for the U.S
City Average, Medical Care Services, is reported at 3.1% for April 2025.
Therefore, Wellpath proposes to renew the 2026 contract year with the contractually allowed minimum CPI
increase of 4.5%. The proposed increase will help us to meet the increased costs of providing medical
services to inmates and maintain our commitment to providing high -quality care. Application of this 4.5%
increase would adjust the base compensation by $380,132.10, from $8,447,380.03 to $8,827,512.13

This is a proposal only and does not constitute a contract amendment. Wellpath has developed this
proposal based on current wage rates. The prices in this proposal shall remain valid for 90 days from the
date of this letter. Wellpath reserves the right to adjust the prices to reflect current market data.
As per previous years, we will await the County -drafted amendment before proceeding. However, if the
County prefers that Wellpath prepare the amendment, please sign the following page and email a signed
copy to Kasie Presley, Retention Specialist, at KPresley@wellpath.us. Upon receipt of the signed, our Legal
Department will draft a formal contract amendment and route to the appropriate County individual(s) for
