Suite 1500, Denver. CO 80202 ("Assignor"), for good and aluable consideration. the receipt and sufficiency of which are hereby acknowledged and confessed. does hereby GRANT. BARGAIN, SELL, TRANSFER. ASSIGN, AND CONVEY unto Bison IV Properties Colorado, LLC. whose address is 518 17`h Street. Suite 1800, Denver, CO 80202 (hereinafter referred to as "Assignee'), subject to the reservation of the Retained Interest (defined herein). an undivided 41.272571% of Assignor's right, title, interest, and estate in and to (i) the leases described on Exhibit A attached hereto and made a part hereof (whether one or more, the "Leases"), insofar and only insofar as said right. title. interest, and estate covers and includes the weilbore of the wells more specifically described on Exhibit B attached hereto and made a part hereof (the "Wells") and the rights to produce Hydrocarbons (as defined below) therefrom, (ii) oil, gas, gas condensate, casinghead gas. and other liquid and gaseous hydrocarbons produced from the Wells (collectively, "Hydrocarbons"), (iii) all equipment, machinery. fixtures and other tangible personal property and improvements located on and used or held for use in connection with the operation of. or production of H' drocarbons from. the Wells and (iv) all surface leases, permits. rights -of -Way, licenses, easements and other surface rights used or held in connection with the operation of, or production of Hydrocarbons from. the Wells. This Wellbore Assignment is effective as of June 18, 2025 (the ",Effective Date"). The leasehold interest hereby assigned is hereinafter referred to as the "Assigned Interest" and is expressly made subject to the following conditions and covenants: 1. This Wellbore Assi e is made and accepted subject to. and Assignee hereby assumes, an>. and all Materials Contracts (as defined below) to which the Leases may be subject to the extent the same cover and affect the Assigned Interest. 2. As used in this Wellbore Assignment, -Material Contracts" means all contracts and agreements (including any amendments thereto) set forth on Exhibit C attached hereto and made a part hereof to the extent the foregoing cover, are attributable to or relate to any of the Wellbore Interests and which are binding on any of Assignor or its affiliates. Material Contracts shall also include: (i) to the extent transferable. all information in any recorded form, including electronic, that relates to Assignor's assignment of the Assigned Interest contemplated by this Assignment (the "Records"); and (ii) all approvals, consents, certificates and other authorizations. and other rights granted by any third parties, and all certificates of convenience or necessity, immunities. privileges. grants, and other such rights insofar as such rights directly relate to, or arise from, the Assigned Interest. 3. Assignee accepts the Assigned Interest subject to all of the express and implied cox enants and obligations of the Leases, insofar as therelate to the Assigned Interest. 4. Assignor hereby expressly excepts. reserves and retains unto itself an undivided 58.727329% of Assignor's right title, interest. and estate in and to the Leases, insofar and only insofar as said right, title, interest, and estate covers and includes the wellbores of the Wells and all of Assignor's right, title, interest. and estate in and to the Leases and the lands covered by the Leases insofar and only to the extent as such Leases are not included in the Wellbore rights for the Wells included in the Assigned Interest. This Wellbore Assignment is made by Assignor and accepted by Assignee without any warranty whatsoever and without warranty of title, either express or implied, and without recourse, except that Assignor warrants title as against all parties claiming an interest in the Leases by, through or under Assignor and its affiliated or related entities, but not otherwise. This Wellbore Assignment is made with full substitution and subrogation of Assignee in and to all covenants and warranties heretofore made or given by others. 6. This Wellbore Assignment is made in accordance with and is subject to all the terms, provisions, and conditions of that certain Agreement dated June _., 2025 between Assignor, Bison IV Operating, LLC and Assignee (the "Letter Agreement") and incorporated by this reference the same as though fully set out herein. However, this Wellbore Assignment is neither intended as, nor shall it be deemed to accomplish, a merger of the terms and provisions directly set out herein and the terms and provisions of the Letter Agreement. The terms and conditions set out in the Letter Agreement will prevail if there is any conflict between this Wellbore Assignment and the Letter Agreement, provided however, that third parties shall be entitled to rely on the terms of this Wellbore Assignment as vesting title of the Assigned Interests in Assignee. 7. The Assigned Interest does not include, and Assignor does not intend to assign and Assignee does not intend to receive, any interest in the following to the extent that such items do not directly relate to the operation of, or production of Hydrocarbons from the Wells: all lands, minerals, oil and gas leases and lands pooled therewith, units, working interests, executory interests, reversionary interests, net profits interests, net revenue interests, term interests, royalty and overriding royalty interests, fee interests, surface interests, and any other interests of a similar nature, all contracts, agreements, licenses, and servitudes, all easements, leases, surface use, and right-of-way agreements, all other property and equipment not directly used in connection with the operation or production of Hydrocarbons from the Wells and any and all rights not expressly herein conveyed as part of the Assigned Interest. 8.
