RESOLUTION
RE: AGREEMENT BETWEEN WELD COUNTY AND THE GREELEY
NATIONAL BANK
WHEREAS, it has been determined that the Road and
Bridge Accounting System of Weld County is not being operated
economically and should be changed, and
WHEREAS, the Greeley National Bank is engaged in the
commercial activity of computer data processing, and has sub-
mitted an agreement to perform services for Weld County in the
form of data processing in connection with the Road and Bridge
Accounting System of Weld County, and
WHEREAS, the Board of County Commissioners, Weld
County, Colorado, believes it to be in the best interests of the
County to enter into such an agreement on the basis recited therein;
NOW, THEREFORE, BE IT RESOLVED, by the Board
of County Commissioners, Weld County, Colorado, that the agree-
ment submitted by the Greeley National Bank to perform services
for Weld County in the form of data processing in connection with
the Road and Bridge Accounting System of Weld County, copy of
which is attached hereto and made a part hereof by reference, be,
and it hereby is approved.
The above and foregoing Resolution was, on motion duly
made and seconded, adopted by the following vote on the 27th
day of May , 1970.

AGREEMENT
This Agreement is made and entered into this
20th day of May, 1970, by and between THE GREELEY NATIONAL
BANK OF GREELEY, COLORADO, a National Banking Association,
(Data Processing Center Division) , hereinafter referred to
as GNB, and THE COUNTY OF WELD OF THE STATE OF COLORADO, a
Political Subdivision, hereinafter referred to as Weld.
WITNESSETH:
WHEREAS, GNB is engaged in the commercial activity
of Computer Data Processing and proposes to perform services
for Weld in the form of Data Processing in connection with
the Road and Bridge Accounting System of Weld, and
WHEREAS, Weld desires to employ the services of
GNB for such purpose.
NOW, THEREFORE, in consideration of the mutual
promises and covenants of the parties hereinafter set forth,
it is mutually agreed as follows :
(1) GNB hereby agrees to:
(a) Process all input transactions , perform-
ing full error checking and edit control steps, twice each
month.
(b) Print the Division Expenditure Analysis
monthly.
(c) Print the Project Expenditure Analysis
monthly.
(d) Print the Equipment Cost Analysis four (4)
times each year .
(e) Print the General Fixed Asset List semiannually
and upon request one (1) additional time in each calendar year .
(2) Such services shall commence on the date of this
agreement but shall be effective as of January 1, 1970. That
is to say, the parties shall perform the services and make the
payments as though this contract was executed January 1, 1970,
provided that the initial reporting shall not be complete until
later than as required hereafter for reports .
(3) Weld agrees as follows :
(a) To provide all normal transactions , plus any
additions , deletions and corrections prior to the scheduled
processing dates.
(b) Prepare the controls to be used in balancing
the reports to assure complete accuracy. (Batch control totals . )
That is to say, Weld will retain responsibility for balancing
the reports .
(4) Time of Performance. The cards or forms shall be
delivered by Weld within five (5) working days after the end of
the period (twice monthly, 15th and end of month. )
The reports will be delivered by GNB as follows :
(a) Under Option A as described in paragraph 5 (a)
following, the reports shall be delivered within six (6) working
days .
(b) If under Option B as described in paragraph 5 (b)
following, the GNB shall deliver the reports within three (3)
working days after they are received.
For the purposes of this agreement, working days shall
include all the days of the year except Saturdays , Sundays or
bank holidays . In determining the number of days for furnishing

the reports by GNB, the day reports are received by GNB shall
not be counted and the day of delivery shall be counted in
determining the six or three working days as above specified.
5 . Payments . There will be an initial conversion
charge of $5, 715 .00 to be paid by Weld upon receipt of a
statement indicating that such has been completed. Additionally,
there shall be paid by Weld a monthly processing fee determined
as follows :
(a) Under Option A, GNB will perform all pro-
cessing runs indicated plus keypunching and verifying all input
transactions . There will be a monthly charge of $315 . 00 per month
plus 15 per input card.
(b) Under Option B, GNB will perform all pro-
cessing runs indicated, however, Weld will keypunch and verify
all input transactions . The charge for this service is $315 .00
per month.
Weld, at its option, may elect either Option A or
Option B, provided that change of options shall not occur unless
Weld gives written notice to GNB not less than thirty (30) days
prior to the first day of any month in which such change should
occur.
6. Term of Agreement. It is agreed as follows :
(a) The initial term of this agreement shall be
for one (1) year, commencing January 1, 1970, and terminating
December 31, 1970.
(b) This agreement shall automatically be con-
tinued on an annual calendar year basis thereafter unless either
party hereto shall give the other written notice of its intention

not to renew the agreement for the next ensuing year, which
notice shall be delivered not later than October 1. This
agreement may be terminated at any time by either party by
providing the other with One Hundred Eighty (180) days written
notice.
(c) In the event GNB should determine that any
renewal of this agreement shall be subject to a modification
in costs charged by GNB for services rendered, it shall be
obliged to furnish notice of such increase to Weld on or
before September 1 in the year immediately preceding the year
in which such increase would occur and if such charges are not
acceptable to Weld, the latter may advise GNB of its intention
not to renew this agreement as provided in sub-paragraph 6(b)
above.

hands and seals the day and year first above written.
