Approve Agreement for Removal and Relocation of Oil and Gas Pipeline Facilities
for County Roads 54 and 13 Intersection Roundabout Project, and Authorize Chair
to Sign — Western Midstream Operating, LP, dba WES DJ Gathering, LLC
Whereas, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
Whereas, the Board has been presented with an Agreement for Removal and Relocation
of Oil and Gas Pipeline Facilities for the County Roads 54 and 13 Intersection
Roundabout Project between the County of Weld, State of Colorado, by and through the
Board of County Commissioners of Weld County, on behalf of the Department of Public
Works, and Western Midstream Operating, LP, dba WES DJ Gathering, LLC,
commencing upon full execution of signatures, and ending December 31, 2025, with
further terms and conditions being as stated in said agreement, and
Whereas, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
Now, therefore, be it resolved by the Board of County Commissioners of Weld County,
Colorado, that the Agreement for Removal and Relocation of Oil and Gas Pipeline
Facilities for the County Roads 54 and 13 Intersection Roundabout Project between the
County of Weld, State of Colorado, by and through the Board of County Commissioners
of Weld County, on behalf of the Department of Public Works, and Western Midstream
Operating, LP, dba WES DJ Gathering, LLC, be, and hereby is, approved.
Be it further resolved by the Board that the Chair be, and hereby is, authorized to sign
said agreement.
The Board of County Commissioners of Weld County, Colorado, approved the above
and foregoing Resolution, on motion duly made and seconded, by the following vote on
the 28th day of May, A.D., 2025:

PASS -AROUND TITLE: Relocation Agreement for WES DJ Gathering, LLC on the CR 54/13 Roundabout Project

Brief description of the problem/issue:
Throughout the design phase of the CR 54/13 Roundabout project, Public Works has been coordinating with WES DJ
Gathering (Western) regarding the relocation of their facilities. In order to facilitate the construction of the project,
Western has to relocate one of their oil and gas pipelines within the project limits. The pipeline is located in a private
easement. The pipeline located in the Western easement has to be relocated at Weld County's cost.
Western has reviewed the construction drawings and are in concurrence with the new location that we have identified for
their new easement and line. Western has provided a cost of $284,273.85 to remove the existing pipeline and relocate
the pipeline to the newly acquired easement. The County Attorney's office has reviewed the agreement and are in
concurrence with the contents of the agreement.
The relocation agreement allows Western until December 31, 2025 to have their pipeline removed. Western plans to
install the new line in the easement after Weld County has completed the project. The County plans to start the
construction project in early February, 2026.
What options exist for the Board?
1. The BOCC can sign the relocation agreement.
2. The BOCC can ask for a work session to further discuss the relocation agreement.
Consequences:
Failure to sign the relocation agreement will result in a delay to the construction phase of the project. Long delays
to the construction schedule may result in issues associated with CDOT's grant of $1,419,409.
Impacts:
Failure to have the Western pipeline removed by December 31, 2025 could result in a delay to the construction
schedule and could push the construction start date further into 2026.
Costs (Current Fiscal Year / Ongoing or Subsequent Fiscal Years):
The cost of the relocation agreement is $284,273.85. Public Works has accounted for this cost in its 2025
budget.
Recommendation:
Public Works recommends option 1 which is to sign the relocation agreement.

Re: WES DJ Gathering Relocation Agreement
Dear Mrs. Gesick,
Please place the attached relocation agreement on the BOCC agenda. The
relocation agreement outlines the responsibilities for the relocation and removal of a
WES (Western) pipeline within the project limits of the CR 54 and CR 13 Roundabout
project.
The agreement was reviewed by the BOCC in a pass around that was returned on May
19, 2025. All five commissioners approved the recommendation to pay Western an
amount not to exceed $284,273.75 for the required pipeline relocation and removal.
The County Attorney's office has reviewed the agreement.
Public Works has included the pipeline relocation and removal costs in its 2025 budget.
I will attend the BOCC meeting to answer any questions the BOCC may have.

AGREEMENT FOR REMOVAL AND RELOCATION OF OIL AND GAS FACILITIES
BETWEEN WES DJ GATHERING, LLC AND WELD COUNTY
FOR THE WELD COUNTY ROAD 54/13 ROUNDABOUT PROJECT
THIS AGREEMENT, made and entered into this ntgay of M , 2025, by and
between WES DJ Gathering, LLC at 9950 Woodloch Forest Drive, Th oodlands, TX
77380 (hereinafter called "Western")and THE COUNTY OF WELD, a political subdivision of
the State of Colorado, by and through the Board of County Commissioners of the County
of Weld, at P.O. Box 758, 1150 O Street, Greeley, CO 80632 (hereinafter called "County").
WITNESSETH:
WHEREAS, to promote the safety of the citizens of County and other members of
the travelling public, County has undertaken the construction of a public improvement
project, known as the WCR (Weld County Road)54/13 Roundabout Project, (hereinafter
the "Project"), and
WHEREAS, to construct the Project, County has acquired property rights from
various private property owners to utilize as WCR 54 and WCR 13 Right -of -Way (ROW),
and
WHEREAS, Western owns oil and gas facilities (hereinafter called "Facilities) which
are located in an easement along the west side of WCR 34 south of WCR 54, such
easement recorded as Reception Number 476138, dated October 14, 1982
("Easement"), and
WHEREAS, the properties burdened by Western's existing Easement is within the
WCR 13 ROW being acquired to complete the Project, and
WHEREAS, Western is willing to remove the existing Facilities located in Western's
existing Easement along WCR 13 (hereinafter called "Removal"), and construct new
facilities in a new easement purchased by the County, for the benefit of Western to
construct future facilities, to enable the construction of the Project, and
WHEREAS, in recognition of the costs which will be incurred by Western to remove
and to later relocate the facilities which are located in the existing Western owned
Easement, County agrees to reimburse Western for those reasonable expenses, and,
WHEREAS, Western has the experience and expertise needed to relocate said
Facilities and is willing to do so subject to full reimbursement by the County for the cost
incurred for said future relocation.
NOW, THEREFORE, for and in consideration of the mutual covenants and
agreements hereinafter contained, the parties hereby agree as follows:
I. WESTERN RIGHTS AND RESPONSIBILITIES
1. Facilities Removal and Relocation: Western shall remove the Facilities and
may perform the future relocation of such Facilities at its' preferred timing and sole

discretion to the corridor as depicted in Table 1 and on the Project Engineering Existing
Utilities Drawings and Proposed Utilities Drawings, (copies of which are attached hereto
as Exhibits A and B and by this reference made a part hereof). Exhibit A depicts the
Project area as it currently exists, including existing County ROW, and proposed County
ROW, and Western Facilities. Exhibit B depicts the Project area after acquisition by the
County of all necessary property rights and the area of futureselocation of Western's
Facilities. The existing Facilities shall be removed and any future Facilities, should they be
installed, shall be relocated to the general area shown on Exhibit B which are located
within a new easement acquired by the County and in the WCR 13 ROW.
All work necessary to accomplish the Western Facilities relocation shall be performed in
accordance with Western specifications, in accordance with the professional standards
governing such Work and the provisions of this Agreement and shall conform to the
performance standards and requirements set forth herein and in all Exhibits.

2. Facilities Removal Not to Conflict with Improvements: Western shall remove
the existing Facilities as described and shown on the attached Exhibit B, so that they can
accommodate the common use of the property with the proposed roadway
improvements or other utility locations and/or relocations.
3. Timing of Facilities Relocation: Western shall commence the removal upon
notice from the County that its ROW acquisitions have been completed and upon
receipt of the payments referenced in Subsection II below. Western shall use
commercially reasonable efforts to complete the Facilities removal work by December
31, 2025. The completion deadline assumes the County will have acquired all the
necessary right-of-way and easements no later than July 1, 2025 and the completion
deadline will be extended accordingly if this date is not met by the County. At Western's
sole discretion and preferred timing, any future Facilities may be but are not required to
be installed in the new easement to be acquired by the County according to this
Agreement.
4. Responsible for Traffic Control: Throughout the relocation process, Western
agrees that it shall be responsible for coordination of traffic control as established by the
most recent version of the "Manual on Uniform Traffic Control Devices" (MUTCD).
5. Right -of -Way Permits: Western shall obtain all necessary right-of-way
permits from County required for its relocation work.
6. Stake Right -of -Way and Easements: Western shall establish and stake the
County right-of-way within the work area prior to relocation of the Western Facilities, its
easement boundaries, its running lines, and an as -built survey of the relocated Facilities.
Western shall verify the relocation to confirm that said relocation is sufficiently clear of
Project construction work.

7. Reliance on Western's Expertise: County and Westem recognize that
County is relying solely on Western to perform the relocation of the Facilities in a manner
which will ensure the future integrity of the Facilities and the road improvements to be
constructed by the County. Therefore, as part of its assurances under this Agreement,
Western affirms that it has enough liability insurance, to satisfy any claim of negligence,
intentional wrongful acts or other acts or omissions which may arise because of any failure
of the road caused by an improper relocation of the facilities.
8. Warranty: Western warrants that all work performed under this Agreement
will be performed in a manner consistent with the professional standards governing such
work and the provisions of this Agreement and shall conform to the performance
standards and requirements set forth herein and in Exhibits A, B and C.
9. Responsibility to Indemnify and Additional Agreements: Western shall
defend and indemnify County from and against loss or liability arising from its acts, errors
or omissions in seeking to perform its obligations under this Agreement. Western shall
provide necessary workers' compensation insurance at Western's own cost and expense.
Following the execution of this Agreement and for a period of twelve months following
the completion of the project, Western shall include the County as additional insured, but
only to the extent of liability assumed in this Agreement, on insurance policies required
herein with a minimum of $1,000,000 coverage combined single limit per occurrence.
Western is liable for any damage to any third parties caused by their relocation work,
including but not limited to, damage to agricultural or other infrastructure.
II. COUNTY RIGHTS AND RESPONSIBILITIES
1. Estimates of Removal and Relocation Expenses: County has agreed to
reimburse Western for the expenses incurred for the removal and future relocation of the
Facilities from the existing Easement to the new ROW (identified as Facility Number A in
Table 1, Exhibit A, and Exhibit B) in fulfillment of its obligations under this Agreement as set
forth in the Exhibit C, estimated to be $284,273.85.
2. Time of Payment: Western has estimated the total cost of said removal and
future relocation to be $284,273.85, which includes specific work outlined in the Exhibits
A, B, and C. County shall pay 100% of the amount set forth in Exhibit B within 30 days of
the complete execution of this Agreement.
3. Right to Terminate: The County may terminate this Agreement at any time
prior to Western's commencement of Work. In such an event, the County shall pay
Western for all expenses which were incurred by Western for engineering and for
materials and equipment purchased or ordered and paid for by Western, which cannot
be returned for a refund, prior to the date of termination.
III. MISCELLANEOUS
1. Board of County Commissioners of Weld County Approval: This Agreement
shall not be valid until it has been approved by the Board of County Commissioners of
Weld County or its designee.

2. Agreement Binding: This writing, together with the exhibits, constitutes the
entire Agreement between the parties hereto with respect to the subject matter herein,
and shall be binding upon said parties their officers, employees, agents, and assigns and
shall inure to the benefit of the respective survivors, heirs, personal representatives,
successors and assigns of said parties.
3. No Third Party Beneficiary: It is expressly understood and agreed that the
enforcement of the terms and conditions of this Agreement, and all rights of action
relating to such enforcement, shall be strictly reserved to the undersigned parties, and
nothing in this Agreement shall give or allow any claim or right of action whatsoever by
any other person not included in this Agreement. It is the express intention of the
undersigned parties that any entity other than the undersigned parties receiving services
or benefits under this Agreement shall be an incidental beneficiary only.
4. Time of the Essence: Time is of the essence in each and all of the provisions
of this Agreement.
5. Fund Availability: Financial obligations of the Board of County
Commissioners of Weld County payable after the current fiscal year are contingent upon
funds for that purpose being appropriated, budgeted and otherwise made available. By
execution of this Agreement, County does not warrant that funds will be available to
fund this Agreement beyond the current fiscal year (December 31, 2025).
6. Severability: If any term or condition of this Agreement shall be held to be
invalid, illegal, or unenforceable, this Agreement shall be construed and enforced
without such provision, to the extent that this Agreement is then capable of execution
within the original intent of the parties.
7. Attorney Fees/Legal Costs: In the event of a dispute between County and
Western, concerning this Agreement, the parties agree that neither party shall be liable
to or responsible for the payment of attorney fees and/or legal costs incurred by or on
behalf of the other.
8. Subrogation Waiver: All insurance policies required to be maintained under
the terms of this Agreement or which are in any way related to this Agreement which are
secured and maintained by Western shall include clauses stating that each carrier shall
waive all rights of recovery, under subrogation or otherwise, against County, its officers,
employees, agents, or volunteers.
9. Governmental Immunity: No term or condition of this contract shall be
construed or interpreted as a waiver, express or implied, of any of the immunities, rights,
benefits, protections or other provisions, of the Colorado Governmental Immunity Act
§§24-10-101 et seq., as applicable now or hereafter amended.
IN WITNESS WHEREOF, the parties hereto have executed, or caused to be executed by
their duly authorized officials, two duplicate originals of this Agreement, each of which
shall be deemed an original, on the date first written above.
