Approve Amendment #2 to Agreement for Provision of Alternative Transportation
Solutions and Authorize Chair to Sign — Alternative Logistics Technologies
Holdings, Inc., dba EverDriven Technologies, LLC
Whereas, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
Whereas, the Board has been presented with Amendment #2 to the Agreement for
Provision of Alternative Transportation Solutions between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, on behalf
of the Department of Human Services, and Alternative Logistics Technologies Holdings,
Inc., dba EverDriven Technologies, LLC, commencing upon full execution of signatures,
and ending August 10, 2026, with further terms and conditions being as stated in said
amendment, and
Whereas, after review, the Board deems it advisable to approve said amendment, a copy
of which is attached hereto and incorporated herein by reference.
NOW, therefore, be it resolved by the Board of County Commissioners of Weld County,
Colorado, that Amendment #2 to the Agreement for Provision of Alternative
Transportation Solutions between the County of Weld, State of Colorado, by and through
the Board of County Commissioners of Weld County, on behalf of the Department of
Human Services, and Alternative Logistics Technologies Holdings, Inc., dba EverDriven
Technologies, LLC, be, and hereby is, approved.
Be it further resolved by the Board that the Chair be, and hereby is, authorized to sign
said amendment.
The Board of County Commissioners of Weld County, Colorado, approved the above
and foregoing Resolution, on motion duly made and seconded, by the following vote on
the 23rd day of July, A.D., 2025:

Brief description of the problem/issue: The Department entered into an Agreement for the
Provision of Alternative Transportation Solutions with EverDriven Technologies, LLC. on November 1,
2023, known as Tyler ID# 2023-3258. This Agreement provides transportation to foster youth in a
safe manner, to and from school, to help reduce school placement changes, chronic absenteeism,
and tardiness. On June 26, 2024, Amendment #1 was executed to extend the term through August
10, 2025.
The Department is now requesting to enter into Amendment #2 to extend the term of the Agreement
from August 11, 2025 through August 10, 2026.
What options exist for the Board?
Approval of the Agreement Amendment #2 with EverDriven Technologies, LLC.
Deny approval of Agreement Amendment #2 with EverDriven Technologies, LLC.
Consequences: The Agreement Amendment #2 will not be executed, and the agreement will
expire.
Impacts: Without this transportation agreement in place, foster youth may face significant
barriers to attending their school of origin, resulting in increased absenteeism and
tardiness.
Costs (Current Fiscal Year / Ongoing or Subsequent Fiscal Years):
Funded through Every Student Succeeds Act (ESSA).

AMENDMENT 2
THIS AMENDMENT 2 TO THE AGREEMENT FOR THE PROVISION OF ALTERNATIVE
TRANSPORTATION SOLUTIONS ("AMENDMENT") is effective as of August 11, 2025, by and
between EverDriven Technologies, LLC. ("Contractor"), and Weld County Human Services (the
"District"), with respect to the following facts:
RECITALS:
A. The Contractor and the District entered into an Agreement for the Provision of Alternative
Transportation Solutions ("the Agreement"). Words and phrases as used in this
Amendment shall have the same meaning as set forth in the Agreement except as
otherwise defined herein. While not attached hereto, the provisions of the Agreement are
incorporated herein by this reference.
B. The District and the Contractor now desire to amend the Agreement on the terms and
conditions set forth below.
NOW, THEREFORE, the parties agree to the following amendment(s) to the Agreement:
1. The term of this Agreement shall be extended to August 10, 2026.
Except as set forth in this Amendment, the Agreement shall remain unchanged and in full force
and effect.
