Since the contract was executed the following amendments have been approved by the Board: June 27, 2022 - Amendment #1, known to the Board as Tyler ID# 2022-1826, to extend term date through June 30, 2023. June 21, 2023 — Amendment #2, known to the Board as Tyler ID# 2023-1758, to extend term date through June 30, 2024, and to amend Paragraph 3. and 4. June 19, 2024 — Amendment #3, known to the Board as Tyler ID# 2024-1625, to extend term date through June 30, 2025, and to amend Paragraph 3. and 4. The Department is now requesting to issue Amendment #4 to amend the agreement as follows: 1. Extending the agreement through June 30, 2026. 2. Update holiday closure dates. 3. Update payment terms: • Increase the price per meal from $8.53 to $8.73. • Increase the December prime rib meal allowance from $2,768.13 to $2,968.13. • Add average cost of meals per month will not exceed $2.95. • Change from 1% milk to 2% milk What options exist for the Board? Approval of the Intergovernmental Agreement Amendment #4. Deny approval of the Intergovernmental Agreement Amendment #4. Consequences: Weld County AAA Senior Nutrition Program will not have a current agreement with UNC for food preparation services. Impacts: Weld County AAA Senior Nutrition Program will not be able to provide meals to the eligible citizens of Weld County. Ross ab $ik/ Pass -Around Memorandum; May 6, 2025 — CMS ID 9396 AGREEMENT AMENDMENT BETWEEN THE WELD COUNTY DEPARTMENT OF HUMAN SERVICES AND UNIVERSITY OF NORTHERN COLORADO This Agreement Amendment made and entered into 1 eriliday of M ,2025 by and between the Board of Weld County Commissioners, on behalf of the Weld ounty Department of Human Services, hereinafter referred to as the "Department", and the University of Northern Colorado, Division of Student Affairs for the benefit of Dining Services, hereinafter referred to as the "Contractor". WHEREAS the parties entered into an Agreement for the Purchase of Food Preparation Services, (the "Original Agreement") identified by the Weld County Clerk to the Board of County Commissioners as document No. 2021-1460, approved on June 2, 2021. WHEREAS the parties hereby agree to amend the term of the Original Agreement in accordance w'th the terms of the Original Agreement and any previously adopted amendment, which is incorporated by reference herein, as well as the terms provided herein. NOW THEREFORE, in consideration of the premises, the parties hereto covenant and agree as follows: The Original Agreement was set to end on June 30, 2022. The Original Agreement was amended on: • June 19, 2024 to extend term date through June 30, 2025 and to amend Paragraph 3. and 4, known to the Board as Tyler ID# 2024-1625. • June 21, 2023 to extend term date through June 30, 2024 and to amend Paragraph 3. and 4, known to the Board as Tyler ID# 2023-1758. June 27, 2022 to extend term date through June 30, 2023, known to the Board as Tyler ID# 2022-1826. These (Amendments, together with the Original Agreement, constitutes the entire understanding between the parties. The following additional changes are hereby made tP the current Agreement and effective July 1, 2025: 1. Par graph 2. Terms. This agreement is being renewed and shall be effective for the period July 1, 202 through June 30, 2026. 2. Paragraph 3. Closures. i. The following dates are identified as preplanned closures for the 2025-2026 Fiscal year 1. Martin Luther King Jr. Day (January 19, 2026) 2. President's Day (February 16, 2026) 3. Memorial Day (May 25, 2026) 4. Juneteenth (June 19, 2026) 5. Independence Day (July 4, 2025) 6. Labor Day (September 1, 2025) 7. Veterans Day (November 11, 2025) 8. Thanksgiving Day (November 27, 2025) 9. Day after Thanksgiving (November 28, 2025) 10. UNC Holiday Break (December 22, 2025 to January 2, 2026) 3. Paragraph 4. Payment Terms. a. Contractor shall submit monthly financial and programmatic reports by the 10th of each month for meals provided during the previous month; Contractor shall be reimbursed on a monthly basis; b. County shall reimburse Contractor $8.73 for a complete meal that meets current nutritional standards, including a % half pint of 2% milk. The Weld County Meals Program will be on the following three (3) month menu cycle: • Winter: December, January and February • Spring: March, April and May • Summer: June, July and August • Fall: September, October and November This cycle will undergo periodic adjustments and updates throughout the year to accommodate consumer preferences and incorporate fresh fruits and vegetables when seasonally appropriate. The core structure of the menu will remain largely intact to mitigate food cost and waste. The average cost of the meals per month will not exceed $2.95. c. County shall reimburse Contractor $0.00 per salad bar serving. No salad bar will be used for this fiscal year; d. County shall reimburse Contractor at negotiated rates for special program enhancements; i. Enhancements include up to $2,968.13 each December for the Prime Rib Dinner up to a maximum of 1,100 meals total or 550 meals each day for two (2) days. e. Contractor shall allow all federal and state funding agencies the opportunity to review all records maintained by Contractor for the Nutrition Program auditing purposes; and f. Submit other reports as requested by County for monitoring and evaluation purposes. g. County shall reimburse Contractor $4.50 per meal if meals are not cancelled by 8:30 am.
