Brief description of the problem/issue: On July 17, 2024, the Department entered into an MOU
with Meal on Wheels of Greeley to provide a Registered Dietician, who is currently on staff with the
Department, to work up to ten (10) hours per week with Meals on Wheels to oversee menus, nutrition
analysis, nutrition education and nutrition counseling to eligible individuals. Meals on Wheels
reimbursed the Department for up to ten (10) hours per week at a rate of $47.11 per hour, with a total
reimbursement not to exceed $24,500.00. The MOU is known to the Board as Tyler# 2024-1931.
The Department is now requesting approval of Amendment #1, which will extend the terms of the
MOU through June 30, 2026 and increase the hourly rate for the Registered Dietitian to $49.16 per
hour, with a total reimbursement not to exceed $24,500.00.
What options exist for the Board?
• Approval of Amendment #1 with Meals on Wheels of Greeley.
• Deny approval of Amendment #1 with Meals on Wheels of Greeley.
Consequences: The current MOU in place with Meals on Wheels of Greeley will expire.
Impacts: The Department will not be able to provide an employee to work with Meals on Wheels
of Greeley to provide nutrition services to eligibility individuals.
Costs (Current Fiscal Year / Ongoing or Subsequent Fiscal Years):
• Total cost Meals on Wheels of Greeley will reimburse the Department at a rate of $49.16 per
hour, with a total reimbursement not to exceed $24,500.00.
Recommendation:
• Approval of Amendment #1 with Meals on Wheels of Greeley and authorize the Chair to sign.

AGREEMENT AMENDMENT BETWEEN
WELD COUNTY
AND MEALS ON WHEELS OF GREELEY, INC
This Agreement Amendment made and entered into 101 ' day of LIWA.Q., ,
2025 by and between the Board of Weld County Commissioners, on behalf of the Weld
County Department of Human Services, hereinafter referred to as the "Department", and
Meals on Wheels of Greeley, Inc, hereinafter referred to as the "Contractor".
WHEREAS the parties entered into an Agreement for Registered Dietitian support,
(the "Original Agreement") identified by the Weld County Clerk to the Board of County
Commissioners as document No. 2024-1931, approved on July 17, 2024.
WHEREAS the parties hereby agree to amend the term of the Original Agreement in
accordance with the terms of the Original Agreement and any previously adopted
amendment, which is incorporated by reference herein, as well as the terms provided
herein.
NOW THEREFORE, in consideration of the premises, the parties hereto covenant and
agree as follows:
• The Original Agreement will end on June 30, 2025.
• This Amendment, together with the Original Agreement, constitutes the entire
understanding between the parties. The following additional changes are hereby
made to the current Agreement effective July 1, 2025:
1. Term:
This Memorandum of Understanding ("MOU") or "Agreement") shall be effective
beginning July 1, 2025 through June 30, 2026. This agreement may be renewed
annually upon written agreement of both parties.
2. Paragraph #1, Contractor's Roles and Responsibilities:
1. Contractor will reimburse the Department at a cost of $49.16 per hour for up
to ten (10) hours per week, total not to exceed $24,500.00 for services
provided by the Department's Registered Dietitian.
All other terms and conditions of the Original Agreement remain unchanged.

the day, month, and year first above written.

RESOLUTION
RE: APPROVE MEMORANDUM OF UNDERSTANDING FOR REGISTERED DIETICIAN
NUTRITION SERVICES AND AUTHORIZE CHAIR TO SIGN - MEALS ON WHEELS OF
GREELEY, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Memorandum of Understanding for
Registered Dietician Nutrition Services between the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Department of
Human Services, and Meals on Wheels of Greeley, Inc., commencing July 16, 2024, and ending
June 30, 2025, with further terms and conditions being as stated in said memorandum of
understanding, and
WHEREAS, after review, the Board deems it advisable to approve said memorandum of
understanding, a copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Memorandum of Understanding for Registered Dietician
Nutrition Services between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Department of Human Services, and
Meals on Wheels of Greeley, Inc., be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said memorandum of understanding.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 17th day of July, A.D., 2024, nunc pro tunc July 16, 2024.

MEMORANDUM OF UNDERSTANDING BETWEEN THE WELD COUNTY
DEPARTMENT OF HUMAN SERVICES
AND MEALS ON WHEELS OF GREELEY, INC
THIS MEMORANDUM OF UNDERSTANDING is entered into this (1'day of c(1 , 2024, by
and between the Board of County Commissioners, on behalf of the Weld County Departmen of Human
Services, hereinafter referred to as "Department," Meals on Wheels of Greeley, Inc, hereinafter referred to
as "Contractor".
The purpose of this Memorandum of Understanding (MOU) is to establish partnership roles and
responsibilities for direct support by the Department's Registered Dietitian to oversee menus, nutrition
analysis, nutrition education, and nutrition counseling for eligible individuals.
Term of this Memorandum of Understanding
This Memorandum of Understanding ("MOU" or "Agreement") shall be effective beginning July 16, 2024
through June 30, 2025. This agreement may be renewed annually upon written agreement of both parties.
Department's Roles and Responsibilities
1. Provide the Department's Registered Dietitian to the Contractor for up to ten (10) hours per week
to:
a) Develop, analyze, and distribute menus for Meals on Wheels. Menus will meet the Dietary
Guidelines and the Recommended Dietary Allowances (RDA) which is included in the Dietary
Reference Intakes (DRI).
b) Develop and provide nutrition education materials as required by Volume X and current
state and local policies and procedures.
c) Provide individual nutrition counseling services to meal participants as needed.
d) Provide technical assistance regarding such issues as: sanitation, food borne illness and food
safety to agency staff and volunteers as needed.
e) Provide food safety and sanitation training to all kitchen staff and volunteers every six (6)
months and conduct food safety and sanitation evaluations every six (6) months.
f) Maintain appropriate client and program information in state required data system and/or
any other mandated data systems.
2. The Department will provide a laptop to the Registered Dietitian.
3. The cost of salary and benefits for the Registered Dietitian shall be the responsibility of the
Department.
4. The Department will invoice the Contractor by the 10th day of the month for the hours worked the
previous month. Payment is due thirty (30) days after the invoice date.
Contractor's Roles and Responsibilities
1. Contractor will reimburse the Department at a cost of $47.11 per hour for up to ten (10) hours per
week, total not to exceed $24,500.00 for services provided by the Department's Registered
Dietitian.
2. Contractor will, at a minimum of one time per week, provide the Department's Registered Dietitian
a workplace and access to internet, telephone, printer, and office supplies.
3. Contractor will present to the Department's Registered Dietitian a general orientation of the
organization, including its staff, policies, recording systems, etc.
The Registered Dietitian will be an employee of the Department and will be subject to the policies, rules,
regulations, directives, and orders of the county.
The Department's Registered Dietitian will be subject to the supervision of the Department and shall work
the same scheduled hours as the Department's employees which includes County approved holiday
schedules and County approved closures.
Modifications. This Agreement may be modified in writing, in whole or in part, upon approval of the
signers.
Termination. This Agreement may be terminated at any time by either party giving thirty (30) days written
notice to the signers. No portion of this MOU shall be deemed to create an obligation on the part of the
County of Weld, State of Colorado, to expend funds not otherwise appropriated, as this MOU is subject to
the availability of funding. Therefore, the Department may terminate this MOU at any time if the source of
funding for the services made available to Contractor is no longer available to the Department, or for any
other reason. Contractor reserves the right to suspend services to clients if funding is no longer available.
Entire Agreement. This MOU contains the entire agreement and understanding between the parties with
respect to the subject matter hereof and may not be changed or modified except as stated herein. This
MOU shall be binding upon the parties hereto, their successors, heirs, legal representatives, and assigns.
Contractor and the Department may not assign any of its rights or obligations hereunder without the prior
consent of both parties.
No Third -Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms and
conditions of this MOU, and all rights of action relating to such enforcement, shall be strictly reserved to the
undersigned parties and nothing in this MOU shall give or allow any claim or right of action whatsoever by
any other person not included in this MOU. It is the express intention of the undersigned parties that any
entity other than the undersigned parties receiving services or benefits under this MOU shall be an incidental
beneficiary only.
Governmental Immunity. No term or condition of this contract shall be construed or interpreted as a
waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the
Colorado Governmental Immunity Act §§24-10-101 et seq., as applicable now or hereafter amended.
Severability. If any term or condition of this MOU shall be held to be invalid, illegal, or unenforceable by a
court of competent jurisdiction, this MOU shall be construed and enforced without such provision, to the
extent that this MOU is then capable of execution within the original intent of the parties.
IN WITNESS WHEREOF, the parties hereto have duly executed the Agreement as of the day, month, and
year first above written.
