RESOLUTION WHEREAS, heretofore the Board of County Commissioners, Weld County, Colorado, by resolution, did lease certain County owned minerals located in the West One-Half (Wz) of Section 6, Township 1 North, Range 67 West of the Sixth p. m. , Weld County, Colorado, (being portions of the Town of Dacona), and WHEREAS, Dacona Production Company, a partnership, by Martin Oil Service, Inc. , a partner, has submitted a pooling agreement concerning various mineral interests, including those mineral interests of Weld County, pursuant to ORDER of the Oil and Gas Conservation Commission of the State of Colorado, copy of said pooling agreement attached hereto and made a part hereof by reference, and WHEREAS, the Board has carefully considered said pooling agree- ment covering the various mineral interests of the respective parties con- cerned and believes it to be in the best interest of the County to accept the same. NOW, THEREFORE, BE IT RESOLVED, by the Board of County Commissioners, Weld County, Colorado, that the pooling agreement here- inabove mentioned, whereby the various parties desire to pool and corn- munitize their respective mineral interests, be and the same is hereby approved. BE IT FUTHER RESOLVED, that the Board be, and it hereby is, authorized to execute the pooling agreement as submitted and to make the same effective as indicated herein. O' WITNE S SETH: 0 WHEREAS, parties hereto own working, the royalty or overriding royalty or other leasehold interests, or operating rights, under "he Oil and uN ti Gas Leases and lands subject to this Agreement; and ri o- W WHEREAS, the Oil and Gas Conservation Commission of the State of Colorado has heretofore made and entered its Order No. 232-1 in Cause 232 prescribing drilling and spacing units for production of gas and associated hydrocarbons from the "J" Sand formation underlying the pooled area as hereinafter specified; 4 WHEREAS, the parties hereto desire to pool and communitize their respective mineral interests in the lands subject to this Agreement in accordance with said Order of the Oil and Gas Conservation Commission of the State of Colorado, for the purpose of developing and producing communitized substances in accordance with r.he terms of this Agreement. NOW, THEREFORE, for consideration of the premises and the mutual advantages accruing to the parties hereto, it is mutually covenanted and agreed by and between the parties hereto as follows: 1. The lands covered by this Agreement (hereinafter referred to as "pooled area")are described as follows: Township 1 North, Range 67 West, 6th P.M. Section 6: Lot 1 (75.26 ac.) and Lot 2 (75.97 ac.) of the NSA, • Lot 1 (80.00 ac.) and Lot 2 (72.08 ac.) of the SW4 which, together, comprise the Wr of said section; containing 303.31 acres, more or less, in Weld County, Colorado. This Agreement shall extend to and include only the "J" Sand formation underlying the pooled area and the gas and associated hydrocarbons, (hereinafter referred to as "pooled substances") producible from said formation. NOUr: 743 1669647)d-2 The pooled area shall be developed and operated as an entirety as though the pooled area were covered by a single Oil and Gas Lease executed by all persons owning an interest therein. There shall be no obligations on the Lessees to offset any well or wells completed in the formations covered by this Agreement on separate component tracts in which the pooled area is now or may be hereafter divided nor shall any Lessee be required to separately measure pooled substances because of the diverse ownership thereof. 3. Dacona Production Company is hereby designated as operator of the pooled area. All matters of operation shall be governed by the operator under and pursuant to the terms and provisions of this Agreement and the operating agreement in effect between the working interest owners. A successor operator may be designated by the owners of the working interest in the pooled area.. 4. The location, commencement, completion, continued operation, production or reworking of a well or wells for pooled substances on the pooled area shall be construed and considered as the location, commencement, completion, continued opera- tion, production or reworking on each and all of the lands within and comprising the pooled area, and operations or production pursuant to this Agreement shall be deemed to be operations or production under each lease made the subject hereof. 5. Royalty, overriding royalty and other burdens now existing or which may hereafter be created, accruing or payable with respect to production or pooled substances from the pooled area shall be determined by allocating such production to the separately leased tracts into which the pooled area is now divided in the proportion that the surface acreage contained in each tract bears to the entire surface acreage contained in the pooled area. The royalty, overriding royalty or other burdens on the working interest shall accrue and be paid upon or out of that portion of the production so allocated in the same manner and to the same extent as though the production so allocated to each separately leased tract had been produced 2 - 948 16.69649 28.3 from such tract under the terms of the Oil. and Gas Lease(s) covering said tract. For the purpose of determining all benefits accruing under this Agreement, each such tract shall have allocated to it that percentage of said production set out for it in the Tract Allocation portion of Exhibit "A" to this Agreement. 6. This Agreement shall be effective as of the date hereinafter provided and shall remain in force and effect as to each separate tract of land included in the pooled area co-extensively with the primary term of the Oil and Gas Lease(s) covering such tract and so long thereafter as pooled substances are produced or can be produced from the pooled area, or operations (whether drilling, reworking or otherwise) are being conducted thereon, and if production results from such opera- tions, for so long thereafter as pooled substances are produced, or can be produced. Upon termination of this Agreement the rights of the parties hereto under the Oil and Gas Lease(s) on the lands described in Exhibit "A" shall be and remain the same as though this Agreement had not been executed. 7 . This Agreement and all operations contemplated hereby shall be subject to any and all applicable laws, rules, orders and regulations pertaining to the F drilling, development and operation of the Oil and Gas Lease(s) affected hereby. In the event that the Lessee is unable to comply with any of the provisions of this Agreement, or any of the provisions of the leases on the lands described in Exhibit "A" hereto, by reason of the foregoing, then the terms of such leases and the time of performance thereunder shall be extended during the period of such rule, order, regulation or law and for a period of ninety (90) days thereafter. 8. The covenants herein shall be construed to be covenants running with the land with respect to the interests of the parties hereto, and their successors in interest until this Agreement terminates and any grant, transfer or conveyance of any land or interest subject thereto, whether voluntary or otherwise, shall be and is hereby conditioned upon the assumption of all obligations hereunder by the grantee, transferee or other successor in interest. 3 - OK 16'89047 )6-ti 9. This Agreement shall be binding upon the parties hereto and shall extend to and be binding upon their respective heirs, administrators, executors, successors and assigns. As herein modified and changed, the Oil and Gas Lease(s) subject to this Agreement shall remain in full force and effect accorling to the terms and provisions hereof. 10. This Agreement may be executed in any number of counterparts, no one of which needs to be executed by all parties hereto, or may be ratified or consented to by separate instrument in writing specifically referring hereto and shall be binding upon all parties who have executed such a counterpart, ratification or consent hereto. IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date first above written but to be effective for all purposes as of the date of first production of pooled substances in and under the pooled area, or the date first above written, whichever is pribr in time.
