Resolution Approve Memorandum of Understanding for Partnership to Support Formerly Incarcerated Individuals to Obtain Class A Commercial Driver's License (CDL A) and Authorize Chair to Sign — FreeWorld Whereas, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and Whereas, the Board has been presented with a Memorandum of Understanding for a Partnership to Support Formerly Incarcerated Individuals to a Obtain Class A Commercial Driver's License (CDL A) between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Human Services, and FreeWorld, commencing June 1, 2025, with further terms and conditions being as stated in said memorandum of agreement, and Whereas, after review, the Board deems it advisable to approve said memorandum of agreement, a copy of which is attached hereto and incorporated herein by reference. Now, therefore, be it resolved by the Board of County Commissioners of Weld County, Colorado, that the Memorandum of Understanding for a Partnership to Support Formerly Incarcerated Individuals to a Obtain Class A Commercial Driver's License (CDL A) between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Human Services, and FreeWorld, be, and hereby is, approved. Be it further resolved by the Board that the Chair be, and hereby is, authorized to sign said memorandum of agreement. FreeWorld's aim is to provide living wage career opportunities in the transportation and logistics industry to formerly incarcerated individuals. In this program, participants will be given tools, resources, and training needed to earn a CDL A and provide continued support in their job search and career for 5 years. The term of this MOU is June 1, 2025, and will remain in effect until either party terminates the agreement as outlined in the agreement. The MOU has been reviewed and approved by Legal (B. Howell). What options exist for the Board? Approval of the MOU with FreeWorld. Deny approval of the MOU with FreeWorld. Consequences: The Department will not have a MOU with FreeWorld. Impacts: The Department will not be able partner with FreeWorld to support formerly incarcerated individuals in their job search. WHEREAS, the Weld County Workforce Development Board (WDB) has designated the Employment Services of Weld County (ESWC) as the official one -stop center operator for the federally recognized Upstate Region local workforce area. WHEREAS, the Workforce Innovation and Opportunity Act (WIOA) encourages local workforce boards and community organizations, including both required and non -required partners, to collaborate in providing workforce services through the one -stop delivery system. WHEREAS, non -mandated partners —also known as additional partners —are organizations that are not required by WIOA to participate but choose to support the one -stop system and align their services with it. These partners provide valuable resources and services to job seekers and employers in the community. WHEREAS, FreeWorld is dedicated to empowering formerly incarcerated individuals in securing living -wage jobs and fostering financial independence by offering a pathway through CDL truck training and job placement services. WHEREAS, by entering into this Memorandum of Understanding (MOU), the FreeWorld agrees to: • Collaborate with ESWC to offer access to services through the one -stop system; Coordinate efforts to avoid duplication and enhance customer experience; Participate in the local workforce system in a manner consistent with applicable laws, funding source requirements, and WIOA principles; Follow all relevant federal, state, and local policies that apply to the Partner's program(s); and Support the mission of the one -stop system to connect individuals and businesses with the resources they need to succeed. Term of this Memorandum of Understanding This Memorandum of Understanding ("MOU" or "Agreement") shall be effective beginning June 1, 2025, and shall remain in full force and effective until the agreement is terminated in accordance with the terms set forth herein. Roles and Responsibilities FreeWorld Shall: 1. Share data through FreeWorld's Workforce Portal (WFP), ensuring all security measures including PII assurances, data integrity, and data protection are in place in accordance with state and federal law and reviewed annually by both parties. 2. Invest resources into shared clients. 3. Provide a designated point of contact to the Department. 4. Encourage co -enrollment of FreeWorld participants in available workforce services, as funds are available and pending eligibility requirements. Department Shall: 1. Provide referrals to FreeWorld in accordance with federal, state and local policies while ensuring customer- centered focus. 2. Ensure communication, collaboration, cooperation and coordination occurs with FreeWorld's staff. 3. Facilitate the maintenance or an effective working relationship between enrollees/trainees, and the Department, inclusive of partners, contractors, and board staff. 4. Ensure our workforce center staff participates in FreeWorld meetings as appropriate. 5. Provide a point of contact for FreeWorld. 6. Serve individuals with barriers to employment with access to services within the STATE workforce system, including access to technology and materials. Both Parties Shall: 1. Ensure quality customer services with a customer -centered focus on serving formerly incarcerated individuals or justice -involved individuals. 2. Maintain and continuously improve an effective referral system. 3. Jointly manage progress of customers served by both FreeWorld and the Department. Maintain ongoing contact with the referring entity and the referred individuals for the purpose of additional case coordination and follow up, when needed. 4. Ensure necessary data is shared between parties as needed with client release of information to provide appropriate services. 5. Ensure all data shared through FreeWorld's workforce portal abide by all security measures including PII assurances, data integrity, and data protection are in place in accordance with state and federal law and reviewed annually by both parties. Allocation of Cost. The Parties to this agreement assume full responsibility for their respective cost associated with their performance of the terms of this agreement. In no event shall the Department be obligated to pay or reimburse any expense incurred by FreeWorld under this agreement nor shall FreeWorld be obligated to pay or reimburse any expense incurred by the Department. Modifications. This Agreement may be modified in writing, in whole or in part, upon approval of the signers. Termination. This Agreement may be terminated at any time by either party giving thirty (30) days written notice to the signers. No portion of this MOU shall be deemed to create an obligation on the part of the County of Weld, State of Colorado, to expend funds not otherwise appropriated, as this MOU is subject to the availability of funding. Therefore, the Department may terminate this MOU at any time if the source of funding for the services made available to FreeWorld is no longer available to the Department, or for any other reason. FreeWorld reserves the right to suspend services to clients if funding is no longer available. Entire Agreement. This MOU contains the entire agreement and understanding between the parties with respect to the subject matter hereof and may not be changed or modified except as stated herein. This MOU shall be binding upon the parties hereto, their successors, heirs, legal representatives, and assigns. FreeWorld and the Department may not assign any of its rights or obligations hereunder without the prior consent of both parties. No Third -Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms and conditions of this MOU, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this MOU shall give or allow any claim or right of action whatsoever by any other person not included in this MOU. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this MOU shall be an incidental beneficiary only. Governmental Immunity. No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as applicable now or hereafter amended. Independent Contractor. FreeWorld agrees that it is an Independent Contractor and that the FreeWorld's officers, agents or employees will not become employees of the Department, nor entitled to any employee benefits from the Department as a result of the execution of this MOU. FreeWorld shall perform its duties hereunder as an Independent Contractor. FreeWorld shall be solely responsible for its acts and those of its agents and employees for all acts performed pursuant to this MOU. FreeWorld, its employees and agents are not entitled to unemployment insurance or workers' compensation benefits through the Department and the Department shall not pay for or otherwise provide such coverage for FreeWorld or any of its agents or employees. Unemployment insurance benefits will be available to FreeWorld and its employees and agents only if such coverage is made available by FreeWorld or a third party. FreeWorld shall pay when due all applicable employment taxes and income taxes and local head taxes (if applicable) incurred pursuant to this MOU. Severabilitv. If any term or condition of this MOU shall be held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, this MOU shall be construed and enforced without such provision, to the extent that this MOU is then capable of execution within the original intent of the parties.
