Subject to the applicable provisions of the laws of this State, the Board of Directors of the Corporation may, from time to time, declare and the Corporation may pay dividends in cash, property, or its own shares, except when the Corporation is insolvent or when the payment thereof would render the Corporation insolvent or when the declaration or payment thereof would be contrary to any restrictions contained in this Certificate of Incorporation. When any dividend is paid or any other distribution is made, in whole or in part, from sources other than unreserved and unrestricted earned surplus, such dividend or distribution shall be identified as such, and the source and amount per share paid from each source shall be disclosed to the stockholder receiving the same concurrently with the distribution thereof and to all other stockholders not later than six months after the end of the Corporation's fiscal year during which such distribution was made. 2. All shares of common stock shall share equally in distributions in partial liquidation. Subject to the applicable provisions of the laws of this State, the Board of Directors of the Corporation may distribute, from time to time, to its stockholders in partial liquidation, out of stated capital or capital surplus of the Corporation, a portion of its assets in cash or property, except when the Corporation is insolvent or when such distribution would render the Corporation insolvent. Each such distribution, when made, shall be identified as a distribution in partial liquidation, out of stated capital or capital surplus, and the source and amount per share paid from each source shall be disclosed to all stockholders of the Corporation concurrently with the distribution thereof. Any such distribution may be made by the Board of Directors from stated capital without the affirmative vote of any stockholders of the Corporation. 3. a. Each outstanding share of common stock shall be entitled to one vote at stockholders' meetings, either in person or by proxy. b. The designations, powers, rights, preferences, qualifications, restrictions and limitations of the preferred stock shall be established from time to time by the Corporation's Board of Directors, in accordance with Colorado Law. c. i) Cumulative voting shall not be allowed in elections of directors or for any purpose. ii) No holders of shares of capital stock of the Corporation shall be entitled, as such, to any preemptive or preferential right to subscribe to any unissued stock or any other securities which the Corporation may now or hereafter be authorized to issue. The Board of Directors of the Corporation, however, in its discretion by resolution, may determine that any unissued securities of the Corporation shall be offered for subscription solely to the holders of common stock of the Corporation, or solely to the holders of any class or classes of such stock, which the Corporation may now or hereafter be authorized to issue, in such proportions based on stock ownership as said board in its discretion may determine. iii) The Board of Directors may restrict the transfer of any of the Corporation's stock issued by giving the Corporation or any stockholder "first right of refusal to purchase" the stock, by making the stock redeemable, or by restricting the transfer of the stock under such terms and in such manner as the directors may deem necessary and as are not inconsistent with the laws of this State. Any stock so restricted must carry a conspicuous legend noting the restriction and the place where such restriction may be found in the records of the Corporation. iv) The judgment of the Board of Directors as to the adequacy of any consideration received or to be received for any shares, options, or any other securities which the Corporation at any time may be authorized to issue or sell or otherwise dispose of shall be conclusive in the absence of fraud, subject to the provisions of these Articles of Incorporation and any applicable law. d. Any action required or permitted by the Colorado Business Corporation Act to be taken at a shareholders' meeting may be taken without a meeting if the shareholders holding shares having not less than the minimum number of votes that would be necessary to authorize or take such action at a meeting, at which all of the shares entitled to vote thereon were present and voted, consent to such action in writing. e. One third of the Corporation's shares entitled to vote will represent a quorum at any meeting of the Company's shareholders. Transactions with Directors and Other Interested Parties No contract or other transaction between the Corporation and any other corporation, whether or not a majority of the shares of the capital stock of such other corporation is owned by the Corporation, and no act of the Corporation shall in any way be affected or invalidated by the fact that any of the directors of the Corporation are pecuniarily or otherwise interested in, or are directors or officers of, such other corporation. Any director of the corporation, individually, or any firm with which such director is affiliated may be a party to or may be pecuniarily or otherwise interested in any contract or transaction of the Corporation; provided, however, that the fact that he or such firm is so interested shall be disclosed or shall have been known to the Board of Directors of the Corporation, or a majority thereof, at or before the entering into such contract or transaction; and any director of the Corporation who is also a director or officer of such other corporation, or who is so interested, may be counted in determining the existence of a quorum at any meeting of the Board of Directors of the Corporation which shall authorize such contract or transaction, with like force and effect as if he were not such director or officer of such other corporation or not so interested. T ENERGY SOLUTIONS Use by Special Review - Harper Kona Solar Energy Facility Planning Questionnaire PID 080121000006 I. Explain the proposed use and business name. Syrcuit Energy Solutions (Syrcuit) proposes a Solar Energy Facility (SEF) to be placed e ntirely on Weld County parcel number 080121000006, which is located in the southwest quarter of section 21 Township 6 North Range 64 West. The SEF will have a capacity of roughly 4.3 megawatts and will cover approximately 20.7 acres of the parcel to the west of existing oil and gas locations. The SEF will be designed to ensure appropriate setbacks from the existing wells, equipment, and flowlines on the property. This SEF is constructed through Xcel Energy's Solar Rewards Community Program. This program was implemented by the Colorado Public Utilities Commission in 2010 and mandates that Xcel work with independent, third -party solar developers to provide local e nergy production at the electric distribution level and provide ratepayers with the option to choose their energy source. This program combats potential full monopolization by Xcel in the generation and sale of energy to customers in Xcel territory. Furthermore, in order to win an award for this project, Syrcuit has to compete against n umerous other solar developers in a selective RFP process — a process which ultimately yields the best prices and quality of work for consumers. Syrcuit's project will allow for a safe and well-timed addition of energy to the grid. Distributed energy projects like this have the added benefit of strengthening the local e lectric grid and creating a more resilient local electricity system. This project, and its relatively small footprint, will complement Weld County's numerous other energy generation industries and the County's place as the energy capital of Colorado and that is evidenced by the fact that this SEF will co -exist with oil and gas development. This project will allow consumers to have a choice in their energy supply. With the construction of this project, Xcel customers in Weld County and all throughout the front range will have the ability to decide if they would like to subscribe to a portion of the solar 1 array's output, thereby giving them 100% solar energy (an alternative to Xcel's one and only choice for consumers). 2. Explain the need for the proposed use. This project meets a multitude of needs in the community: The Landowner (Noble Energy Inc.) does not have water rights to irrigate the parcel. Should this parcel ever be considered forag production, the landowner would be required to find water from a different system, and either rent or purchase the water rights. The market rates also make the purchase of water (were it to even become available) wholly uneconomical as costs would far exceed any possible return on investment. Furthermore, the topsoil would need to be reestablished on the entirety of the parcel, meaning the potential for future ag production is near nonexistent without an immense amount of labor and capital, leaving the potential for any return on investment equally unlikely. The addition of an SEF provides the opportunity for a long-term, predictable income stream while simultaneously fortifying the grid in Weld County. Rather than a portion of this parcel sitting as vacant rangeland, the construction of an SEF can provide local jobs and a long- term asset that will create energy at a competitive price to the benefit of Weld County residents. Residents in Xcel territory have not traditionally had a choice in who their utility provider is and where their energy comes from. Community solar solves this issue by providing ratepayers with an opportunity for choice, and an option to choose locally generated electricity by a locally created company. Weld County, and Colorado as a whole, is experiencing massive growth in electricity consumption. More electricity generation is needed to meet this need. Local solar projects like this help the state and county diversify its electricity sources and have local generation that result in a more stable and resilient grid. Weld County has long been the energy capital of Colorado and adding solar to the County will further diversify the County's energy mix and further its role as an energy leader in Colorado. Weld County's Comprehensive plan specifically calls out a goal of supporting "responsible energy and mineral development." This project meets the definition of responsible (see answer to question 21). 3. Describe the current and previous use of the land. The property is owned by Noble Energy Inc. which uses a portion of the land for their oil and gas operations through the operations of multiple oil and gas locations for wells. Although the land is zoned agriculture the land is dry farmland and Noble Energy Inc. has no water 2 rights for the land. Noble Energy Inc. has no plans for agricultural operations or future development of oil and gas wells from this parcel. Syrcuit has an agreement and a lease with Noble Energy who has three active oil and gas locations as described below. • A21 Production Facility o Production facility with separators, tanks, and other oil and gas production equipment. • A-21-12 Well Pad O 14 oil and gas wells (Harper and Kona wells) with 11 wells still producing and three wells abandoned. ■ Producing wells: 123-44471, 123-44473, 123-44474, 123-44475, 123- 44476, 123-44477, 123-44478, 123-44523, 123-44524, 123-44525, and 123-44541. ■ Abandoned wells: 123-44472, 123-44522, and 123-44540. • A21-13 Well Pad O 13 oil and gas wells (Harper and Kona wells) with 11 wells still producing and two wells abandoned. ■ Producing wells: 123- 44572, 123-44573, 123-44574, 123-44576, 123- 44577, 123-44576, 123-50924, 123-50925, 123-50926, 123-50927, and 123-50928. ■ Abandoned wells: 123-44571 and 123-44575. In addition to the three oil and gas locations described above, the parcel has five additional plugged and abandoned oil and gas wells: 123-14501, 123-19571, 123-20034, 123-20403, and 123-27000. The SEF will be designed to ensure there is a 150 -foot setback from each of these producing wells and that there is a 50 -foot setback from each of these abandoned wells. The property is not in a floodplain, geologic hazard area, airport overlay, MS4 area or within navigable waters requiring an Army Corps of Engineers permit. The property also does not have any railroads The property has overhead utility lines on the west side of the property. The property does have an irrigation ditch, Greeley #2 Canal. Syrcuit has reached out to the Ditch Company and received a response from the General Manager that they have no concerns with the proposal. The property is also not being considered for annexation into any municipalities. At the request of Weld County, Syrcuit sent a notice of inquiry to the Town of Kersey and verified they had no interest in annexing the land. 3 Syrcuit made multiple attempts to contact the Oil and Gas Energy Department to see if they had any concerns regarding the proposal and did not receive a response back. The below map is from Weld County's GIS system and has all "Plans and Overlays" under "Planning" selected. The well depth is 15 feet and it is an alluvial well type and is listed as a monitoring hole. • Water well permit # 61402 o John Keller is the owner and the well was constructed in 1972 as is a residential water well. The depth is 6912 feet. 4. Describe the proximity of the proposed use to residences. The SEF is being designed with three residences within 500 feet. Syrcuit has reached out to all three of these owners to discuss the project. The following is a summary of these outreach efforts: 1. Catheryn S and Douglas E Franklin — 080120000071 (to the north and west) • Called and left a voice message on May 22, 2024. • Called and left a second message on August 8, 2024. • Sent a certified letter via the United States Postal Service that was received on September 11, 2024 asking to contact Syrcuit. 2. Michael D Lawrence — 080120000083 (to the west) • Called and discussed on May 22, 2024. He is in full support of the project. He asked about the potential for trees to help with screening of the project area. • Sent a certified letter via the United States Postal Service that was received on September 11, 2024 asking to contact Syrcuit. 4 3. Foe Front Range Farms LLC — 080120400002 (to the west) • Called and left a voice message on May 22, 2024. • Called and left a second message on August 8, 2024. • Sent a certified letter via the United States Postal Service that was received on September 11, 2024 asking to contact Syrcuit. Syrcuit will continue outreach to these residents and is willing to meet with any of them if desired. There are 25 parcels with 34 owners on record within 1000 feet from the SEF. Syrcuit held a community meeting on September 26, 2024 where four of these owners attended. Syrcuit discussed the proposal and took questions at this community meeting. See attached sign in sheet from the community meeting. 5. Describe the surrounding land uses of the site and how the proposed use is compatible with them. In addition to the three parcels that have residences as documented above, the following is information related to the adjacent parcels. The surrounding parcels are irrigated agricultural and rangeland. Agricultural operations and energy development in Weld County have a long history of being compatible with each other and this proposed SEF is no exception. The SEF is being proposed to co -exist on a parcel with existing oil and gas to avoid any impact to nearby agricultural lands. Syrcuit secured an agreement and a lease for this SEF from the oil and gas company that both owns the land and operates the three oil and gas locations on the parcel. From a health and safety perspective, solar is a compatible use for the surrounding lands. It produces no airborne or soil -leaching contaminants, making it safe for the nearby crops and any other agricultural production taking place. The solar is compatible and complementary to the nearby oil and gas activities existing and the project is planned with Syrcuit working with the oil and gas company. This addition will pose no health or safety threat to these uses. Solar is also one of the few uses for land that also contains active or abandoned oil and gas infrastructure. SEFs are not inhabited, and oil and gas operations pose no threat to the solar array. Solar is a safe and non -disruptive use for this parcel; it is primed to be placed amidst an area with various uses. 6. Describe the hours and days of operation (i.e., Monday through Friday 8:00 a.m. to 5:00 p.m.). Once construction is complete, the SEF will continuously operate 24/7, but only producing power during daylight hours. The proposed SEF will use single -axis trackers, which will 5 angle the solar modules accordingly as the sun shifts in the sky. These trackers allow for maximized energy production. While the array will be running all day, it will create no disturbances. Solar arrays are nearly silent and produce no smoke, smog, vapors, or dust. Construction will run during normal business hours for the duration of about nine months. 7. Describe the number of employees including full-time, part-time and contractors. If shift work is proposed, detail number of employees, schedule and duration of shifts. During construction: Construction during daytime hours will range from five to eight workers during the electrical install and during the early mobilization and site preparation stage with site construction workers peaking at 10 to 15 workers midway through the project and reducing back down to five to eight workers during the final commissioning and testing stage. Once operational: The SEF will have a maintenance crew visit once quarterly (or as needed if damage occurs due to weather), otherwise the SEF will be unmanned. 8. Describe the maximum number of users, patrons, members, buyers or other visitors that the site will accommodate at any one time. N/A. This proposed use will be for energy production only and will not host patrons, etc. 9. List the types and maximum numbers of animals to be on the site at any one time (for dairies, livestock, confinement operations, kennels, etc.). Not applicable. 10. List the types and number of operating and processing equipment. There will be monocrystalline modules, inverters, and rows of single -axis trackers. The system consists of string level DC to AC conversion inverters, main equipment pads with AC Recombiners, switchgear and MV step up transformers that connect to Xcel's grid. To comply with the National Electric Code, there will be a 6' tall security fence with a 1' barbed wire arm installed around the entire perimeter of the site, with a gate located at the access location. The fence and gate will be constructed of 4" X 4" welded rod material. The gate will remain closed and locked at all times except during construction and quarterly maintenance periods. 11. List the types, number and uses of the existing and proposed structures. There will be no structures associated with the proposed solar facility other than the solar array itself, which will be used for energy generation, and either work trailers or a 20 -foot to 40 -foot Conex box to store spare parts and equipment. 6 12. Describe the size of any stockpile, storage or waste areas. During the construction phase, there will be materials and equipment that may need a laydown yard located on the interior of the facility. When the construction is completed, there will be either work trailers or a 20 -foot to 40 -foot Conex box to store spare parts and equipment. 13. Describe the method and time schedule of removal or disposal of debris, junk and other wastes associated with the proposed use. During the construction phase, waste will be stored in refuge du mpsters, which will be emptied on a regular basis or as needed. Once the facility is operational, there will be no waste or refuge produced from the solar operation. 14. Include a timetable showing the periods of time required for the construction of the operation. Construction of the SEF will only be conducted during daylight hours. The following is a high- level timetable: • General construction including installation of the fence and tracking systems —10 days. • Installation of the solar panel modules — 45 to 60 days. • Installation of the transformers and switch gears and meters — 90 to 100 days. 15. Describe the proposed and existing lot surface type and the square footage of each type (i.e. asphalt, gravel, landscaping, dirt, grass, buildings). The subject area of 20.7 acres is currently on vacant rangeland and the design will disturb as least land as possible land for the construction of this SEF. Following the completion of the construction, disturbed areas within the limits of construction, such as roadcuts, utility trenches, and other areas where vegetation has been removed, altered, or eliminated, will be reseeded with native seed mix. 16. How many parking spaces are proposed? How many handicap -accessible parking spaces are proposed? There will be two (2) temporary internal parking spaces for vehicles servicing the facility. There will be no ADA parking spaces, as this is not a facility for general public use. 17. Describe the existing and proposed fencing and screening for the site including all parking and outdoor storage areas. To comply with the National Electric Code, there will be a 6' tall security fence with a 1' 7 barbed wire arm installed around the entire perimeter of the site. The fence and gate will be constructed of 4" X 4" welded rod material. See the Landscaping and screening plan for more details on the fencing. The two (2) internal parking spaces on the site plan are temporary. There will be no outdoor storage associated with this proposed solar facility. 18. Describe the existing and proposed landscaping for the site. The entire area of the parcel is a mixture of lower maintenance dryland seed mix. The unaffected area's landscaping will not change. Once the construction phase is completed, the affected area within the solar facility fence will be seeded with the seed mixture that the landowner has given. 19. Describe reclamation procedures to be employed as stages of the operation are phased out or upon cessation of the Use by Special Review activity. Once the site is no longer used for the proposed solar facility, the panels, racking, cabling, inverters, and all associated equipment will be removed from the site and recycled and/or disposed of in a responsible manner. The site will be returned to the condition it was in prior to the solar facility being constructed with the exception of certain site improvements desired by the landowner or system design such as re -grading, leveling, vegetation, and/or soil improvements. Solar leaves behind no ground contamination, so there will be no hazardous elements left behind on the land. 20. Describe the proposed fire protection measures. The subject property is within the Platte Valley Fire Protection District. Fire access within the facility will be via a 20' -wide access road, with a hammerhead or an acceptable hammerhead alternative turnaround at the end of the drive. Grasses within the solar facility will be mowed as needed, to help prevent the spread of range fires. Maintenance will be performed regularly each quarter, as well as on an as -needed basis, to monitor and maintain the electrical wiring of the system. Syrcuit will reach out to Platte Valley Fire Protection District to discuss any concerns they might have with the SEF design. 21. Explain how this proposal is consistent with the Weld County Comprehensive Plan per Chapter 22 of the Weld County Code. The Weld County Comprehensive Plan addresses goals and objectives for natural resources (Weld County Code, Chapter 22, Sec.22-2-66). The proposed use of the subject property as a solar power generation facility is consistent with the goals and policies of this section. Section B states one goal of Weld County's is "Support responsible energy and mineral development." The County outlines the steps for this goal, and these following steps in 8 particular, are supported by the SEF: "1. Ensure that surface development reasonably accommodates mineral extraction." Syrcuit's SEFs work well when located near oil and gas activity as solar does not have to follow the same health and safety restrictions that inhabited buildings do. Noble Energy has wells on th parcel and Syrcuit has an executed lease with them. "3. Require that energy and mineral resource development conserve the land and minimize the impact on surrounding land and the existing surrounding land uses." The standard lifetime of an SEF is 20-40 years. At the end of its life, our SEF will be fully decommissioned, and the land that it stands atop will be fully restored. Additionally, this project should allow the land to go fallow for many years, improving the soil conditions for possible future agricultural use, should the landowner decide to change this parcel into an agriculture production instead of rangeland. Solar produces no contamination or noise pollution and will pose no threat to surrounding land uses. "5. Energy development facilities should preserve agricultural areas and enhance the rural landscape." When decommissioned, the SEF will leave behind uncontaminated agricultural lands with renewed soil. During its lifetime, the solar array will have native vegetation growing beneath it, contributing to Weld County's vegetative health and supporting local pollinator communities. 22. Explain how this proposal is consistent with the intent of the zone district in which it is located. (Intent statements can be found at the beginning of each zone district section in Article III of Chapter 23 of the Weld County Code.) "Agriculture in the COUNTY is considered a valuable resource which must be protected from adverse impacts resulting from uncontrolled and undirected business, industrial and residential land USES. The A (Agricultural) Zone District was established to maintain and promote agriculture as an essential feature of the COUNTY. The A (Agricultural) Zone District is intended to provide areas for the conduct of agricultural activities and activities related to agriculture and agricultural production, and for areas for natural resource extraction and energy development, without the interference of other, incompatible land USES." The subject property is zoned Agricultural (A). Solar Facilities are permitted as a Use by Special Review in the Agricultural zone district. The Use by Special Review process allows for adequate review by the Planning staff, Planning Commission, and the Board of County Commissioners, to ensure compatibility with surrounding land uses. Additionally, citizens are afforded adequate opportunities to express their concerns in the public hearing setting before any solar facility can be constructed on agriculturally- zoned land. Within the stated intent of the "Agricultural" Zone District is the specific reference to "natural resource extraction" and "energy development". This proposed solar power generation plant is in compliance with the intent of the "Agricultural" Zone District. 9 Solar facilities allow farmers and ranchers another use for their land and a viable stream of income beyond traditional farming and ranching uses. The SEF does not permanently stand on the land, or contaminate it, allowing for the landowner should they decide to use this land for agricultural purposes after the 20-40 year SEF I ifecycle. 23. Explain how this proposal will be compatible with future development of the surrounding area or adopted master plans of affected municipalities. The subject parcel does not fall within any Intergovernmental Agreement Boundaries and therefore not impactful to the master plans of any municipalities in Weld County. Syrcuit reached out to the Town of Kersey as the Town was within the Coordinated Planning Agreement Boundary and the Town indicated they have no interest in annexing this parcel. Additionally, the proposed solar facility will be compatible with the remainder of the surrounding Area, which remains unincorporated. Much of the surrounding area is now, and will likely remain, agricultural and rangeland in nature. In addition, oil/gas production will likely continue in the surrounding area. Solar development is very compatible with farming and ranching uses and oil/gas development. Renewable projects provide farmers and ranchers a viable alternate use to traditional farming and ranching uses on their land. Since there are no permanent structures being built as part of this proposal, the land can be returned to its agricultural use once the economic viability of the solar facility has ended. 24. Explain how this proposal impacts the protection of the health, safety and welfare of the inhabitants of the neighborhood and the County. This development will positively impact the health, safety, and welfare of the inhabitants of the surrounding area and County. The SEF will create no airborne or ground contaminants, making it nonhazardous for residents near and far. The SEF is also nearly silent when operating, thus will not contribute to any noise pollution. The SEF will produce local electricity without adding any pollution to the air. The SEF will be fully fenced in with a security fence, making it inaccessible for trespassers and preventing potential hazardous situations. Syrcuit will build the SEF according to both building codes and Xcel's standards and will pose no threat to the health and viability of the electric grid, locally or throughout the front range. The addition of solar energy to the grid will further diversify the energy mix supplied by Xcel, preventing dependence on any one source of fuel and eliminating the risks associated. The SEF will also provide Weld County residents (who are Xcel customers) with the opportunity to choose their energy source and energy provide, increasing consumer 10 choices and economic freedom. 25. Describe any irrigation features. If the proposed use is to be located in the A (Agricultural) Zone District, explain your efforts to conserve prime agricultural land in the locational decision for the proposed use. While this land is zoned for agriculture, it should not be considered as prime farmland. The Weld County Code defines prime and non -prime farmland as follows: "FARMLAND - WELD COUNTY NONPRIME: NONPRIME FARMLAND is low capability land that is not considered important land for food production. It may be composed of poorer soils prone to erosion or may have topographical limitations such as slopes or gullies." "FARMLAND - WELD COUNTY PRIME: The availability of a consistent supply of quality water must exist in order to have PRIME FARMLANDS. PRIME and PRIME if irrigated lands fall into upper capability classes as defined by the Natural Resource Conservation Service and Colorado State University Cooperative Extension Service and should be protected equally if irrigation water is available and they are located within a reasonable distance of water delivery STRUCTURES." For the following reasons, Syrcuit believes this parcel falls into the nonprime farmland category: 1. This parcel should be considered Non -Prime Farmland because there are no water rights to farm on the lands. 2. The land has not been framed for several years. 3. The top soil is not conducive to agricultural operations. 26. Access permit AP16-00527 is roughly 1,410' from the intersection of WCR53 and WCR66. 2. Describe any anticipated change(s) to an existing access, if applicable. No changes are anticipated to the existing access road as this access road will be used for this SEF. Syrcuit will work with Noble Energy to ensure 100% compliance with all requirements from the approved access permit. 1 3. Describe in detail any existing or proposed access gate including its location. To comply with the National Electric Code, there will be a 6' tall security fence with a 1' barbed wire arm installed around the entire perimeter of the site, with a gate located at the access location, approximately 350 ft northwest of the access point off WCR 53. The proposed fence and gate will be constructed of 4" X 4" 6 GA galvanized wire mesh welded to frame. The gate will remain closed and locked at all times except during construction and quarterly maintenance periods. 4. Describe the location of all existing accesses on adjacent parcels and on parcels located on the opposite side of the road. Include the approximate distance each access is from an intersecting county road. Per the Weld County Assessor's Map, there is one existing temporary access on the parcel directly to the west. All roads are straight in the area. 7. Describe the topography (using terms like flat, slight hills, steep hills, etc.) of the road in the vicinity of an existing or proposed access. Per our site visit and the Weld County Assessor's map, the topography of the portion of WCR 53 that runs near our proposed access is very flat and provides a clear plain of view. Development Standards In addition, Syrcuit agrees to the following development standards: 1. The property owner or operator shall be responsible for controlling noxious weeds on the site, pursuant to Chapter 15, Article I and II, of the Weld County Code. 2. The access to the site shall be maintained to mitigate any impacts to the public road, including damages and/or off -site tracking. 3. Any work that may occupy and or encroach upon any County rights -of -way or easement shall acquire an approved Right -of -Way Use Permit prior to commencement. 4. The historical flow patterns and runoff amounts on the site will be maintained. 3 T ENERGY SOLUTIONS Use by Special Review - Harper Kona Solar Energy Facility Environmental Health Questionnaire PID 080121000006 1. Discuss the existing and proposed potable water source. If utilizing a drinking water well, include either the well permit or well permit application that was submitted to the State Division of Water Resources. If utilizing a public water tap, include a letter from the Water District, a tap or meter number, or a copy of the water bill. Response: N/A - Since this is an unmanned facility, no water supply is being proposed. During the construction phase of the project, the contractor will provide the work crew with potable water via portable water coolers. 2. Discuss the existing and proposed sewage disposal system. What type of sewage disposal system is on the property? If utilizing an existing on -site wastewater treatment system, provide the on -site wastewater treatment permit number. (If there is no on -site wastewater treatment permit due to the age of the existing on -site wastewater treatment system, apply for an on -site wastewater treatment permit through the Department of Public Health and Environment prior to submitting this application.) If a new on -site wastewater treatment system will be installed, please state "a new on -site wastewater treatment system is proposed." (only propose portable toilets if the use is consistent with the Department of Public Health and Environment's portable toilet policy.) Response: N/A — Since this is an unmanned facility, no septic system is being proposed. During the construction phase, the contractor will provide a portable toilet for the construction crew. 3. If storage or warehousing is proposed, what type of items will be stored? Response: Work trailers or a 20 foot to 40 foot conex box is being proposed to store equipment and spare parts for the solar facility. This is proposed to be positioned in the interior of the solar arrays, which should lessen its visual impact. 1 4. Describe where and how storage and/or stockpile of wastes, chemicals, and/or petroleum will occur on this site. Response: N/A - There will be no stockpiles of wastes, chemicals, or petroleum associated with this facility. 5.1f there will be fuel storage on site, indicate the gallons and the secondary containment. State the number of tanks and gallons per tank. Response: N/A -There will be no fuel storage associated with this facility. 6.1f there will be washing of vehicles or equipment on site, indicate how the wash water will be contained. Response: There will be no washing of vehicles or equipment on site, with the exception of washing mud from the tires of vehicles leaving the site during the construction phase. There will be a 25' X 16' track mat located near the access drive at Weld County Road 53. This mat will consist of 1-3" washed rock, 6" thick, over a Mirafi HP 270 Geotextile or equivalent base. 7.1f there are floor drains, indicate how the fluids will be contained. Response: N/A; there will be no floor drains associated with this facility. 8. Indicate if there will be any air emissions (e.g., painting, oil storage, etc.). Response: N/A; There will be no air emissions associated with this facility. 9. Provide a design and operations plan if applicable (e.g., composting, landfills, etc.). Response: N/A; There will be no composting or landfills associated with this facility. 10.Provide a nuisance management plan if applicable (e.g., dairies, feedlots, etc.). Response: See submitted dust and weed mitigation plan, noise impact statement, and light impact statement. There will be no nuisances related to odor or lights during either construction or production of the SEF. All lighting will comply with Sec. 23-2-250.D of the Code. Regarding noise, construction of the SEF will only take place during normal daytime hours thereby not impacting nighttime hours. Once the SEF is constructed and in production, the SEF produces no noise pollution. 2 Regarding visual, the SEF will have an 8' tall game fence installed around the entire perimeter of the site, with a gate located at the access location. The fence and gate will be constructed of 4" X 4" welded rod material. Additionally, the storage mentioned above in question 3 will be positioned in the interior of the solar arrays. Regarding waste and debris, during the construction phase, waste and debris will be stored in refuge dumpsters, which will be emptied on a regular basis or as needed. This waste will be handled, stored, and disposed of in a manner that control blowing debris and other potential nuisance conditions. Once the facility is operational, there will be no waste or debris produced from the solar operation. Syrcuit will operate in accordance with Chapter 14, Article 1 of the Weld County Code. Regarding dust, construction of the SEF will only take place during normal daytime hours and may include trucks that cause dust. Syrcuit will employ practices for control of dust caused by operations as necessary. Such practices shall include, but not limited to, the use of speed restrictions, regular road maintenance, restriction of construction activity during high -wind days, and may use watering on roads (assuming approval from the County). Once the SEF is constructed and in production, the SEF will have regular vehicles on location and therefore the chance of dust impacts will be greatly reduced. 11.Additional information may be requested depending on the type of land use requested. Response: Understood. Water Supply Documentation: The facility will be unmanned and will not need water to be supplied. During construction all construction personnel will bring in potable water from offsite. Sewage Disposal Documentation: The facility will be unmanned and will not need sewage disposal systems onsite. A portable toilet(s) will be provided to construction personnel during construction activities. Syrcuit agrees to the following environmental related development standards: 1. During construction, all liquid and solid wastes (as defined in the Solid Wastes Disposal Sites and Facilities Act, 30-20-100.5, C.R.S.) shall be stored and removed for final disposal in a manner that protects against surface and groundwater contamination. 2. During construction, no permanent disposal of wastes shall be permitted at this site. This is not meant to include those wastes specifically excluded from the definition of a 3 solid waste in the Solid Wastes Disposal Sites and Facilities Act, 30-20-100.5, C.R.S. 3. During construction, waste materials shall be handled, stored, and disposed in a manner that controls fugitive dust, fugitive particulate emissions, blowing debris, and other potential nuisance conditions. The facility shall operate in accordance with Chapter 14, Article 1 of the Weld County Code. 4. Fugitive dust and fugitive particulate emissions shall be controlled throughout the duration of construction and operation of the facility. 5. During construction, adequate toilet facilities and handwashing units shall be provided. Portable toilets shall be serviced by a cleaner licensed in Weld County, contain hand sanitizers, be screened from public view, and removed when construction is completed. 6. The facility shall comply with the Air Pollution Emission Notice (A.P.E.N.) permit requirements as stipulated by the Air Pollution Control Division, Colorado Department of Public Health and Environment, as applicable. 7. The intent of this Decommissioning/Reclamation Plan is to provide a comprehensive plan for removal of the solar facility after its useful life and/or the termination of power generation operations; and to return the subject property to conditions that existed prior to the solar facility's construction. The solar power generation facility has an estimated useful life of 30 years or more, with an opportunity for a life of 50 years or more with equipment replacement and repowering. At the end of the useful life of the facility, Syrcuit will cease power generation, decommission the facility, and remove the components of the facility from the subject property. The site will be reclaimed and returned to the agricultural use that existed prior to the facility being constructed (or if the landowner requests to keep the land and access roads as is). This Decommissioning/Reclamation Plan is subject to refinement should future best practices or alternate methods be developed by the solar industry, during the life of this facility. Syrcuit will follow solar industry standards and best management practices (BMPs) that exist at the time of decommissioning and reclamation of the site. 1.1 Procedures for Decommissioning the Solar Facility After Useful Life & Termination of Power Generation The solar facility consists of numerous recyclable materials, including glass, semiconductor material, steel, aluminum, copper, and plastics. When the facility reaches the end of its operational life, the component parts can be dismantled, and for the most part, salvaged or recycled at properly licensed facilities. Some site features, such as internal roads, driveways, drainage features/improvements, and electrical interconnections may remain on the site, depending upon the anticipated future use of the property. All such improvements, that are scheduled to remain after the decommissioning of the site, will be approved by the Weld County Department of Planning Services. The following steps will be followed in the decommissioning of the solar facility: ■ Approximately one year prior to the planned decommissioning of the facility, Syrcuit will schedule apre-closure meeting with the Weld County Department of Planning Services to discuss the process for the site decommissioning and restoration. The final decommissioning details will be developed through consultation with the Weld County Department of Planning Services and other departments and agencies that have jurisdiction over activities in the decommissioning process. Any required permits will be obtained prior to implementation of the Decommissioning/Reclamation Plan. ■ Appropriate temporary (construction -related) erosion and sedimentation controlled BMPs will be applied during the decommissioning phase of the project. The BMPs will be inspected on a regular basis to ensure proper functionality. ■ Effectively, the decommissioning of the solar facility proceeds in reverse order of the installation: 1. A site -specific health and safety plan shall be developed, prior to beginning decommissioning activities, which incorporates the specific sequence and procedures to be followed. 2. Coordination with local departments and agencies to develop route plans and obtain necessary permits for the transportation of materials and equipment to and from the site. 3. The solar facility shall be disconnected from the utility grid. This process will be coordinated with Xcel Energy. 4. PV modules shall be disconnected, collected, and transported to a properly licensed recycling facility. S. Above ground and underground electrical interconnection and distribution cabling shall be removed and salvaged or recycled off -site at an approved recycling facility. 6. All non -utility owned equipment, conduits, structures, fencing, and foundations to a depth of at least three (3) feet below grade will be removed. 7. The aluminum racking that supports the PV modules shall be removed and salvaged or recycled off -site at an approved recycling facility. 8. PV module support steel and support posts shall be removed and salvaged or recycled off -site at an approved recycling facility. g. Electrical and electronic devices, including transformers, semiconductors materials, inverters, and batteries, shall be removed and salvaged or recycled off -site at an approved recycling facility. so. Concrete foundations shall be removed and will be recycled off -site at an approved concrete recycling facility. 11. Fencing shall be removed and will be recycled off -site at an approved recycling facility. 12. The site will be restored to its original condition (or if the landowner requests to keep the land and access roads as is), including any necessary sculpting of soils to match existing natural contours and the re -seeding of native grasses. Any soil that had been re -located for construction purposes will be redistributed on the site or used for landscaping purposes. Soils will be compacted for those areas where foundations or piers have been removed. 1.2 Equipment to be Used for the Decommissioning of the Solar Facility The decommissioning of the solar facility will be undertaken using traditional heavy construction equipment, including front-end loaders, bull dozers, cranes, excavators (track - mounted and rubber -tired), water tankers, trucks, and pick-ups. Semi -trucks will be used to transport materials to off -site salvage or recycle centers. 1.3 Dust Mitigation During the Decommissioning Phase Water tankers will be used to help control dust while the decommissioning activities are occurring on the site. During the decommissioning of the facility, Syrcuit will exercise BMPs to limit fugitive dust from being airborne and traveling beyond the property lines. Dust control efforts will be monitored by the site foreman on a regular basis to ensure fugitive dust is adequately controlled. Water spray will be applied, as needed, to unpaved areas during periods of dry weather. Care will be taken not to over -apply water and create mud. Vehicle tracking devices will be installed at truck exit drives, per the requirements of Weld County. Import or export of soils. 1.5 Financial Assurance to Cover the Decommissioning of the Solar Facility Unless restoration obligations or bonding provisions have been established by the State, municipality, or other governmental entity, upon the fifth (5t") anniversary of the Operations Date, Lessee will establish security payable to Owner to cover the Restoration Obligation under this Section (the "Restoration Security") by delivering to Owner a bond from an investment grade company or equivalent security. The amount of the Restoration Security will be equal to the Net Removal Cost (as defined below), which will be determined by the Parties in good faith; provided, however, if the Parties cannot agree upon the Net Removal Cost within sixty (60) days, then the Net Removal Cost will be determined by an independent engineer mutually selected by the Parties. Net Removal Cost shall be redetermined every five (5) years following the establishment of the Restoration Security. The terms of the bond will expressly provide that Owner will be entitled to use amounts received from the Restoration Security to remedy any damage to the Owner's Property if Lessee fails to comply with its obligations pursuant to this Section after notice and opportunity to cure as provided herein. Interest earnings, if any, on any escrow fund will be the property of Lessee, and any amounts remaining in any escrow fund after Lessee has complied with its obligations pursuant to this Agreement will belong to Lessee. As used herein, the "Net Removal Cost" means One Hundred Five Percent (105%) of the cost of performing Operator's obligations under this Section 10 less the salvage value of those Energy Facilities and other Lessee equipment and property located on the Property at the time such calculation is made. Prepared by: Melissa Truitt Director of Land T ENERGY SOLUTIONS Use by Special Review - Harper Kona Solar Energy Facility Development Standards Statement PID 080121000006 Overview Syrcuit Energy Solutions (Syrcuit), a Colorado limited liability company, is pleased to present our application for a Use by Special Review for a Solar Energy Facility (SEF) on property owned by Noble Energy Inc. The proposed SEF is located on Parcel ID No. 080121000006 which is in part of Section 21, Township 6 North, Range 64 West of the 6th P.M. in Weld County, CO. Syrcuit is proposing an SEF that will have a capacity of roughly 4.3 megawatts and will cover approximately 20.7 acres of the parcel to the west of existing oil and gas locations. The current zoning on the parcel is Agricultural (A), however the parcel currently sits as vacant rangeland ground. There will be monocrystalline modules, inverters, and rows of single -axis trackers. The system consists of string level DC to AC conversion inverters, main equipment pads with AC Recombiners, switchgear and MV step up transformers that connect to Xcers grid. There will be no structures associated with the proposed solar facility other than the solar array itself, which will be used for energy generation. There will be no outdoor storage associated with the proposed solar facility other than the location will have work trailers or either a 20 -foot or 40 -foot Conex box to store spare parts and equipment. The project site has no areas of extreme sloping and will not require any grading work. The SEFs will abide by all dust mitigation standards laid out by the County, as described in our Dust and Weed Mitigation Plan. The soil of the projects area is classified as Type A and minimal disturbance and grading. The projects are not located within any FEMA designated Special Flood Hazard Areas. The Stormwater Management shall be addressed via the attached Surface Drainage Analysis. 1 The operational life of an SEF is generally between 20-40 years. The SEF will have an initial 20 -year contract with Public Service Company of Colorado (Xcel) to sell power into the Xcel Electric grid, and the major equipment components have warranty options for up to 30 years, with a useful life of 35-40 years. Upon decommissioning, Syrcuit will entirely remove all SEF components (fencing, steel racking, cabling, solar panels, and associated interconnection equipment) and undertake measures to restore the land to its original state, as addressed in the attached Decommissioning Plan. Syrcuit will obtain all required permits and approvals, including utility interconnection agreements, prior to commencing construction. The project engineers and general contractor will be made up of local experienced individuals licensed in Colorado, who will ensure that all required codes and standards are followed throughout the design and construction. The projects will comply with all applicable provisions in the Weld County Code. Syrcuit looks forward to working with Weld County to successfully complete this proposed development and bring the benefits of community solar energy to the County. Height Limitation The appearance of the solar arrays is uniform and symmetrical. Solar panels will not exceed ten (10) feet in height above the grade, at maximum tilt. The facility will be constructed in accordance with IBC 2021 and NEC 2020. Glare Concentrated solar glare from solar collectors will not be directed towards or onto nearby properties or roadways at any time of the day. Setbacks The SEF is being designed with three residences within 500 feet. Syrcuit has reached out to all three of these owners to discuss the project and received waivers from X of these residences. Srycuit has developed a fencing and screening plan submitted with this USR. Dust Mitigation Syrcuit submitted a detailed dust and weed mitigation plan with this USR. Syrcuit is committed to employ the practices for control of fugitive dust detailed in our plan. Underground Cables All electrical cables within the SEF shall be buried, except for direct current string wires that 2 connect between solar connectors, direct current collection circuits between rows of solar arrays that are no more than four (4) feet above grade crossings, substations, switchyards, and circuit voltages greater than 34.5 kilovolts (where necessary). Fencing To comply with the National Electric Code, there will be a 6' tall security fence with a 1' barbed wire arm installed around the entire perimeter of the site, with a gate located at the access location. The fence and gate will be constructed of 4" X 4" welded rod material. The gate will remain closed and locked at all times except during construction and quarterly maintenance periods. The fencing and screening plan submitted with this USR has more details. Stormwater Management A preliminary drainage report has been submitted with this USR. Access Permit Syrcuit will access the SEF off of Weld County Road 53 through an existing access permit AP16-00527. Syrcuit intends to use this access permit and road to access this SEF with no needed changes and Syrcuit will work with Noble Energy to ensure 100% compliance with all requirements from the approved access permit. Existing Irrigation Systems The SEF will not interfere with any irrigation systems on the parcel. 3 Development Standards Syrcuit agrees to the following development standards: 1. During construction, all liquid and solid wastes (as defined in the Solid Wastes Disposal Sites and Facilities Act, 30-20-100.5, C.R.S.) shall be stored and removed for final disposal in a manner that protects against surface and groundwater contamination. 2. During construction, no permanent disposal of wastes shall be permitted at this site. This is not meant to include those wastes specifically excluded from the definition of a solid waste in the Solid Wastes Disposal Sites and Facilities Act, 30-20-100.5, C.R.S. 3. During construction, waste materials shall be handled, stored, and disposed in a manner that controls fugitive dust, fugitive particulate emissions, blowing debris, and other potential nuisance conditions. The facility shall operate in accordance with Chapter 14, Article 1 of the Weld County Code. 4. Fugitive dust and fugitive particulate emissions shall be controlled throughout the duration of construction and operation of the facility. 5. During construction, adequate toilet facilities and handwashing units shall be provided. Portable toilets shall be serviced by a cleaner licensed in Weld County, contain hand sanitizers, be screened from public view, and removed when construction is completed. 6. The facility shall comply with the Air Pollution Emission Notice (A.P.E.N.) permit requirements as stipulated by the Air Pollution Control Division, Colorado Department of Public Health and Environment, as applicable. 7. The operation shall comply with all applicable rules and regulations of State and Federal agencies and the Weld County Code. 8. The property owner or operator shall be responsible for controlling noxious weeds on the site, pursuant to Chapter 15, Article I and II, of the Weld County Code. 9. Per section 23-4-1030.B.1, ground -mounted solar collection systems are exempt from impervious surface calculations with soils under the collection system comprising of either NRCS Hydrologic Soil Group A or B. The southern part of the array has group A soils with the exception of a small area with no proposed construction and meets the county exception for storm water detention. The northern portion of the array has approximately 67% group A and 33% Group C soils. INTRODUCTION AND PURPOSE Syrcuit Energy Solutions (SYRC) is constructing a new solar site in Weld County, Colorado. The project is referred to as the Harper/Kona PV Solar Energy Facility. As part of the project, a solar array, access road and laydown area will be constructed. Once the solar array is constructed, the solar array and access road will remain and serve the site. Ascent Geomatic Solutions (Ascent) has been contracted to perform the grading, drainage analysis and drainage report for the Harper/Kona PV Solar Energy Facility. This report presents the findings and recommendations for the grading and stormwater management for the project. 2. PROJECT DESCRIPTION AND BACKGROUND The Harper/Kona PV Solar Energy Facility is located in the West half of the Southwest quarter of Section 21, Township 6 North, Range 64 West of the 6th Principal Meridian in Weld County, Colorado'. Figure 1 shows an aerial photo of the project site location. A vicinity map showing the project location relative to the surrounding area can be found in Appendix D. ASCENT Harper/Kona PV Solar Energy Facility: Preliminary Drainage Report Document: PDR 01 Rev A Page 4 July 2024 The proposed SEF is located on a 50.0 -acre site' which is a portion of a 94.0 -acre parcel owned by Noble Energy, Inc. and at a mean elevation 4,732 ft. amsl. The site is in a non -urbanized area and bounded by County Road 53 to the West, County Road 66 to the South, County Road 55 to the East and Highway 392 to the North. Currently all of the stormwater runoff from the site flows south and eventually to the Greeley No. 2 Canal to the South of the site. 3. DESIGN CRITERIA The proposed drainage plan follows Weld County Code requirements' and Weld County Engineering and Construction Criteria (WC-ECC)``. Weld County Charter and County Code (WC- CCC)4 incorporates many of the requirements from Mile High Flood District (MHFD) by reference into its code and as such MHFD requirements have been included in the design and analysis for the Harper/Kona PV Solar Energy Facility project. Hydraflow Express Extension for Autodesk AutoCAD Civil 3D (Hydraflow)6 software was used to perform many of the hydraulic calculations for this project. The Rational Method was used for the hydrologic calculations. The Modified -FAA Method was used for Water Quality Capture Volumes. The runoff coefficients used in the Rational calculations are taken from USDCM-1-2008` in accordance with WC-PW requirements. All stonnwater runoff from the project area will be directed to water quality bmp's for sedimentation. An exemption for a detention pond is requested for consideration per Weld County code section 23-4-1030.B.1. The overall design directives include mitigation of stormwater so as not to negatively impact adjacent properties. 4. DESIGN CONDITIONS The existing conditions ground cover of the project site and the ground cover of the rangeland adjacent to the pad can be described as short pastures and lawns'. Figure 2 provides a photograph of the existing surface conditions and the basin delineation map is presented in Appendix K. Acreage per Basin Surface Use Agreement (SUA). A small portion of offsite runoff is routed through the sediment basin resulting in the 50.0 -acre area used for hydrologic calculations. 3 Particular attention to Weld County Code Chapter 8 (Public Works), Article XI (Storm Drainage Criteria), and Weld County code Section 23-4-1030.B.1 has been given for this project designs. 4 Reference Appendix A, Table 2: Reference Documents for more information. 5 The "short pastures and lawns" condition has a corresponding Conveyance Factor (K) of 7 within the Rational Method. Appendix G presents the NRCS soils map used to perform the analysis. The hydrologic soil group is assumed to be 67% Type A soil, 33% Type C soils for Basin 1 and 98% Type A soil, 2% Type D soils for Basin 2. No construction is proposed in the area with Type D soils. The selection of imperviousness values for the project site are based on whether the conditions are existing or proposed; the specific imperviousness values selected for the hydrologic analysis are discussed in Sections 4.1 and 4.2. The design storm data used to analyze both existing and proposed conditions were taken from NOAA Atlas 14 (NOAA-14)7. The NOAA-14 precipitation frequency data used for the hydrologic analysis is provided in Appendix F. The proposed site is located outside the FEMA 100-yr floodplain8. The mean groundwater depth at this location is > 6.56 ft (200 cm) below grade. Groundwater depth was obtained from the NRCS Web Soil Survey. 4.1 Existing Conditions The existing conditions design values are provided in Table 1. 6" to 12" grasses with sporadic low- lying weeds cover the project area (reference Figure 2). Stormwater from the project site travels down gradient towards the south where it reports to Greeley No. 2 Canal. The stormwater management systems (i.e. sediment basins) for the site were designed based on the site conditions with solar equipment and the laydown area, which provides a hydrologic "worst case" design. The laydown area will be capped with 4" of CDOT class 5 of aggregate base course (ABC) compacted to 95% standard proctor. For water quality calculations the laydown area and access roads were assigned an assumed imperviousness of 40%. The sediment basin was assigned an assumed imperviousness of 2%. An exemption from impervious calculations is being requested for the remaining areas. Reference Appendix H for composite value for total imperviousness calculations'. The onsite drainage basins (Basin 1 and 2) vary from the existing conditions. The offsite basins effectively did not change. See Drainage Drawings in Appendix K for basin delineations. 4.2.1 Stormwater System Design The stormwater system for the Harper/Kona PV Solar Energy Facility is designed to provide water quality throughout the life of the site. The developed conditions includes one sediment basin on the southeast corner of Basin 1. The remaining area will remain relatively similar to existing conditions. 9 Imperviousness calculations were performed by referencing USDCM-1 Table 6-3 "Recommended Percentage Imperviousness Values" (see Appendix A for more information on USDCM-1) ASCENT E 1 I ii Harper/Kona PV Solar Energy Facility: Preliminary Drainage Report Document: PDR 01 Rev A Page 7 July 2024 4.2.1.1 Sediment Basin Stormwater for Basin 1 will flow southeast across the site and report to the sediment basin on the southwest corner of Basin 1. The modified -FAA method was used to size the Sediment Pond based on the water quality capture volume (WQCV) design storage volume (Design Point 1). The required sediment basin volume is 0.12 ac -ft (5,314 cu -ft). The depth of the proposed sediment basin is 3 feet deep plus a 1.0 ft (minimum) of freeboard above the required storage volume elevation. The sediment basin is graded at 4:1 interior side slopes. The sediment basin design also includes a 15' wide spillway which will also act as a level spreader. 4.2.1.2Best Management Practices The site will not be serviced by a stormwater pond in accordance with Weld County criteria. Stormwater runoff will be treated through Best Management Practices (BMP) to reduce sediment transport from the site. The following BMPs are intended for the site: • Fiber roll, wattles • Revegetation/Mulching o Once construction of the array is complete, existing vegetation or similar short grasses will be reestablished in all disturbed areas where practical. 5. MAINTENANCE PLAN Drainage Basin Inspection of the surface system will include functional and aesthetic needs. Functional maintenance is important for performance and safety reasons and aesthetic is important primarily for public acceptance of stormwater facilities. The removal of debris, sediment, overgrown or weedy vegetation will be prioritized based upon the inspection results. Inspection Inspect BMP's each workday and maintain them in effective operating condition. Maintenance of BMP's should be proactive, not reactive. Inspect BMP's as soon as possible (and always within 24 hours) following a storm that causes surface erosion and perform necessary maintenance. Sediment Basin Sediment basins are a temporary pond and will require only minimal maintenance that may include sediment removal, typically when sediment depth reaches one foot or one-third filled with sediment. ASCENT Harper/Kona PV Solar Energy Facility: Preliminary Drainage Report Document: PDR 01 Rev A Page 8 July 2024 Maintenance frequency depends on the amount of construction activity within the tributary watershed, the erosion control measures implemented, the size of the watershed, and the design of the facility. Maintenance Maintenance activities for sediment basins include the following: • Dredge sediment from the basin, as needed to maintain BMP effectiveness, typically when the design storage volume is no more than one-third filled with sediment. • Inspect the sediment basin embankments for stability and seepage. • Inspect the inlet and spillway of the basin, repair damage, and remove debris. • Be aware that removal of a sediment basin may require dewatering and associated permit requirements. • Do not remove a sediment basin until the upstream area has been stabilized with vegetation. • Sediment basins are to remain in place until the upstream disturbed area is stabilized and grass cover, or other restoration is accepted by the local jurisdiction. • Final disposition of the sediment basin depends on whether the basin will be converted to a permanent post -construction stormwater basin or whether the basin area will be returned to grade. For basins being converted to permanent detention basins, remove accumulated sediment and reconfigure the basin and outlet to meet the requirements of the final design for the facility. If the sediment basin is not to be used as a permanent water quality feature, fill the excavated area with soil and stabilize with vegetation or otherwise stabilized as approved by the local jurisdiction. Mowing and Plant Care When starting from seed, mow native/drought tolerant grasses only when required to deter weeds during the first three years. Following this period, mowing of native/drought tolerant grass may stop or be reduced to maintain a height of no less than 6 inches (higher mowing heights are associated with deeper roots and greater drought tolerance). In general, mowing should be done as needed to maintain appropriate height and control weeds. Mowing of manicured grasses may vary from as frequently as weekly during the summer, to no mowing during the winter. SUMMARY AND CONCLUSIONS The proposed drainage plan follows Weld County's Charter and County Code (WC-CCC) and the Weld County Engineering and Construction Criteria (WC-ECC). The rational and modified -FAA method were used to perform many of the calculations for drainage analysis. The design implements a sediment basin during the construction phase which will remain to service the site throughout its life. This report and the calculations have been produced after proper due diligence for the site and surrounding adjacent offsite areas. The drainage design is adequate to protect public health, safety, and general welfare and has no adverse impacts on public rights -of -way or offsite properties. The intent of this Dust and Weed Mitigation Plan is to provide a comprehensive plan for control of dust, noxious weeds, and any drainage issues that could cause erosion from the solar facility. 1.1 Dust Mitigation During the Construction Phase Water tankers will be used to help control dust while the construction activities are occurring on the site. During the construction of the facility, Syrcuit will exercise Best Management Practices (BMPs) to limit fugitive dust from being airborne and traveling beyond the property lines. Dust control efforts will be monitored by the site foreman on a regular basis to ensure fugitive dust is adequately controlled. Water spray will be applied, as needed, to unpaved areas during periods of dry weather. Care will be taken not to over -apply water and create mud. Vehicle tracking devices will be installed at truck exit drives, per the requirements of Weld County. Vehicles operating on the site during the construction phase will limit their speed to 15 mph or less, to minimize dust emissions. 1.2 Noxious Weed Management The Colorado Department of Agriculture (CDA) and Weld County both require landowners to prevent the spread of State Listed Noxious Weeds. Construction activities on the site have the potential to introduce new noxious weed species to the site or spread existing species on to or off the site. This noxious weed management program was developed to prevent further spread of noxious weeds. Syrcuit will comply with CDA and Weld County regulations through implementation of this plan. Periodic reviews and updates to this plan will be completed as necessary to keep it current with noxious weed control issues. This plan will be implemented throughout the life of the solar facility. Appropriate management actions will be implemented whenever noxious weed species are observed growing within the project area. The goals of weed management are to: 1. Identify and manage noxious weeds within and immediately adjacent to the project areas to be disturbed and after the area has been reclaimed. 2. Conduct pre-treatment and post -treatment evaluations and continue or modify treatment measures as necessary. 3. Minimize the potential for transportation and importation of noxious weed species. 4. Educate field personnel in order to encourage compliance with weed 2 management program goals and assist with identification and control efforts. To prevent or minimize the infestation and spread periodic inspections of the project area during the beginning, middle, and end of the growing season will evaluate presence or absence, degree of invasion, and the response of previous treatments. Syrcuit's operational staff will conduct regular site inspections and ensure implementation of this plan. Specific treatment methodologies and timetables will be developed based on species of concern, location and extent of the infestations), and other pertinent factors. 1.2 (a) Noxious Weed Prevention Noxious weeds are spread through dispersal of seed and/or transport of plant propagules (i.e., spores, seeds, roots, etc.). The most effective way to control noxious weeds is to prevent their introduction into the site in the first place. A combination of methods and practices will be employed to prevent the introduction of weed species and their regeneration within the project area. The following methods and practices may be employed, either singly or in combination, to prevent the introduction of weeds into the solar site: LA thorough cleaning of equipment will be conducted before entering the project area to prevent the introduction of seed and plant propagules from other sites. 2. Seed mixtures used for revegetation or temporary site stabilization will be free of noxious weeds. 3. Hay, straw, and/or other materials used for mulch or other purposes will be certified weed free. 4.A periodic inspection will be conducted to identify any new weed infestations that may have occurred. Any new infestations will be scheduled for management before they become well established and/or spread. S. Communication and coordination with adjacent landowners whose property is infested with noxious weeds that may threaten the site should occur. Establishing partnerships for weed management within the local area is essential for successful long-term weed management. 6. Noxious and pest weed infestations that threaten natural and reclaimed areas will be treated with accepted Integrated Weed Management (11NM) methods. These methods are further discussed below. 1.2(b) Integrated Weed Management OWM) An Integrated Weed Management approach will be implemented for the treatment of noxious weeds within the project area. An IWM approach enables selection of one or more 3 weed management methods based on site specific environmental conditions and control needs. The following weed management methods will be considered for the project area: 1. Cu ltu ra I — Planting native or desirable plant species for site colonization and promoting healthy vegetation communities in reclaimed areas. Prevent unnecessary disturbance through precise planning of construction projects and other activities. Prompt revegetation of disturbed areas. 2. Mechanical — Mowing, pulling, disking, and plowing may be used on weedy species for which these treatments are effective. 3. Biological — Introduction of insects or other biologic agents which are known to inhibit or prevent reproduction of noxious weed species. If biological agents are employed, control methods will be coordinated with the Colorado Department of Agricultural Insectary in Palisade, Colorado. 4. Chemical —Application of appropriate herbicides by a licensed applicator. All herbicides will be applied in accordance with the manufacturer's label and in accordance with Colorado laws. In some cases, only one control method may be warranted, while in other cases a combination of control methods may be appropriate. Control methods selected will be dependent upon species of concern, and the location and extent of the infestation. The use of IWM methods will protect pollinators, reduce hazards to wildlife, reduce the possibility of herbicide resistance, and minimize persistence and mobility of herbicides in the soil. Weed control methods and practices will be applied in a manner that conforms to applicable federal, state, and local laws. 1.2(b)1 —Cultural Control Germination and establishment of noxious weeds can be reduced by following accepted revegetation and vegetation management techniques that favor the growth of desirable plants. These include prompt seeding and revegetation of disturbed areas with appropriate seed mixes, maintaining optimum fertility and moisture levels, planting at optimum density of pure live seed, minimizing use of fertilizers, and selecting suitable species for revegetation. Minimizing areas of disturbance and exposed soil prevents opportunities for aggressive species to establish. A revegetation plan has been developed for the site that utilizes native species that are well- adapted to the site. Seeding native species in conjunction with other management practices will provide some level of competition with noxious weeds and minimize the opportunity for new infestations to become established. 1.2 (b) 2 — Mechanical Control Mechanical Control of noxious weeds can bean effective tool to physically disrupt noxious 4 weed growth and seed development. A combination of mechanical methods may be used including tilling or disking, mowing, hand-held weed trimmers, mulching, hand -pulling, hoeing, or livestock grazing. Mechanical weed control practices must be applied with correct timing to maximize their effectiveness in preventing vegetation development or seed production. Annual weedy species may be readily controlled with mowing or physical removal. Perennial species such as Dalmatian toadflax have extensive root systems. For such weed species, mowing may only control seed production without seriously affecting the plant's survival. Mowing after seed production has occurred may spread the plants. Disking or tilling areas containing perennial noxious species may increase the area of infestation due to root sprouting. In most cases, mechanical control methods used alone are not effective against noxious weed species. 1.2 (b) 3 — Biological Control Biological control of noxious weeds can be an effective tool to physically disrupt plant growth and seed development. A combination of biological methods may be used including introduction of insect weed predators and species -specific plant diseases. Biological weed control methods and practices will be applied with appropriate timing to maximize their effectiveness in preventing seed production. It must be noted that the use of biological controls normally does not eradicate an infestation of weeds; rather they are capable of reducing weed species vigor and reproduction. The Colorado Department of Agriculture's Biological Pest Control Program has on -going biological control programs for several noxious weed species. Note, the use of insect bio-controls typically require large populations of the target weed to sustain the population of bio-control agents. Biological controls should not be expected to eliminate the entire infestation of a noxious weed, but instead to bring the infestation down to a more manageable level. 1.2 (b) 4 — Chemical Control Chemical control of noxious and pest weeds can be an effective tool to disrupt plant growth and seed development. Herbicides can kill targeted species, prevent development and/or germination of noxious weed seed, can be used with minimal disturbance to soils, and in some cases, can be selective to specific species or groups of plants. Herbicides must be applied at the appropriate time to maximize their effectiveness in preventing seed production, for disrupting plant establishment and growth, or achieving kill of noxious species. To avoid development of resistance to a particular herbicide through repeated use over prolonged periods of time, herbicides with varying modes of action to be used. Also, herbicides will be applied according to manufacturer's label recommendations (i.e., application rate, method, and timing) to prevent development of plant resistance. Herbicide selection will be based on weed emergence, timing of application, past applications, and ground and weather conditions during the applications. 5 Successful IWM begins with an understanding of the target plant species and the environment within which it grows. Next, the physiologic effects of an herbicide on plant growth and development must be understood. Understanding a pesticide's chemical nature is also important in minimizing impacts to non -target species, the applicator, endangered species, and pollinators, as well as surface water runoff hazards and leaching into groundwater. Every herbicide label contains information regarding environmental hazards. This information will be evaluated for each herbicide considered for use at the site and herbicides will be selected which pose minimal to no environmental hazards. All pesticides will be handled with care and applied by qualified personnel. Properly identifying the weed problem and the most effective chemical control method for use during the plant growth cycle is critical to effective weed control. Equipment will be properly calibrated before herbicides are applied and appropriate Personal Protective Equipment (PPE) will be used. Empty containers will be disposed of promptly, safely and in accordance with product labeling. Herbicides vary in the amount of time after an application before it is safe to re-enter the treated area without protective clothing and equipment. The site re-entry time is affected by the rate of application, size of the area treated and the amount of time to be spent in the field. For the safety of employees and contractors, the Restricted Entry Interval (REI) listed on the herbicide's label will be followed. Appropriate herbicide application records will be maintained as specified by the CDA. 1.2 (c) — Monitoring and Follow -Up Even with effective weed management strategies, it often takes several seasons to eradicate or bring weed populations to an acceptable level. With well -established infestations, it is likely that a seed bank has developed in the soil capable of producing new plants for many years. An infestation of weeds can easily re -invade treated areas in one growing season if control and treatment activities are prematurely curtailed. Weed management efforts should be carried out over an adequate number of growing seasons to realize effective weed management within the target area. As with all weed management, this multi -season effort is best served by effective documentation of control efforts and continued vigilance in successive seasons of management. Information can be used to modify treatment priorities and weed management strategies over time. Vigilance is required against new infestations that may be moving into the site. These new sources of infestation may be worked into prevention and management plans as necessary. This weed management plan will be modified over time as site conditions change. Weed management strategies and priorities can be modified as weed infestations change in response to continued control efforts. 6 1.3 — Drainage and Erosion Control Installation of the solar facility will not alter existing drainage patterns or flow rates on the site and runoff water quality will not be impacted by the solar facility components. Installation of water quality or detention facilities would require clearing, grubbing, grading, and reseeding of a portion of the site and would likely increase the potential for erosion, sediment transport and concentrated flow. Accordingly, water quality and detention are not recommended for this project. Appropriate temporary (construction -related) erosion and sedimentation control Best Management Practices (BMPs) will be applied during the construction phase of the project. The BMPs will be inspected on a regular basis to ensure proper functionality. Y 267 taw 1 Syrcuit is proposing a 8' tall security fence with a 1' barbed wire arm installed around the entire perimeter of the site. The fence will be screened on the north, south, and west sides of the SEF as those are where the residences within 500 feet are located. The fence along the west side of the SEF will be 8' and have tan screening, based on a discussion with a landowner within 500' of the SEF. Appropriate signage will be placed upon the fencing that warns the public of high voltage within the fence. The "Fence Plan" layout clearly shows the fence location around the SEF and shows that the north, south, and west sides will be screened. The two "Civil Site Plan" drawings show details of both the fencing and the screening around the SEF. Syrcuit is committed to working with these nearby residences throughout the construction and production phases of the SEF. Seeding After construction of the Solar Energy Facility (SEF), Syrcuit will perform required interim reclamation on all areas not required for the production phase of operations. All land will be seeded according to landowner desires and adjacent natural mixes using the below as guidance. 2 SVIRCLI T ENERGY SOLUTIONS Use by Special Review - Harper Kona Solar Energy Facility Light Impact Statement PID 080121000006 Syrcuit Energy Solutions (Syrcuit) will construct the Solar Energy Facility (SEF) during normal daytime hours and therefore no lights will be required on the location during construction or production. However, if for some reason temporary lighting is required during construction operations, all temporary lighting will be downcast and shielded and comply with Section 23-2-250.D of the Code. 1 T ENERGY SOLUTIONS Use by Special Review - Harper Kona Solar Energy Facility Noise Impact Statement PID 080121000006 Syrcuit Energy Solutions (Syrcuit) will comply with Section 14-9-40 of the Weld County Code (Code) related to maximum permissible noise levels for the construction and operation of this proposed Solar Energy Facility (SEF). Construction of the SEF will only take place during normal daytime hours thereby not impacting nighttime hours. Syrcuit will ensure compliance to the 80 dB(A) limit in the Code for "Industrial Area or Construction Activities" for daytime construction activities. Once the SEF is constructed and producing energy, the SEF will comply with the "Nonspecified Areas" limits in the Code. These limits are 55 dB(A) from 7:00am to 9:OOpm and 50 dB(A) from 9:OOpm to 7:OOam. Once producing, the facility will contain monocrystalline modules, inverters, and rows of single -axis trackers. The system consists of string level DC to AC conversion inverters, main e quipment pads with AC Recombiners, switchgear and MV step up transformers that connect to Xcel's grid. The SEF will continuously operate 24/7, but only producing power during daylight hours. The proposed SEF will use single -axis trackers, which will angle the solar modules accordingly as the sun shifts in the sky. These trackers allow for maximized e nergy production. While the array will be running all day, the solar arrays are nearly silent and will not have any noise pollution nor will not have any noise related impacts to the n earby residents. With the above said, Syrcuit will provide 24 -hour, 7 days a week contact information directly to all nearby residents and will post this contact information on the SEF to contact if noise issues arise. If a noise complaint is made to either Syrcuit or to Weld County, noise levels will be measured within 48 hours and Syrcuit will meet with the concerned party to 1 discuss the issue and the noise readings. Syrcuit will take actions to address any noise issues that arise. T ENERGY SOLUTIONS Use by Special Review - Harper Kona Solar Energy Facility Alternatives Statement PID 080121000006 Syrcuit Energy Solutions (Syrcuit) selected this site after thoughtful consideration of the Weld County development standards and Xcel Solar Rewards Community Program requirements. Syrcuit is leasing the lands from Noble Energy Inc. (Noble) to co -exist the Solar Energy Facility (SEF) with existing oil and gas development. The project is in the landowner's best interest, as noted in the executed lease with Noble Energy. Noble currently has three existing oil and gas locations on this parcel with vacant rangeland ground to the west of these locations. Noble does not own any water rights. Adding an SEF right next to oil and gas development is a great use of this current vacant land and proves that different energy projects can co -exist. The payments generated from the leases will provide Noble with diversified sources of income. In contrast to agricultural/ranching earnings, the payments generated by the solar leases will be regular, fixed payments, and will increase annually without fail. The selected parcel does not have agricultural operations and as mentioned above the owner does not have water rights. The surrounding parcels are used for agricultural and farming operations. Placement of this SEF on those parcels would potentially impact those operations. Agricultural operations and energy development in Weld County have a long history of being compatible with each other and this proposed SEF is no exception. The SEF is being proposed to co -exist on a parcel with existing oil and gas development to avoid any impact to any nearby agricultural lands. Syrcuit secured an agreement and a lease for this SEF from the oil and gas company that both owns the land and operates the three oil and gas locations on the parcel. Solar is ultimately one of the best uses that the landowner could pursue in this area. Solar 1 produces no pollutants or contaminants, making it safe for the surrounding mixed uses. Additionally, solar produces no noise pollution, no heavy traffic, and therefore this use will not cause any nuisances. The project is not located within a residential neighborhood and the land will be returned to its current state after the system is retired, as solar is not a permanent use. Syrcuit is solely responsible for the management of all vegetation within the permitted area. This use doesn't conflict with the existing land use and is done with an eye toward improving future land use. Syrcuit will develop solar facilities on lands that produce the highest and best use and intends to leave the land in a better state than when the project began. 2 T ENERGY SOLUTIONS Use by Special Review - Harper Kona Solar Energy Facility Statement of Transportation Construction Impacts PID 080121000006 This Traffic Narrative has been prepared for the proposed Solar Energy Facility (SEF) located along Weld County Road (WCR) 53 north of WCR 66. This narrative is intended to provide traffic -related information and identify potential project impacts to affected roadways within Weld County. The following information is included in this narrative: • Project location, components, and construction schedule. • Designed travel route • Daily vehicle trip generation • Conclusions Project Location, Components, and Construction Schedule Syrcuit Energy Solutions (Syrcuit) proposes the Harper Kona SEF to be placed entirely on Weld County parcel number 080121000006, which is located in the southwest quarter of section 21 Township 6 North Range 64 West. The SEF will have a capacity of roughly 4.3 megawatts and will cover approximately 20.7 acres of the parcel to the west of existing oil and gas locations. The SEF will be designed to ensure appropriate setbacks from the existing wells, equipment, and flowlines on the property. The SEF will use an existing access permit into the SEF from WCR 53. The SEF is located 1,410 feet north from the intersection of WCR 53 and WCR 66. There will be monocrystalline modules, inverters, and rows of single -axis trackers. The system consists of string level DC to AC conversion inverters, main equipment pads with AC Recombiners, switchgear and MV step up transformers that connect to Xcel's grid. To comply with the National Electric Code, there will be a 6' tall security fence with a 1' barbed wire arm installed around the entire perimeter of the site, with a gate located at the 1 access location. The fence and gate will be constructed of 4" X 4" welded rod material. The gate will remain closed and locked at all times except during construction and quarterly maintenance periods. Construction of the SEF will only be conducted during daylight hours. The following is a high- level timetable: • General construction including installation of the fence and tracking systems —10 days. • Installation of the solar panel modules — 45 to 60 days. • Installation of the transformers and switch gears and meters — 90 to 100 days. Designated Travel Route The designated travel route includes state highway 392 to WCR 53 and heading south on WCR 53, then east into the SEF from the access point. Highway 392 is a paved two-lane highway with a posted speed limit of 65 mph. Syrcuit intends to use existing access permit AP16-00527 to access the SEF from WCR 53 and Syrcuit will work with Noble Energy, the owner of the access permit, to ensure 100% compliance with all requirements from the approved access permit. Daily Vehicle Trip Generation During construction: Semi trucks will access the location to transport needed material and equipment based on the below estimates: • Up to 10 semi -trucks to deliver the tracking systems (2,000 to 10,000 estimated gross vehicle weight). • Up to 25 semi -trucks to deliver the solar modules, which typically occurs 45 to 60 days after delivery of the tracking systems (20,000 to 50,000 estimated gross vehicle weight • Up to five semi -trucks to deliver the two transformers and two switch gears, which typically occurs 90 to 120 days after delivery of the solar modules (20,000 to 30,000 estimated gross vehicle weight). Once operational: The SEF will not have any vehicle over a one -ton pickup unless significant equipment replacement must occur. Project -related traffic during all phases will not be significant during AM or PM peak periods. 2 Conclusions 1. Daily project related truck traffic is not expected to impact peak traffic periods. The construction of the SEF should not negatively impact the transportation pattern in the area. 2. As proposed, the SEF is not anticipated to create adverse traffic -related impacts in the area or on Weld County roads. Based on anticipated vehicle type and weight, the SEF is not anticipated to degrade or damage Weld County roads. 3. There are no anticipated improvements required to any Weld County or state highway roads to serve the SEF, since after construction, the SEF is unmanned. Syrcuit agrees to mitigate construction traffic impacts to the areas surrounding the proposed SEF. 3 T ENERGY SOLUTIONS Use by Special Review - Harper Kona Solar Energy Facility Waste Handling Plan PID 080121000006 During the construction phase, waste and debris will be stored in refuge dumpsters, which will be emptied on a regular basis or as needed. All waste will then be disposed of in licensed disposal facilities. Once the facility is operational, there will be no waste or debris produced from the solar operation. Syrcuit Energy Solutions (Syrcuit) will handle, store, and dispose of waste in a manner that controls blowing debris, and other potential nuisance conditions. (B) Exhibit B - A depiction of the Facility Site which Lessee intends to maintain for development of the energy Facilities under this Lease (the "Facility Site") is an integral part of this Lease and is incorporated by reference into this Lease. Any updates to Exhibit B that change to the Facility Site shall be approved by Lessor in writing, such approval shall not be unreasonably withheld. (C) If a conflict exists between the body of this Lease and the Exhibits, the body prevails to the extent of the conflict. 2. GRANT 2.1 Lessor leases to Lessee, for the benefit of Lessee and its employees, agents, invitees, contractors, and subcontractors, the exclusive right to Lessor's interest in the surface of the Land for the purposes set out in Section 3 and subject to all terms and provisions in this Lease. Lessor agrees not to build, construct, or create, nor permit others to build, construct, create, or use any building, structures, engineering works, or other personal property or improvements on the Land that will unreasonably interfere with the rights of Lessee under this Lease. Lessor represents and warrants that it is the owner of the Land and has the right, title, and capacity to grant this Lease. Subject only to Lessee's right to physically mount and adhere the Energy Facilities to the ground, this Lease covers surface rights only, and does not convey, nor will it be construed as conveying, any part of the fee title to the Land nor the oil and gas or other mineral rights underlying the Land. 2.2 Lessor has fee simple title to the Land and, to the best of Lessor's knowledge, the Land is subject to no easement, rights of way, licenses, leases, and other agreements ("Exceptions") other than those matters of record or disclosed by Lessor to Lessee prior to the effective date affecting the surface or subsurface of the Land ("Existing or Disclosed Title IS/falters"). If, after the Effective Date, Lessor should be notified of Exceptions, excluding any Existing or Disclosed Title Matters, that may reasonably have an impact on Lessee's construction, operation, maintenance, or removal of the Energy Facilities, Lessor agrees to use commercially reasonable efforts to work cooperatively with Lessee to effect a cure or removal of such Exceptions in a timely manner. 3. PURPOSE The Land may be used by Lessee and its employees, agents, invitees, contractors, and subcontractors, for such lawful purposes as Lessee may see fit, including engineering, construction, installation, and operation of the Energy Facilities. Lessee and its employees, agents, invitees, contractors, and subcontractors will have rights of ingress to and egress from the Land over and through other lands owned or controlled by Lessor in connection with these purposes. TERM; SURRENDER, AND RELEASE 4.1 Development Term. The Development Tenn of the Agreement commences upon the Effective Jute and shall continue for a period of five (5) years ("Initial Development Term"), unless earlier terminated upon (i) the commencement of the Construction 'Perm, or (ii) the termination of this Agreement in accordance with the terms herein. Lessee shall have the right to extend the Initial Development Term by up to two (2) additional successive periods of one (1) year each ("Extended Develo Ln ent Term" and together with the Initial Development Term are collectively referred to herein as the "Development Term"). Lessee shall provide notice of its intent to exercise the Extended Development Term(s) by providing written notice to Lessor no less than one hundred twenty (120) days prior to the expiration of the Development Term or the first Extended Development Term, as applicable. This Agreement shall terminate upon expiration of the Development Teen unless Lessee has provided the Notice of Commencement of Construction as permitted under Section 4.2 of this Lease. During the Development Term, Lessee shall only conduct Development Activities. 4.2 Construction Term. (A) The "Construction Terns" shall begin upon the "Construction Commencement Date" set forth in the written notice to Lessor of Lessee's intention to begin construction of Energy Facilities (the "Notice of Commencement of Construction") on the Land. The Construction Term shall continue until the Operations Date as defined in Section 4.3. Lessee shall deliver the Notice of Commencement of Construction to Lessor at least thirty (30) days in advance of the Construction Commencement Date. During the Construction Terre, Lessee shall have the right to continue Development Activities and.construct and test the Energy Facilities. Upon the Construction Commencement Bate, Lessor must cease all operations on the Facility Site and ensure that the Facility Site is cleared of all Lessor's personal property, livestock, and equipment and shall thereafter only enter upon the Facility Site with the written consent of the Lessee. In the event that the Operations Terre has not commenced within eighteen (1$) months, after commencement of the Construction Term , Lessor may terminate this Lease upon written notice to Lessee. In the event that Lessor issues such notice, Lessee shall surrender the Land back to Lessor. 4.3 Operations Term. Commencing upon the "Operations Date", which shall be the date that the Energy Facilities are interconnected to the electric utility grid at its fully rated capacity, the "Initial Operations Term" shall last for a period,of twenty-five (25) years. Lessee shall have the right to extend the Operations Term three (3) times), which it may exercise in its sole discretion. Each extension of the Operations Terra shall be five (5) years in length (each, an "Extended Operations Term"). Lessee may surrender the Facility Site under this Lease at any time in whole or in part by providing written notice to Lessor and filing an instrument of surrender in the public records of the county where the Land is located. Upon surrender, Lessee will be relieved of all future obligations under this Lease as to the lands surrendered, but surrender will not relieve Lessee of obligations accrued under this Lease as of the date of surrender or obligations that accrue upon Lease termination or that survive termination, including but not limited to those obligations specified in Section 7.1 of this Lease. Lessee will be relieved of its obligation to make future Annual Dental Fee payments under Section 5 for any lands surrendered but will continue to snake Annual Rental Fee payments for lands retained under this Lease. Lessee will not be entitled to a refund of any Annual Rental Fee paid under Section 5 if Lessee surrenders this Lease prior io the end or the year for which an Annual Dental Fee has already been made. 4.5 Release, Upon the texn ination of this Lease, in whole or in part, for any reason, Lessee Will, within sixty days of termination, file an instrument in the county records that reflects Lessee's rights under this Lease have terminated, 5. RENTAL PAYMENTS 5.1 Up --Front Payment. An amount of e "Up --Front Payment") shall be paid promptly to Lessor in lump sum within thirty (30) business days after the Effective bate. 5.2 Annual Rent. The Annual Rental Fee shall be tnade by Lessee's check mailed postage prepaid to Lessor at the address set forth above or another address that Lessor may designate in writing to Lessee 6. LAND USE AM) ENERGY FACILITIES INSTALLATION, OPERATION AND OWNERSHIP 6.1 At all times while this Lease is in effect, Lessee will clear the Land of refuse and litter and keep the Lana in good repair, clear of refuse and litter. 6.2 Lessor hereby consents to the construction, installation, and operation of the Energy Facilities, including, without limitation, solar panels, mounting substrates or supports, wiring and connections, power inverters, service equipment, metering equipment, and utility interconnections, on the Land. Lessee shall have the right to maintain, clean, repair, replace, and dispose of part or all of any Energy Facilities. 6.3 Lessor acknowledges that installation of all or a portion of the Energy Facilities may require physically mounting and adhering of the Energy Facilities to the ground in and on the Land, and consent to such mounting and adhering as applicable. 6.4 Lessor acknowledges and agrees that access to sunlight ("Insolation") is essential to the value to Lessee of any interest granted or conveyed to it in the Property. Accordingly, Lessor shall not interfere or permit any interference by a person claiming through or authorized by Lessor with Insolation on and at the Land, which obligation shall include, without limitation, the duty of Lessor to not (i) construct or permit any such person to construct any structure on the Land or propetrties adjacent or nearby to the Land that could adversely affect Insolation levels on and at the Land; {iii pertnit the growth of foliage on the Land in a manner that could be reasonably expected to adversely attect tnsoiatton levels on and at the Land; or (iii) emit suspended particulate matter, smoke, fog or steam or other air -borne impediments to insolation in and at the Land or permit any. such person to do so. 7. RESTORATION OF LAND AND REMOVAL OF ENERGY FACILITIES 7.1 Restoration. Upon termination of this Lease, Lessee shall conduct reclamation of the Land in accordance %vith applicable law, consistent with the character and location of the Land as of the Effective Late. Lessor must permit Lessee continued access to the Land after termination of the Lease for removal of its personal property as provided in Section 7.2, or if Lessee deems such operations necessary, to perform reclamation operations on the Land. 7.2 All equipment comprising the Energy Facilities, including but not limited to any buildings, improvements, material, machinery, equipment and other property that may be constructed or placed on the Ladd by Lessee in connection with the Energy Facilities will not become Solar Lease Agreement Noble Syreuit_ larper Kona Site 4959070 06/08/2024 08:13 AM Page 7 of 16 part of the real property but will remain the personal property of Lessee. Lessee will remove all of its personal property from the Land within 180 days following termination of this Lease. If Lessee fails to remove its personal property from the Land within l 80 days following termination of this Lease, Lessor may elect to take ownership of same without the necessity of a formal conveyance or bill of sale from Lessee, or to dispose of such personal property and retain any proceeds from sale. If and when Lessor assumes ownership of the personal property, Lessor shall be liable for any operational and maintenance activities associated with the personal property. 8. ENCUMBRANCES 8.1 Labor and Materials Provided to Lessee. Should Lessor provide any labor or materials on behalf of Lessee in connection with the Energy Facilities, Lessee will pay all validly documented Claims for all labor and materials. 8.2 Discharge of Liens on Lessor's Interest. Lessee may, at its option, discharge any tax, mortgage, or other Lien on Lessor's interest in the Land, in whole or in part, and be subrogated to same, with the right to enforce same and to apply all rentals thereafter accruing under this Lease toward the satisfaction of same. 9. TAXES 9.1 Lessee Responsibility. Lessee is solely responsible for the real property taxes and personal property taxes imposed on the Energy Facilities and any other fixtures, equipment or supplies installed or owned by Lessee that are located on the Land. Lessee will timely report and render to the applicable counties the Energy Facilities and ether property for which Lessee is responsible for personal property taxes. 9.2 Reimbursement for Excess Taxes. If additional property taxes are appropriately levied against the Land that are solely and directly attributable to the Energy Facilities, Lessee agrees to reimburse Lessor for such additional taxes. The additional taxes subject to reimbursement under this subsection 9.2 are collectively referred to as "Excess `faxes." Lessee's reimbursement of Excess Faxes is due within thirty (30) days of receipt of applicable notice from Lessor documenting attribution of additional taxes on the Land to the Energy Facilities. The provisions of this subsection 9.2 will survive termination of this Lease for a period of three (3) years. 9.3 Tax Proceedings. With respect to any taxes that Lessee is responsible for under this section, Lessee may in good faith and at its sole cost contest any such taxes or assessments and shall be obligated to pay the contested amount only if and when finally determined to be owed. With respect to Excess `faxes, Lessee may (but is not required to) appeal, prosecute or defend any administrative or judicial proceedings relating to the Land and the rights conveyed herein including, but not limited to, contesting any taxes or fees assessed or levied upon the Land as a result of Lessee's equipment or operations hereunder with the express prior written consent of Lessor, which consent shall not be unreasonably withheld. Further, Lessee may undertake any such administrative or judicial proceeding with respect to the Land in the name of Lessor, with the express prior written consent of Lessor, which consent shall not be unreasonably withheld. COMPLIANCE WITH LAW During the Term, the Parties to this Lease agree to comply with all applicable Laws. 11, INDEMNITY Lessee will defend, indemnify, and hold Lessor harmless against all Claims (including costs of investigating Claims, site assessments, testing, and remedial actions) incurred or paid, arising from or on account of any act or omission by Lessee, its employees, agents, invitees, contractors, and subcontractors, relating to this Lease. 12. LIMITATION ON DAMAGES Under no circumstances will Lessee have any obligation to compensate Lessor for indirect or consequential loss, including loss of prospective economic advantage or benefit, loss of profit, loss of business opportunity, or punitive or exemplary damages, the right to recovery of which is hereby expressly waived by Lessor. 13, BREACH; NOTICE AND OPPORTUNITY TO CURE If Lessee defaults in the performance of any of its obligations under this Agreement, Lessor may enforce the performance of this Agreement in any manner provided by Law, subject to the limitation on damages in Section 11 above, after providing Lessee 30 days written notice specifying the nature of the breach and providing Lessee the opportunity to cure the breach before taking any such enforcement actions. If Lessee cures or substantially cures the breach, Lessor will not take enforcement action. 14. CONDEMNATION In the event that all or a part of the Property is taken by eminent domain or conveyed in lieu of eminent domain, if the Land reasonably cannot be used by Lessee for its intended purposes (a "Total Taking"), then this Lease will terminate effective as of the date that the condemning authority shall take possession of the same. In the event of a taking which does not prevent Lessee from using the Land for its intended purposes (a "Partial Taking"), this Lease shall not terminate but shall continue in full force and effect without modification to the rentals payable under this Lease or other obligations hereunder. In the event of either a Total Taking or a Partial Taking, Lessor shall be entitled to retain all portions of any condemnation award except to the extent allocated to the value of the Energy Facilities or Lessee's leasehold estate, and Lessee shall be free to seek such separate condemnation award for Lessee's interest in the Energy Facilities or leasehold estate as Lessee deems appropriate. 15. GENERAL PROVISIONS 15.1 Conflict of Interest* No director, employee, or agent of either Party will give or receive any commission, fee, rebate, gift, or entertainment of significant cost or value in connection with this Lease. During the Term and for two years after termination of this Leas;, any representatives authorized by either Party may audit the applicable records of the other Party solely for the purpose of determining whether there has been compliance with this provision. This Lease is governed by and interpreted under the Laws of the State of Colorado, without regard to its choice of Law rules, except that rules of the Federal Arbitration Act, 9 USC §§1-16 (the "Act") shall govern this Section 14.2. The Parties shall exclusively and finally resolve any dispute between them using direct negotiations, mediation, and then arbitration as specified in this Lease. If a dispute arising out of this Lease is not resolved by direct negotiations, either Party may initiate mediation by giving notice to the other setting out the disputed issues and the value of the claim. If the Parties fail to resolve the dispute within 60 days from notice of mediation, either Party may initiate binding arbitration by giving notice in accordance with this Lease. The place of arbitration must be Denver, Colorado. One arbitrator (or 3 arbitrators if the monetary value of the dispute is more than US$5,000,000 or its currency equivalent, or if there is a dispute whether the monetary value exceeds the US$5,000,000) will conduct the arbitral proceedings in accordance with the International Institute for Conflict Prevention and Resolution ("CPR") Rules. To the extent of any conflicts between the Act or the CPR Rules and the provisions of this Lease, the provisions of this Lease prevail. The CPR is the appointing authority. The maximum number of witnesses that either Party each may call to give evidence is 3 witnesses of fact and 1 expert witness. The arbitration award is final and binding. Regardless of which Party prevails, all arbitration fees and costs must be paid equally and each Party shall bear its own attorneys' fees and costs in connection with such arbitration. The Parties waive irrevocably their right to any form of appeal, review, or recourse to any court or other judicial authority under any applicable law, to the extent that such waiver may be validly made. Proceedings to (1) preserve property or seek injunctive relief, or (2) enforce an award under this dispute resolution provision may be brought in any court of competent jurisdiction. 15.3 Notices. All notices must be in writing and delivered by mail (postage prepaid), facsimile, email, or by a recognized international courier service to the address set out in the signature block of this Lease. If Lessor or Lessee gives notice by facsimile or email, the facsimile or email must clearly state that it is notice given under this Lease. Notices are effective when received by the recipient during the recipient's regular business hours. 15.4 Public Announcements. Except as otherwise expressly required by Law, a Party may not issue any public announcement or statement concerning this Leese without obtaining the other Party' s prior written consent. 15.5 Third -Party Rights. Except as otherwise expressly stated herein, no Person who is not a party to this Lease has any rights under this Lease or may enforce any provision of this Lease. 15.6 Assignment. The rights of either Party may be assigned in whole or in part. The terms of this Lease will be binding upon and inure to the benefit of the parties and their heirs, successors and assigns. No change of ownership of Lessor's rights will operate to enlarge the obligations or diminish Lessee's rights. No change in ownership of the Land will affect or bind Lessee until the purchaser furnishes to Lessee the original or certified copy of the conveying instrument. The evidence of ownership must be supplied at least sixty days before the next succeeding rental payment is due; otherwise, Lessee's payment of rental to the purchaser's predecessor in title will bind the purchaser. This Lease comprises the complete and exclusive agreement between the Parties regarding the subject matter of this Lease, and supersedes all oral and written communications, negotiations, representations, or agreements in relation to that subject matter made or entered into before the Effective Date. 15.$ Amendment. This Lease may not be amended orally or by performance. No amendment to this Lease is effective unless made in writing and signed by authorized representatives of both Parties. 15.9 waiver, A Party's failure to pursue remedies for breach of this Lease does not constitute a waiver of or raise any defense against Claims for breach of this Lease. The waiver or failure to require the performance of any covenant or obligation contained in this Lease or pursue remedies for breach of this Lease does not waive a later breach of that covenant or obligation. 15.10 Severability. Each provision of this Lease is severable and if any provision is determined to be invalid, unenforceable, or illegal under any existing or future law by a court, arbitrator of competent jurisdiction, or by operation of any applicable law, this invalidity, unenforceability, or illegality does not impair the operation of or affect those portions of this Lease that are valid, enforceable, and legal, unless the deletion of such provision or provisions would result in such a material change that causes completion of the transactions contemplated herein to be unreasonable. 15.11 Survival. Despite termination of this Lease for any reason, all provisions in this Lease containing representations, warranties, releases, defense obligations, and indemnities, and all provisions relating to audit, confidentiality, disclaimer of certain remedies, limitations of liability, conflict of interest, retention and inspection of records, governing law, and all causes of action that arose prior to completion or termination, survive indefinitely until, by their respective terms, they are no longer operative or are otherwise limited by an applicable statute of limitations. 15.12 Counterparts. This Lease may be executed in any number of counterparts, each of which will be deemed an original of this Lease, and which together will constitute one and the same instalment. When executed in counterparts, no Party will be bound to this Lease unless and until all Parties have executed and delivered to each of the other Parties an executed counterpart. 15.13 Authorized Representatives. Each Party represents and warrants that the Lease has been duly executed and delivered by its authorized officer or other representative and constitutes its legal, valid, and binding obligation enforceable in accordance with its terms, and no consent or approval of any other Person is required in connection with its execution, delivery, and performance of the Lease.
