Approve Biennial Renewal Application for Fermented Malt Beverage and Wine
Off-Premises (County) License from Circle K Stores, Inc., dba Circle K Store
#2709846, and Authorize Chair to Sign — Expires May 29, 2027
Whereas, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
Whereas, pursuant to Articles 3 and 4, Title 44, C.R.S., Colorado Liquor Rules,
1 CCR 203-2:47-303, and Chapter 12 of the Weld County Code, licensees in good
standing may request to renew their license for a two-year period on a biennial basis,
subject to further terms and conditions, and
Whereas, Circle K Stores, Inc., dba Circle K Store #2709846, presented to the Board of
County Commissioners of Weld County, Colorado, an application for the renewal of a
Fermented Malt Beverage and Wine Off-Premises (County) License for the sale of malt
beverages and vinous liquors in sealed containers not for consumption at place where
sold, subject to the rules and regulations found in Articles 3 and 4, Title 44, C.R.S., at an
establishment outside the corporate limits of any town or city in the County of Weld at the
location described as follows:

Whereas, pursuant to Exhibit 5-H of the Weld County Code, said applicant has paid the
sum of $107.50 to the County of Weld for renewal of the existing license for the first year
of the biennial period, and
Whereas, said applicant has paid the sum of $367.50 to the Colorado Department of
Revenue for renewal of the existing license for the first year of the biennial period, and
Whereas, the Licensee shall require "responsible vendor" training of each employee, as
agreeable to the Colorado Department of Revenue, Liquor Enforcement Division, and the
Licensee shall provide documentary evidence that each employee has been "responsible
vendor° trained upon request by the Weld County Sheriff's Office or the Colorado Liquor
Enforcement Division.
Now, therefore, be it resolved that the Board of County Commissioners of Weld County,
Colorado, having examined said application and the other qualifications of the applicant,
does hereby grant License Number 2025-08 to said applicant to sell malt beverages and
vinous liquors in sealed containers not for consumption at place where sold; and the
Board does hereby authorize and direct the issuance of said license by the Chair of the
Board of County Commissioners, attested to by the Clerk to the Board of Weld County,
Coloradq which license shall be in effect until May 29, 2027, providing that said licensee
operates in strict conformity to all of the laws of the State of Colorado and the rules and
regulations relating thereto, per Articles 3 and 4, Title 44, C.R.S., heretofore passed by

the Board of County Commissioners of Weld County, Colorado, and any violations thereof
shall be cause for revocation of the license.
Be it further resolved by the Board that pursuant to Articles 3 and 4, Title 44, C.R.S.,
Colorado Liquor Rules, 1 CCR 203-2:47-303, and Chapter 12 of the Weld County Code,
Circle K Stores, Inc., dba Circle K Store #2709846, be, and hereby is, found in good
standing, and be, and hereby is, approved to renew their license for a two-year period on
a biennial basis, subject to further terms and conditions. Such approval is contingent on
payment orf the annual renewal application fee contained in Appendix 5-H of the Weld
County Code by April 22, 2026, for the second yrear of the biennial period.
Be it further resolved by the Board that the Chair be, and hereby is, authorized to sign
said application and license.

am signing this Tax Check Authorization, Waiver and Request to Release Information (hereinafter
"Waiver") on behalf of
the " IicanULicensee"
Circle K Stores, Inc
to permit the Colorado Department of Revenue and any other state or local taxing authority to release
information and documentation that may otherwise be confidential, as provided below. If I am signing
this Waiver for someone other than myself, including on behalf of a business entity, I certify that I have
the authority to execute this Waiver on behalf of the Applicant/Licensee.
The Executive Director of the Colorado Department of Revenue is the State Licensing Authority, and
ovefsees the Colorado Liquor Enforcement Division as his or her agents, clerks, and employees. The
information �d documentation obtained pursuant to this Waiver may be used in connection with the
Applicant/Licensee's liquor license application and ongoing licensure by the state and local licensing
authorities. The Colorado Liquor Code, section 44-3-101. et seq. ("Liquor Code"), and the Colorado
Liquor Rules,1 CCR 203-2 (°Liquor Rules"), require compliance with certain tax obligations, and set
forth the investigative, disciplinary and licensure actions the state and local licensing authorities may
take for vioaaions of the Liquor Code and Liquor Rules, including failure to meet tax reporting and
payment obligations.
The Waiver is made pursuant to section 39-21-113(4), C.R.S., and any other law, regulation, resolution
or ordinance concerning the confidentiality of tax information, or any document, repo�t or retum filed
in connection with state or local taxes. This Waiver shall be valid until the expiration or revocation
of a license, or until both the state and local licensing authorities take final action to approve or deny
any application(s) for the renewal of the license, whichever is later. ApplicanbLicensee agrees to
execute a new waiver for each subsequent licensing period in connection with the renewal of any
license, if requested.
By signing bdow, ApplicanULicensee requests that the Colorado Department of Revenue and any
other state or local taxing authority or agency in the possession of tax documents or information,
�elease information and documentation to the Colorado Liquor Enforcement Division, and is duly
authorized employees, to act as the ApplicanYs/Licensee's duly authorized representative under
section 39-21-113(4), C.R.S., solely to allow the state and local licensing authorities, and their duly
authorized employees, to investigate compliance with the Liquor Code and Liquor Rules. Applicant/
Licensee authorizes the state and local licensing authorities, their duly authorized employees, and
their legal representatives, to use the information and documentation obtained using this Waiver in any
administrative or judicial action regarding the application or license.

This conveyance is made by Grantor and accepted by Grantee SUBJECT TO all
reservations, exceptions, restrictions, easements, encumbrances, rights of way and other
matters of record affecting the same and set forth on "Exhibit B", to the extent that the same
are currently valid and enforceable against the Premises and applicable zoning regulations.
TO HAVE AND TO HOLD the Premises unto Grantee, its successors and assigns in fee
simple forever; but:
IN ADDlTION TO THE FOREGOING, Grantor grants the Premises to Grantee subject to
the fo�lowing covenants and restrictions:
1. From and after the Effective Date until November 30, 2021 ('Termination
Date"), if gasoline or branded diesel is stored, advertised or sold at or f�om the Premises, the
gasoline or branded diesel stored, advertised or sold shall be sold under the "Shell" trademark
oc other "Shell" brancts under which motor fuel products are sold ("Brand Covenant"), all as
more fuliy set forth in that certain Branding and Product Purchase Commitment Agreement
dated as of the Effective Date, by and between Grantor and Grantee ("Brandins� A�resment").
The Brand Covenant sha{I expire automatically on the Termination Date without need for filing a
release, or other action of either Grantor or Grantee. The Premises and every portion thereof
shal{ be improved, held, used, occupied, leased, sold, hypothecated, encumbered and

thereof, as provided in the Branding Agreement, shall run with the land, and pass with each and
every portion of the Premises, and shall apply to and bind the respective successors, assigns
and transferees and subsequent owners in interest thereof. The Brand Covenant is imposed
upon the entire Premises.
Grantee agrees to include the Brand Covenant in any conveyance or assignment of the
Premises prior to the Termsnation Date to a successor grantee and, as a condition of any
conveyance of the Premises, to require successor grantees to enter into an agreemerrt
assumirtig all obligations of Grantee under the Branding Agreement.
2. Until the Termination Date, Grantor retains a right of first refusal to purchase the
Premises, pursuant to the terms of the Branding Agreement ("Ris�ht of First Refusal"). The
Right of First Refusal shall expire automatically on the Termination Date, without need for filing
a release, or othe� action of either Grantor or G�antee. The terms of the Right of First Refusal
are set forth on "Exhibit C".
3. Grantee has granted a right of access to Grantor pursuant to the terms of an
Access Agreement dated as of the Effective Date, which is being recorded on the same day as
this instrument.
4. Grantee covenants and agrees that it shall not install any well or other tank,
pump or related equipment for the storage of potable water at the Premises. Grantee further
covenants and agrees that it shall not improve or use the Premises for residential purposes.
Each of these covenants shall run w�th the Premises, and pass with each and every portion of
the Premises, and shall apply to and bind the respective successors in interest thereof. Grantee
agrees to include these restrictions in any conveyance or assignment of the Premises to a
successor grantee.
SUBJECT to the foregoing, Grantor covenants with Grantee that Grantor will warrant
and defend title to the Premises against the lawful claims of all persons claiming by, through, or
under Grantor, but not otherwise.

Right of First Refusal
Until November 30, 2021, if at any time Grantee (i) receives an acceptable bona fide
offer to purchase or lease from a ready, willing, and able purchaser or lessee which Grantee
desires to accept, or (ii) makes a bona fide offer to sell, lease or otherwise transfer to such a
purchaser or lessee, all of Grantee's right, title and interest in and to the Premises ("Offer'�,
Grantee shall provide written notice to Grantor, specifying the name and address of the
proposed grantee or lessee and the price and complete terms af the Offer, accompanied by
Grantee's affidavit tfiat the proposed sale or lease transaction described in the Offer is in good
faith. Grantor will then have the prior option to purchase or lease the Premises at the price and
on the terms of the Offer, but subject to the terms provided below ("Right of First Refusal").
Grantar shall provide written notice to Grantee of Grantor's election to exercise its Right
of First Refusal within 30 days after Grantor receives Grantee's written notice of the Offer. If
Grantor does not timely exercise vts Right of First Refusal with respect to the Premises, Grantee
shall be free to sell, lease or otherwise transfer the Premises in accordance with the transaction
described in Grantee's notice. If such transaction is not consummated as described in the
Grantee's notice, the Right of First Refusal shall thereafter apply to the Premises.
Within 20 days after the date of the notice provided to Grantee of Grantor's election to
exercise its Right of First Refusal, Grantor shaN designate a title company and provide written
notice to Grantee of the same. Grantee shall deposit with the title company a recvrdable
special warranty deed comparable to the special warranty deed to which this Exhib'st relates or a
lease containing terms consistent v�rith the Offer described in Grantee's notice and acceptable to
Grantor. Grantor shall deposit with the title company any eamest money required by the Offer.
Promptly thereafter, Grantee shall (or Grantor may), at G�antors expense, orde� from the title
company a report on title to (or leasehold irrterest in) the Premises and a commitment for an
owners or lessee's (as applicable) policy of title insurance. Upon written notice from Grantor to
Graniee and the tit{e company that title is acceptable, the title company shall deliver to Grantor
the deed or iease executed by Grantee, togethe� with the owner's or lessee's (as applicable)
policy of title insurance, against payment by Grantor of the purchase price (which shall include
payment of any costs, fees, expenses, documentary, transfer and like taxes required to paid by
Grantor), as such allocation of costs, fees and expenses may be set forth in the Offer, less any
eamest money. Thereafter, the title company shall deliver to Grantee the purchase price
required by the Offer less the amount of any liens accepted by Grantor and less the amount of
any and all costs, fees, expenses, documentary, transfer and like taxes required to paid by
Grantee as set forth in the Offer. Taxes and rent will be prorated as of the date of delivery of
the deed (or the assignment of lease, as applicable} from the title company to the Grantor.
Upon receipt from Grantor of written notice that the title is not acceptable, Grantee shall use
commercially reasonable efforts to cure such title objections by the closing, including, without
I�mitation, insuring against or providing a bond or suitable escrow for, any lien or other
encumbrance that represents a liquidated amount or sum of money. No objection shall be
made to any encumbrance that was set forth as a pe�rnitted encumbrance for the Premises in
the deed from Grantor to Grantee. !n no case shall Grantee be required to convey any interest
in the Premises greater than the interest it is vested in. If Grantee is unabte to cure the title to
Grantor's satisfaction, Grantor may elect not to purchase the Premises, rn which case the title
company shall return the deed (or assignment of lease} to Grantee, and the earnest money to

The Department of Planrnng Services and the Department of 8uild�ng Inspection have reviewed
the proposed sign modificaUon for the above referenced pro�ect and offer the follo�nnng
comments
First, in discussions hefd at the Southwest Weld County Admimstrative Office Budding on
August 8, 2002, staff stated that a change to the existing plexiglass sign face would not be '
considered a substanUal change to the ewsUng Sde Plan Review 241, however, any other
change may constdute a substa, t al change and �equire a new S�te Plan Re��iew Plat
apphcat�on
A facsimAe from the Young Electnc Sign Company was received conceming a propoaed
modification to one of the existing dual pole idendfication signs on site This modificaUon
proposes to enlarge the present sign to approximately 240 square feet of face, approximately
70 square feet larger than what a �resently on site, per information retayed to staff
Staff reviewed the proposal for compbance with the Weld County Code, Chapter 23 (Zornng)
and Chapter 26 (Mixed Use De� alopment) Chapter 26 takes precedence, as the facility �s
withm the boundary of the Mixed Use Development area
Sedion 26-2-90 addresses Sign Distnct Regulahons Specific to the proposal, staff reviewed
three sections of the Code for conformance Section 26-2-90 D 2 a addresses Attached Signs
Stze, Height and Design Limitations This Section states
a Awrnng signs shall not be larger than twenty-five (25) square feet nor ten
percent (10°�) of the awnmg surface area whichever Is smaller
b Marquee, canopy, overhead canopy, under-canopy, proJectmg or wall
signs
1) Minimum height reqwrements These signs shall be mounted at
least fourteen (14) feet above any dnveway and at least nme (9)
feet above any walkway over which they are erected
2) Maximum height reqwrements 7he top line of these signs shall
not be higher than the top of the wall roof eaves or parapet line of
the buiidmg to which �t is attached
It is staff s interpretation that the square foot area of sign face located on the overhead awning
and the perimeter of the commercial sales facihty exceeds this requirement specific to Section
26-2-90 2 a as outhned
Section 26-2-90 D 3 addresses Detached Signs This Sect�on states
c On-site idenhficaUon sigrs shall have a minimum setback of
fifteen (15) feet and a minimum offsel of ten (10� feet from the
- road nght-of-way
d Detached signs shall have surroundmg landscaping which
extends a nunimum of three (3) feet from all sides of the sign
base
e The totai height of any monument or pole sign shall not exceed
twenty-five (25) feet above the ad�c�ring ground elevation
From the informat�on provided the proposed sign appears to conform to these standards
Section 26-2-S0 D 4 defines Development Complex Signs Definiuon Size and Design
Umitations This Section states
a A development complex sign is a detached sign on the premises
of the development which pnmanly identifies or directs attention to
the name Symbol or locatian o` the development complex
b A development compiex is a group of freestanding buildings or
bu�ldings constructed in such a way as ro give an appearance of
bemg interrelated due to archdectural simdariry, interconnectzd
dnves parking areas and/or platting of the de�elopment
c ' The tota! height of the sign shall not exceed twenty-(ive (25)
feet above the ad�oirnng ground elevation The total sign area
shall not exceed one hundred fifty (150) square feet "
From the informaUon provided including the attached sketch staff concludes that the proposed
sign modificahon exceeds the reqwrements of Section 26-2-90 D 4 c of the Weld County Code
Given staff s mterpretation of the Code the proposed modification proposal to enlarge the
present sign to approximately 240 square feet of face approximately 70 square feet larger than
what is presently on site is not supported by the Department of Planrnng Services
Young Electnc Sign Company does have recourse you ar2 afforded the due process to appeai
this decision to the Weld County Board ef Ad�ustmen+ ,hng under an appeal of variance to the
Weld County Code Section 23-6-40 There is a$060 00 processing fee associated with this

The site is currently permitted under SPR-241 for truck stop and convernence store The applicants are
proposing to install a 6000 gallon DEF (Diesel Exhaust Fluid) Underground Storage Tank and Dispensmg
System Electrical wdl be run from the bwlding to this underground storage tank Stamless steel piping v�nll be
used No expansion to the islands wdl take place, however the dispensers wdl be replaced to mclude the DEF
dispenser
Staff stated that this pro�ect doesn't appear to require an amendment to SPR-241 since there is no expansion
and the operation remains the same

Commercial Budding and Electncal permits will be reqwred for any new construction or addition to any buddmg
on the property per SecUon 29-3-10 of the Weld County Code Two (2) plot plans showing IocaUons and
distances from budding to property hnes and other structures will be required Additionally, Manufacturers
Specs for the Tanks and InstallaUon requirements on Tanks and Dispensers will also be required
Two (2) sets of electncal plans showing one-hne, panels, groundmg, motors, hazardous locations, wire sizes,
amps/loads and over-current protection, as apphcable _
A Fire Distnct Notrfication letter shall be submitted to the Fire District with �unsdiction for review and comments
and submitted with Commercial Permit application to Weld County
